RESOLUTION OF THE CITY COUNCIL OF~-'~HE" CITY OF CHULA
VISTA, APPROVING AGREEMENT BETWEEN THE CITY OF CHULA
VISTA AND PHILLIPS-REYNOLDS & ASSOCIATES FOR ENGINEERING
SERVICES .FOR TOWN CENTRE SIDEWALK AND ALLEY IMPROVEMENTS -
PUBLIC WORKS DEVELOPMENT AND INVESTMENT PROGRAM APPLICATION
AND AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT
The City Council of the City of Chula Vista does hereby
resolve as follows:
NOW, THEREFORE, BE IT RESOLVED that that certain agreement
between THE CITY OF CHULA VISTA, a municipal corporation, and
PHILLIPS-REYNOLDS & ASSOCIATES, for engineering services for Town Centre
sidewalk and alley improvements - Public Works Development and Invest-
ment Program Application, for a fee not to exceed $42,000
dated the 12th day of October 1976 a copy of
which is attached hereto and incorporated herein, the same as though
fully set forth herein be, and the same is hereby approved.
BE IT FURTHER RESOLVED that up to the sum of $42,000 is hereby
authorized to be expended from Account No. 630-6300-BG 25 for the pur-
poses set forth hereinabove.
BE IT FURTHER RESOLVED that the Mayor of the City of Chula
Vista be, and he is hereby authorized and directed to execute said
agreement for and on behalf of the City of Chula Vista.

AGREEMENT BETWEEN
PHILLIPS-REYNOLDS & ASSOCIATES, CIVIL ENGINEERS
and
THE CITY OF CHULA VISTA
THIS AGREEMENT entered into at Chula vista, California
on the 12th day of October 1976, by and between
the City of Chula Vista, a municipal corporation, hereinafter called "City"
and Phillips-Reynolds & Associates, hereinafter called "Engineer", is as
follows:
The City intends to perform the following works under the Economic Develop-
ment Administration, Local Public Works Capital Development and Investment
Program and/or other funding:
A. Improve, construct, reconstruct and/or replace curb, sidewalk,
crosswalks, parking and transit bays and street lighting systems.
1. Third Avenue, east side, "E" Street to "G" Street.
2. Third Avenue, west side "E" Street to "F" Street and Park
Way to "G" Street.
B. Improve, construct and/or reconstruct alleys and street lighting
systems.

C. Partial overhead utility conversion.
1. Alley between Third Avenue and Landis Avenue, "E" Street
to "F" Street.
2. Alley between Third Avenue and Church Avenue, "E" Street
to "F" Street.
The City and Engineer for mutual consideration hereinafter set forth agree
as follows:
A. Engineer agrees to perform certain consulting, design, advisory
and/or preliminary surveying services for City as follows:
Prepare and provide project budget information and project impact
data for Economic Development Administration application.
Perform, provide and evaluate preliminary concepts, design, and
cost estimates. Design and prepare engineering plans specifications
for the construction of the project and provide contract administra-
tion and inspection services all as follows:
Provide preliminary surveys, photogrametric mapping, and utility
records research as required for design.
Prepare engineering design, construction plans, specifications
and contract documents. Plans to be prepared on drafting film
to conform to the standards of the City and good professional
engineering standards.
Prepare estimates of quantities and costs.
Provide reproductions of construction plans, specifications, and
contract documents as needed for bidding and construction, if so
directed by City.
Provide Contract Administration and inspection services as
required by City, Economic Development Agency and good engineering
practice.
B. City agrees to pay Engineer as compensation for his services as
follows:
1. Payment for all services, except as provided in Items 2 and 3
of this paragraph, shall be at the hourly rates set forth below
and shall be due and payable monthly as services are provided.
2. Payment for services of outside contractors for architectural
services, photogrametric services, utility consultant services,
sub-surface investigation, soil or'material testing shall be at
cost plus 15 percent.

3. Reimbursement to the Engineer at his cost for reproductions
printing and any checking fees, inspection fees or any other
such fees or charges necessary for performance of the work
under this agreement and incurred by the Engineer.
4. The Engineer's hourly rates are as follows:

5. The maximum fee for the herein described work is estimated
at $41,090.00 detailed as follows:
a) Preliminary cost and labor estimates for $ 1,360.00

b) Design concepts 3,420.00
c) Preliminary surveys 9,910.00
d) Design 18,450.00
e) Utility conversion design 3,850.00
f) Specifications and contract documents 2,260.00
y) Reproductions and printing 1,840.00
TOTAL ESTIMATED~~COST $ 41,090.00
Actual payment is to be in accordance with the above rates shown in this
Paragraph B. In the event there is a change in the scope of the work and it
appears the total fees will exceed $41,090.00 an application for an amended
total fee may be made by the Engineer as soon as a determination can be made.
Said application shall contain a revised estimate along with an explanation
for the increases.
C. Engineer agrees to perform the work herein as follows:
City shall give Engineer written notice to proceed and shall allow
Engineer seven calendar days after receipt of such notice to provide
data required for E.D.A. application.
Engineer shall submit to the City for review and/or approval design
concepts and preliminary drawings within twenty calendar days of
commencement to work.

Subsequent to City's review of preliminary plans and design
concepts, Engineer agrees to make such changes deemed necessary
and agreed upon by both parties.
Engineer shall submit to the .City final plans specifications and
contract documents for the project within ninty (90) days notice
to perform such work.
Engineer agrees to provide contract administration and inspection
services during the course of construction as provided for herein.
D. The Engineer agrees to provide, on demand by the City, at any time
during the period of this agreement and for three (3) years after
completion thereof, any or all of the following which have been
prepared by or supplied to the Engineer under this agreement, and
for which payment has been made by the City.
1. Notes of field surveys, field reconnaissance, and inspection
reports.
2. Originals of plans, specifications, and contract documents.
3. Reports of any tests.
4. Copies of time and payroll records for work Bones under this
agreement.
5. Copies of invoices for costs of consultant services, print-
ing and any other costs for which the Engineer is to be
reimbursed under this agreement.
E. The City reserves the right to terminate this agreement at any time.
In the event of termination of this agreement, the City shall pay
the reasonable value of the services actually performed by the
Engineer up to the date of such termination.
In the event of termination, the Engineer shall be entitled to
retain copies for his own use of any or all of the material which
may be demanded by the City under Paragraph C.
Engineer shall not be responsible for damages or be deemed to be in
default by reason of delays in performance by reason of strikes,
lockouts, accidents, acts of God and other delays unavoidable or
beyond the Engineer's reasonable control, or delays caused by fail-
ure of City, City's agent, to furnish information or to approve or
disapprove Engineer's work promptly. In the case of the happening
of any such cause of delay, the time of completion shall be extended
accordingly.
In the event that any changes are made in the plans and specifications
by the City or persons other than the Engineer which affect the
Engineer's work, any and all liability arising out of such changes is

waived as against the Engineer and the City assumes full responsi-
bility for such changes unless City has given the Engineer prior
notice and has received from the Engineer written consent for such
changes.
The Engineer is not responsible and liability is waived by the City
against Engineer for use by City or any other person of any plans
or drawings not signed by Frank P. Phillips or Richard A. Reynolds.
F. The Engineer will use his best efforts to produce services and a
product satisfactory to the City.
G. The Engineer shall hold harmless, indemnify, and defend the City of
Chula Vista, its Council, Officers, Employees and Agents against
liability (bodily injury, including death and property damage)
arising out of negligent acts of the Engineer or his employees in
the performance of this agreement.
H. The Engineer and City each binds himself, successors, executors,
administrators, and assigns to the other party of this agreement and
to the successors, executors, administrators, and assigns of the
other party in respect of all covenants of this agreement. Except
as provided otherwise, neither party shall assign, sublet or transfer
his interest in this agreement without the written consent of the
other party thereto.
IN WITNESS WHEREOF, the parties hereto have accepted, made, and executed this
agreement upon the terms, conditions, and provisions above stated, the day
and year first above written.

AMENDMENT TO THE AGREEMENT BETWEEN THE CITY
COUNCIL OF THE CITY OF CHULA VISTA AND Pt~E~S-

STREETS
THIS AMENDMENT made and entered into this 13th day of March,
1979, between the City Council of the City of Chula Vista (hereinafter referred
to as "City") and Phillips-Reynolds Engineering, Inc. (hereinafter referred to
as the "Contractor") is understood and agreed to by all parties as follows:
LaIHEREAS, the City has heretofore on October 12, 1976 by Resolution
No. 8360 approved a contract with Phillips-Reynolds & Associates for the engineer-
ing services for the construction of Third Avenue Street and Alley Improvements
between E and G Streets; and,
1JHEREAS, the Contractor has been required to perform services
beyond the terms of that agreement; and,
WHEREAS, the City, on February 20, 1979 by Resolution No. 9505,
appropriated additional funds as compensation for the performance of those addi-
tional services.
NOW, THEREFORE IT IS P~UTUALLY AGREED by and between the City and
Contractor as follows:
1. GJork Required by the City of the Contractor. The Contractor
shall perform all professional services required to provide design to conform
to criteria set forth in the Town Centre Design Manual adopted for this project
on November 4, 1976. The additional work contracted for under this amendment
is as follows:
a. Master Plan for traffic, landscaping, and architectural
features including plan review and public input.
b. Engineering and architectural design of all features of
the adopted Master Plan.
c. Contract phasing with cost estimate breakdown.
d. Topographic mapping by photo-grametric method of area
bounded by Third Avenue, Fourth Avenue, F Street and Parkway.
2. Compensation Schedule. Total compensation for this contract
amendment is $28,500. Payment shall be made to the Contractor in accordance
with the following schedule.
a. $1,300 has already been paid by the City to the Contractor
for the topographic mapping by photo-grametric method.
b. Seventy-five percent of the remaining $27,200 wi11 be
paid to the Contractor upon the execution of this amendment and upon the request
of the Contractor.
c. Twenty-five percent of the $27,200 will be paid to the
Contractor upon acceptance by the City Engineer of all the engineering plans for
the street and alley improvements under this contract.
All other sections of the original contract remain unchanged and are not affected
by this contract amendment.
Ifd WITNESS WHEREOF, the parties hereto have executed this Agreement
on the day and year first hereinafter set forth.
