HomeMy WebLinkAboutReso 1976-8405Form No. 342 Rev. 2/76 RESOLUTION NO. 8405 RESOLUTION OF THE CITY COUNCIL OF~''HE" CITY OF CHULA VISTA, APPROVING AGREEMENT BETWEEN THE CITY OF CHULA VISTA AND VAN DYKE/HALSEY DESIGN GROUP AND AUTHORIZING EXPENDITURE OF FUNDS FOR THE PROVISION OF SERVICES RELATIVE TO PHASE II MUELLER SCHOOL PARK IMPROVEMENTS AND AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT The City Council of the City of Chula Vista does hereby resolve as follows: NOW, THEREFORE, BE IT RESOLVED that that certain agreement between THE CITY OF CHULA VISTA, a municipal corporation, and VAN DYKE/HALSEY DESIGN GROUP, for the provision of services relative to Phase II of Mueller School Park improvements dated the 9th day of November 19 76 a copy of which is attached hereto and incorporated herein, the same as though fully set forth herein be, and the same is hereby approved. BE IT FURTHER RESOLVED that an amount not to exceed $4,730 be, and the same is hereby authorized to be expended from Block Grant Account No. 630-6300-BG 24 for the purpose set forth hereinabove. BE IT FURTHER RESOLVED that the Mayor of the City of Chula Vista be, and he is hereby authorized and directed to execute said agreement for and on behalf of the City of Chula Vista. DATED City Clerk nand ke/ halse ^~ v v ~~~o~~ c~~o~~ LANDSCAPE ARCHITECTURE/PLANNING AGREEMENT This Agreement is entered into by and between the City of Chula Vista, 276 Fourth Avenue, Chula Vista, California 92010 and Van Dyke/Halsey Design Group, Inc.. , 11722 Sorrento Valley Road, San Diego, Ca, , 92121.. ARTICLE I: PROJECT 1. The City hereby employs Van Dyke/Halsey Design Group, Inc. , (hereinafter referred to as Landscape Architect) to render professional services for the landscaping, architectural planning and design of Phase II of a neighborhood on the Mueller School site, located on Oaklawn Avenue and "I" Street in the City of Chula Vista, hereinafter referred to as the Project. ARTICLE II: SERVICES The professional services of the Landscape Architects shall be as follows: 1. Preparation of schematic plans and finalizing the master plan originally submitted. 2. -Upon final approval of the schematic plan, final design, and pre- liminary cost estimate, preparation of construction documents for implementation will commence. The .following working drawings will be prepared. a. Irrigation Plan b. Planting Plan c. Construction Plan d. Grading Plan (if necessary ) e. Structural Details for Wood Overhead and Specialty Items f. Specifications 3. Inspections: It is recommended that a minimum of six (6) inspec- tions be performed on the proposed project. a. Inspection prior -to finish grading c, Inspection of Layout and Concrete Forms prior to Pouring d. Inspection of Irrigation Coverage and Testing e. Inspection prior to Start of Maintenance Period f. Final Inspection after completion of Maintenance Period and Acceptance of Project 4. Updating of Cost Estimates. The updated cost estimates will consist of quantitative and cost analysis of project work based on approxi- mate present day labor, material, cost of preliminary plan and final drawings. 5. Document Reproduction will be provided as noted herein. ARTICLE III: EXCLUSION TO SCOPE OF' WORK Fees for the following items shall be adjusted by mutual consent: 1.' Any changes in the scope of the project size or design concept. 2. Any miscellaneous expenses not directly attributable to items noted under Article II. ARTICLE IV: CITY'S RESPONSIBILITIES 1. The City shall provide information as to the requirements and programming of the project including budget limitations and scheduling. 2. The City shall provide or cause to be provided such information required in the performance of the scope of work as outlined in Article II to the extent that it is available in City records, 3. The City shall provide information and personnel for consultation to the Landscape Architect as required for proper design of the site. 4, The City shall prodlde or cause to be provided material testing required for construction of a project. City of Chula Vista November 3, 1976 Page 3 5. The City shall notify Landscape Architects of administrative pro- cedures required and names of representatives authorized to act in its behalf. 6. The City shall furnish information and approvals required as expeditiously as necessary for the orderly progress of work. ARTICLE V: LANDSCAPE ARC1=iITECT'S COMPENSATION The-City shall compensate the Landscape Architects, in accordance with the terms and provisions of this agreement as set forth below: 1. For the basic services as set forth in Article II, a total fee of $3, 800. 2, If the City requires additional services not cave red under the provisions of Article II, it shall be billed in accordance with the fee schedule that is set forth in Article X. 3. For document reproduction, a maximum fee of $500 will be paid by the City. 4, Other miscellaneous expenditures/ expenses upon authorization and approval by the City. ARTICLE VI: PAYMENT TO THE LANDS~~APE ARCIiITE~~T 1. Payments to the Landscape Architects shall be made in accordance with the following schedule based upon proportion of work accomp- lished: a. Upon submittal of final Phase II plan and cost estimate - 40% 1, 520 b. Upon submittal of construction documents - 30% 1, 140 c. Upon approval of construction documents - 25% 950 d. Upon acceptance of project - 5% 19.0 TOTAL: $3, 800 2. Payments for reimbursable expenses as outlined in Article V, Paragraph four, shall be made as authorized and incurred. City of Chula Vista November 3, 1976 Page 4 ARTICLE VII: TERMINATION OF AGREEMENT OR ABANDONMENT 1, If the project is suspended for more than three months or abandoned in whole or in part, the Landscape Architects shall be paid as compen- sation for services performed prior to receipt of written notice from the City of such suspension or abandonment, together with reimburs- able expenditures then due and all terminable expenses relating from such compensation or abandonment not to exceed Article V and Article VI. This Agreement may be terminated by either party upon seven days written notice should the other party fail substantially to perform in accordance with the terms through. no fault of the other. 2. In the event that a contract for construction of the project has not been awarded within 180 days of receipt by the City of the final approved construction d~xuments, Landscape Architects shall be paid the reasonable value of the work performed but not to exceed the amount as scheduled in Article VI, Paragraph One, ARTICLE VIII: OWIVERSIiIP OF DOCUMENTS The tracing of the contract drawings and the contract specifications master shall become the property of the City when the Landscape Architects have been compensated as set forth herein. ARTICLE IX: SUCCESSORS ASSIGNED 1, The City and the Landscape Architects each bind themselves, their partners, successors, assigns and legal representatives, or such other parties, in respect of all convenan+.s of this agreement. Neither the City nor the Landscape Architects shall assign, sublet or transfer his interest in this agreement without the written consent of the other. 2. In the event that suit is brought upon this agreement to enforce its terms, the prevailing party shall be entitled to a reasonable sum as attorney's fees. ARTICLE X: HOURLY RATES AND EXTRA WORK If the City finds it desirable and necessary to cause the Landscape Architects to perform additional services other than those outlined, payment for such services will be based upon the following hourly rates: City of Chula Vista November 3, 1976 Page 5 Principal: Landscape Architect: Job Captain: Senior Designer: Draftsman: Clerical: $30, 00 per hour $24. 00 per hour $20. 00 per hour $18.00 per hour $15, 00 per hour $12. 00 per hour ARTICLE XI: EXTENT OF THIS AGREEMEJNT This shall constitute the terms and conditions of this agreement. Any amendments or changes to these terms and conditions shall be made in writing by the City or Landscape Architects and shall be subject to the approval of both parties. Signatures below by Landscape Architects and the City of Chula Vista shall constitute acknowledgement and accept- ance of this agreement as of the day and year written below.
