(Consultant), and the City of CHULA VISTA (City). W I T N E S S E T H: WHEREAS, City desires to~engage a qualified consultant to define the cost elements that form the basis for a bus service contract between the City and AZTEC BUS LIIdE (Aztec); WHEREAS, Consultant is qualified and tivilling to perform such services: NOtiV, THEREFORE, in consideration of their mutual covenants, the parties agree as follows: 1. Scope of Plork Consultant shall perform all tasks necessary to complete the project as specified in the Consultant's proposal dated January 2$, 1977, said document is incorporated by reference as though fully set forth herein. Con- sultant shall perform the fo17_owing specific tasks in accordance with the aforementioned document. Where there is a conflict between any term of the proposal and any term set forth herein, the express provisions herein shall control. a. Identify all direct costs that are incurred by Aztec fox the City and others. At the minimum, .these costs will be itemized to the level of detail presented in thn City's LTF annual report for the Fiscal Year 1975-1976. b. •Determine how-these costs can best be segregated in Aztec's records on a continuing basis. ._ c. Identify all indirect expenses in functionally distinct cost pools. d. Determine a basis for relating each direct cost, by category, to a correlated unit of measure; e.g., "bus-hours, bus-miles, number of buses, etc. e. Determine a basis for allocating indirect costs to the City based on some measurable quantity which reflects the portion which the City's contract services are of the overall Aztec operation. -2- f. Consultant shall deliver a report which describes the steps and procedures to be followed by Aztec for com- piling and reporting the costs associated with providing service to the City. The report will include a brief narrative explaining the logic for selecting the indirect cost allocation method and a qualitative justification of the correlation between cost categories, for both the direct and the indirect costs, and the selected units of measure. The report wi7.l be in a format that will enable the City to implement the procedures with Aztec. The Consultant will deliver a draft copy of the report for review-and comment by the City within 30 days fo7.low- ing authorization to proceed. Within 15 days following the City's review of the draft report, the Consultant will incorporate the City's com- ments and tiaill deliver ten copies of the final report. 3. Work Space City shall provide Consultant's personnel with suitable work space in their offices and arrange for suitable work space in Aztec's offices. 4. Inspe~etion of Records City shall arrange with Aztec for the Consultants to inspect Aztec's accounting records. 5. Compensation Consultant shall complete all work for a sum not to exceed $4,000 plus out -of-pocket expenses not to exceed $400. Allowable out-of-pocket expenses are direct costs incurred in the performance of this assignment, including: o travel expenses; o meals; o lodging; o telephone charges; o postage; and o printing. -3- 6. Method of Payment On or' after delivery of the final report, the Consultant will submit an invoice for services provided, accompanied by relevant documentation of time expended by individual, corresponding hour by rates, and out-of-pocket expenses. After review and verification of the accuracy of the invoice and supporting documentation, the City ~~ril1 remit payment in full to the limits set forth in Section 5, above. 7. Consultant-Independent Contractor Consultant's relationship to City shall be that of an independent contractor. S. Consultant Hold Harmless Consultant will hold harrnless and indemnify City for any and all injury occurring to any employee of Consultant or to any third party occurring either on or off City property.
