RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA
VISTA APPROVING AGREEMENT BETWEEN THE CITY OF CHULA
VISTA AND ENGINEERING-SCIENCE, INC. FOR THE PREPARATION
OF THE PUBLIC WORKS FACILITY PLAN-PHASE II FOR THE CITY
OF CHULA VISTA
AND AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT
The City Council of the City of Chula Vista does hereby
resolve as follows:
NOW, THEREFORE, BE IT RESOLVED by the City Council of
the City of Chula Vista that that certain agreement between THE
CITY OF CHULA VISTA, a municipal corporation, and ENGINEERING-
SCIENCE, INC. for the preparation of the Public Works Facility
Plan-Phase II for the City of Chula Vista
dated the 16th day of August , 1988, a copy of which is
attached hereto and incorporated herein, the same as though fully
set forth herein be, and the same is hereby approved.
BE IT FURTHER RESOLVED that the Mayor of the City of
Chula Vista be, and he is hereby authorized and directed to
execute said agreement for and on behalf of the City of Chula
Vista.

AGREEMENT FOR ENGINEERING SERVICES
BETWEEN THE CITY OF CHULA VISTA
AND ENGINEERING-SCIENCE, INC.
CONSULTING ENGINEERING SERVICES
FOR A PUBLIC WORKS FACILITY PLAN - PHASE II
WHEREAS, the City of Chula Vista is in need of professional
engineering services to prepare the second phase of a Public Works Facility
Plan; and
WHEREAS, the City of Chula Vista has issued an invitation to
engineering firms throughout the State of California to submit their
Statement of Qualifications for review for performing the Phase I and Phase
II work; and
WHEREAS, the City evaluated the qualifications of ten firms and
interviewed five of these firms for possible selection; and
WHEREAS, the City enlisted the assistance of representatives from
other public agencies to assist in the interview process; and
WHEREAS, Engineering-Science, Inc. was selected for Phase I and
Phase II as the most qualified firm for the proposed project due to the
firm's successful completion of similar projects for other public clients.
NOW, THEREFORE, BE IT RESOLVED that the City of Chula Vista and
Engineering-Science, Inc., a consulting firm, do hereby mutually agree as
follows:
I. PARTIES
The parties to this agreement are the City of Chula Vista, a municipal
corporation (hereinafter referred to as "CITY"); and
Engineering-Science, Inc., a consulting firm (hereinafter referred to
as "CONSULTANT").
II. INTENT OF THE PARTIES
It is the intent of the CITY and CONSULTANT that CONSULTANT carry out
the attached Work Program and Project Schedule (ATTACHMENT "A"). It
is further the intent of the CITY that CONSULTANT coordinate his work
with Mr. Bud Gray, General Project Coordinator and other firms and
individuals contributing planning, transporation or other professional
services to the Public Works Facility Plan Project.
III. OBLIGATIONS OF THE CONSULTANT
CITY, pursuant to this agreement, hereby contracts with Engineering-
Science (CONSULTANT) to act in its behalf directly and indirectly and
in conjunction with CITY staff in carrying out the attached Work
Program and Project Schedule (ATTACHMENT 'A'). Consultant will
perform in accordance with the standard customarily provided by an
experienced and competent professional engineering organization
rendering the same or similar services.
IV. OBLIGATIONS OF THE CITY
CITY shall regularly consult with CONSULTANT for the purpose of
reviewing the progress of the Public Works Facility Plan project and
to provide direction and guidance to achieve the objectives of the
project. The CITY shall permit access to its office facilities, files
and records by CONSULTANT throughout the term of the contract.
V. ADMINISTRATION OF CONTRACT
The CITY hereby designates the Director of Public Works as the CITY's
representative in the review and administration of the work performed
by CONSULTANT, pursuant to the attached Work Program and Project
Schedule (ATTACHMENT 'A').
VI. PROJECT SCHEDULE AND COMPLETION DATES
The CITY hereby authorizes the Director of Public Works to administer
the Work Program and Project Schedule as contained in ATTACHMENT 'A'.
VII. TERM
This agreement shall become effective upon execution as authorized by
the Mayor of the CITY, or his designee, and shall terminate, if not
terminated pursuant to other provisions contained herein, or otherwise
extended by all parties, on March 1, 1989 .~
VIII. COMPENSATION ~
The compensation to be paid by CITY to CONSULTANT for Phase shall be
on a fixed price basis in the amount of One Hundred Two Thousand Seven
Hundred Dollars ($102,700.00) in accordance with ATTACHMENT 'B',
Schedule of Fees. Work program elements shall be completed by
CONSULTANT in accordance with the Work Program and Project Schedule,
(ATTACHMENT "A"). The Work Program and Schedule of Fees shall be used
by the CITY in determining the amount of work completed by CONSULTANT
and, therefore, the percentage of compensation to be paid by CITY to
CONSULTANT each month for work program elements completed. CITY
agrees to pay the total sum invoiced. and approved by the Director of
Public Works each month during the duration of this agreement.
IX. INTEREST OF CONSULTANT
CONSULTANT presently has not, nor will have during the term of this
contract, any business relationship wi~h any persons for firms doing
business within the Chula Vista sphere of influence area, as
identified in the City's December 1984 report, that would constitute a
conflict of interest.
X. HOLD HARMLESS
CONSULTANT agrees to defend, indemnify and hold harmless the CITY from
and against all liability, cost and expense (including without
limitation attorneys' fees) arising from loss of or damage to any
property whatsoever or injury to or death of any person whomsoever
caused or alleged to be caused or occasioned by the negligent act or
omission of CONSULTANT or any agent or employee of CONSULTANT arising
out of or in connection with this agreement or the work to be
performed by CONSULTANT hereunder, except to the extent such
liability, cost or expense is caused by the negligence of the CITY.
Consultant's liability hereunder will be limited to the proceeds
recovered from Consultant's insurance. Errors and omission insurance
coverage for the duration of the project shall include a $1,000,000
limit per claim and a $2,000,000 annual aggregate maximum.
XI · INSURANCE
CONSULTANT shall, throughout the duration of this Agreement, maintain
professional errors and omissions coverage with coverage of Five
Hundred Thousand Dollars ($500,000.00) and comprehensive general
liability and property damage insurance covering all operations
hereunder of CONSULTANT, its agents and employees including but not
limited to premises and automobile, with limits of One Million Dollars
($1,000,000.00) combined single limits. CONSULTANT, shall also carry
Worker's Compensations Insurance in the statutory amount and
~nployer's Liability coverage in the amount of $500,000. Evidence of
such coverage, in the form of a Certificate of Insurance and Policy
Endorsement which names the City as Additional Insured, shall be
submitted to the City Clerk at 276 Fourth Avenue. Said policy or
policies shall provide thirty (30) day written notice to the City
Clerk of the City of Chula Vista of cancellation or material change.
XII. ATTORNEYS FEES
In the event of any dispute between the parties, the prevailing party
shall recover its attorney fees, and any costs and expenses incurred
by reason of such dispute.
XIII. TERMINATION OF AGREEMENT FOR CAUSE
If, through any cause within CONSULTANT'S control, CONSULTANT shall
fail to fulfill in a timely and proper manner his obligations under
this agreement, or if CONSULTANT shall violate any of the covenants,
agreements, or stipulations of this agreement, CITY shall have the
right to terminate this agreement by giving written notice to
CONSULTANT of such termination and specifying the effective date
thereof at least five (5) days before the effective date of such
termination. In that event, all finished or unfinished documents,
data, studies, surveys, drawings, maps, reports, and other materials
prepared by CONSULTANT shall, at the option of the CITY, become the
property of the CITY, and CONSULTANT shall be entitled to receive just
and equitable compensation for any work satisfactorily completed on
such documents and other materials up to the effective date of notice
of termination, not to exceed the amounts payable under Paragraph VIII
hereinabove.
XIV. TERMINATION OF AGREEMENT FOR CONVENIENCE OF CITY
CITY may terminate this agreement at any time and for any reason by
giving specific written notice to CONSULTANT of such termination and
specifying the effective date thereof, at least thirty (30) days
before the effective date of such termination. In that event, all
finished and unfinished documents and other materials described in
Paragraph VIII hereinabove shall, at the option of the CITY, become
CITY's sole and exclusive property. If the agreement is terminated by
CITY as provided in this paragraph, CONSULTANT shall be entitled to
receive just and equitable compensation for any satisfactory work
completed on such documents and other materials to the effective date
of such termination. CONSULTANT hereby expressly waives any and all
claims for damages or compensation arising under this agreement except
as set forth in Paragraph VIII hereinabove in the event ofsuch
termination.
XV. ASSIGNABILITY
CONSULTANT shall not assign any interest in this agreement, and shall
not transfer any interest in the same (whether by assignment or
novation), without prior written consent of CITY. It is understood
that the firm of Leadshill-Herkenhoff, Inc. will be performing the
Drainage and Flood Control portion of the project as a subcontractor
to Engineering-Science, Inc.
XVI. OWNERSHIP, PUBLICATION, REPRODUCTION AND USE OF MATERIAL
All reports, studies, information, data, statistics, forms, designs,
plans, procedures, systems, and any other materials or properties
produced under this agreement shall be the sole and exclusive property
Of CITY. NO such materials or properties produced in whole or in part
under this agreement shall be subject to private use, copy rights, or
patent rights by CONSULTANT in the United States or in any other
country without the express written consent of CITY. CITY shall have
unrestricted authority to publish, disclose (as may be limited by the
provisions of the Public Act), distribute, and otherwise use,
copyright or patent, in whole or in part, any such reports, studies,
data, statistics, forms or other materials or properties produced
under this agreement.
INDEPENDENT CONTRACTOR
CITY is interested only in the results obtained and CONSULTANT shall
perform as an independent contractor with sole control of the manner
and means of performing the services required under this agreement.
CITY maintains the right only to reject or accept CONSULTANT's work
product(s). CONSULTANT and any of CONSULTANT's agents, employees, or
representatives are, for all purposed under this agreement, an
independent contractor, and shall not be deemed to be an employee of
CITY, and none of them shall be entitled to any benefits to which CITY
employees are entitled, including but not limited to, overtime,
retirement benefits, worker's compensation benefits, injury leave, or
other leave benefits.
XVIII. CHANGES
CITY may from time to time require changes in the scope of the
services by CONSULTANT to be performed under this agreement. Such
changes, including any change in the amount of CONSULTANT'S
compensation which are mutually agreed upon by CITY and CONSULTANT
shall be effective as amendments to this agreement only when in
writing.
XIX- RESPONSIBLE CHARGE
Consultant shall assign a project manager(s) to the project for the
duration of the project. No substitution for this position shall be
allowed without written approval from the CITY's Director of Public
works. The project manager for Engineering-Science, Inc. shall be
Jeffrey A. Olson.

SCOPE OF WORK
CITY OF CuuLAVISTA
P~ASE II - P~BLIC WORKS FACILITY PLAN
The work to be performed during this phase of the project will
include detailed engineering studies and further refinement of the Phase I
work for the chosen General Plan concept such that a comprehensive Public
Works Facility Plan can be developed. The final documents will contain
sufficient detail (not included in Phase I) for the City's engineering
staff to use for the orderly and cost-effective development of future
facilities.
WASTN~AI'~a MASTER PLANNING
This work element will involve the refinement and further detailing
of the Phase I work such that detailed major facility sizing and cost
estimates can be incorporation into the Master Plan. Tasks to be
accomplished are presented below:
Based on results of Phase I flow monitoring, review the potential
of infiltration and inflow to the existing system in suspected
problem areas.
Refine and finalize collection system hydraulics and facility
sizing
Review City of San Diego's Metro system capability, long-range
planning, and potential cost of treatment capacity and 0 & M to
Chula Vista
Evaluate cost-effectiveness of Chula Vista construction their own
treatment facility including reclamation as compared to obtaining
capacity from City of San Diego
o Identify reclamation objectives and general policy guideline
requirements for implementing reclamation within the sphere of
influence
~ Refine cost estimates from Phase I and develop new estimates for
detailed system layout as required

Evaluate phasing requirements of major facilities
Prepare mapping of existing system, recommended improvements and
others
Discuss results with City of Chula Vista and other agencies
Finalize recommendations
Provide copy of computer program to City; provide two (2) days
training to City staff and assistance in using program
DRAINAGE AND FLOOD CO~'~OLMAS'rMM PLANNING
The master planning effort for this phase of the work will involve
the finalization of the recommended facilities based on the selected land
use concept. During this phase, the hydraulic program used for the
analysis will be turned over to the City and the staff will be trained in
its use. The following tasks will be included:
Review Scenario 4 land use against previous scenarios
Update hydrology model to reflect final land use plan and perform
HEC-1 analysis
Prepare recommendations for main conveyance improvements through
each drainage basin. Pipe sizing and detention basin sizing and
placement will be based on the assumptions that developers will
not be allowed to free discharge and downstream existing
facilities in central Chula Vista will be a controlling constraint
Refine cost estimates from Phase I and develop new estimates for
the recommended improvements
Prioritize improvements for construction
Prepare maps showing recommendations and priorities
Discuss results with City of chula Vista and finalize
recommendations
e Provide copy of computer program to City; provide two (2) days
training to City staff in using the program
WATau~ MaS-rm~ PLANNING
It iS anticipated that the specific water master planning will be
performed by the separate water agencies a later date. The effort
included in this work element is, therefore, limited to finalizing
the previous calculations and identifying any water resource
conservation efforts the City should pursue. The work effort
includes the following:
o Finalize system demands and hydraulics for selected land use
concept
Review existing City water conservation efforts and make
recommendations where applicable
Review the desirability and options available for curtailing
development within the sphere of influence if the long term water
availability to the City can not be quantified or guaranteed
Discuss results with water agencies and City staff
o Finalize recommendations and mapping
SOLID AND BAZARDO~S WASTE CONTROL MAS-£z~ PLANNING
Similar to the water master planning, the solid and hazardous waste
control planning for Chula Vista will be provided by separate agencies at
a later date. These agencies would include the County of San Diego and
the State of California. As such, the Phase II portion of our work will
only address the possible legal and administrative aspects of the City
monitoring the control and disposal of the anticipated wastes.
~ Finalize waste estimates
Review adequacy of existing disposal sites and refine any
recommendations made in Phase I if appropriate
Review City's current practice and facilities relating to disposal
of hazardous wastes generated within the planning area
Obtain legal opinion and city's potential liability with respect
to hazardous waste transportation within their jurisdiction
Meet with City staff to discuss results
" Finalize Phase II work and mapping

MAS'rr~ PLAN REPORT PREPARATION
This work element would involve the preparation of the final
documents to be used by the City staff and would include text on the
methodology and base line data used for all analyses, summary of the
recommended facilities and associated costs, and appropriate mapping. Four
reports will be prepared addressing the specific areas of work. Upon
completion of this task the following "deliverables" will be turned over
to the City.
1. Wastewater Master Plan
2. Drainage and Flood Control Master Plan
3. Water Planning Study
4. Solid and Hazardous Waste Control Planning Study
These reports will vary in content and length depending on the level
of effort put into the analyses leading up to them as set forth
previously. The major subtasks are as follows:
Wastewater Master Plan
Prepare and submit Wastewater Master Plan Draft Report. Prepare
report outline, present investigations and analyses, prepare
descriptive maps, tables, figures, findings, conclusions,
recommendations and implementation plan. Edit, print, and bind
report for review by the City.
Set up review meetings with City staff, control agencies, and
others.
Prepare and submit Final Report. Respond to City comments on
draft report, complete figures, tables and maps, type edit, print,
and bind final report. Submit Final Report for review and
approval.
Obtain Council approval.
Deliver original copies of text and figures for reproduction by
City.

SPECIFIC EXCLUSIONS
The following items are specifically excluded from the scope of
services described previously.
Reproduction of reports and Appendices beyond the limits described
herein. Reproduction office (10) copies of the interim reports
and draft Public reports is included in the work plan. Volume
reproduction of the final reports beyond the 50 copies included in
our scope of work, if requested by the City, would be an added
cost billed on a cost plus fifteen (15) percent basis.
o Technical studies in addition to those described in the work
program
o Meetings with other consultants, City staff, and City Council in
excess of the 40 hours included in the work plan
