RESOLUTION NO. 8501
RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA
VISTA APPROVING REAL PROPERTY CONTRACT AND AGREEP~'IENT
ACCEPTING GRANT DEED FOR EDGEP~IERE AVENUE RIGHT OF
WAY FROM VISTA•HILL PSYCHIATRIC FOUNDATIOPd, AND
AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT
The City Council of the City of Chula Vista does hereby
resolve as follows:
NOW, THEREFORE, BE IT RESOLVED that that certain agreement
between THE CITY OF CHULA VISTA, a municipal corporation, and VISTA
HILL PSYCHIATRIC FOUNDATIOI`d, accepting Grant Deed for Edgemere Avenue
right of way, dated the 17th day of January, 1977, a copy of which
is attached hereto and incorporated herein, the same as though
fully set forth herein be, and the same is hereby approved.
BE IT FURTHER RESOLVED that the Mayor of the City of Chula
Vista be, and he is hereby authorized and directed to execute said
agreement for and on behalf of_ the City of Chula Vista.
BE IT FURTHER RE50LVED that the City Council does hereby
accept that certain Grant Deed, attached to said agreement, and
marked as Exhibit "A" conveying to the City of Chula Vista parcels
no. 74-2488A and 74-2488B-1.
BE IT FURTHER RESOLVED that the City Council hereby autho-
rizes the conveyance of the parcel described in Exhibit "B" attached
to the Real Property Contract and Agreement upon completion and
acceptance of the project by the City Council to Vista Hill Psychia-
tric Foundation and authorizes the r4ayor to execute the document
conveying said parcels to Vista Hill Psychiatric Foundation.
BE IT FURTHER RESOLVED that the City Council does hereby
authorize the release of lien in the amount of $8,200 recorded in
file/page 77138, series 9, book 1968, on r4ay l8, 1968 in the official
records of the San Diego County Recorder.

RECITALS
1. That the City of Chula Vista and the County of San Diego agreed
to acquire right of way on Edgemere Avenue iii the City of Chula
Vista in accordance with a joint agreement dated biay 22, 1973.
2. That the City of Chula Vista and the Vista Hill Psychiatric
Foundation, a Corporation, agreed that said Foundation would
delay installation of improvements on Edgemere Avenue in
accordance with an agreement dated February 19, 1968, and
adopted as Resolution #4713 on that date by the City of Chula
Vista City Council. The agreement required Vista Hill Psy-
chiatric Foundation to install 1031 lineal feet of improvements
including curb, gutter, sidewalk, and 8 foot tividth of pavement.
3. That the City of Chula Vista requires property and interests
located on Edgemere Avenue owned by the Vista Bill Psychiatric
Foundation valued at $29,500.
4. That the construction obligation contained in the agreement
between the City of Chula Vista and the Vista Hill Psychiatric
Foundation is estimated to be $27,100. The City agrees to
complete the improvements mentioned in paragraph 2 above
consisting of curb, gutter, sidewalk and pavement within two
years after approval and acceptance of this contract by the
.Chula Vista City-Council.
5. That the value of a remnant of land excess to the Edgemere Avenue
City of Claula Vista project, GT-58, is estimated to be $2,600.
6. That it appears that the most expeditious manner for the City of
Chula Vista to acquire the property required as described in
Exhibit A from the Vista Hill Psychiatric Foundation, is for
said Foundation to deed the required property to the City of
Chula Vista in exchange for cancellation of the agreement #4713
and for the City of Chula Vista to convey the excess parcel
as described in Exhibit B, to the Vista Hill Psychiatric Foundation
after construction is completed on project #GT-58.

A Grant Deed in the form attached hereto as Exhibit A and made
a part hereof, has been executed and delivered to James F. Meyers,
Jr., Real Property Agent of the County of San Diego, hereinafter
called County, for acceptance by the City Council of the City of
Chula Vista, hereinafter called City.
In consideration of which, and other considerations hereinafter
set forth, it is mutually agreed as follows:
1. The performance of this agreement constitutes the entire
consideration for said document and shall relieve the City
and County of all further obligation or claims on this account,
or on account o_f the location, grade, construction or operation
of the proposed public improvement.
2. The City shall:
A. Convey the property described in Exhibit B to Vista Hill
Psychiatric Foundation and shall rescind the City of Chula
Vista City Council Resolution ~~4713, dated February 19,
196$, requiring grantor to install certain improvements,
upon completion of the road project GT-58 and after title
to said property as described in Exhibit A vests in the
City free and clear of all liens, encumbrances, assessments,
easements and leases (recorded and/or unrecorded), and
taxes, except:
(1) Taxes for the fiscal year in which this escrow closes
which shall be cleared and paid in the manner required
by Section 4986 of the Revenue and Taxation Code, if
unpaid at the close of escrow.
(2) Exceptions ?~1os. 2, 3, 4, 6, 7, 8, 9, 10 and 13 set
forth in Title Report No. 97$533 dated October 9,
1974, issued by Title Insurance and Trust Company.
B. Pay all escrow and recording fees incurred in this trans-
action, and, if title insurance is desired by the City
the premium charged therefor. Said escrow and recording
charges shall not, however, include reconveyance fees,
trustees fees, or forwarding fees for any full recoxzveyance
of deed of trust or full release of mortgage; nor shall
said charges include pre-payment penalties.

C. At no expense to grantor, and at time of construction,
construct two driveway approach(«:s) connecting existing
driveway(s) if any, to the new roadway. The construction
of the driveway approaches shall include grading, asphalt
paving, and concrete driveway returns. It is understood
and agreed that upon completion of construction of any
driveway approaches, such approaches shall be considered
as an encroachment under Permit upon the City road and is
to be maintained, repaired, and operated as such by grantors
in accordance with and subject to all laws and rules of the
city.
At no expense to grantor, relocate sewer laterals as
necessary to continue sewer service.
3. Permission is hereby granted the City, or its authorized agent
to enter upon grantor's land, where necessary, for purposes of
relocating, constructing or connecting any existing driveways
as hereinabove mentioned, and to reconstruct sewer laterals as
necessary.
4. Grantor warrants there are no delinquent taxes due on the
property conveyed in accordance with this contract.
5. Grantor warrants that there are no oral or written leases on
all or any part of the property exceeding a period of one
month, and the grantor agrees to hold the City harmless and
reimburse the City for any and all of its losses and expenses
occasioned by reason of any lease o-f said property held by any
tenant of grantor for a period exceeding one month.
6. The undersigned grantor hereby agrees and consents to the
dismissal of any eminent domain action in the Superior Court
wherein the herein described land is included and also waives
any and all claims to any money that may be on deposit in said
action.

No consideration other than that set forth herein will be honored.
