Between the City of Chula Vista and Aztec Bus Lines

ITEM EXPLANATION
The current agreement between the City and Aztec Bus Lines contains a pro-
vision which enables the Bus Company to collect windfall profit if the cost
of operation is overestimated. The attached amendment modifies that pro-
vision to enable the City to recapture excess payments to the Bus Company
as identified by an independent audit.
Section 10 (Payment and Fare Revenue Agreement) of the current agreement
stipulates: "It is agreed that the City will pay $.70 per mile for an
estimated mileage of 376,800 for Monday through Sunday bus service." The
$.70 unit cost was arrived at by estimating individual line item costs for
the year of operation based on the anticipated level of service. These costs
totaled $252,620, a unit cost of $.67 per mile. To this was added a per
mile profit of $.03, bringing the total cost per mile to $.70. The total
payment to Aztec for the Fiscal Year 1976-77 will be $263,920. In the
event that the cost of operation is lower than the estimated $252,620, the
difference between the actual cost of operation and the estimated cost of
operation will become additional profit to the Bus Company since there is
no recapture agreement in the current contract.
Staff has discussed this problem with representatives of the Bus Company
and they have agreed that it would be equitable for a provision by which
the City can recapture the major portion of overestimated costs to be
included in the current contract and that an amendment to the present agree-

ment is acceptable. In return, Staff agree that a mechanism whereby the
bus company can be rewarded for effective cost control should also be
included as part of the amendment. The proposed changes are limited to
the provisions of Section 10 and are shown on the attached Twelfth Amend-
ment to the Agreement between the City and Aztec Bus Lines. The major
element of the revised Section 10 is the introduction of the City's
right to recapture excess payments to the Bus Company.
The revised section also includes a mechanism, based on the difference
between estimated cost and audited cost, to pay the Bus Company an incen-
tive bonus in the event that actual costs are lower than estimated costs.
This incentive bonus would not be large since it would be paid in addition
to the agreed upon fixed profit to the Bus Company. For example, if,
under the current contract, the Bus Company had cost savings of $10,000
the incentive payment would be $447.47. The net effect is that the
bonus mechanism pays double profit on saved costs.
The attached proposed revision to Section 10 of the current contract is
necessary in order to remove the possibility of excessive profit to the
Bus Company for the current fiscal year.
