SUMMARY
On April 20, 2010, per Resolution 2010-088, the City of Chula Vista approved entering into a
Memorandum of Understanding (MOU) with SANDAG for the purpose of conducting a Light
Rail Trolley Improvement Study (LRT Study) within Chula Vista. The MOU provided that
SANDAG will be the lead agency and defines roles and obligations for firnding. The termination
date for this MOU was initially set to be December 31, 2011. Due to recent completion of the
first phase of the Interstate-5 Multi-modal comdor study and pending Caltrans approval for an
authorization to proceed with the LRT Study, tonight's Council action is to amend the current
MOU with SANDAG for the purpose of extending the termination date to September 30, 2012.
ENVIRONMENTAL REVIEW
The Director of Development Services has reviewed the proposed activity for compliance with
the California Environmental Quality Act (CEQA) and has determined that the activity qualifies
for a Class 6 categorical exemption pursuant to Section 15306 [Information Collection] of the
State CEQA Guidelines, because the proposed action is strictly for information gathering
purposes which will result in the prepazation of an engineering pre-design study potentially
leading to an action the City of Chula Vista has not yet approved, adopted or funded. Thus, no
further environmental review is necessary.
RECOMMENDATION
Council adopt the resolution.

DISCUSSION
On April 20, 2010, the City Council approved Resolution 2010-088 approving a Memorandum
Of Understanding (MOU) with the San Diego Association of Governments for the purpose of
conducting a Light Rail Trolley Study (LRT Study) (See Attachment 1). This LRT Study could
not commence until the larger planning level study; the Interstate-5 "South" Multi-modal
Corridor Study (I-5 MM Study) was completed. The I-5 MM Study was prepared by SANDAG
and the City of Chula Vista, in collaboration with Caltrans District 11. The study analyzed a
variety of conceptual alternatives for multimodal improvements along I-5 between State Route
54 (SR-54) and Main Street within the City of Chula Vista and includes a conceptual strategy for
implementation of future multimodal transportation improvements within the I-5 South Corridor
that are part of the SANDAG 2050 Regional Transportation Plan (2050RTP).
The I-5 MM Study was completed on December 27, 2010 and is available on the SANDAG

Now that SANDAG and Chula Vista staffs are ready to commence work on the LRT Study, the
drafr MOU (Exhibit A) between the two agencies needs to be revised to make minor revisions
such as extending the initial completion date from December 31, 2011 to September 30, 2012.
The original MOU did not allow for revisions to be made and that is the purpose of tonight's
action. This MOU will also be presented to the SANDAG Transportation Committee on Friday
June 17, 2011 for approval. There is no appropriation needed since this project is fully funded in
the Capital Improvement Program as STM-361 and is listed in the Regional Transportation
Improvement Plan (RTIP) as project CHV-30 (Attachment # 2).
As a background to this item, the City and San Diego Association of Governments (SANDAG)
desire to participate in a study to update improvement costs for the at-grade light rail and railroad
crossings. In a letter dated Mazch 29, 2010 (Attachment 3), SANDAG has expressed a
commitment in cosponsoring with Chula Vista and utilizing SANDAG's on-call consultant list.
SANDAG already has consultants that have the necessazy experience needed to conduct this
LRT Study and that will save the City both time and money in not having to go through the
Request For Proposal process. In addition, SANDAG and the Metropolitan Transit System are
the regional planning agency and operator for the San Diego Trolley so it makes sense that their
on-call consultant list be utilized.
This study will be performed as a technical analysis and will supplement the initial Caltrans,
SANDAG and Chula Vista program level I-5 MM Study that evaluated needed improvements in
and adjacent to the I-5 Corridor between Main Street interchange and SR-54. The I-5 MM Study
that was recently completed by AECOM (consultant) made planning level recommendations that
are incorporated into the SANDAG draft 2050 Regional Transportation Plan (2050 RTP). The
2050 RTP is now out fox public review and will be adopted by the region later this calendaz yeaz.
At a project program level, this I-5 Multi-Modal Corridor Study determined the ultimate

improvements needed for the four-mile long I-5 corridor that includes the freeway, the railway
corridor, local street crossings and under-crossings within the City of Chula Vista.
Three LRT grade separation projects are also recommended in Chula Vista at E Street, H Street
and Palomaz Street. SANDAG has also approved a Rail Grade Crossing Evaluation Summary
that was approved by the SANDAG Transportation Committee on October 16, 2009 (Attachment
4). In this summary, the Palomaz Street LRT crossing is ranked # 4 in the region with H Street
ranked # 5 and E Street ranked # 6 out of 27 at-grade locations studied.
The LRT Study project lies entirely within the jurisdiction of the City of Chula Vista but within
the railroad right-of--way. Assistance and coordination on a regional level is required of
SANDAG. SANDAG staff with LRT/heavy rail expertise will also be part of the project team.
The Transportation, Community, and System Preservation (TCSP) Program funds will be used to
conduct a more refined study to determine specific design features and profiles of grade
sepazation. Due to the nature of the scope of work, visual simulations at each of the locations
will also be completed with this LRT Study to show both a rail over-crossing scenario and an
under-crossing scenazio for each location. Station location and layout alternatives will also be
discussed as well as detailed cost estimates.
The total cost of the LRT study is $400,000, of which $300,000 is for SANDAG's on-call
consultant and visual simulation work with Source Point. The City of Chula Vista will reimburse
SANDAG a maximum of $50,000 for the SANDAG administration costs for this LRT Study.
City of Chula Vista staff costs are $50,000. There aze sufficient funds in CIP #STM-361 so no
appropriation is needed.
The costs for each of these crossings would be updated to a preliminary engineering-level
estimate as well as the project limits for each of the crossings. One consideration to be evaluated
is at the E Street Transit Station. If during redevelopment of the area this station's loading
platform is moved further south towazds F Street, then the at-grade crossing at F Street may also
have to be grade separated. In addition, this study would help identify critical design elements
that would impact construction costs and update the WTDIF (Western Transportation
Development Impact Fee) Program.
FUNDING
Over the past several yeazs, City staff has been working with Congressman Filner regarding
additional funding to prepare a preliminazy study for the ultimate improvements needed along
the Interstate-5 corridor and as such staff was successful in obtaining $1,987,200 in SAFETEA-
LU funds for the I-5 corridor. Subsequently, on November 4, 2008, per Resolution 2008-253,
the City Council accepted the SAFETEA-LU funds and approved an MOU with SANDAG to
conduct the I-5 Multi-modal Corridor Study. Afrerwazds, staff obtained an additional $222,300
in TCSP funds for the LRT Study. Subsequently, on September 15, 2009, per Resolution 2009-
220, the City Council accepted the TSCP funds for the LRT Study. Since the LRT Study is an
integral element in completing the I-5 multi-modal corridor study, SANDAG, Caltrans and City
staff have agreed to combine the SAFETEA-LU and TCSP funds to cover the costs of both
studies since it is within the same study area. The City Council has already appropriated
$556,175 (20.11%) per Resolution 2009-220, in the STM-361 project account with sufficient

TransNet funds in order to match the 20% minimum local fund match as required by the
SAFETEA-LU and TCSP programs.
As of today, the current budgeted funds for Project STM-361 (SANDAG RTIP # CHV30)
includes $556,175 in TransNet funds, $1,987,200 in Federal SAFETEA-LU funds, and $222,300
in TCSP funds for a total of $2,765,675. The table below shows the project funding available:

Staff and SANDAG estimated the total cost for LRT Study would be $400,000. This amount
includes $300,000 for consultant services, $50,000 SANDAG administrative costs and $50,000
Chula Vista staff time. Based on the project budget, there are sufficient funds available for this
new scope of work.
As was previously mentioned, staff estimated that each rail grade separation project, including
station renovation/reconstruction might cost upwards of $40 million. It is imperative that the
design elements and potential construction impediments be identified early in the process so that
decisions can be made to minimize construction costs. With at least three grade separation
projects being considered and possibly more, this would represent a future construction cost for
the local agency, region, State and Federal agencies of approximately $120 million.
This effort will result in preliminary engineering and estimates but does not include an
environmental document or construction. Staff intends to utilize any remaining local and Federal
funds to try to advance the environmental and design portion of the initial priority list of
project(s). It is anticipated that this phase of work for the LRT Study will be commenced by July
2011 and be completed by mid-next year with LRT Study project close out occurring prior to the
September 30, 2012 TCSP funding recession date.
DECISION MAKER CONFLICT
Staff has reviewed the property holdings of the City Council and has found a conflict exists, in
that Councilmember Ramirez has property holdings within 500 feet of the boundazies of the
property which is the subject of this action.
CURRENT YEAR FISCAL IMPACT
There is no impact to the General Fund. The City already transferred $556,175 to STM-361
account per Resolution 2008-253 and Resolution 2009-220, using TransNet fund to match the
20% minimum local fund as required by the SAFETEA-LU and TSCP programs. The Federal
funds are reimbursed as invoices aze submitted and approved by Caltrans. Per Attachment # 2,
staff has process the RTIP amendment for CHV30 with SANDAG as part of the next RTIP
update.

RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
CHULA VISTA APPROVING A MEMORANDUM OF
UNDERSTANDING WITH THE SAN DIEGO ASSOCIATION
OF GOVERi~IMENTS FOR THE PURPOSE OF CONDUCTING
LIGHT RAIL TROLLEY IMPROVEMENT STUDY WITHIN
THE INTERSTATE 5 ([-5) MULTI MODAL CORRIDOR
WHEREAS, on September 15, 2009, per Resolution No. 2009-220, Chula Vista
originally accepted a grant of $237,000 from the Transportation, Community, and System
Preservation (TCSP) Program for a Light Rail Trolley Improvement Study (LRT Study); and
WHEREAS, the Chula Vista TCSP grant application estimated the LRT Study to cost
$300,000 with grant funds to be $237,500 (79%) and a local match of $62,500 (21%); and
WHEREAS, on October 15, 2009, the Federal Highway Administration (FHWA)
reduced the TCSP grant amount for the LRT Study to $222,300; and
WHEREAS, on September I5, 2009, per Resolution No. 2009-220, Chula Vista has
appropriated said grant funds to existing Capital Improvement Project STM361, Interstate 5
Multi Modal Corridor Improvement Study and authorized an interproject transfer from existing
CIP, STL298 to STM361 in the amount of $16,175 as necessary to meet the minimum local
match requirement of 20%; and
WHEREAS, the LRT Study is of regional importance to the Metropolitan Transit System
(MTS), the California Department of Transportation (Caltrans), Chula Vista, San Diego
Association of Governments (SANDAG), and the public as it is expected to provide updated
improvement costs for LRT improvements intended to reduce delays attributed to traffic
congestion, increase the capacity of the San Diego Trolley, and improve mobility, goods
movement, and safety; and
WHEREAS, SANDAG will be the lead agency and administer the LRT Study in
cooperation with Chula Vista, MTS, and Caltrans; and
WHEREAS, SANDAG intends to utilize its on-call engineering services consultants to
complete the LRT Study as described in this Memorandum of Understanding (MOU); and
WHEREAS, funding for the LRT Study from the federal discretionary funds will be paid
to Caltrans via a Federal Fund Transfer Agreement (FFTA), and Chula Vista and Caltrans intend
to enter into an agreement to authorize Caltrans to reimburse SANDAG for all Study costs from
funds provided by the FFTA; and
WHEREAS, since each rail grade separation project estimated to cost around $30
million, it is imperative that the design elements and potential construction impediments be
identified eazly in the process so that decisions can be made to minimize construction costs; and

WHEREAS, this TCSP grant will be used to determine specific design features for future
light rail trolley grade sepazation projects within the City of Chula Vista such as at E Street, H
Street and Palomaz Street; and
WHEREAS, with at least three grade separation projects being considered and possibly
more, this would represent a future construction cost for the local agency, region, State and
Federal agencies azound $90 million; and
WHEREAS, the parties wish to memorialize their agreement in this MOU to carry out
the purposes set forth above.
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Chula
Vista does hereby approve a MOU with the SANDAG for the purpose of conducting a Light Rail
Trolley Improvement Study within the I-5 Multi Modal Comdor.

Please accept this letter as SANDAG's commitment to serve as a co-sponsor
with the City of Chula Vista (City) to conduct a light rail trolley improvement

As outlined in the contingent Memorandum of Understanding between the
City and SANDAG for the project, both agencies have agreed to utilize the
contracts SANDAG has with on-calf engineering, consultants for a portion of
the_ Study effort. The SANDAG on-call consultant list was developed in
conformance with Chapter 10 of the "Local Assistance Procedures Manual,"
LPP 06-02.

BETWEEN SAN DIEGO ASSOCIATION OF GOVERNMENTS
AND THE CITY OF CHULA VISTA
REGARDING LIGHT RAIL TROLLEY IMPROVEMENT STUDY
This Memorandum of Understanding ("MOU") is made and entered into effective as of this
day of , 2011, by and between the San Diego Association of Governments ("SANDAG") and
the City of Chula Vista ("Chula Vista") for the purpose of working cooperatively on a Light Rail Trolley
Improvement Study. Individually, SANDAG and Chula Vista may be referred to as "Party" and collectively
as "Parties."
RECITALS
The following recitals are a substantive part of this MOU:
WHEREAS, Chula Vista has accepted a grant of $237,500 from the Transportation, Community,
and System Preservation (TCSP) Program for a Light Rail Trolley Improvement Study (Study); and
WHEREAS, on October 15, 2009, the Federal Highway Administration (FHWA) reduced the
TCSP grant amount to $222,300; and
WHEREAS, Chula Vista has appropriated said grant funds to existing Capital Improvement
Project STM361, Interstate 5 Multimodal Corridor Improvement Study and authorized an interproject
transfer from existing CIP STL298 to STM361 in the amount of $16,175 as necessary to meet the
minimum local match; and
WHEREAS, the LRT Study will cost $400,000 and will be funded with TCSP grant funds and
Chula Vista local match funds; and
WHEREAS, the LRT study is part of the I-5 multimodal corridor study which is included in the
Regional Transportation Improvement Program (RTIP) as project CHV30; and
WHEREAS, the Study is of regional importance to the Metropolitan Transit System (MTS), the
California Department of Transportation (Caltrans), Chula Vista, SANDAG, and the public as it is
expected to reduce delays attributed to traffic congestion, increase the capacity of the Trolley, and
improve mobility, goods movement, and safety; and
WHEREAS, SANDAG will be the lead agency and administer the Study in cooperation with Chula
Vista, MTS, and Caltrans; and
WHEREAS, SANDAG intends to utilize its on-call engineering services consultants to complete
the Study as described in this MOU; and
WHEREAS, funding for the Study from the federal discretionary funds will be paid to Caltrans via
a Federal Fund Transfer Agreement (EFTA), and Chula Vista and Caltrans intend to enter into an

agreement to authorize Caltrans to reimburse SANDAG for all Study costs from funds provided by the
FFTA; and
WHEREAS, the Parties wish to memorialize their agreement in this MOU to carry out the
purposes set forth above;
AGREEMENT
follows:
NOW THEREFORE, in consideration of the mutual promises set forth herein, the parties agree as
1. The purpose of this project is to develop geometric alternatives for constructing grade separations
as well as relocating the Trolley station platforms at the E Street, H Street, and Palomar Street
grade crossings. The report shall include considerations for at grade, aerial, and depressed Trolley
platform locations. An alternative to grade separate E, F, and H Streets as one project will also be
studied and considered. Visual simulations will be prepared for each of the various alternatives.
Alternative rail and street profiles, station location alternatives, preliminary station layout plans, and
detailed cost estimates will also be developed. The report will be prepared with input from and in
cooperation with the Metropolitan Transit System, Caltrans, The City of Chula Vista, and SANDAG.
2. The budget for the Study shall not exceed $350,000; however, in the event that SANDAG notifies
Chula Vista that this amount will be exceeded, Chula Vista will meet with SANDAG to discuss
whether an amendment to this MOU is appropriate. In no event shall
SANDAG have the responsibility to move forward with the Study until the parties are able to identify
sufficient funds to complete the work.
3. SANDAG shall receive and amount not to exceed $350,000 as reimbursement for Study costs. All
expenses incurred by SANDAG for the Study, including consultant costs, claims, litigation, or other
liability, shall be reimbursed by Chula Vista.
4. The funds for the Study shall be expended as follows:
a. An amount not to exceed $300,000 for consultant services, including SANDAG administrative
costs from funds authorized in the FFTA.
b. An amount not to exceed $50,000 as consultant contract contingency from funds authorized
in the FFTA.
5. SANDAG shall use one or more of its existing on-call engineering consultants to perform work on
the Study. Chula Vista shall pay the consultant expenses in the amount identified in Sections 2 a.
and 2 b. and in the manner described in Section 5.
6. SANDAG shall invoice Chula Vista no more than once per month. Chula Vista shall authorize
Caltrans to make payment to SANDAG within 15 days of receipt of an invoice submitted by
SANDAG for Study costs. Chula Vista's separate agreement with Caltrans authorizing payment to
SANDAG for Study costs from the FFTA shall include an invoice approval process that calls for
reimbursement to SANDAG within 30 days of SANDAG's submission of an invoice to Chula Vista.
SANDAG shall have no obligation to perform under this MOU and shall not assign work to any of its

consultants on the Study until after the agreement between Chula Vista and Caltrans is executed
authorizing payment to SANDAG. SANDAG may terminate work on the Study if it is not reimbursed
by Caltrans or Chula Vista within 30 days of submitting an invoice.
7. Chula Vista agrees to provide staff support and cooperation on the Study, including, but not limited
to, any staff support or cooperation needed to defend any claims or litigation that may arise on the
Study.
8. During the term of this MOU, the Parties shall be responsible for the storage and maintenance of
their respective electronic data collected for use on the Study. The Parties shall provide a secure
site to allow access to this data to selected staff who shall be designated by the respective Party.
All work products resulting from this MOU and consultant deliverables shall be the joint property of
Chula Vista, SANDAG, Caltrans, and MTS.
9. Neither Chula Vista nor any officer thereof is responsible for any damage or liability occurring by
reason of anything done or omitted to be done by SANDAG under or in connection with any work,
authority, or jurisdiction delegated to SANDAG under this MOU. It is understood and agreed that,
pursuant to Government Code Section 895.4, SANDAG shall fully defend, indemnify, and save
harmless Chula Vista, all officers and employees from all claims, suits, or actions of every name,
kind, and description brought for or on account of injury (as defined in Government Code Section
810.8) occurring by reason of anything done or omitted to be done by SANDAG under or in
connection with any work, authority, orjurisdicticn delegated to SANDAG under this MOU.
10. Neither SANDAG nor any officer thereof is responsible for any damage or liability occurring by
reason of anything done or omitted to be done by Chula Vista under or in connection with any work,
authority, or jurisdiction delegated to SANDAG under this MOU. It is understood and agreed that,
pursuant to Government Code Section 895.4, Chula Vista shall fully defend, indemnify, and save
harmless SANDAG, all officers and employees from all claims, suits, or actions of every name,
kind, and description brought for or on account of injury (as defned in Government Code Section
810.8) occurring by reason of anything done or omitted to be done by Chula Vista under this MOU.
11. That all obligations of SANDAG under the terms of this MOU are subject to the appropriation of the
required resources by SANDAG and the approval of the SANDAG Board of Directors or
Transportation Committee.
12. Any notice required or permitted under this MOU may be personally served on the other party, by
the party giving notice, or may be served by certified mail, return receipt requested, to the following

13. That unless it is amended by the Parties in writing, this MOU shall terminate on September 30,
2012, or on such earlier or later date as the Parties may agree to in writing.

14. The indemnification provisions of this MOU shall survive termination of the MOU.
15. This MOU shall be interpreted in accordance with the laws of the State of California. If any action is
brought to interpret or enforce any term of this MOU, the action shall be brought in a state or
federal court situated in the County of San Diego, State of California.
16. All terms, conditions, and provisions hereof shall inure to and shall bind each of the Parties hereto
and each of their respective heirs, executors, administrators, successors, and assigns.
17. For purposes of this MOU, the relationship of the Parties is that of independent entities and not as
agents of each other or as joint venturers or partners. The parties shall maintain sole and exclusive
control over their personnel, agents, consultants, and operations.
18. No alteration or variation of the terms of this MOU shall be valid unless made in writing and signed
by the Parties hereto, and no oral understanding or agreement not incorporated herein shall be
binding on any of the Parties hereto.
19. Nothing in the provisions of this MOU is intended to create duties or obligations to or rights in third
Parties to this MOU or affect the legal liability of the Parties to this MOU to third parties.
20. This MOU may be executed in any number of identical counterparts, each of which shall be
deemed to be an original, and all of which together shall be deemed to be one and the same
instrument when each Party has signed one such counterpart.
21. This Agreement shall be deemed executed on the date on which the last Party signs this MOU.

STUDY AND AUTHORIZING THE DIRECTOR OF PUBLIC
WORKS TO EXECUTE THE MOU
WHEREAS, on September 15, 2009, per Resolution 2009-220, Chula Vista accepted a
grant of $237,000 from the Transportation, Community, and System Preservation ("TCSP")
Program for a Light Rail Trolley Improvement Study ("LRT Study"); and
WHEREAS, the Chula Vista TCSP grant application estimated the LRT Study to cost
$300,000 with grant funds to be $237,500 (79%) and a local match of $62,500 (21%); and
WHEREAS, on October 15, 2009, the Federal Highway Administration ("FHWA")
reduced the TCSP grant amount for the LRT Study to $222,300; and
WHEREAS, on September 15, 2009, per Resolution 2009-220, Chula Vista appropriated
said grant funds to existing Capital Improvement Project STM361, Interstate 5 Multimodal
Corridor Improvement Study and authorized an interproject transfer from existing CIP STL298
to STM361 in the amount of $16,175 as necessary to meet the minimum local match requirement
of 20%; and
WHEREAS, on April 20, 2010, per Resolution 2010-088, Chula Vista approved a
Memorandum of Understanding ("MOU") with SANDAG for the purpose of conducting a Light
Rail Trolley Improvement Study ("LRT Study"); and
WHEREAS, due to certain intervening events, the City and SANDAG did not execute
the approved MOU; and
WHEREAS, SANDAG has provided the City with an updated version of the MOU for
approval and execution; and
WHEREAS, the MOU identifies SANDAG as the lead agency and provides that it will
administer the LRT Study in cooperation with Chula Vista, MTS, and Caltrans; and
WHEREAS, SANDAG intends to utilize its on-call engineering services consultants to
complete the LRT Study as described in this MOU; and
WHEREAS, funding for the LRT Study from the federal discretionary funds will be paid
to Caltrans via a Federal Fund Transfer Agreement (FFTA), and Chula Vista and Caltrans intend

to enter into an agreement to authorize Caltrans to reimburse SANDAG for all Study costs from
funds provided by the FFTA; and
WHEREAS, as part of the LRT Study, at least three rail grade separation projects,
possibly more, will be considered; and
WHEREAS, as each rail grade separation project and commensurate transit station
improvements are estimated to cost approximately $40 million, representing a future
construction cost for the local agency, region, State and Federal agencies of approximately $120
million, it is imperative that the design elements and potential construction impediments be
identified early in the process, so that decisions can be made to minimize construction costs; and
WHEREAS, the TCSP grant will be used to determine specific design features for future
light rail trolley grade separation projects within the City of Chula Vista such as at E Street, H
Street and Palomaz Street; and
WHEREAS, it was necessary to complete the Interstate-5 Multi-modal Corridor Study,
prior to the commencement of the LRT Study; and
WHEREAS, the Interstate-5 Multi-modal Corridor Study was just recently completed on
December 27, 2010; and
WHEREAS, if executed, the term of the previously approved MOU would have ended on
December 31, 2011; and
WHEREAS, if the previously approved MOU is now executed, the City and SANDAG
would have insufficient time to complete the LRT Study; and
WHEREAS, the new MOU has some minor changes from the previously approved, but
unexecuted, MOU, of which the most important is the extension of the term of the MOU from
December 31, 2011 to September 30, 2012.
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Chula
Vista does hereby approve the Memorandum of Understanding Between the San Diego
Association of Governments and the City Of Chula Vista Regarding Light Ra'1 Trolley
Improvement Study and authorize the Director of Public Works to execute the MOU~
