HomeMy WebLinkAboutReso 1983-11163 RESOLUTION NO. 11163 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA VISTA APPROVING AGREEMENT BETWEEN THE CITY OF CHULA VISTA AND MR. CLAY GINGERICH TO BE THE CITY'S RESIDENT INSPECTOR AND CLERK OF THE WORKS FOR THE TOWN CENTRE PARKING STRUCTURE CONSTRUCTION PROJECT AND AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT The City Council of the City of Chula Vista does hereby resolve as follows: WHEREAS, the City of Chula Vista has entered into agreements to construct a parking structure in the Town Centre Focus Area; and WHEREAS, the City of Chula Vista requires that certain building codes and testing procedures be adhered to in the construction of the structure; and, WHEREAS, the Clerk of the Works/Resident Inspector is the _ position required to enable the adherence to certain building codes and testing procedures; and, WHEREAS, Mr. Gingerich was selected by competition with other individuals and firms upon the basis of quoted price and quality of experience. NOW, THEREFORE, BE IT RESOLVED that the Mayor of the City of Chula Vista execute the attached agreement mentioned herein as though fully set forth with Mr. Gingerich for the valuable consideration not to exceed ~20,300, notwithstanding the length of the project should the project exceed the estimated seven (7) month duration, to provide inspection and clerking services for the Town Centre Parking Structure proposal. DATED (seal) City Clerk CC-660 EXHIBIT C AGREEMENT FOR PROJECT REPRESENTATIVE FOR THE TOWN CENTRE PARKING STRUCTURE THIS AGREEMENT, made and entered into in the City of Chula Vista, California, this 1st day of February, 1983, by and between the CITY OF CHULA VISTA, a municipal corporation, hereinafter referred to as "CITY," and MR. CLAY GINGERICH, 768 Riverlawn Avenue, Chula Vista, California 92010, hereinafter referred to as "PROJECT REPRESENTATIVE"; WITNESSETH: WHEREAS, the City, during the construction of the Chula Vista Town Centre Parking Structure, requires the services of an inspector and qualified professional to perform various services during said construction; and WHEREAS, MR. CLAY GINGERICH, is an individual who holds the necessary training and State licensing to perform the services listed below. NOW, THEREFORE, in consideration of the mutual promises and upon the terms and conditions contained herein, the City and Mr. Clay Gingerich, the Project Representative, agree as follows: 1. The Project Representative agrees to provi de the fol 1 owl ng _ professional services as an independent contractor employed by the City: Construction Inspection: 1.1 To serve when appointed as an independent building inspector as directed by the Director of Building and Housing, or his authorized representative. 1.2 To inspect for the purposes of determining that all construction activities comply with the following regulations: Uniform Building Code 1979 Edition; Uniform Mechanical Code 1979 Edition; Uniform Plumbing Code 1979 Edition; National Electrical Code 1975 Edition; Title 19, California Administrative Code; Title 24, California Administrative Code; Chula Vista City Code 1.3 To compare the contract plans and specifications for the purpose of advising the City of any contractor's or subcontractor's conformance with said plans and specifications in any building acti vi ty. 1.4 To act as a special inspector for the purpose of inspecting high strength concrete masonry and structural welding, and to provide such services in accordance with standard construction practice. ,< -/ll6 z 1.5 To determine that all testing of soil, concrete and other specified tests are, in fact, completed in accordance with the applicable contract plans and specifications or State or local ordinances. 1.6 To perform concrete cylinder samples and to perform concrete slump tests and report the results of such tests. 1.7 To review all shop drawings. Coordination Activities: 1.8 The Project Representative shall act as a coordinator between the various subcontractors for the purpose of maintaining the projected job completion schedule. 1.9 He shall act as a liaison on behalf of the City between the architect and general contractor. Material Inspection: 1.10 The Project Representative shall further inspect materials delivered to the job site to ensure they are of the type and quantity specified in the contract plans and specifications. 1.11 He shall inspect each delivery ticket of structural concrete to _ ensure the amount of concrete utilized is in accordance with the plans and specifications. Professional Recommendations: 1.12 The Project Representative shall, in accordance with his professional training and experience, advise the City of the following: 1.12.1 Any changes in the construction which may be made to ensure a sounder structure and/or monetary savings. 1.12.2 The reasonableness of any suggested change orders. 1.12.3 Advise the City and maintain records of any delays caused by fire, flood, epidemic, strikes or acts of God. 1.12.4 The percentage of work completed by the contractor in order to determine whether the City should make a progress payment. 2. The Project Representative hereby covenants that he has and will maintain the necessary licenses and experience to perform the work enumerated above. He further convenants that his activities shall be as an independent contractor and that, as such a contractor, he is bound by the terms and conditions set forth in this agreement and shall not be entitled to any of the benefits and/or remunerations available to any employee of the City of Chula Vista, including but not limited to: workmen's compensation, group health insurance or overtime. 1116.9 -2- 3. The Project Representative further covenants that he shall provide ' his own transportation wherever necessary for performance of his duties under this agreement. 4. The Project Representative further covenants that he shall provide a fully qualified substitute as approved by the Director of Building and Housing to carry out his duties in the event he is incapacitated and cannot fulfill the terms of this agreement. During that period of time the substitute Clerk of the Works shall receive the same compensation pro rated on a daily basis as stipulated in this agreement for Mr. Gingerich. Pa~vment to Project Representative It is agreed that Project Representative shall receive an amount of twenty thousand, three hundred dollars and no cents ($20,300.00) for the completion of services required in this project. City agrees to pay Project Representative on a monthly basis for his services on the first day of each month for services performed in the preceding month. Project Representative shall receive the amount of two thousand, nine hundred dollars and no cents (52,900.00) per month provided, however said pa~vment will be reduced by the number of days in the previous month where services have not been performed. Term of Agreement The term of this agreement shall be for a period of seven (7) months commencing on the first of February, 1983; provided, however, the City of _ Chula Vista at its sole option may terminate said agreement for cause upon thirty (30) days written notice to Project Representative of such termination. The contract may be extended at the sole option of the City if required by circumstances that do not permit the completion of the project within said seven-month period. IN WITNESS WHEREOF, the parties hereto have caused this agreement to be executed the day and year first hereinabove set forth. A soils engineer - To perform all soils testing required with construction of this project. 2. A Clerk of the Works - To work through Gene Grady for inspecting the construction of the improvements. 3. A concrete testing engineer - To test all concrete structures and concrete materials placed on the project. 4. A consulting construction engineer - This person would provide the City with expertise as to if the contractor is actually performing the construction of the project properly and correctly. Hopefully, these four people can be hired at the same time we award the contract for construction of the parking structure. If the Clerk of the Works is a construction engineer with expertise in this type of structure, then items 2 and 4 could be filled by one person. SLH:fpw
