RESOLUTION NO. 11156
RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA
VISTA APPROVING AGREEMENT BETWEEN THE CITY OF CHULA
VISTA AND PHILLIPS-REYNOLDS, INC., A PROFESSIONAL
ENGINEERING CORPORATION, FOR AN AMOUNT NOT TO EXCEED
$8,065, FOR CERTAIN ENGINEERING CONSTRUCTION SERVICES,
WAIVING INFORMAL BID REQUIREMENTS, AND AUTHORIZING THE
MAYOR TO EXECUTE SAID AGREEMENT
The City Council of the City of Chula Vista does hereby
resolve as follows:
WHEREAS, the attached agreement is for engineering
construction services related to the construction of the Town
Centre Parking Structure and the relocation of utilities within
the Town Centre Focus Area, and
WHEREAS, it is determined that the services being
contracted for are more of a technical nature and involve little
professional judgment and, therefore, bidding requirements of
Section 1009 of the Chula Vista Charter shall apply, and
WHEREAS, based upon the fact that said contract is a
continuing program on the part of Phillips-Reynolds, Inc. in the
Town Centre Focus Area, it is determined that said bidding
requirements should not be adhered to in the interest of more
effective performance of the work.
NOW, THEREFORE, BE IT RESOLVED by the City Council of
the City of Chula Vista that the informal bidding requirements of
Section 1009 of the Chula Vista Charter be, and the same are
hereby waived upon the adoption of this resolution by a
four-fifth's vote of the City Council.
BE IT FURTHER RESOLVED that that certain agreement
between the City of Chula Vista, a municipal corporation and
Phillips-Reynolds, Inc. for construction engineering services for
the Chula Vista TOwn Centre Parking Structure and Focus Area
utility relocation dated the first day of February, 1983, a copy
of which is attached hereto and incorporated herein, the same as
though fully set forth herein be, and the same is hereby approved.
BE IT FURTHER RESOLVED that the Mayor of the City of
Chula Vista be, and he is hereby authorized and directed to
execute said agreement for and on behalf of the City of Chula
Vista.

CONTRACT FOR PROFESSIONAL SERVICES
PHILLIPS-REYNOLDS ENGINEERING INC, Civil Engineers (Engineer) and
THE CITY COUNCIL OF THE CITY OF CHULA VISTA (Owner),
agree:
1. AGREEMENT: Owner employs Engineer to perform professional
civil engineering services described as follows:
Construction Surveying Services for Town Centre Utilities
and Parking Facility for Town Centre Townsite No. 2 Project,
Chula vista, California, as described in Exhibit "A"
attached hereto.
2. CONSIDERATION: In consideration of performance of such
services, Owner agrees to pay Engineer the following:
Item I & II
Construction Engineering Services - In accordance with
hourly rate, time and materials as set forth in Exhibit "B"
attached hereto, not to exceed $7,940.00.
Item III
Other Estimated Costs - Cost plus 15%.
3. PAYMENT: Said compensation shall be paid as follows:
Due monthly upon presentation of statement; together with
eighteen percent (18%) per annum applied as a daily rate if
paid after thirty (30) ~ays.
4. TIME OF PERFORMANCE: Owner agrees to give Engineer twenty-
four (24) hours notice to proceed with each phase of work.
Engineer shall perform such work to conform to Owner's
schedule
5. TERM OF CONTRACT: The term of this contract shall be nine
(9) months from the da~e of execution by both parties. The
term of this contract or the scope of the work can be
amended if agreed to by both parties.
6. LIEN RELEASE: Upon payment in full, Engineer agrees to
provide Owner with a suitable mechanic's lien release with
respect to any work performed under this contract.
7. FEES: In the event Owner defaults his payment for work
performed under this contract and any legal action,
equitable action or other proceeding is taken to enforce
collection of said amount, the prevailing party shall be
entitled to his cost of court and reasonable attorneys fees.
