DATED (seal) City Clerk AGREEMENT FOR TELECOMMUNICATIONS SERVICES THIS AGREEMENT, made and entered into in the City of Chula Vista, California, this 21st of December, 1982, by and between the CITY OF CHUIA VISTA, a Municipa~poration, hereinafter referred to as "CITY" and VICTORY AND ASSOCIATES, Telecommunications Consultant Professionals for reviewing City-wide telephone services, hereinafter referred to as "CONSULTANT." WITNESSETH: WHEREAS, the City, in the operation and conduct of the City of Chula Vista, requires the services of a Telecommunications Consultant Professional and Victory and Associates is a Telecommunications Consultant Professional capable and able to render services required by the City, NOW, THEREFORE, in consideration of the premises and upon the terms and conditions contained herein, the City and the Consultant agree as follows: 1. The term of the agreement shall be twenty-five (25) days beginning on January 10, 1983, and ending on or about February ll, 1983, or unless sooner terminated as hereinafter provided. This time period encompasses five (5) to ten (lO) days on-site activity by the Consultant. The 25 days will be consecutive working days. This time period does not preclude the use of telephone or other long-distance communications media requesting advice and guidance. 2. The Consultant will, on the effective date of this agreement, enter upon the performance of duties as Telecommunications Consultant in the City of Chula Vista and in particular conduct: I. Study objectives to be attained by the Consultant: a. Define and document specific telecommunications equipment and network requirements for the City of Chula Vista; b. To reconfigure the present system design and/or prepare a totally new system design to meet the specific requirements of the City of Chula Vista; c. Present a thorough cost-benefit analysis of the present system as compared to a telecommunications system from the private sector. II. Consultant Time Table and Tasks: a. Meet the appropriate management personnel to develop an understanding of the City of Chula Vista's operating plans, anticipated growth and organizational structure. Time Table: 1 day -2- b. Conduct a physical survey of existing facilities and interview key personnel in each department to determine how and with what frequency they utilize the existing telephone and intercom system. Time Table: lO days c. Based on a -sound understanding of the City's usage patterns and anticipated growth, Victory and Associates will re-engineer the existing CENTREX system, if deemed necessary, and design a contemporary alternate telephone system to meet the specific needs of the City of Chula Vista. In doing so, their consideration will include, but not necessarily be limited to: 1. Equipment la) The existing CENTREX system Ib) Private branch exchanges considering solid state and computer technology (c)Full featured business key telephone systems Id) Control routines and systems such as toll restriction, class of service, automatic leased cost routing, and station message detail recording le) Intercom and paging systems Time Table: 10 days d. Review system and design with client. Time Table: 1 day e. Develop comparisons of present system and a similar system from the private sector, and conduct cost projection for twenty (20) years, showing cash purchase and/or lease/purchase alternatives. Time Table: 2 days f. Present a formal written and oral report of the preceding, together with recommendations to the administrative staff of the City of Chula Vista. Time Table: 1 day g. Be available for presentation of report to City Council. -3- III. Study Cost and Consultant Payment System Definition, Documentation, Design or Reconfiguration, Comparison to private sector, Cost projections, Recommendations and written Report $ 3,500 Computer Analysis for Net Work Optimization $ 1,O00 TOTAL $ 4,500 Payment Schedule 1. ~1,000 upon start of work by Consultant, January 10, 1983. 2. $1,500 following review of system design with Consultant. 3. $2,000 following acceptance of formal report to Client. Affidavit of Non-Affiliation: Victory and Associates hereby certifies that no member of its firm, nor any family member, maintains nor will accept an ownership or employment interest in any company manufacturing, selling, renting or leasing telecommunications products or services. VI. City Stipulation: a. No sub-agreement covering any part of the work will be permitted unless approved by the City of Chula Vista. b. The Consultant Project Manager shall coordinate his activities with the City's Project Coordinator. -4- c. All data developed in the course of the study, including worksheets and schematics, will be made available to the City. d. The City shall have the right to suspend or abandon the project in whole or in part at any time and the City shall have the right to terminate this agreement for reasonable cause at any time upon five {5) days written notice. In such event, the Consultant shall be paid all costs due up to the time of the suspension of the project. e. This agreement may be amended at any time by mutual consent. VII. Consultant Stipulations: f. If either party brings any action or proceeding to enforce, protect or establish any right or remedy, the prevailing party shall be entitled to recover reasonable attorney's fees and court costs as awarded by the court. g. The Consultant is an advisory and shall be responible for the satisfaction of the obligations as set forth in this agreement solely in such capacity.
