RESOLUTION NO. 15233
RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
CHULA VISTA APPROVING AGREEMENT BETWEEN THE CITY
OF CHULA VISTA AND ADULT PROTECTIVE SERVICES AND
AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT
The City Council of the City of Chula Vista does hereby resolve as
follows:
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of
Chula Vista that certain agreement between THE CITY OF CHULA VISTA, a
municipal corporation, and ADULT PROTECTIVE SERVICES, in regard to the
expenditure of City funds appropriated, dated the 8th day
of August , 1989, a copy of which is attache~to and
incorporated herein, the same as though fully set forth herein be, and the
same is hereby approved.~
BE IT FURTHER RESOLVED that the Mayor of the City of Chula Vista be,
and he is hereby authorized and directed to execute said agreement for and on
behalf of the City of Chula Vista.

AGREEMENT SETTING OUT TERNS AND OBLZGATIONS OF ADULT PROTECTIVE SERVICES
IN REGARD TO THE EXPENDITURE OF CITY FUNDS APPROPRIATED
THIS AGREENENT, made and entered into this ~th day of _August '.,

Administrative body for the South Bay Adult Day H6alth Care Center, and
hereinafter referred to as "Grantee",
WITNESSETH
NHEREAS, the City ts currently involved tn a Community Development
Block Grant program, a principle goal of ~htch ts to benefit lo~ and moderate
tncome persons; and
NHEREAS, the Grantee is 'equipped and ~llltng to provide certain
services to the City ~hich will primarily benefit low and moderate income
e . , .
persons and has the n cessary expertise in this fteld for completing the same;
and, . .
NHEREAS, the City is desirous of having those certain services,
heretnafter enumerated, performed by the Grantee; and,
WHEREAS, funding for the Grantee Is. contingent upon receipt ~'f a
Letter of Credit authorizing a drawdown of Block Grant funds from the U. S.
Department of Housing and Urban Oevelopment (HUD);: and
NHEREAS, no expenditure may be made out of any appropriation awarded
such a Grantee unless an agreement has been reached between the parties
setttng out the terms and obligations for the expenditure of such funds.
NHEREAS, the Grantee agrees that in receiving City CDBG funds the
Grantee is not an agent or representative of the City, and that all operations
are independent of the City. The Grantee also agrees to indemnify and hold
the City free and harmless from any and all 11ability connected with the
Grantee's operation or use of funds.
NOW, THEREFORE, in. consideration of the mutual obligations of the
parttes as herein expressed, the:'p~rties hereto agree as follows:
1. The term of this agreement shall be for a period of one (1)
year, from July 1, 1989, through ~lune 30, 1990, unless further modified to
tnclude other permitted expenditures of funds that are appropriated by the
City Counct1.
2. The a~intstration of the G~'antee agrees to expend
Ci ty-appropri aced funds to meet bona ft de obl t gatt ons tncurred for
transportation costs for clients of the South Bay Adult Day Health Care
Center. for the period .luly 1, 1989, through June 30, 1990. for an amount not
to exceed $8.500 as detailed in the attached budget (Exhibit A). ;....~.,
3. Payment of those City-appropriated funds shall be made to the '. ,;.~,
Grantee monthly in arrears in roughly equal amounts following receipt by the
City of expenditure reimbursement claim forms.
4. The Grantee shall maintain all financial records for three years
following the year in which it was active.

disabled elderly to be brought to the Day-Health Care Center by HandYtrans,C. "

6. The Grantee shall provide the City with a quarterly report to
include the following statistics relative to its clients:
(1) Number of clients served .
(2) Gender of clients
(3) Number of low income clients '

7. Performance of this agreemen't~ may not.,'.by subagreement. be
assigned to any other entity without prior written consent of the City.
8. The City. at its discretion may require the Grantee to provide
or allow the City to undertake a complete financial and program audit of its
records. Those records shall .contain. at a minimum. the following.information
for each client served: income. residency.' gender and ethnictry. The records
shall also contain documentation of subsidies provided to clients and rental
payments.
9. The Director of Community Development. or his/her designated
representative. shall represent the City in all matters pertaining to the
services rendered pursuant to the agreement and shal 1 admi nt ster this

ll. The Grantee shall comply with Executive Order 11246. entitled
'Equal Employment Opportunity," as amended by Executive Order 11375 and-as
supplemented in Department of Labor regulations 4l CFR Part 60. ·

12. The Grantee agrees to abide by the requtrements of., the
Department of Housing and Urban Development regulations 24 CFR 570.502. .,:: ~.,
13, The Grantee also agrees tO comply with ONB Circular~.A.-122
entitled "Cost Principles .for Non-ProfitOrlanizattons," :
14, The contract may be terminated or suspended by the City after .60
days notice to the Grantee due to default by the'. Grantee oP the Grantee's
