RESOLUTION NO. 15228
RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
CHULA VISTA APPROVING AGREEMENT BETWEEN THE CITY
OF CHULA VISTA AND SOUTH BAY COMMUNITY SERVICES
AND AUTHORIZING THE MAYOR TO EXECUTE SAID
AGREEMENT
The City Council of the City of Chula Vista does hereby resolve as
follows:
NOW, THEREFORE, BE IT RESOLVED by the City Council of the Cit_v of
Chula Vista that certain agreement between THE CITY OF CHULA VISTA, a
municipal corporation, and SOUTH BAY COMMUNITY SERVICES, in regard to the
expenditure of City funds appropriated, dated the 8th day
of August , 1989, a copy of which is attached~to and
incorporated herein, the same as though fully set forth herein be, and the
same is hereby approved. ~
BE IT FURTHER RESOLVED that the Mayor of the City of Chula Vista be,
and he is hereby authorized and directed to execute said agreement for and on
behalf of the City of Chula Vista.

AGREEMENT SETTING OUT TERMS AND OBLIGATIONS OF
SOUTH BAY COMMUNITY SERVICES
IN REGARD TO THE EXPENDITURE OF CITY FUNDS APPROPRIATED
THIS AGREEEl(r, made and entered tnto this. 8th day of August
1989, by and between the CITY OF CHULA VISTA, a municipal c'orporatton,
heretnafter referred to as "CITY," and SOUTH BAY COMMUNITY SERVICES, a
nonprofit chart.table organization, heretnafter referred to as "Grantee";
14ITNESSETH:
WHEREAS, the City Council of the C~ty of Chula Vtsta has determined
that the functton of Grantee serves a valid publtc purpose and
benefits low and moderate tncome persons, and .
NHEREAS, the Ctty Counct1 of the Ctty of Chula Vtsta destres to
encourage the beneft ct al alms of the Grantee organt zatt on through
appropriation of Block Grant funds, and
14HEREAS, fundtrig for the Grantee ~s contingent upon recetpt of a
Letter of Credit authorizing a drawdo~n of Block Grant funds from the U. S.
Department of Housing and Urban Development (HUD); and .
WHEREAS, the City Counctl has established a poltcy for consideration
of requests for funding by private organlzat(ons and ~ndtvtduals, and
WHEREAS, such pol(cy stipulates that no expenditure may be made' out
of any appropriation awarded said charitable organizations unless an agreement
has been reached between. the parttes setting out the terms and obligations for
the expenditure of such funds.
14HEREAS, the Grantee agrees that tn receiving City CDBG funds
the Grantee ts not an agent or representative of the City, and that all
operations are Independent of the Ctty. The Grantee also agrees to Indemnify
an~ hold the CIty free and harmless from any and all liability connected with
the Grantee's operation or use of funds.
N014, THERE;:ORE, IT IS NUTUALLY AGREED by and between the parties
hereto as re11 ows:
1. The term of thts agreement shall be for a period of one (1)
year, from July 1, 1989 through June 30, 1990, unless .further modtfted to
include other permitted expenditures of funds that are appropriated by the
Ctty Counct 1.
2. The charitable organization known as Grantee agrees to provtde
proper surroundings whtch may encourage communication between the alienated
youth of the communl~;- and responsible leaders therein. The Grantee agrees to
serve a m~.ntmum of 2,200 Ch,la Vista resident cltents during the period
covered by thts agreement.
3. The Grantee agrees to expend C~ty appropriated funds to meet.
bona fide obligations ~ncurred for office supplies, utilities and monthly
telephone expense (telephone expense sha~l not tnclude new systems or phone
Installations) for Grantee facilities for a period of one (~) year from

July 1, 1989,. through June 30, 1990, for an amount not to exceed $7,000 as
demonstrated in the budget attached as Exhibit A and incorporated heroin.
Cumulative payments of City CDBG funds for any cateaory of the budget may not
exceed by more than 10% the amount shown for that category in the budget
without formal amendment.of this agreement.
--"-'~:5.---The Grantee shall submit on a quarterly basis a report of all
financial expenditures and information on all clients including the followtrg:
a. number of low or moderate income persons
b. ,restdency

6. The Grantee shall maintain all financial records for three years
following the year in which it was active.
~7. Performance ~f this lagreement may not, by subagreement, be
assigned to any other entity without prior written consent of the City.

or allow the City to undertake a complete financial and program audit of its
records. Those records shall contain, at a minimum, the following information.
for each client served: income, residency, gender and ethnictry. The records
shall-also contain receipts or other proof of all expenditures made or, ":
reimbursed with City CDBG funds.

services rendered pursuant to the agreement and shall administer this.

~ ?~ll. The Grantee shall comply with"~Executlve Order 11246, entitled
mEqual Employment Opportunity," as amended by Executive Order 11375 and as
Supplemented in Department of Labor regulations 41 CFR Part 60.
' ' 12. The Grantee agrees to abide by the requirements of the
Oeparment of Hou;tng and Urban Development regulations 24 CFR 570.502.

~-; 14. '. The contract may be terminated or suspended by the City after
60' days notice to the Grantee due to default by the Grantee or the Grantee s
inability to perform° regardless of whether such inability is due to
, circumstances within or beyond the grantee's control. Settlement of any
~ disputes shall be based on the laws of the State of California.
~ '- 1S.-. The parties reserve the 'right to pursue any reme. dy provided
i~!. under' California law for remedy in instances where contractors do)ate or
breach contract terms.
~:~ . 16. The Grantee shall account for the use of Block Grant funds
~ separately from other funds so as to demonstrate that the funds are used for

17Z~' A~ ~rngram income derived from Block Grant funds must be used
ii fo~ approved expenditures of the Grantee.
· '18. The Gran'tee sh~all trah~fe~ any remaining CDBG funds to the City
at this time of expiration of this contract.
19, The Grantee shall maintain a' ~r~g-free workplace at all times
fodr the duration of this contract.
