RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
CHULA VISTA APPROVING INDEMNITY AGREEMENTS
BETWEEN EASTLAKE AND THE CITY OF CHULA VISTA
AND AUTHORIZING THE MAYOR TO SIGN SAID
AGREEMENTS
The City Council of the City of Chula Vista does hereby
resolve as follows:
WHEREAS, the Development Agreement between EastLake
Development Company and the City of Chula Vista requires EastLake
Development Company to widen and improve certain portions of
Telegraph Canyon Road under certain conditions, and
WHEREAS, by a companion matter, the City has acquired
the additional street right of way and drainage easements
necessary to accommodate the widening and improvement of
Telegraph Canyon Road as required, and
WHEREAS, EastLake Development Company is further
required to indemnify and hold harmless the City of Chula Vista
'=rom liability flowing from its construction of the required
_mprovements during the construction process and for one year
thereafter.
NOW, THEREFORE, BE IT RESOLVED that the City Council of
the City of Chula Vista does hereby approve the Indemnification
Agreements between the City of Chula Vista and EastLake
Development Company with regard to the property of the Rancho Del
Rey Partnership, Virgil Clapp and Pacific Telephone Company,
which are attached hereto, and the Mayor is authorized to execute
same.-~

AGREEMENT
between
THE CITY OF CHULA VISTA
and
EASTLAKE DEVELOPMENT COMPANY
This Agreement is entered into this ~ y of March, 1989
between The CITY OF CHULA VISTA, a municipal corporation
("City"), and EASTLAKE DEVELOPMENT COMPANY, a California general
partnership ("EastLake"), with reference to the following facts:
WHEREAS, EastLake has purchased certain real property located
in the City of Chula Vista, California ("Property") from Rancho
Del Rey Partnership, a California general partnership, the title
of which shall be vested directly in the City; and
WHEREAS, EastLake shall construct certain public improvements
on the Property, which improvements shall be dedicated to the
City upon the completion thereof; and
WHEREAS, the improvements constructed by EastLake on the
Property will have a warranty of one year from the date of
completion and acceptance by the City ("Warranty Period"), and
said Warranty Period has not yet expired; and
WHEREAS, the City intends to accept the conveyance of the
subject real property prior to the completion of the works of
improvement on Telegraph Canyon Road and prior to the expiration
of the warranty period for said improvements;
NOW, THEREFORE, in consideration of the above facts and for
other valuable consideration, the receipt of which is hereby
acknowledged, the parties agree as follows:
1. The City hereby agrees to accept conveyance of the
Property, as more particularly described and depicted in Exhibit
"A" attached hereto and incorporated herein on the terms and
conditions set forth below.
2. The City agrees to grant EastLake an encroachment permit
and right of entry to perform work on the Property.
3. EastLake agrees to indemnify and hold harmless the City,
its officers and employees, from any and all claims, demands,
causes of action, liability or loss of any sort, including
mechanics liens, personal injury or property damage on the
Property arising out of or resulting from the acts or omissions
of EastLake, its agents or employees related to the construction
activities performed pursuant to this Agreement on the

Property. The provisions of this Paragraph 3 shall become
effective upon the execution of this Agreement and shall remain
in full force and effect until the expiration of the Warranty
Period described above for the public improvements to be
constructed hereunder. This Paragraph 3 is not intended, nor
shall it be construed, to require EastLake or City to indemnify
or hold one another harmless for the negligent acts or omissions
of the other.
IN WITNESS ~HEREOF, this Agreement has been executed by the
parties as of the date set forth at the beginning hereof.

EASEMENT FOR STREET AND DRAINAGE PURPOSES
RANCHO DEL REY PARTNERSHIP. a California general partnership. hereby
grants, conveys and dedicates to the CITY OF CHULA VISTA. a Charter City within
the State of California:
(i) The r'~hts of way and incidents thereto for a public street
upon, over and across that certain real property in the
City of Chula Vista. County of San Diego, State of
California described as Parcels 1, 2 and 6 on Exhibit "1"
attached hereto and incorporated herein; and
(ii) An easement and right-of-way for, and the right to con-
struct, maintain, operate. replace, remove or enlarge a
drain. sewer and appurtenant structures in, upon, over
and across that certain real property situated in the City of
- Chula Vista. County of San Diego, State of California, and
more particularly described asf~arcels A. B and R on
Exhibit '1" attached hereto and'incorporated herein. to-
gether with the dght to enter upon and to pass and re-
pass over and along said easement and right-of-way and
to deposit tools, implements and other materials thereon
by said CITY OF CHULA VISTA. its officers. agents and
employees and by any contractor, his agents and employ-
ees engaged by said City. whenever and wherever neces-
sary for the purposes above set forth;

RESERVING UNTO THE GRANTOR the right to construct
street, utility and similar improvements for Paseo Ranchero
in the location(s) approved by the CITY OF CHULA VISTA;
such utilities include installation of a box culvert storm
drain to allow drainage under Paseo Ranchero. The
design of all such street and utility improvements must,
however. be first approved by the City Engineer of
Grantee.
FURTHER RESERVING UNTO GRANTOR the right to
discharge water into and connect to the drainage facilities
located or to be located in the easement described in {ii)
.above, subject to usual approvals of the City Engineer.
This conveyance is made pursuant to an Agreement to Dedicate Real Prop-
erty and Escrow Instructions dated as of Decamber 7. 1988 between Grantor and
EastLake Development Company.
The Grantor hereby further grants to the CITY OF CHULA VISTA the privilege
and right to extend drainage structures and excavation slopes beyond the limits of
the herein described right-of-way where required for the construction and mainte-
nance of said public street. RESERVING unto Grantor of the above described
parcel of land, its successors or assigns, the right to eliminate such slopes and/or
drainage structures or portions thereof when. in the written opinion of the City
Engineer of Grantee, the necessity therefor is removed by substituting other protec-
tion. support and/or drainage facility, providing such substitution is first approved in
writing by said City Engineer.
The Grantor hereby further grants to the Grantee all trees, growths (growing
or that may hereafter grow) and road building materials within said right-of-way,
including the right to take water, together with the right to use the same in such
manne~and at such locations as said Grantee may deem proper, needful or neces-
sary, in the construction, reconstruction, improvement or maintenance of said public
street.

The Grantor, for itseft, its successors and assigns, hereby waives any claim or
any or all damages to Grantor's remaining property contiguous to the right-of-way
hereby conveyed by reason of the location, construction, landscaping or mainte-
nance of said public street.
