RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA
VISTA, APPROVING AGREEMENT BETWEEN THE CITY OF CHULA
VISTA AND DONALD R. GOLDMAN & ASSOCIATES, ARCHITECTS,
A.I.A., FOR ARCHITECTURAL SERVICES FOR RENOVATION OF
CIVIC CENTER ADMINISTRATION BUILDING, APPROPRIATING FUNDS,
AND AUTiiORI Z ING TEiE MAYOR TO EXECUTE SAI D AGREEMENT
The City Council of the City of Chula Vista does hereby
resolve as follows:
NOW, THEREFORE, BE I'I' RESOLVED that that certain agreement
between THE CITY OF CHULA VISTA, a municipal corporation, and
DONALD R. GOLDMAN & ASSOCIATES, ARCHITECTS, A.I.A., for architectural
services for the renovation of the Civic Center Administration Building,
dated the 25th day of April 1978 a copy of
which is attached hereto and incorporated herein, the same as though
fully set forth herein be, and the same is hereby approved.
BE IT FURTHER RESOLVED that the sum of $$,000. be and the same
is hereby appropriated from the unappropriated balance of Federal
Revenue Sharing Funds to Account 636-6360-5201, Professional Services,
for the above purpose.
BE I:T FURTHER RESOLVED that the Mayor of the City of Chula
Vista be, and he rs hereby authorized and directed to execute said
agreement for and on behalf of the City of Chula Vista,

THIS AG REE.dENT, made and entered into this 25th day of
April 1978 by and between the CITY OF CHULA VISTA

hereinafter called Architect";
W I T N E S S E T H
WHEREAS, the City of Chula Vista desires to undertake
the development and renovation of the Civic Center Administration
Building, and
WHEREAS, Donald R. Goldman and Associates has demonstrated
to the City a capability to carry out the total program for such de-
velopment and renovation in accordance with the terms and conditions
of this agreement.
NOW, THEREFORE, it is mutually understood and agreed by
and between City and Architect as follows:
I• SCOPE OF RENOVATION1 PROJECT:
The scope of the City's requirements for Civic Center
Administration Building modifications (previously known as City
Ha11) is that as has been defined by discussions with City staff
and by drawings prepared by the Architect under an agreement be-
tween the Architect and the City dated May 25, 1976.
The first phase of the project will be for program de-
velopment and cost estimate.
II. PROFESSIONAL SERVICES:
City hereby engages Architect to render the professional
services hereinafter described for the project at and for the com-
pensation hereinafter set forth, and Architect hereby accepts such
engagement on the terms herein stated. The professional services
for this agreement shall be rendered in a single phase. It is
further understood that the scope of the agreement may be modified
to include subsequent phases and may be modified from phase to
phase.
For the program development and cost estimate phase,
the professional services shall be as follows:
Preparation of schematic phase documents for the
renovation of Civic Center Administration Build-
ing: Such submittal to consist of:
1. 1/8" scale architectural floor plan with
existing and new partitions indicated and
dimensicned and all items to be removed,
relocated or added noted.
2. 1/4" scale architectural floor plan of new
toilet rooms, dimensioned and all materials
indicated.
3. Coordir_ation with mechanical and electrical
engineers to determine location of new mech-
anical units and electrical services and re-
quired revisions noted on drawings.

VI. CITY'S RESPO~iSIB= ITIES
The fo'_lewing information ar.d assistance shall be fur-
nished t0 Architect by City, at the City's Own expense:
A. The City shall provide full information as to the re-
quirements and program of the project, including realistic
bucget limitations and scheduling for the economical and
expeditious development of the project.
E• City shall notify Architect of administrative procedures
required and name representatives, if any, authorized to act
on its behalf.
C. City shall review documents submitted by Architect and
shall pro.:~ptly render decisions pertaining thereto, to avoid
unreasonable delay in the progress of the project.
VII. INDE~INIFICATICN AND IP7SURANCE
Architect agrees to indemnify and hold City harmless from
all claims and demands resulting from errors and omissions and
negligent performance of Architect, including reasonable attorney's
fees and court costs in the defense of any action. Architect agrees
to carry the followir_g insurances, provided, however, that any
insurance carried by the Architect in conjunction with other agree-
ments between the City and the Architect shall be considered adequate
coverage under the provisions of this section.
A. Architect agrees to carry a policy of public liability
insurance of limits of $100,000.00 for any one person in
any one accident, and $300,000.00 for any number of persons
in ar_y one accident, and a policy of property damage in-
surance in the sum of $50,000.00 which policy, or a true
copy of said policy shall be deposited with the Director of
Finance of the City of Chula Vista.
B~ Architect agrees to carry a professional liability in-
surance policy (error and omission insurance) in the sum of
$500,000.00, which policy or a true copy of said policy shall
be deposited with the Director of Finance of the City of
Chula Vista prior to the commencement of work.
C. Architect agrees to carry such amounts of Workmen's
Compensation Insurance as may be required by law.
VIII. COPIES OF DOCLTNIENTS
Architect will furnish, at no cost to the City, two
copies of the program development and cost estimate phase draw-
ings. Additional sets requested by City shall be a reimbursable
expense and will be billed to the City at no cost.
IX. Otti?yERSHIP OF DOCUMENTS
The plans, drawings, specifications and estimates shall
be and remain the property of the City of Chula Vista. City ex-
pressly agrees that said plans, drawings, specifications and es-
timates shall-not be used on any other work, public or otherwise,
except by and with the consent of Architect, and this agreement
shall be carried out whether or not the work for which said plans,
drawings, specifications and estimates is actually executed,
carried out and completed.
X• SUCCESSORS AND ASSIGNS
It is understood and agreed that this agreement shall be
binding uper. City and its successors and assigns, and upon Archi-
tect, its successors and assigns. IQeither this agreement nor any

part thereof, nor ary monies due or to become due thereunder, mad:
be assigned by Architect without the consent and approval of Cit_v.
City may, however, assign and transfer its interest in this con-
tract to any other agency cr corporation of its choice. Upon such
assignee entering into a written agreement with Architect to be
bound by al_ the terms and ~rcvisions hereof to th
as is City, such assignee shall be substituted in place~ofkCity
hereunder and thereafter all references herein to City shall be
deemed to b2 referenced to such assignee and all references to City
officials or representatives shall be deemed to be to the most com-
parable official or representative of the assignee.

Architect warrants:
A~ That the prcfessional services to be furnished by it
under this agreement shall be performed by, or under the
direction of duly licensed architects, or registered en-
gineers, or experienced planners.
B• That all drawings and specifications for the project
shall conform to all state and local laws and codes. The
City shall not direct Architect to proceed with work in-
volving a violation of such laws and codes.
