HomeMy WebLinkAboutReso 1989-13907 RESOLUTION NO. 13907 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA VISTA AUTHORIZING FIFTH AMENDMENT TO AGREEMENT BETWEEN THE CITY OF CHULA VISTA AND P&D TECHNOLOGIES, AND APPROPRIATING FUNDS THEREFOR The City Council of the City of Chula Vista does hereby resolve as follows: WHEREAS, On June 14, 1988, the City Council approved an extension of the agreement with P&D Technologies to December 31, 1988, and WHEREAS, staff anticipates adoption of the new General Plan will occur beyond the end of 1988: therefore, an extension and amendment of the agreement at a cost of ~33,150 is necessary. NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Chula Vista does hereby authorize a Fifth Amendment to the Agreement between the City of Chula Vista and P&D Technologies, a copy of which is attached hereto and incorporated herein by reference as if set forth in full.~ BE IT FURTHER RESOLVED that the Mayor of the City of Chula Vista be, and he is hereby authorized and directed to execute said Fifth Amendment for and on behalf of the City of Chula Vista. BE IT FURTHER RESOLVED that the sum of ~33,150 be, and the is same is hereby appropriated from the unallocated reserve of the General Fund. DATED City Clerk CC-660 FIFTH AMENDMENT TO THE AGREEMENT BETWEEN THE CITY OF CHULA VISTA P&D TECHNOLOGIES FOR GENERAL PLAN UPDATE SERVICES WHEREAS, the City of Chula Vista is in need of additional professional planning services to assist in carrying out an expanded scope of work for the Eastern Territories Plan, General Plan Text, and preparation of graphics, exhibits, maps as well as the coordination of the General Plan Update with City staff and other consulting firms; and WHEREAS, the staff estimates a total cost of $33,150 will adequately cover this additional work; and NOW, THEREFORE, BE IT RESOLVED that the City of Chula Vista and P&D Technologies (formerly PRC Engineering, Inc.), a consul ting firm, do hereby mutually agree as follows: Section 1. Section VIII of the agreement dated June 14, 1988, ' entitled COMPENSATION is amended to read as follows: The compensation to be paid by CITY to CONSULTANT shall be on a fixed fee basis in the amount of THREE HUNDRED SEVENTY T~OUSAND SIX HUNDRED FORTY-TWO DOLLARS ($370,642) in accordance with ATTACHMENT "B", Schedule of Fees, which shall be used by the City in determining the amount of work completed by CONSULTANT al;~. therefore, the percentage of completion to be paid by CITY to CONSULTANT each month for work program elements completed. Work program elements shall be completed by CONSULTANT to the satisfaction of the Di:octor of Planning. CITY agrees to pay the total sum invoiced and approved by the Director of Planning each month during the duration of this agreement; and Section 2. ATTACHMENT "B" entitled Schedule of Fees to said a~reement is amended as attached. Section 3. Section VII of the agreement dated June 22, 1988, entitled TERM is amended to read as follows: This agreement shall become effectlv~ upon execution as authorized by the Mayor of the CITY, or his designee, and shall terminate, if not terminated pursuant to other provisions contained herein, or otherwise extended by all parties on April 30, 1989, or upon adoption of the General Plan Update by the CITY, whichever occurs first. Section 4. Section IX of the agreement dated June 14, 1988, entitled INTEREST OF CONSULTANT is amended to read as follows: CONSULTANT presently has no business relationship with any persons or firms doing business within the Chula Vista Planning Area which would constitute a conflict of illterest, or give the appearance of such conflict. CONSULTANT may not conduct business for third parties which may be in conflict with CONSULTANT's responsibilities under this contract. CONSULTANT may not. solicit any business during the term of this contract which may conflict with his or her responsibilities under the contract. Section 5. Section X of the agreement dated June 14, 1988, entitled HOLD HARMLESS is amended to read as follows: CONSULTANT agrees to indemnify and hold harmless the CITY from and against all liability, cost and expense (including without limitation attorneys' fees) arising from loss of or damage to any property whatsoever or injury to or death of any person whomsoever caused or occastoned by the negligent act or omission of CONSULTANT or any agent or employee of CONSULTANT, arising out of or in connection with this agreement or the work to be performed by CONSULTANT hereunder.
