DATED i City Clerk FY 7 9 A G R E E M E N T T NSIT CITY OF f llowi This agreement is entered into by and between SAN DIEGO )RPORATION, hereinafter called "Corporation," and the iULA VISTA, hereinafter called "City" in view of the facts: A. Corporation, pursuant to an agreement with the City of S n Diego, operates a mass transportation system involving the C'ty of S n Diego and its environs, which includes City. B. Corporation is unable to provide satisfactory and a equate service to the citizens of City without the financial a'd of City. C. City recognizes the value of the service provided its citizens nd is willing to contract with Corporation to provide t anspor Lion service through the areas of City. NOW, THEREFORE, it is mutually agreed between the ties hereto, upon the following terms, covenants and conditions: 1. Corporation agrees to furnish City a system of mass t anspor tion for the benefit of the citizens and visitors of C'ty as ay, from time to time, be agreed upon between the parties, s ch ser ice to be paid by City to Corporation according to the f rmula set forth in Exhibit "A" attached hereto and incorporated h rein as though set forth in full at this point. 2. r ferred s rvices n t limit q~I6 Corporation, pursuant to the terms of said formula o in the preceding paragraph, shall provide such o City as may be mutually agreed upon including, but d to, the following: a) Frequency of service; b) Location of bus stops throughout City; c) Number of hours per 24-hour period service is provided City; d) Routes the vehicles of Corporation shall travel through the streets of City; e) City recognizes that Corporation has certain obligations under the labor agreement with Corporation employees. Therefore, City agrees that in requesting cancellation of service, major routing changes or major schedule changes, notice will be given on or before July 1, November 1 or April 1, so that such changes can become effective within ninety (90) days following these dates. This will allow Corporation time to -comply with the pertinent clauses of Corporation's labor agreement. It is further agreed that Corporation, when requested by City, will make minor route changes, minor schedule changes or implement totally new service (i.e., Express service, Shuttle service, Through service) at any time, limited only by the time it takes to write the schedule and physically install the bus stops, as long as Corporation would not be in violation of the labor agreement with Corporation employees; and f) Recognizing public convenience and safety, Corpora- tion agrees, upon request by City, to install, relocate or remove bus stops as soon as possible, upon mutual agreement of City and Corporation staff, who are charged with this responsibility. 9~I6 3. If Corporation is unable to provide service as designated this greement, City's Local Transportation Fund shall receive imburs ment on contracted amount based upon net costs and route les co tained in this agreement. 4. This agreement shall be binding upon the parties hereto, eir su cessors and assigns, and shall continue in effect from ly 1, 1978 to June 30, 1979 and for each successive twelve month riod t ereafter unless either party shall give the other written tice of cancellation of the same within ninety (90) days prior July 1 of each successive year.
