Based on the objectives set forth in the report approved by Council (see Attachment B), staff has negotiated the attached contract (Attachment A) with the Visitor Information Agency (VIA). RECOMMENDATION: That Council adopt the resolution approving the agreement with VIA for operation of the Visitor Information Center. BOARDS/COMMISSIONS RECOMMENDATION: The Bayfront Trolley Station Project Steering Committee (composed of Councilman Moore and Supervisor Bilbray) was provided an advance copy of the proposed contract and may have additional input that Councilman Moore will provide verbally at the October 7 Council meeting. DISCUSSION: RFP PROCESS: The RFP was mailed to 23 potential operators. These were identified through advertising in Chula Vista, San Diego and Los Angeles newspapers, recommendations, and referrals by persons involved in the visitor industry. Responses to the RFP were received from VIA and the Chula Vista Chamber of Commerce. Prior to the interview process of the evaluation, VIA and the Chamber combined their proposals, and a joint proposal was made to the City. Staff subsequently negotiated a contract with VIA which will sub-contract with the Chamber of Commerce to provide locally oriented services within the Center. DESCRIPTION OF OPERATION: VIA is a video-oriented operation attempting to establish a chain of visitor information centers throughout the region. VIA currently operates centers in Palm Springs (1135 Indian) and San Diego's Gaslamp District (411 Market). VIA plans to install four video monitors in the center which has approximately 550 sq. ft. of space for visitor information services. The remainder of the total 1,130 sq. ft. is comprised of restrooms and storage areas. (The Center's layout is included at the end of the RFP - see Attachment C.) The monitors will continuously display video Page 2, Item 12 Meeting Date-T~T77~b programs on visitor attractions, but the programs may be interrupted by visitors wishing to view specific programs. Uniformed "counselors" will dispense information from behind the Center's counter, using two monitors mounted on the counter as a visual aid. Unless another location is specifically requested by the visitor, referrals will be given to Chula Vista merchants first. The counselors will also provide non-commercial visitor information about the City and region, and the restrooms will be open to the public during the Center's hours of operation. SUMMARY OF CONTRACT: The attached contract is designed to ensure the operation provides high quality public service to area visitors, promotes Chula Vista and merchants within the City, and provides revenue to the City and County while allowing the needed flexibility to ensure a successful commercial operation. The VIA centers are supported by paid video advertising which is displayed on television monitors within each center. The attached contract provides for: a. A three-year lease with two potential 2-year extensions, at City's option. b. Rent beginning at $1,000 per month escalating to $3,000 per month by the third year. After the first year the rent amounts specified in the contract will be adjusted upward annually based on the CPI. c. Minimum operating hours set at 7:00 a.m. to 6:00 p.m. on weekdays and 9:00 a.m. to 6:00 p.m. on weekend and holidays. d. Insurance to be provided by the operator in compliance with standards established by the City's Risk Manager. e. The City's right to exercise a one-year termination clause for any reason or a 30-day termination clause for specified causes. f. Commercial activities limited to reservations, ticket sales, vending machines, and the sale of maps, books, tour guides and transit passes. 9 Non-video public service informational services such as a bulletin board of community events, information on streets, medical facilities, historical sites, public officials, lodging, etc. (more fully detailed in Exhibit B to the contract). h. A television monitor dedicated solely to Chula Vista and the South Bay with non-commercial and commercial video features on the City displayed continuously. This monitor will display a non-commercial tour of the c;ty, a "walking tour" of the City which includes various advertising segments, and regular video ads from Chula Vista and South Bay merchants. The "walking tour" will make advertising more affordable for small businesses within the City. i. Utility cost and maintenance of the interior of the center (including restrooms) to be paid by the operator. j. Signage limited to design approved by the Design Review Committee as shown at the end of the RFP - see Attachment C. The Planning Department has reviewed VIA's request for the installation of VIA's logo on the building and monument sign. Staff intends to approve this request but require that the logo be slightly smaller than the words "Visitor Information Center" as they appear on the building and monument sign. Page 3, Item 12 Meeting Date-T677T$b Revenue and costs associated with the Visitor Information Center and Bayfront Trolley Station will be shared equally by the City and County. External center maintenance, landscaping, security, lighting of the parking lot and other issues related to the project area that are not the responsibility of the Visitor Information Center operator will be the subject of a forthcoming report. VIA personnel will be available at the Council meeting to provide an overview on their planned operation of the center, if the Council so desires. If the proposed contract is approved by the Council, VIA plans to have the center operational on October 17. The VIA Disclosure Statement is included as Attachment D. FISCAL IMPACT: Rent paid by the operator will be shared equally by the City and County according to the following schedule: 1st Year: $16,500 ($1,000 per month for the first six months, $1,500 per month for months 7-9, and $2,000 per month for months 1U-12) 2nd Year: $30,000 ($2,500 per month) plus CPI adjustment 3rd Year: $3ti,000 ($3,000 per month) plus CPI adjustment Exterior maintenance and landscaping costs for the entire project are being formulated and will be presented in an upcoming report.
