Term of Agreement and Scope of Services, The term of thls Agreement shall be for the period Indicated above provided, however, that this Agreement shall be automatically renewed from fiscal year to fiscal year following the end of each period, subject to the following conditions: The consideration to be paid by the County to the Contractor during each renewal period shall be that amount appropriated by the County In Its final budget for that fiscal year for payment of Contractor~s services; and There Is no change to the scope of services described above to be provlded by the Contractor; and The Contractor shall file with the Courtryes Board of Supervisors, within 30 days following the adoption of the ~;~nty~s flnal budget for that particular year, the Contractorms written acceptance of the consideration so eted · If for any renewal period the SCope of Services to be provided by the Contractor is different that the scope of services described above, the Countyfs representative and the Contractor may In wrlt)ng amend this Agreement by specifying the consideration to be pald by the County to the Contractor and the scope of services to be provided by the Contractor for each fiscal year renewal period. ~e consideration shall be that amount appropriated by the County In Its final budget for the fiscal year cover/ng the amendment, Method of Payment. Payments will be made upon submission of an Invoice by the Contractor to the County's repre- sentative Setting forth the actual expenditures or upon submission of an acknowledgemerit and declaration under penalty of perjury by Contractor that the amount claimed Is a true and correct statement of funds that will be expanded to accomplish Sald services or event. If the Contractor requests payment In advance, the total pald to the Contractor in the form of reimbursements plus advances can not exceed the total contract amount· Repayment of an advance payment may include the County deducting a portion of the advance from each contract payment or, If suffi- cient justification Is presented, deducting the advance from the final contract payment, In the event that less than all services are performed In a proper and timely manner, the Contractor shall be obll- gated fo Inform the County's representative of such, and shall only be pald for the reasonable costs of those services performed during the payment period as determined by the County's representative. H}wever, the Contractor and the County's representative may agree In writing to extend the period of this Agreement for not more than three (3) months to allow the Contractor additional tlme to perform the Services required by this Agreement, )e total payments made to Contractor for Services performed during the total period of thls Agreement, Including any extension, shall not exceed the amount allocated to Contractor as Indlcated In this Agreement, In the event Contractor claims and receives payment from the County for a service, reimbursement for which Is later dlsallowed by the County, the Contractor shall promptly refund the dlsallowed amount to the County on request, or at Its option, the County offset the amount dlsallowed from any payment due or to become due to Contractor under thls agreement or any other agreement.
