DATED ity Clerk AGREEMENT RE SERVICES FOR THE ELDERLY UNDER THE OLDER AMERICANS ACT °~~ THIS AGREEMENT is made and entered into this ~.A~ ~ day of ' ~~~Yc..~~ , 1979 , by and between the COUNTY OF SAN DIEGO, a politica su d vi- sion of the State of California, (hereinafter called "County") and Cif of Chu I a V i sta (hereinafter called "Contractor") regarding South Bay Information and Referral Center WITNESSETH: WHEREAS, The Congress of the United States, through the Admin- istration on Aging of the Department of Health, Education and Welfare, and the State of California, through the State Department of Aging, have awarded the County grants pursuant to the Older Americans Act of 1965, as amended, concerning the establishment of programs and services for older persons; and WHEREAS, the State Department of Aging and the County have entered into State Contract Number /~1/ ~~~ ~ to implement said grant.; and. WHEREAS, it is both desirable and necessary to employ independent contractors to assist the County in implementing said grants; and WHEREAS, County has authority pursuant to Government. Code 26227 to contract for services for said grants; NOW THEREFORE IT IS MUTUALLY AGREED by and between the County and the Contractor as follows: 1. Definitions: A. "County" means the County of San Diego acting through its Board of Supervisors or a designated representative. B. "Contractor" means a private, non-profit organization, municipality, or Indian tribal organization with whom County is entering into this contractual agreement. C. "Subcontractor" means any entity that furnishes to Contractor services or supplies relative to this agreement other than standard commercial supplies, office space or printing services. D. "Title II.~" refers to provisions of 1965, as amended (Public Law 94-135), provide social services, nutritious meals older persons. 1 of 11 I of the Older Americans regulating programs to and ombudsman services Act for E. "Title IV" refers to provisions of the Older Americans ~,'~ Act of 1965, as amended (Public Law 94-135), regulating programs to provide training, research, model projects, multi-disciplinary centers, long term care and legal services. F. "Title -V refers to provisions of the Older Americans Act of 1965, as amended (Public Law 94-135), regulating programs tp provide employment for low income older persons. 2. General Purpose and Scope of Services: Contractor shall perform, in a satisfactory and proper manner as determined by the County's representative, the duties as set forth in Exhibit "A" which is attached hereto and made a part of this agreement. Contractor agrees that this project shall be carried out in accordance with Title III of the Older Americans Act, the program regulations and directive asive pplicable thereto, Federal, State, and local laws, and the State and County Manual of Policies and Procedures for this grant, and all reporting requirements. In the event of any conflict between Exhibit "A" and the provisions of Title III the latter prevail. 3. Budget and Payment Schedule: A. The total com ensation to be paid to Contractor shall not, in any event, exceed ~wenty-Seven Thousand F i ve Hundred F i fy N i ne Do I I ars Such compensation shall be paid in monthly increments upon receipt of. ~~-..Report of Expenditure and a Request for Reimbursement or Advance of Funds, as applicable. County's representative may, in extreme circumstances, facilitate semi-monthly compensation. No expenditure shall be made or obligation incurred in excess of the authorized total budget. Any expenditure of funds hereunder by Contractor which is not within the limitations of the approved budget as set forth in this agreement and not within the eligible costs as set forth in this agreement, or in applicable federal rules and regulations, shall not be chargeable to the subject project. Any such unauthorized expendi- tures shall be borne by Contractor. B. Upon certification that Contractor has insufficient capital or funds from another source with which to .commence performance and requires an advance of funds under this agreement, Contractor may receive an advance of funds in the amount of $ 0 Such advance, if any is made, shall be amor- tized during the term•of this agreement, and shall be reimbursed to County by the end of the N/A month of the term of this agreement. Reimbursement shall be accomplished by means of a deduction of $ 0 from each monthly claim form submitted to County by Contractor through the N/A month, and a final deduction of $ 0 to be made from the N/A month's claim, the total of said deductions to equal $_ n County may withhold Contractor's final full monthly payment under this agreement until County has approved Contractor's final year-end fiscal report. 2 of 11 ~,~!~~ C. The budget is set forth in Exhibit "B", attached hereto. All payments shall be made in accordance with the provisions of this agreement. The funds to be paid by the County to the Contractor are solely Federal funds and shall be spent in accordance with the budget. Contractor must obtain prior approval in writing from County's repre- sentative for the following: 1. Any transfer in funds between the budget categories 2. Any salary increases or position changes that are not speci- fied in the Personnel Schedule of this agreement 3. Any expenditures in excess of the total amount authorized for any budget category. D. Contractor shall account for and maintain all funds received pursuant to this agreement separate from any other funds administered by Contractor. Contractor shall expend the same solely for the pur- poses of the project, and shall refund to County any unencumbered amounts upon termination or completion of the subject project. E. Contractor shall timely file such reports as are requested by the State Department of Aging and the County pursuant to this agree- ment. Contractor shall timely file such reports within the time periods prescribed by the State Department of Aging and the County. No request for payment of funds shall be approved by the County's representative until such reports have been filed. F. 6Vithin thirty (30) days after project year, Contractor shall provide County with an ending financial statement signed by Contrac- tor's representative. G. In the event Contractor receives payment for a service as to which reimbursement is disallowed by the County or to County by State Department of Aging or the Federal Administration on Aging, Contractor shall promptly refund the disallowed amount to County on request, except that County may at its option offset the amount disallowed from any payments due or to become due to Contractor. H. Contractor certifies that the sources from which it purchases goods or services under this agreement conform to applicable provi- sions of Title III , and the regulations, policies and procedures adopted pursuant thereto. 4. Contact For Responsibility: The Director of the San Diego County Area Agency on Aging, or designee, shall be the County's representative for purposes of admin- istering this agreement. City Manager shall represent the Contractor. 5. Time of Performance: A. The term of this agreement shall commence on the date this agreement is executed by the Board of Supervisors or July I, 1979 3 of II . ~~~~' ~~~~ whichever is later . This agreement shall terminate on J u ne 30', 1980 . B. If this project or any material component thereof has not been initiated and operated in accordance with Section 2 of this agreement within thirty (30) days of the effective commencement date set forth in Section 5, Contractor shall submit a report not later than ten (10) days after expiration of said thirty (30) day period to the Area Agency on Aging Director indicating the steps taken to initiate the project or component, the reasons for the delay, and the expected commencement date. If the project or any material com- ponent is not fully operating in accordance with the "Scope of Services" provisions of this agreement pursuant to Exhibit "A" within thirty (30) days of said effective start date, the Area Agency on Aging Director may make an appropriate reduction in the project budget and the total compensation to be paid to Contractor under Section 3 hereof, or terminate this agreement as provided in Section 6- C. ~~here the initiation of the Project or any material component thereof has been delayed for more than thirty (30) days from the effective start date set forth in Section 5A, the failure of the Area Agency on Aging Director to effect a reduction in Contract fund- ing as provided in Section 5B shall not preclude an audit disallowance when evidence indicates that the Contractor failed to perform as contemplated in Section 2 of the agreement. 6. Termination of Agreement for Cause: Upon breach of this agreement, County shall have the right to termin- ate this agreement, by .giving written notice to Contractor of such termination and specifying the effective date thereof, at least five (5) days before the effective date of such termination. In that event, all finished or unfinished documents, and other materials pre- pared by Contractor shall become the sole and exclusive property of County, and Contractor shall be entitled to receive reasonable com- pensation for any satisfactory work completed on such documents, or other such materials to date of termination, not to exceed the amounts payable to date of termination reduced by the amount of damages sus- tained by County by reason of such breach. Notwithstanding the above, Contractor shall not be relieved of liability to County for damages sustained by County by virtue of any breach of the agreement by Contractor, and County may withhold any reimbursement to Contractor for the purpose of set-off until such time as the exact amount of damages due County from Contractor is agreed upon or otherwise determined. 7. Termination for Convenience: Either County or Contractor may terminate this agreement upon thirty (30) days written notice to the other party. In that event, all finished or unfinished documents, and other materials prepared by Contractor shall become the sole and exclusive property of County, and Contractor shall be entitled to receive reasonable compensation for any satisfactory work completed on such documents, or other such materials to date of termination, not to exceed the amounts pay- able to date of termination reduced by the amount of damages sustained 4 of I I r r ~, (. by County by reason of such breach. Notwithstanding the above, Contractor shall not be relieved of liability to County for damages sustained by County by virtue of any breach of the agreement by Contractor, and County may withhold an_y reimbursement to Contractor for the purpose of set-off until such time as the exact amount of damages due County from Contractor is agreed upon or otherwise determined. 8. Termination For Reduction, Suspension or Termination of Funds to County: This contract may be terminated on twenty-four (24) hours' notice in the event that the receipt by County of Title III funds is reduced, suspended or terminated for any reason. Contractor hereby expressly waives any and all claims against County for damages aris- ing from the termination, suspension, or reduction of the funds pro- vided by said Act to County under which this agreement is made, or of the portion thereof delegated by this agreement. All finished or unfinished documents, and other materials prepared by Contractor shall become the sole and exclusive property of County, and Contractor shall be entitled to receive reasonable compensation for any satisfactory work completed on such documents, or other such materials to date of termination, not to exceed the amounts payable to date of termination reduced by the amount of damages sus- tained by County by reason of such breach. Fidelity Bondin Prior to any disbursements, Contractor agrees that its insurer shall forward to County an assurance that all persons handling funds received or disbursements made hereunder are covered by a fidelity bond in an amount not less than $25,000 or 15 percent of the total Federal funds to be received by this contract, whichever is greater. Provision shall be made such that insurer shall give County thirty (30) days prior notice in the event that the bond is to be cancelled or reduced. In either event, County shall make no further disburse- ments until it is assured adequate coverage has been obtained. 10. Insurance and Hold Harmless Agreement: Contractor agrees to maintain such insurance as will fully protect both Contractor and County from any and all claims under any worker's compensation act or employer's liability laws, and from any and all other claims of whatsoever kind or nature for the damage to property or for personal injury, including death, made by anyone whomsoever which may arise from operations carried on under this agreement, either by Contractor, any subcontractor or by anyone directly or 5 of i I ~i~~ indirectly engaged or employed by either of them. Contractor shall exonerate, indemnify and hold harmless County from and against, and shall assume full responsibility for payment of, all Federal, State and local taxes or contributions imposed or required under unemploy- ment insurance, social security and income tax laws, with respect to Contractor and Contractor's employees engaged in performance of this agreement. County, and its agents and employees, shall not be, nor be held liable for any liabilities, penalties, or forfeitures, or for any damage to the goods, properties or effects of Contractor, or of any other persons whatsoever, nor for personal injury to or death of them, whether caused by or resulting from any negligent act or omission of Contractor. The provisions of this paragraph do not relieve the County of County's liability for damages to Contractor caused by County's negligent acts or omissions. Contractor further agrees to indemnify and hold harmless County and County's agents and employees, against and from any and all of the foregoing liabilities, and any and all costs or expenses incurred by County on account of any claim therefor. Contractor agrees to assume the foregoing obli- gations and liabilities, by which Contractor is intended by both par- ties that Contractor shall indemnify and hold County harmless from all claims arising by reason of the work done or by reason of any act or omission of Contractor. Contractor agrees to provide County's designee at or before the effective date of this contract with a cer- tificate of insurance of the policy or policies necessary to satisfy the insurance provisions of the State and County Manuals of Policies and Procedures and to keep insurance in effect during the entire term of the contract. In no event will any other document be accept- able as evidence of insurance. Failure to so insure shall be grounds for immediate termination or suspension. County shall notify Contractor in writing of change in the insurance requirements and, if Contractor does not deposit with County within thirty (30) days of receipt of such notice a new Certificate of Insurance for each policy or policies of insurance incorporating such changes, this contract shall be deemed in default without further notice to contractor and may be forthwith terminated by County. 11. Independent Contractor: It is agreed that County is interested only in the results obtained and that Contractor shall perform as an independent contractor with sole control of the manner and means of performing the services re- quired under this agreement. Contractor shall complete this agree- ment according to Contractor's own means and methods of work which shall be in the exclusive charge and control of Contractor and which shall not be subject to control or supervision by County except as to verification of compliance with Paragraph 2 and as to the results of the work. Contractor is, for all purposes arising out of this agreement, an independent contractor, and neither Contractor nor Contractor's employees shall in any-event be entitled to any benefits to which County employees are entitled, including, but not limited to, overtime, any retirement benefits, worker's compensation benefits, and injury leave or other leave benefits. 6 of II 12. Contractor's Employees and Equipment: ~''~ Contractor agrees that Contractor has secured or will secure at Contractor's own expense all persons, employees and equipment required to perform the services required under this agreement and that all such services will be performed by Contractor, or under Contractor's supervision, by persons authorized by law to perform such services. If any arrangement is made whereby employees of County are used by Contractor and are subject to Contractor's supervision and control, they shall, while engaged in such work be considered for all purposes, as employees, servants, or agents of the Contractor and not of County, irrespective of party paying them. Contractor shall exonerate, indemnify, and hold harmless County from and against any and all loss, damage or expense, by reason of any act or omission of any employee, servant or agent of Contractor, including those, if any, originally employed by County and utilized by Contractor, and Contractor agrees to defend, at Contractor's own expense, any suit or suits that may be brought against County by reason of any such act or omission. County shall not be responsible nor be held liable for any damage to person or property consequent upon the use, misuse, or failure of any equip- ment used by Contractor or any of Contractor's employees, even though such equipment be furnished, rented, or loaned to Contractor by County. State shall retain title to all equipment purchased wholly or in part with Federal and State funds and described as "Equipment" in the budget set forth in Exhibit "B" attached hereto. 13. Subcontracts: In the event any subcontractor is utilized by Contractor for any portion of the project, Contractor retains the prime responsibility for carrying out all the terms of this agreement, including the responsibility for insuring the availability and retention of records of subcontractors in accordance with Section 17 hereto. No sub- contract utilizing funds from this agreement shall be entered into which has a term extending beyond the ending date of this agreement as set forth in Section 5 hereto. Any subcontracts under this agree- ment other than standard commercial supplies, office space or print- ing services shall be approved in writing by the County's representa- tive, shall have no force or effect until so approved, and shall be subject to the provisions of this agreement. A copy of any executed subcontract must be forwarded to County within thirty (30) days after the beginning date of the subcontract. 14. Assignability: The Contractor shall not assign any interest in this agreement, and shall not transfer any interest in the same, whether by assignment or novation, without the prior written consent of the County thereto; provided, however, that claims for money due or to become due to Contractor from County under this agreement may be assigned without such approval. Notice of any such assignment or transfer shall be furnished promptly to County. 7 of II 15. Interest of Contractor: /fl ~~~ ~,~~ ~ Contractor covenants that Contractor presently has no interest, including, but not limited to, other projects or independent con- tracts, and shall not acquire any such interest, direct or indirect, which would conflict in any manner or degree with the performance of services required to be performed under this agreement. Contractor further covenants that in the performance of this agreement no per- son having any sucr, interest shall be employed or retained by Contractor under this agreement. Contractor shall"not hire County's employees to perform any portion of the work or services provided for herein including secretarial, clerical and similar incidental services except upon the written approval of County. Performance of services under this agreement by associates or employees of Contractor shall not relieve Contractor from any responsibility under this agreement. 16. Changes: County may from time to time request changes in the scope of services of Contractor to be performed hereunder. Such changes, including any increase or decrease in the amount of Contractor's compensation, which are mutually agreed upon by and between County and Contractor shall be effective when incorporated in written amendments to the agreement. No oral understanding or agreement, not incorporated herein, shall be binding on the parties hereto. 17. Federal, State and Local Laws and Regulations: Contractor shall comply with all Federal, State and local laws and regulations pertinent to its operation and shall keep in effect any and all licenses, permits, notices and certificates as are required. Contractor shall further comply with all laws applicable to wages and hours of employment, occupational safety, and to fire safety, health anc~ sanitation. 18. Fiscal and Performance Audits and Inspection of Records: Authorized Federal, State or County representatives shall have the right to monitor, assess, or evaluate Contractor's performance pur- suant to this agreement, said monitoring, assessments, or evaluations to include but not limited to audits, inspection or premises, reports, and interviews of project staff and participants. At any time during normal business hours and as often as County may deem necessary, Contractor shall make available to County, State and/or Federal officials for examination all of its records with respect to all matters covered by this agreement and will permit County, State and/or Federal officials to audit, examine and make excerpts or trans- cripts from such records, and to make audits of all invoices, materials, payrolls, records of personnel, information regarding clients receiving services, and other data relating to all matters covered by this agreement. Records must document provision of services stated in Exhibit "A". Contractor shall maintain and keep available all such records within the County of San Diego for a 8 0~ II I ~~;~" l C minimum of three years from the ending date of his contract if a County, State or Federal audit bias occurred, and five years from said date if audit has not occurred, and in the case of audit exception by the Federal, State or County, until every exception has been satisfactorily cleared. Records for nonexpendable property, which was acquired with Federal funds, shall be retained for three years after its final disposition. Contractor shall. sub- mit such reports of its activities and expenditures as may be required by the Federal Government, State or County. 19. Affirmative Action: Contractor, Contractor's subcontractors and suppliers, if any, shall comply with the Affirmative Action Program for Vendors as set forth in Article III (commencing at X84) of the San Diego County Administrative Code, which Program is incorporated herein by reference, unless the Contractor, Contractor's subcontractors or suppliers are exempted from said Program. The Affirmative Action Program for Vendors as set forth in Article IIIk of the San Diego County Administrative Code and the rules and regulations implementing said Program as set forth in Board of Supervisors Resolution No. 123, dated January 25, 1977, and Exhibit A thereto are on file in the Office of the Clerk of the Board of Supervisors of the County of San Diego, County Administration Center, San Diego, California 92101. Copies of such provision of the San Diego County Administrative Code will be furnished upon request. Contractor shall comply with Title VI of the Civil Rights Act of 1964 (P.L. 89-352) and the regulatici~ cf the Dep~.rt;.:e~:t of :;ealth, Education and j9elfare (45 CFR, Part 80) issued pursuant thereto, and hereby gives assurance that it will timely take any measures necessary to effectuate the provisions thereof. Contractor will comply with the provision of Title VII of the Civil Rights Act of 1964 (42 USC 2000 as amended by the Equal Opportunity Act of PQarch 24, 1972, Public Law No. 92-261) in that it will not discriminate against any individual with respect to his or her compensations, terms, conditions, or privileges of employment; or discriminate in any way which would deprive or tend to deprive any individual of employment opportunities or otherwise adversely affect his or her status as an employee because of such individual's race, color, religion, sex, or national origin. Contractor hereby agrees that it will comply with Section 504 of the Rehabilitation Act of 1973, as amended (29 USC 794), all requirements imposed by the applicable HEL9 regulation (45 CFR Part 84), and all guidelines and interpretations issued pursuant thereto, to the end that no qualified handicapped person shall, on the basis of handicap, be excluded from participation in, be denied the benefits of, or otherwise be subject to discrimination under any program or activity of the contractor receiving Federal Financial Assistance. 9 of II ~~ C,^(a ~, 20. Findings Confidential: Any reports, information, data, statistics, forms, procedures, systems, studies and any other communication or form of knowledge given to or prepared or assembled by Contractor under this Agreement which County requests to be kept as confidential shall not be made available to any individual or organization by Contractor without the prior written approval of the County. County shall have the right to examine such records to the extent necessary to assure compliance with this agreement. 21. Ownership, Publication, Reproduction and Use of Material: All reports, studies, information, data, statistics, forms, designs, plans, procedures, systems, and any other materials or properties produced under this Agreement shall be the sole and exclusive property of County. No such materials or properties produced in whole or in part under this Agreement shall be subject to private use, copyright or patent right by Contractor in the United States or in any other country without the express written consent of County. County shall have unrestricted authority to publish, disclose, distribute and otherwise use, copyright or patent, in whole or in part, any such reports, studies, data, statistics, forms or other materials or properties produced under this agreement. Research articles and publications based on activities receiving support under this contract must contain an acknowledgement of that support from the San Diego County Area Agency on Aging. 22. Training: Contractor shall assure. that Contractor's project staff shall attend all training as prescribed by County. 23. Notice; Any notice or notices required or permitted to be given pursuant to this agreement may be personally served on the other party by the party giving such notice, or may be served by certified mail, return receipt requested, to the following addresses: COUNTY: CONTRACTOR: Area Agency on Aging City of Chula Vista 1955 Fourth Avenue P.O. PROJECT OBJECTIVES TO BE ACCOMPLISHED DURING THE CONTRACT PERIOD: I) Increase the knowledge of 1800 South Bay elderly through area resources by effectively matching the needs for services with existing resources through a comprehensive Information and Referral Center. 2) Increase the responsiveness of social service agencies to the needs of the elderly in the South Bay by sponsoring linkage agreements with at least 12 agencies during the contract period, 3) To increase the availability of vital resources for the elderly in the South Bay by maintaining an up-to-date comprehensive resource file of 400 agencies and organizations. C. PERFORMANCE INDICATORS FOR EACH OBJECTIVE: I) The number of 1800 clients responded to during the contract period will be documented through the use of a daily record keeping system and filed for review. 2) Linkages of at least 12 organizations around the needs of seniors will be developed during the contract period and will be documented via letters or memorandum of agreement, with critical and/or frequent asked for services specified as: a) Transportaiton; b) Housing; c) In-Nome Assistance; d) Legal; e) Hospital Discharge Services. 3) A complete inventory of at least 400 agency providers will be developed and available for review in the office during the contract period. erection ~3: c A.
