(a) T e Final Map for Woodside Village (Plaza Valle Verde) has been
c ecked by the Engineering Department and found to be in conformity
w th the Tentative Map which the City Council approved by Resolution
N 9361 on November 14, 1978.
(b) T e Map includes the dedication of easements, with the right of
e ress and ingress for construction and maintenance of sewer
f cilities, general utility purposes, and for street tree planting
a d maintenance along Melrose Avenue and Otay Valley Road.
(c) D wat Corporation, a California Corporation, as General Partner
a d South Bay Properties as General Partner, subdivider and owner
h s paid all fees and submitted all bonds and required documents.
T e agreement and surety bonds in the amount of $40,000 guarantee
t e installation of the public improvements within the Woodside
V llage Subdivision. The work will be performed in accordance
w th approved plans on file in the office of the City Engineer.
One of the conditions of approval of the :Tentative Subdivision Map for
this p oject is that grading plans shall be approved by the City Engineer
prior o approval of the Final Map. The developer has caused a preliminary
gradin plan to be prepared and it has been so approved. It should be
noted owever, that a final grading plan for building pads and streets
is yet to be completed. Work shown on that forthcoming plan must be
comple ed prior to issuance of 'wilding permits.

SUBDIVISION IMPROVEMENT AGREEMENT
THIS AGREEMENT, made and entered into this 10th day of
Aril , 19 79 , by and between THE CITY OF CHULA VISTA, a
munic pal corporation, hereina ter called."City", and DAWAT CORPORATION,

herei after called "Subdivider";
W I T N E S S E T H
WHEREAS, Subdivider is about to present to the City Council of
the C'ty of Chula Vista for approval and recordation, a final subdivision
map o a proposed subdivision, to be known as WOODSIDE VILLAGE/PLAZA
VALLE VERDE pursuant to the provisions of
the S bdivision Map Act of the State of California, and in compliance with
the p ovisions of Title 18 of the Chula Vista Municipal Code relating to
the f ling, approval and recordation of subdivision maps, and
WHEREAS, the Code provides that before said map is finally
appro ed by the Council of the City of Chula Vista, Subdivider must
have ither installed and completed all. of the public improvements
and/o land development work required by the Code to be installed in
subdi isions before final maps of subdivisions are approved by the
Counc'1 for purpose of recording in the Office of the County Recorder
of Sa Diego County, or, as an alternative thereof, Subdivider shall
enter into an agreement with City, secured by an approved improvement
secur'ty to insure the performance of said work pursuant to the require-
ments of Title 18 of the Chula~Vista Municipal Code, agreeing to install
and c mplete, free of liens at Subdivider's own expense, all of the
publi improvements and/or land development work required in said sub-
divis'on within a definite period of time prescribed by said Council,
and
WHEREAS, Subdivider is willing, in consideration of the
appro al and recordation of said map by the Council, to enter into this
agree ent wherein it is provided that Subdivider will install and com-
plete, at Subdivider's own expense, all the public improvement work
requi ed by City in connection with the proposed subdivision and will
deli r to City improvement securities as approved by the City Attorney,
and
WHEREAS, a tentative map of said subdivision has heretofore
been approved, subject to certain requirements and conditions, as con-
taine in Resolution No. 9361 , approved on the 14th day of November
197 8 , and
WHEREAS, complete plans and specifications for the construction,
inst llation and completion of said public improvement work have been
prep red, submitted to and approved by the Director of Public Works,
as s own on Drawings No. 79-20D through 79-22D , on file in the Office
of t e Director of Public Works, and
WHEREAS, an estimate of the cost of constructing said public
impr vements according to said plans and specifications has been sub-
mitt d and approved by the City, in the amount of FORTY THOUSAND
DOLLA S AND NO CENTS ( $ 4 0 , 0 0 0 .0 0 ) .
NOW, THEREFORE, IT IS MUTUALLY UNDERSTOOD AND AGREED. AS FOLLOWS:
1. Subdivider agrees to comply with all of the requirements
of t e tentative map resolution; to do and perform or cause to be done
and erformed, at its own expense, without cost to City, in a good and
work nlike manner, under the direction and to the satisfaction and

appro al of the Director of Public Works, all of the public improvement
and/o land development work required to be done in and adjoining said
subdi ision; and will furnish the necessary materials therefor, all in
stric conformity and in accordance with the plans and specifications,
which documents have heretofore been filed in the Office of the Director
of Pu 1ic Works and by this reference are incorporated herein and made
a par hereof.
2. It is expressly understood. and agreed that all monuments
have een or will be installed within thirty (30) days after the com-
pleti n and acceptance of the required improvements, and that Subdivider
has i stalled or will install temporary street name signs if permanent
stree name signs have not been installed.
3. It is expressly understood and agreed that Subdivider will
cause all necessary materials to be furnished and. ail improvements re-
quire under the provisions of this contract to be done on or before
the s cond anniversary date of the recordation of the map. of said sub-
divis'on.
4. It is expressly understood and agreed that Subdivider will
perfo m said improvement work as set forth hereinabove or that portion
of sa'd improvement work serving any buildings. or structures ready for
occup ncy in said subdivision prior. to the issuance of any certificate
of cl arance for utility connections for said buildings. or structures
in sa'd subdivision, and such certificate shall not be issued .until the
Direc or of Public Works has certified in writing the completion of said
publi improvements or the portion thereof serving. said buildings or
struc ores<approved by the City; provided, however, that the .improvement
security shall not be required to cover the provisions of this paragraph.
5. It is expressly understood and agreed to by Subdivider
that, in the performance. of said-work, Subdivider will conform to and
abide .by all of.the provisions. of the ordinances. of the City of Chula
Vista, and the laws of the. State of California applicable to said work.
6. Subdivider further agrees. to furnish and deliver to the
City f Chula.. Vista, simultaneously with the execution of this agreement,
an ap roved improvement security in the sum of TWENTY THOUSAND DOLLARS
AND N CENTS ($20,000.00)
which security shall guarantee the faithful performance of this contract
by Su wider and is attached.. hereto, marked Exhibit "A" and made a part
hereo .
7. Subdivider further agrees to furnish and deliver to the
City -f Chula Vista, simultaneously with the execution of this agreement,
an ap roved.improvement-security in the sum of TWENTY THOUSAND DOLLARS
AND N CENTS ($20,000.00)
to se ore the payment of material and labor in connection with the instal-
latio of said public improvements, which security is attached hereto,
marke Exhibit "B" and made a part hereof.

8. Subdivider further agrees to furnish and deliver to the

9. It is further agreed that if the public improvements are
mpleted within the time agreed herein, the sums provided by said
ement securities may be used by City for the completion of the
improvements within said subdivision in accordance with the
ications contained herein. Upon certification of completion by

certification by the Director of Finance that all costs hereof

10. It is also expressly agreed and understood by the parties
hereto that in no case will the~City of Chula Vista, or any department,
board r officer thereof, be liable for any portion of the costs and
expens s of the work aforesaid, nor shall any officer, his sureties or
bondsm n, be liable for the payment of any sum or sums for said work or
any ma erials furnished therefor, except to the limits established by
the ap roved improvement security in accordance with the requirements
of the State Subdivision Map Act and the provisions of Title 18 of
the Ch la Vista Municipal Code.
11. It is further understood and agreed by Subdivider that
any en ineering costs (including plan checking, inspection, materials
furnis ed and other incidental expenses) incurred by City in connection
with t e approval of the improvement plans and installation of public
improv ments hereinabove provided for, and the cost of street signs and
street trees as required by City and approved by the Director of Public
Works hall be paid by Subdivider, and that Subdivider shall have de-
posite with City a sum of money sufficient to cover said cost.
12. It is understood and agreed that until such time as all
improv ents are fully completed and accepted by City, Subdivider will
be res onsible for the care, maintenance of, and any damage to, the
street , alleys, easements, water and sewer lines within the proposed
subdivision. It is further understood and agreed that Subdivider shall
guaran ee all public improvements for a period of one year from date of
final cceptance and correct any and .all defects or deficiencies arising
during said period as a result of~the acts or omissions of Subdivider,
its ag nts or employees in the performance. of this agreement, and that
upon a ceptance of the work by City, Subdivider shall grant to City, by
approp late conveyance, the improvements constructed pursuant to this
agreem nt; provided; however, that said acceptance shall not constitute
a waiv r of defects by City a s set forth hereinabove.
13. It is understood and agreed that City, or any officer or
employ e thereof, shall not be liable for any injury to person or property
occasi ned by reason of the acts or omissions of Subdivider, its agents
or empl yees, in the performance of this agreement. Subdivider further
agrees to protect and hold harmless City, its officers and employees,
from a and all claims, demands, causes of action, liability or loss
of any sort, because of or arising out of acts or omissions of Subdivider,
its agents or employees, in the performance of this agreement; provided,
howeve , that the approved improvement security shall not be required
to cov r the provisions of this paragraph. Said indemnification and
agreem nt to hold harmless shall extend to damages or taking of property
resulting from the construction of said subdivision and the public
improv ents as provided herein, to adjacent property owners as a con-
sequen a of the diversion of waters in the construction and maintenance
of drainage systems and shall not constitute the assumption by City of
any responsibility for such damage or taking, nor shall City, by .said
approv 1, be an insurer or surety for the construction of the subdivision
pursua t to said approved improvement plans.
14. In the event that suit is brought upon this contract by
City t enforce the terms hereof, City shall be entitled to a reasonable
sum as attorney's fees.
IN WITNESS WHEREOF, the parties hereto have caused this agree-
ment t be executed the day and year first hereinabove set forth.

Set-Aside Letter for Certain
Public Improvements
Woodside Village Condominiums

United California Mortgage Company, Division of United Califore~;i:a Bank,
has arranged financing for South Bay Properties, Ltd., a California limited
partnership in the amount of $838,000 to provide funds for land development
and acquisition of a 64-unit condominium site as referenced above.
We understand that the City of Chula Vista, California (the "City") will
require a set aside of funds in the amount of $40,000 on behalf of South Bay
Properties, Ltd. in favor of the City covering the estimated cost of public
improvements as per improvement and grading plans dated September 7, 1978
prepared by Schwerin, Xinos & Associates and on file with the City with
ref rence to the above-mentioned tract.
With the understanding that the Tentative Map has been approved by the
City of Chula Vista in full compliance with all the requirements of the
California Subdivision Map Act and applicable ordinances of the City and the
final Subdivision Map is to be recorded subsequent to the recording of our loan,
this letter will confirm that upon recordation of our loan in accordance
with the terms of our commitment letter dated November 30, 1978 in favor of South
Ba Properties, Ltd. we will set aside from the loan funds the sum of $40,000
to cover such estimated cost of public improvements. In consideration
of the City approving the above-described tentative subdivison map and issuing
ne essary permits for the commencement of construction of improvements,
United California 'Mortgage Company Division of United California Bank agrees that
fu ds to be set aside are for the use and benefit of the City in connection with
it interest in the satisfactory completion of said public improvements and
th t said funds will be disbursed directly to contractors, subcontractors,
la orers and materialmen supplying work or materials for installation of

by United California Mortgage Company to be used solely for the purpose of

sy tem. EAch disbursement of funds from the set-aside account whether on
a oucher from South Bay Properties, Ltd. or to the Ctiy after default by
So th Bay Properties, Ltd. shall be treated as an advance on the loan to South
Ba Properties, Ltd. and will bear interest, payable to South Bay Properties,

pe iod for the recording of mechanics lien or stop notice claims, any balance
held in said account shall be disbursed in accordance with the terms of the loan.
This agreement is an irrevocable commitment of funds which is not subject to
re all or modification except with written approval of the City. this commitment
will become effective upon recordation of the above mentioned final subdivision
ma and construction loan.

Su division Map is to be recorded subsequent to the recording of our loan,
