RESOLUTION NO. 9836
RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA
VISTA ACCEPTING THE PROPOSAL OF ARTHUR YOUNG & CO.
FOR CONDUCTING A CLASSIFICATION AND PAY STUDY, AUTHO-
RIZING THE CITY ~ffiNAGER TO NEGOTIATE A FINAL CONTRACT,
AND APPROPRIATING FUNDS THEREFOR
The City Council of the City of Chula Vista does hereby
resolve as follows:
WHEREAS, the City Council has heretofore made a request
for proposals for a classification and salary study of City employees,
and
WHEREAS, proposals have been received from Arthur Young
& Co. located in San Diego, Hay Associates located in Los Angeles,
and Ralph Anderson and Associates located in Sacramento, and
WHEREAS, although the Arthur Young proposal of $25,000
is higher in cost than the low proposal of Ralph Anderson at
$19,500, it has been recommended by the Director of Personnel
that the Arthur Young & Co. proposal, because the company is locally
based, and has more fully and carefully developed their proposal,
being most responsive to the issues of classifications and salary
studies, be accepted.
NOW, THEREFORE, BE IT RESOLVED by the City Council of
the City of Chula Vista that the proposal of Arthur Young & Co.
be, and the same is hereby accepted by the City Council and the
sum of $25,000 be, and the same is hereby appropriated from the
unappropriated balance of the General Fund.
BE IT FURTHER RESOLVED that the City Manager be, and
he is hereby authorized and directed to negotiate a final contract
form for execution by the Mayor.
BE IT FURTHER RESOLVED that the Hayor of the City of
Chula Vista be, and he is hereby authorized and directed to execute
said contract for and on behalf of the City of Chula Vista.

AGREEMENT BETWEEN THE CITY OF CHULA VISTA
AND ARTHUR YOUNG AND COMPANY
FOR A CLASSIFICATION AND PAY STUDY
THIS AGREEMENT, made and entered into this the 24th day of
January 1980, by and between the CITY OF CHULA VISTA, a municipal corpora-
tion, hereinafter called "City," and ARTHUR YOUNG AND Cm1PANY, hereinafter
ca 11 ed "Consultant."
WIT N E SSE T H:
WHEREAS, the City of Chula Vista desires to undertake a classifica-
tion and pay study in accordance with the proposal submitted by Arthur Young
and Company, and
WHEREAS, having received proposals from several firms specializing
in classification and pay studies, the City has selected the firm of Arthur
Young and Company to carry out the total program for such work in accordance
with the terms and conditions of this agreement.
NOW, THEREFORE, it is mutually understood and agreed by and between
the City and Consultant as follows:
I. SCOPE OF PROJECT:
The scope of the project will be as set forth in the Proposal to Conduct
a Classification and Salary Study prepared for the City of Chula Vista by
Arthur Young and Company in September 1979, and is incorporated herein as a
part of this agreement.
The study will include:
Examination of the duties and responsibilities of approximately
310 positions representing 120 job classifications within the
City. .
Recommendation of appropriate classification changes (additions,
deletions, combinations), as necessary, based on analysis of
current positions and accepted practices in public and private
organizations.
Review and revision, as necessary, of existing class specifica-
tions including descriptions of duties and statements of minimum
qualifications.
Establishment of criteria to set salaries for the positions of
City Attorney, City Clerk and City Manager.
Salary comparison analysis based upon a review of salary survey
data on prevailing rates paid by selected organizations, public
agencies and private employers in the appropriate labor market
area.

Allocation of recommended classification relationships to the
salary schedule based upon equitable rank-order assignments.
The budget established has a maximum cost of $25,000. This includes all
of the work as described in the proposal mentioned above, as well as written
monthly progress reports.
II. PROFESSIONAL SERVICES:
In the performance of the obligations and responsibilities set forth in
this agreement, the Consultant shall have the status of an independent con-
tractor and in no sense shall be considered an employee of the City of Chula
Vista.
City hereby engages Consultant to render the professional services des-
cribed for the project and for the compensation herein set forth, and Consultant
hereby accepts such engagement on the terms herein stated. The professional
services shall be rendered substantially in two phases, each of which shall
commence simultaneously.
PHASE ONE:
In the first phase of the study the Consultant will recommend a method for
setting salaries of the City Manager, City Attorney and City Clerk. This phase
will include the method for establishing the salary in the future. Phase One
must be completed by January 31, 1980.
PHASE TWO:
The second phase of the study will include classification and salary
recommendations for all positions named in the Request for Proposal as amended
by the City and Consultant.
III. CONSULTANT'S EXTRA SERVICES:
Any extra services performed by the Consultant which would increase the
fee over the $25,000 maximum figure must first be approved in writing by the
City Manager, the agreement amended by the City Council and funds appropriated
therefore.
IV. TERMINATION:
Consultant shall complete the first of the two phases by January 31,1980.
The City shall have the right to suspend or abandon the project in whole or in
part at any time and City shall have the right to terminate this agreement at
any time upon thrity (30) days written notice without any liability to the
Consultant other than for the payment of the amounts provided in this section.
Upon termination of this agreement, Consultant shall be paid for the work
accomplished up to the termination date. All completed documents prepared under
this agreement by Consultant shall be forthwith transmitted to City and they
shall be the sole property of City.

This agreement may be amended at anytime by mutual consent.
V. PROJECT COSTS:
The cost for this project is based upon 70 days of professional consult-
ing time, appropriate clerical support and expenses.

There will be no additional charges for expenses such as mileage, telephone,
printing, etc., beyond the $800 specified.
VI. PROJECT SCHEDULE:
Consultants will, within reason, be available to representatives of City
as needed to achieve the work goals of the project. The work program will be
completed within approximately (16) weeks from the execution of this agreement.
VII. CONSULTANT's COMPENSATION
A. City agrees to pay Consultant for services performed in monthly
payments upon receipt of invoices from Consultant giving a break-
down of charges. Such invoices must be accompanied by a written
progress report on the project.
B. If the schedule is exceeded by more than fifteen (15) calendar
days a written progress report with a new schedule must be sub-
mitted by Consultant and approved by the City Manager.
VIII. CITY'S RESPONSIBILITIES:
The following information and assistance shall be furnished to
Consultant by City, at the City's own expense:
Assistance in setting up and conducting the orientation meetings.
Assistance in selecting the membership of the Communications
Committee.
Assistance in data collection phase of the salary survey.
Assistance in insuring availablility of employees for necessary
interviews.
Assistance in assuring that all classification questionnaires have
been returned to Consultant.
Participation in the review and revision of existing class
descriptions.

Duplication of the questionnaire and typing of job description.
Provision of all available salary and classification informa-
tion requested by Consultant.
IX. INDErv1N I F ICAT ION AND INSURANCE:
Consultant agrees to idemnify and hold City harmless from all claims and
demands resulting from negligent performance of Consultant, including reasonable
attorney.s fees and court costs in the defense of any action. Consultant agrees
to carry the following insurances or self-insure for:
A. A professional indemnity/errors and omissions up to $300,000 aggregate.
B. Such amounts of Worker's Compensation insurance as may be required by
law.
X. COPIES OF DOCUMENTS:
Consultant will furnish, at no cost to City, two copies of the Phase One
report by January 31, 1980, and two copies of the Phase Two report. Additional
sets for City use will be printed by the City.
XI. SUCCESSORS AND ASSIGNS:
It is understood and agreed that this agreement shall be binding upon City
and its successors and assigns, and upon Consultant, its successors and assigns.
Neither this agreement nor any part thereof, nor any monies due or to become due
thereunder, may be assigned by Consultant without the consent and approval of
the City Council.
XII. WARRANTIES:
Consultant warrants:
A. That the professional services to be furnished by it under this agree-
ment shall be directed and performed by the individuals specified in
the proposal.
B. That all recommendations shall conform to all state and federal rules
and regulations governing personnel matters. The City shal) not direct
Consultant to proceed with work involving a violation of such rules
and regulations.
IN WITNESS WHEREOF, the parties hereto have executed this agreement the
day and year first hereinabove set forth.
