RESOLUTION NO. 10172
RESOLUTION OF THE CITY COUNCIL OF 1flfE CTTY OF CHULA
VISTA, APPROVING AGREEMENT BETWEEN THE CITY OF CHULA
VISTA AND MAINSTEM, INC. FOR EQUIPMENT MAINTENANCE
MANAGEMENT SYSTEM SERVICES
AND AUTHORIZING THE MAYOR TO EXECUTE SATD AGREEMENT
The City Council of the City of Chula Vista does hereby
resolve as follows:
NOW, THEREFORE, BE IT RESOLVED that that certain agr~ement
bet~en THE CITY OF CHULA VISTA, a municipal corporation, and
MAINSTEM, INC. for equipment maintenance management system services
for 1980-81
dated the 1st day of July , 19 80 , a copy of
which is attached hereto and incorporated herein, the same as though
fully set forth herein be, and the same is hereby approved.
BE IT FURTHER RESOLVED that the Mayor of the City of Chula
Vista be, and he is hereby authorized and directed to execute said
agreement for and on behalf of the City of Chula Vista.

Dear Mr. Alden:
Enclosed, in accordance with Paragraph III (Fees for Service) of
our existing Agreement, is an updated Exhibit "A" defining revised
operational parameters and pricing detail. This new pricing schedule
will become effective with Period 7, July, 1980.
During the past year we have strived to control the cost of providing
our services. However, we find it necessary, in this era of inflation,
to increase our fee by 9.7%. This increase is considerably lower
than the increase in cost to Mainstem.
A breakdown of the Mainstem reports, furnished under the current
contract, is listed on the Exhibit liB" enclosed.
All of us at Mainstem look forward to serving you in a most efficient
and effective manner this coming year.

CONTINUATION AGREEMENT
FOR
EQUIPMENT MAINTENANCE MANAGEMENT SYSTEM SERVICES
EXHIBIT "A"
DA TE SUBMITTED - March 28, 1980
1. Date of Existing Agreement, August 6, 1975 and Continuations.
2. CLIENT'S "Monthly" Reporting Period consists of approximately 30 days each.
3. CLIENT'S Calendar Year consists of 12 "Monthly" Reporting Periods.
4. The First Reporting Period applicable to this Continuation is Period 7, July, 1980.
5. Fees (See Section III)
a. The annual Service Fee (See Section III (A)) is $11,520.00 billable
in 12 equal installments (See Exhibit A (3) above) of $960.00 each
at the commencement of each Reporting Period.
b. The annual Service Fee (Exhibit A (5-a) is based upon the following
CLIENT supplied parameters:
1. CLIENT'S Equipment Inventory is comprised of 305 powered
vehicles and 12 non-powered vehicles.
2. CLIENT'S Maintenance Operation is comprised of 1 Mainten-
ance Facility and -0- Commercial Facilities.
3. CLIENT requires and MAINSTEM has supplied and will continue
to supply 1 Repair Order Imprinter and 2 Fuel and Add-Oil
Imprinters.
c. Expansion of CLIENT'S operation during the contract period will
be reflected by increases in the monthly Fees for any month in which
the parameters listed in Exhibit A (5-b) above are exceeded, at the
following rates:
t. Additional vehicles added to Equipment Inventory:
Powered; $3.24 per vehicle, per period,
Non-Powered; $0.50 per vehicle, per period.
