RESOLUTION NO. 10235
RESOLUTION OF THE CITY COUNCIL OF'~KC:rTY OF CHULA
VISTA, APPROVING AGREEMENT BETWEEN THE CITY OF CHULA
VISTA AND SAN DIEGO GAS & ELECTRIC COMPANY FOR CONVERSION
OF STREET LIGHTS TO HIGH PRESSURE SODIUM VAPOR
AND AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT
The City Council of the City of Chula Vista does hereby
resolve as follows:
NOW, THEREFORE, BE IT RESOLVED that that certain agr~ement
between THE CITY OF CHULA VISTA, a municipal corporation, and
SAN DIEGO GAS & ELECTRIC COMPANY, for conversion of street lights
to high pressure sodium vapor
dated the 1st day of August , 19 80 , a copy of
which is attached hereto and incorporated herein, the same as though
fully set forth herein be, and the same is hereby approved.
BE IT FURTHER RESOLVED that the Mayor of the City of Chula
Vista be, and he is hereby authorized and directed to execute said
agreement for and on behalf of the City of Chula Vista.

GENERAL STREET LIGHTING CONTRACT
This Contract is made and entered into as of this 1st
day of AUGUST , 19 80, by and between SAN DIEGO GAS &
ELECTRIC Cm,1PANY, a corporation, hereinafter called "Utility,"
and CITY OFCHULA VISTA hereinafter
called "Applicant."
In consideration of the mutual promises herein, the parties
agree as follows:
1. Utility agrees to render service to Applicant to the
installations set forth in Exhibit A, attached hereto
and made a part hereof, in accordance with the con-
ditions of applicable street light rate schedules on
file with the California Public Utilities Commission
specified on Exhibit A.
2. Applicant agrees to take and pay monthly for said ser-
vice under said rate schedules which are incorporated
by reference herein and made a part hereof for a period
of 5 years commencing OCTOBER 1 , 19 80 ,
or as soon thereafter as Utility is reasonably able-to
supply said service. In the event that payment for
services under this Contract shall become past due, as
defined in the Utility's filed tariff schedules, the
Utility may consider that applicant has requested dis-
continuance of service, and seek relief as provided in
Paragraph 5 of this Contract and de-energize the lights
or may consider that applicant has requested temporary
cessation and may seek relief, as provided in Paragraph 7
of this Contract.
3. The parties agree that upon the expiration of the ori-
ginal term, this Contract shall be automatically extended
for successive terms of one year each; provided that
this Contract may be terminated at the end of the original
or any extended term by either party upon not less than
sixty days written notice prior to the expiration date of
such term.
4. The parties agree that no change shall be made in the
street lighting system(s) under this Contract except by
modifications mutually agreed upon in writing. By said
modification, new street lights may be added under the
applicable rate, and Utility agrees to make anY,necessary
installations in accordance with its Rules and regula-
tions; provided, however, that no change will be made
in the location of existing lights unless the expense
thereof is paid by Applicant.

5. Applicant agrees that should service to any of the above-
described street lights be discontinued at its request
during the first year of service following installation,
it shall pay to Utility the net installation and removal
costs incurred by Utility to render such service. Appli-
cant further agrees that should said service be dis-
continued at its request during the second through fifth
years, it shall pay to Utility said net installation costs
less 1/48 of said amount for each month that service is
continued beyond the first year, plus the net removal
costs incurred by the Utility under this Contract. The
date of service for all street lights for purposes of
this Paragraph is deemed to be the date each street
light listed in the Exhibits, or supplements thereto,
is first placed in service.
6. Applicant agrees, should it request a delay in placing
a light in service for more than sixty days subsequent
to the effective date of service stated in Paragraph 2
or any supplement thereto, to pay a facilities charge
based on the rate specified in Rule 2.1 of the Utility's
Rules for Electric Service until such lights are placed
in service.
7. Applicant agrees, should it request temporary cessation
of energy service to any street lights under this Contract,
for other than routine repair or maintenance, to pay in
advance the estimated cost of de-energizing and re-
energizing such street lights, plus a monthly facilities
charge based on the rate specified in Rule 2.1 of the
Utility's Rules for Electric Service until such service
is re-energized.
8. Utility agrees to use reasonable diligence in providing
uninterrupted service, but does not guarantee continuity
or sufficiency of supply of electric energy. If any of
said street lights fails to burn properly, or if for any
reason Utility is unable to supply energy for said
lighting service, or if service to lights is discon-
tinued for reasons other than Applicant's failure to
comply with applicable rates and rules on file with the
California Public Utilities Commission, Applicant agrees
that the only liability of Utility shall be to rebate
the proportionate charge for the time that such lamps
fail to burn, excluding the time preceding notification
to the Company of the particular outage and the first
24 hour period thereafter. Utility shall have no liability
in the event that service is discontinued for failure to
comply with applicable rates and rules.
9. Applicant agrees to be governed by the Utility's appli-
cable rates and Rules on file with the California Public
Utilities Commission, which rates and Rules are made a

part hereof by reference, and a copy of which will be
furnished to Applicant upon request. This Contract shall
at all times be subject to such changes or modifications
as said Commission may, from time to time, direct in the
exercise of its jurisdiction.
10. Applicant may, with Utility's written consent, assign
this Contract provided that the Assignee thereof agrees
in writing to perform the obligations and assume the
liability hereunder. Any assignment by Applicant which
is not in accordance with this provision shall be null
and void and of no legal effect.
IN WITNESS WHEREOF, the parties hereto have caused this
Contract to be executed for and on behalf of each, by their duly
authorized agents, partners, or corporate officers, as of the
day and year first above written.
