The Special Meeting of the Chula Vista Redevelopment Corporation was called to order at 4:09 p.m. in the Council Chambers, located in City Hall, 276 Fourth Avenue, Chula Vista, California CVRC ROLL CALL PRESENT: Directors Desrochers, Munoz, Reyes, Paul, and Chair Lewis ABSENT: Director Salas ALSO PRESENT: Deputy City Manager/Development Services Director Halbert, Deputy City Attorney Shirey, Redevelopment Manager Crockett, Economic Development Officer Stone, Richard Opper (Opper & Vazco), Geoffrey Robinson (Goodrich/Rohr General Counsel) and Rick Siordia (Goodrich/Rohr) ,Senior Administrative Secretary Laughlin PLEDGE OF ALLEGIANCE, MOMENT OF SILENCE CONSENT CALENDAR ]. WRITTEN COMMUNICATION Memorandum from Chair Lewis requesting excused absences from the special meeting of the CVRC of Mazch 25, 2010 Staff recommendation: Excuse the absences. 2. APPROVAL OF MINUTES Staff Recommendation: Approve the minutes of the Special Meeting of March 25, 2010 ACTTON: Director Desrochers moved approval of the Consent Calendar. COOPERATIVE REMEDIATION AGREEMENT WITH ROHR, INCORPORATED AND LEGAL SERVICES AGREEMENT WITH OPPER AND VARCO, LLP The proposed Cooperative Remediation Agreement ("CRA") between the Chula Vista Redevelopment Agency ("Agency") and Rohr, Incorporated (DBA as BF Goodrich Aerospace Aerostructures Group or "Goodrich") is an agreement that allocates Agency funds toward the remediation and/or environmental mitigation of environmental impacts related to the operations of the Goodrich facility. The agreement also creates a cooperative partnership between Goodrich and the Agency in the development of a Remedial Action Plan ("RAP"), implementation of an approved RAP and use of the Polanco Redevelopment Ad to provide immunities to future owners, users, developers and lenders of the site. The proposed legal services agreement with Opper and Varco, LLP will provide continuing outside legal counsel to assist staff and the City Attorneys office in the implementation of the CRA, negotiations with the San Diego Regional Water Quality Control Board and realizing the immunities provided under the Polanco Redevelopment Act. Economic Development Officer Stone introduced Rick Siordi from Goodrich, Geoff Robinson, Goodrich Counsel and Richard Opper, City of Chula Vista outside Counsel. He then presented a short PowerPoint program that included 1) background of the Chula Vista Bayfront Master Plan, 2) the Coperative Remediation Agreement and what is involved, 3) Implemention Steps of the bayfront process and 4) Polanco Act Immunities. The meeting was then opened to members of the public who wished to speak and for questions from the Boazd. The following people were present wishing to speak: Mr. Eazl Jentz spoke in opposition to the remediation agreement. CEO Halbert, Economic Development Officer Stone, Manager Crockett, Richard Opper, Chula Vista outside Counsel, and Rick Siordia, Goodrich representative, answered all questions to the satisfaction of the Board. ACTION: Director Desrochers moved to adopt CVRC Resolution No. 2010-005 heading read, text waived. CVRC RESOLUTION NO. 2010-005, RESOLUTION OF THE CHULA VISTA REDEVELOPMENT CORPORATION RECOMMENDING THAT THE REDEVELOPMENT AGENCY OF THE CITY OF CHULA VISTA APPROVE THE COOPERATIVE REMEDIATION AGREEMENT WITH ROHR, INC., OPERATING AS GOODRICH AEROSTRUCTURES Director Munoz seconded the motion and it carried 6-0-1-0, with Director Salas absent. Page 2 of 4 CVRC -Minutes - 04-08-2010 ACTION: Director Munoz moved to adopt CVRC Resolution No. 2010-006 heading read, text waived: CVRC RESOLUTION N0. 2010-006, RESOLUTION OF THE CHULA VISTA REDEVELOPMENT CORPORATION RECOMMENDING THAT THE REDEVELOPMENT AGENCY OF THE CITY OF CHULA VISTA AUTHORIZE THE REDEVELOPMENT AGENCY'S GENERAL COUNSEL TO ENTER INTO AN AGREEMENT WITH OPPER AND VARCO, LLP TO PROVIDE LEGAL SUPPORT IN THE IMPLEMENTATION OF THE COOPERATIVE REMEDIATION AGREEMENT, THE POLANCO REDEVELOPMENT ACT AND NEGOTIATIONS WITH THE SAN DIEGO REGIONAL WATER QUALITY CONTROL BOARD, AND NEGOTIATIONS CONCERNING ENTERING INTO STATUTORY DEVELOPMENT AGREEMENTS AND/OR OWNER PARTICIPATION AGREEMENTS AS MAY BE REQUIRED AND OTHER RELATED WORK AS DETERMINED BY THE AGENCY'S GENERAL COUNSEL Director Desrochers seconded the motion and it carried 6-0-1-0, with Director Salas absent. 4. CHIEF EXECUTIVE OFFICER'S REPORTS CEO Halbert deferred to Manager Crockett for some informational items being directed to the Board. The first matter concerned a California Redevelopment Agency program on their Strategic Plan that would be presented by a webinar on April 28`h from 10:30 a.m. to noon at City Hall, in Building 300, the Human Resources Training Room. All of the Directors were invited to attend. Manager Crockett stated that bayfront projects would be coming up rapidly and asked that the Board be flexible as to meeting dates. There may be the necessity to move CVRC meeting dates and have special meetings called in May and June. 5. CHAIRMAN'S REPORTS Chair Lewis encouraged the Board members to be pro-active in their day-to-day activities and business in bringing opportunities for development to the City. 6. DIRECTORS' COMMENTS Director Desrochers stated that he believes this is the most important action taken on the bayfront since the CVRC had been created. He also said that he had been on Third Avenue recently and that he would like to have a meeting with the TAVA group to discuss rejuvenating Page 3 of 4 CVRC -Minutes - 04-08-2010 the storefronts and scenery on that avenue. He committed to attending a TAVA meeting in the near future.
