HomeMy WebLinkAboutReso 1980-10293 Rev. 2/76 RESOLUTION NO. 10293 RESOLUTION OF THE" CI'l'Y COUNCIL OP-'THEc CTTY OF CHULA VISTA, APPROVING AGREEMENT BETWEEN THE CITY OF CHULA VISTA AND CALTRANS FOR MODIFICATION OF SIGNAL SYSTEM AT "L" STREET/INDUSTRIAL BOULEVARD AND AUTHORIZING TilE MAYOR TO EXECUTE SAID AGREEMENT The City Council of the City of Chula Vista does hereby resolve as follows: NOW, THEREFORE, BE IT RESOLVED that that certain agreement between THE CITY OF CHULA VISTA, a municipal corporation, and CALTRANS for modi fica tion of signal system at "L" S treet/I ndus trial Boulevard dated the 14th day of October , 19 80 which is attached hereto and incorporated herein, fully set forth herein be, and the same is hereby , a copy of the same as though approved. BE IT FURTHER RESOLVED that the Mayor or the City or Chula Vista be, and he is hereby authorized and directed to execute said agreement for and on behalf of the City of Chula Vista. Box 1087 Ch'i2j ,1 '\l:::.:>'ta, C~El(>~~...-:h 92012 Agreement No. 11-4151 Traffic Signals "L" St. and Rte. 5 THIS AGREEMENT, ENTERED INTO ON October 14 , 1980, IS BETWEEN CITY OF CHULA VISTA, a body politic and a municipal corporation of the State of California, referred to herein as "CITY" AND STATE OF CALIFORNIA, acting by and through its Department of Transportation referred to herein as "STATE" RECIT ALS 1. STATE contemplates construction of a Park and Ride Lot on vacated Industrial Boulevard between "L" and "K" Streets in the City of Chula Vista. 2. It will be necessary to modify the traffic control signal system at the intersection of Industrial Boulevard with "L" Street, to facilitate ingress to and egress from said parking lot. 3. CITY is the owner of the traffic control signal ~ystem, and is willing to accomplish said traffic signal modification, referred to herein as "PROJECT". 4. STATE is willing to bear the cost of the work to modify the traffic control signal system necessary to serve said parking lot. 5. CITY is willing to bear the cost of any other work to modify the traffic control signal system which does not directly affect said parking lot. \1isc Disc Refs 37 & 38 8/24/80-mw R-10293 !o? 9-:; -2- o 6. CITY and STATE do mutually desire to cooperate and jointly participate in construction of PROJECT and desire to specify herein the terms and conditions under which PROJECT shall' be constructed, financed and maintained. SECTION I (07- 9"3 -3- SECTION II STATE AGREES: 1. To deposit with CITY prior to the award of a construction contract for PROJECT the amount of $6055, which figure represents STATE'S estimated share of the expense of preparation of plans and specifications, construction engineering, and construction costs required to complete PROJECT. In no event shall STATE'S total obligation for said costs under this Agreement exceed the amount of $6,500; provided that STATE may, at its sole discretion, in writing authorize a greater amount. 2. STATE'S share of the expense of preparing plans and specifications, construction engineering and construction shall be limited to the costs of the traffic control signal system modifications associated with the construction of the Park and Ride Lot. The cost of any work not directly affecting the Park and Ride Lot will be borne by CITY. SECTION ill IT IS MUTUALLY AGREED AS FOLLOWS: 1. All obligations of STATE under the terms of this Agreement are subject to the appropriation of resources by the Legislature and allocation of resources by the California Transportation Commission. 2. STATE'S obligation under this Agreement shall terminate upon completion and acceptance of PROJECT by STATE and CITY or on July 1, 1982, whichever is earlier in time; however, the ownership and maintenance clauses shall remaln in effect until terminated in writing by mutual agreement. 3. If existing public and private utilities conflict with the construction of the PROJECT, CITY will make all necessary arrangements with the owners of such utilities. CITY will inspect the protection, relocation or removal of such utilities. If there are protection, relocation or removal costs which STATE and/or CITY must legally pay, STATE and CITY will bear the cost of the protection, relocation or removal in accordance with Section 1(5) and Section II(2) of this Agreement. Neither STATE nor any officer or employee thereof shall be responsible for any damage or liability occurring by reason of anything done or omitted to be done by CITY under or in connection with any work, authority or jurisdiction not delegated to STATE under this Agreement. It is also agreed that, pursuant to Government Code Section 895.4 CITY shall fully indemnify and hold STATE harmless from any liability imposed for injury (as defined by Government Code Section 810.8) occurring by reason of anything done or omitted to be done by CITY under or in connection with any work, authority or jurisdiction not delegated to STATE under this Agreement. 5. Neither CITY nor any officer or employee thereof, is responsible for any damage or liability occurring by reason for anything done or omitted to be done by STATE under or in connection with any work, authority or jurisdiction delegated to STATE under this Agreement. It is also-agreed that, pursuant to Government Code Section 895.4, STATE shall fully indemnify and hold CITY harmless from any libility imposed for injury (as defined by Government Code Section 810.8) occurring by reason of anything done or omitted to be done by STATE under or in connection with any work, authority, or jurisdiction delegated to STATE under this Agreement. 6. Should any portion of the PROJECT be financed with Federal funds or State gas tax funds all applicable procedures and policies related to the use of such funds shall apply notwithstanding other provisions of this Agreement. 7. If, upon opening bids, it is found that a cost overrun of no more than 7% of the estimate will occur, CITY may award the contract. 8. If, upon opening bids, it is found that. a cost overrun exceeding 7% of the estimate will occur, STATE and CITY shall endeavor to agree upon an alternative course of action. 9. Prior to advertising for bids for the PROJECT, STATE may terminate this Agreement in writing, provided STATE pays CITY for all costs incurred by CITY. [ oz 9 S -5- 10. If termination of this Agreement is by mutual agreement, STATE will bear 50% and CITY will bear 50% of all costs incurred prior to termination. 11. Upon completion of all work under this Agreement, ownership and title to all materials, equipment and appurtenances installed will automatically be vested in the CITY and no further agreement will be necessary to transfer ownership to the CITY.
