CITY OF .~ (HUlA VISTA ITEM TITLE: SUBMITTED BY: REVIEWED BY: FEBRUARY 2, 2010, Item /0 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA VISTA: (A) DIRECTING AND AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE TWO OPTION AGREEMENTS: (I) ONE WITH APEX POWER LLC, TO LEASE CITY PROPERTY TO SITE A STATE OF THE ART NATURAL GAS FIRED POWER GENERA.TION FACILITY, AND (2) ONE WITH APEX POWER GROUP LLC, AND/OR SDG&E TO LEASE, PURCHASE, OR OBTAIN AN EASEMENT ON, CITY PROPERTY TO LOCATE A TRANSMISSION SUBSTATION, TRANSMISSION LINES AND ASSOCIATED INFRASTRUCTURE TO INTERCONNECT THE PROPOSED FACILITY; AND (B) DIRECTING STAFF TO CONDUCT THE NECESSARY ENVIRONMENTAL REVIEW AND THEN RETURL'l TO COUNCIL FOR APPROVAL OF THE FINAL AGREEMENTS DIRECTOR OF CONSERVATION & SERVICES e CITY MANAGER ASSISTANT CITY ANAGER ~ ENVIRONMENT~ 4/5THS VOTE: YES D NO I X I SUMMARY In March 2007 the City Council directed staff to look for an alternative site to the South Bay Power Plant of the Bayfront. Staff has worked with the Council Energy Sub Committee, the energy generation industry, SDG&E, and state agencies to identify and develop potential site options. Staff worked with these partners and Chula Vista private property owners to identify three private and one City owned parcel that met the basic conditions identified by the energy regulators and industry. The City Council authorized staff to promote the potential development of these sites to more than thirty energy generation companies that had successfully permitted a facility with the California Energy Commission (CEC) and built a facility in California within the past four years. In May 2009 Council approved draft business terms for a lease and authorized staff to work with two private development power generation companies that expressed interest in developing the City owned location to submit, as their respective project, in response to a Request for Offers (RFO) extended by SDG&E. SDG&E has selected one of those 10-1 FEBRUARY 2, 2010, ItemlL Page 2 of 5 companies, Apex Power Group, LLC (Apex), for further negotiations and discussions regarding their proposal on an energy generation facility of 200Mw to 400Mw that would be in service by the summer of 2013 and designed to complement the intermittent load of renewable power sources such as solar and wind. Staff is requesting that the City Council: (a) direct and authorize the City Manager to negotiate and execute two option agreements as follows: (i) one with Apex, to lease city property to site the facility; and (ii) one with Apex and/or SDG&E to lease, purchase, or obtain an easement on city property to site the transmission substation, transmission lines, and associated infrastructure necessary to interconnect the proposed facility; and (b) direct staff to conduct all necessary environmental review and then return to Council, for approval of the final agreements. ENVIRONMENTAL REVIEW The Environmental Review Coordinator has reviewed the proposed activity for compliance with the California Environmental Quality Act (CEQA) and has determined that the proposed request sceking authorization for lease negotiation and executing an option agreement(s), is not a "Project" as defined under Section 15378 of the State CEQA Guidelines. The agreements' terms will not constitute approval of any future project that the City Council has not yet considered, approved, adopted or funded. The agreements would be limited to a series of options. The City of Chula Vista as a "Responsible Agency" would participate in conjunction with the CEC when the project discretionary process is initiated and in the preparation of the final environmental document. Therefore, pursuant to Section 15060(c)(3) of the State CEQA Guidelines the proposed action is not subject to CEQA. RECOMMENDATION That Council adopt the resolution. BOARDS/COMMISSION RECOMMENDATION The Energy Sub-committee has reviewed the proposal, concurred with staffs recommendation as proposed, and directed staff to continue to work with stakeholders throughout the process. DISCUSSION Background From the 1960's to 2000 the San Diego region had relied primarily on two 1960's vintage electricity-generating facilities in Carlsbad (Encina 900 Mw, 1958) and Chula Vista (700Mw - 1960). In 1968 Southern California Edison, SDG&E, and the City of Riverside Utility built the 2,200Mw San Onofre Nuclear facility of which Riverside owns approximately 1.8% and SDG&E owns approximately 20% or 440Mw for a total of approximately 2,000Mw of locally available base load power generation. Since 1990 the 1,600Mw of aging generation at the Carlsbad and Chula Vista facilities have transitioned from base load to back up generation. Between 1970 and 2005 regional peak demand doubled and the region became more and more dependent on transmission and imported electricity to make up the difference of local electricity needs. During that time, Chula Vista also experienced a significant growth in the development of major transmission lines throughout our community. Since 2001 the region has built approximately 300Mw of natural gas fired peaking capacity. Two base load plants were also built - the Escondido power plant (546Mw 2006) and Otay Mesa 10-2 FEBRUARY 2, 2010, Item /0 Page 3 of 5 Power Generating Facility (590Mw 2009) for a total of approximately 1,386Mw of more modern natural gas fueled generation. The region has also established a number of smaller distributed generation facilities including renewable projects that contribute a few hundred megawatts to local electricity reliability and supply. Chula Vista and Carlsbad are both working to decommission and retire their two respective plants which would eliminate 1,600Mw from the region's reserve generation capacity. The CEC has pernlitting authority for all power generating facilities of 50 Megawatts or greater within the State of California and the CEC would be the lead agency for the proposed project. The project would be subject to a CEQA equivalent process as part of the CEC process and staff would participate in the CEC process as a responsible party to review and comment on the CEC environmental process as it relates to the City's land use and general plan guidelines at that time. Purpose for Pursuing the Proiect The City of Chula Vista currently hosts approximately 20 miles of regional electricity transmission corridor with more than 80 cumulative miles of 69kv to 500kv transmission circuits, and one 709Mw natural gas fueled generation facility, ilie South Bay Power Plant. In 2001 and 2002 four peaker plants of approximately 200Mw were added in the South Bay, one on Main Street in Chula Vista. Additionally, at that time the permit process tor another major 585Mw power plant in Otay Mesa was completed. The City also hosts a significant portion of the region's natural gas transmission corridor and associated pipeline. Chula Vista is the second largest of 18 cities in the county and the fourteenth largest of 496 cities in the State of Calitornia. The City expects to host its reasonable share of energy infrastructure to ensure the reliable and cost effective delivery of energy, even as the City executes its commitment to a responsible transition to a less dependent ifnot fossil free future. In 2001, the statI, the Council Energy representatives, and the Mayor's Office began regularly meeting and corresponding with the California Independent System Operator (CAISO), CEC and CPUC to develop a strategy to manage the City's energy destiny and the impact from the proliferation of these facilities. In those meetings with the CAISO, staff and Council were told that a replacement natural gas fired generation plant of approximately 500Mw in Chula Vista would provide the City with energy infrastructure "peace" for a generation and guarantee that RMR would be removed from the South Bay Power Plant. A generation or twenty (20) years is approximately the same period that complements the City's strategy tor transitioning to a less dependent if not fossil fuel free future. Strategv and Progress Staff began working immediately with LS Power/Dynegy, SDG&E, and the CAlSO on that solution. In early 2007 the City Council directed staff to identify sites tor natural gas n.eled energy generation off the Bayfront. Staff worked wiili the energy agencies, the energy generation industry, and property owners in Chula Vista to identify potential sites and investigate the State and energy market's interest in investing in a facility. With input from all ilie energy agencies, staff began to narrow the focus to three private sites and one site owned by the City. The private sites are in the Main Street area east of I-80S, an area identitied by interveners and the CEC staff and their consultants as potentially viable sites during the MMC Peaker Plant application process in 2008. The fourth site is owned by the City and is located at the far 10-3 FEBRUARY 2, 2010, Item /0 Page 4 of 5 southeastern edge of the City's boundaries and the Otay Valley Regional Park (OVRP) and the Multiple Species Conservation Plan (MSCP) preserve area (Map-Attachment I). That general area was identitied by an intervener and CEC staff during the process for the proposed Bayfront replacement project. With additional public review and input during the Energy and Charger Sub-committees and the Resource Conservation Commission, staff developed a profile of these sites and prepared them for distribution to the energy industry for their review and consideration. In June of 2009 SDG&E extended a Request for Offers (RFO) and under the guidance of the California Public Utilities Commission and the CEC asked the energy generation development industry for proposals for a variety of energy products. That process is based largely on a State process that includes an energy demand forecast by the CEC and a Long Term Procurement Plan and Resource Adequacy review that the utilities, CAISO, and state agencies develop in a coordinated fashion. At least one of the RFO products requested by SDG&E was for a natural gas fired generation facility of approximately 200-400Mw designed to complement the intermittent availability of energy generated with photo voltaic (solar) and wind resources. That is the proposal that the City encouraged potential RFO responders to consider for the four locations within the City. The Chula Vista site participants submitted applications that were in competition with projects and developers from throughout the San Diego and southern California area. Maior Commitments and Milestones With Council adoption of the resolution, the Conservation & Environmental Services Department, City Attorney, and City Manager would continue working with Apex to negotiate and enter into an option agreement to lease the property, and with Apex, or SDG&E, or both, as appropriate, to negotiate and enter into a second option agreement for an easement on, or lease or sale of, property for a substation to interconnect the power plant, as well as sewer, water, transmission, and natural gas laterals. Staff would then return to City Council early in the CEC process, subsequent to the environmental review, with final agreements for City Council's review and approval. The agreements would be subject to the CEC grant of the AFC. Development Services staff would also be working on applications by Apex for land use and related processes to potentially site the facility. Finally, staff would also be participating in the CEC AFC process as a responsible party and/or intervener. The CEC conducts a thorough public process that is expected to take eighteen (I8) to twenty-four (24) months including local workshops and hearings. Apex will be working closely with SDG&E over the next few weeks to complete an agreement to develop the plant and deliver power to SDG&E by the summer of 2013. Apex will begin to dramatically increase its financial commitment and investment in the project in the next few months as they prepare the extensive AFC documents required by the CEC, make contractual obligations to SDG&E, and secure orders for plant equipment required to meet the expedited energy delivery timeline established by SDG&E under the CEC forecast. The final investment in a successful project would be several hundred million dollars. Staff is requesting that the City Council: 1. Direct and authorize the City Manager to negotiate and execute two option agreements as follows: (i) one with Apex, to lease city property to site the facility; and (ii) one with 10-4 FEBRUARY 2, 2010, Item /0 Page 5 of 5 Apex and/or SDG&E to lease, purchase, or obtain an easement on, city property to site the transmission substation, transmission lines and associated infrastructure necessary to interconnect the proposed facility; and 2. Direct staff to conduct the necessary environmental review and then return to Council, for approval of the final agreements. Financial and other Local Benefits The facility constmction is projected to occur in the 2012 to early 2013 timeline and cost several hundred million dollars. Staff will work diligently with Apex, local suppliers, and the Chamber of Commerce to secure as much local purchasing and local hiring as possible. Staff is working with Apex to devel~p a package of public benefits that reflect the City's'commitrnent to the state energy loading order, environmental sustainability, and a commitment to local mitigation. Staff is working with Apex to match a commitment by the City to reinvest a portion of new revenues generated from the project into the OVRP, encrgy and water conservation, and renewable energy for homeo'Wl1ers, small businesses, and public-serving City facilities within Chula Vista. DECISION MAKER CONFLICT Staff has reviewed the property holdings of the City Council and has found no property holdings within 500 feet of the boundaries of the property which is the subject of this action. CURRENT YEAR FISCAL IMPACT Council's adoption of staff" s recommendation would not result in any adverse general fund impacts in this fiscal year. Apex would be required to fund any staff cost for preparing for and participating in the CEC process and any related City activities that may be necessary to evaluate and process the regulatory steps required to secure the site. ONGOING FISCAL IMPACT The project would generate signiticant general fund revenue in the form of Utility User's Tax and Franchise Fees from the consumption of natural gas. The amount of revenue depends on the tinal negotiated size of the plant with SDG&E, the number of plant operating hours, and the price of natural gas. If the project were approved and met its summer 2013 in service date goal, the City would begin to receive revenue in thirty (30) days with the major payments occurring in the tirst quarter of2014. The project would also generate property taxes, possessory interest tax, or in-lieu property taxes depending on the manner in which the facilities are held, as well as the size and ultimate valuation of the project. Additionally, the project would generate revenue from the lease and or sale of property for the facility site, the laterals, and the SDG&E substation. ATTACHMENTS I. Maps 2. To that end the Lessee commits to working collaboratively with the City, CAISO, SDG&E, CEC, CPUC, Unitied Port of San Diego/Dynegy and other stakeholders as needed to ensure that the pennit, design and operation of the plant meets the respective Agency needs for Resource Adequacy and Reliability sufficient to retire the South Bay Power Plant as soon as possible but no later than the in service date of this facility. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF CHULA VISTA THAT IT HEREBY: (A) directs and authorizes the City Manager to negotiate and execute two option agreements: (1) one with Apex Power LLC, to lease city property to site a state of the art natural gas fired power generation facility, and (2) one with Apex Power Group LLC, and/or SDG&E to lease, purchase, or obtain an easement on, city property to locate a transmission substation, transmission lines and associated infrastructure to interconnect the proposed facility; and (B) directs staff to conduct the necessary environmental review and then return to Council for apprmJal of the final agreements.
