RESOLUTION NO. 10754
RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA
VISTA CONSENTING TO THE ASSIGNMENT OF THE FIRST AMENDED
AGREEMENT TO PROVIDE PARAMEDIC SERVICE TO THE CITY
OF CHULA VISTA AND SPECIFIED ADJACENT AREAS AND THE
POLICE AMBULANCE AGREEMENT FROM ROBERT L. HARTSON TO
MED-TRANS, A LIMITED PARTNERSHIP
The City Council of the City of Chula Vista does hereby
resolve as follows:
WHEREAS, the City of Chula Vista and Hartson's Ambulance
Service, Inc. have heretofore on the 8th day of December, 1981,
entered into an agreement to provide for delivery of emergency
medical care to the sick and injured in the City of Chula Vista
and specified adjacent areas for a period of two years, and a
police ambulance agreement with Hartson's Ambulance Service, Inc.,
dated February 26, 1979, to provide emergency ambulance service in
the City of Chula Vista upon the request of the Police Department
of the City of Chula Vista for a period of ten years, and
WHEREAS, both of said agreements provide that the
contractor, Hartson's Ambulance Service, Inc., shall not assign
either of said agreements or any right or interest therein without
first receiving the written consent of the City of Chula Vista,
and
WHEREAS, the City has been notified by Robert L. Hartson,
the President of Hartson's Ambulance Service, Inc., that he is
assigning his interest to Med-Trans, a limited partnership, and
WHEREAS, two of the general partners, phil Ayres and Tom
Morgan, are currently employed by Hartson's in executive capa-
cities and have extensive experience in the fields of ambulance
and paramedic service as well as other medical support areas, and
WHEREAS, the third general partner, Glen R. Roberts, is a
highly reputable attorney practicing in the City of San Diego, and
WHEREAS, the full documentation of the proposed assign-
ment and the continued financial interests of Robert Hartson by
virtue of a security agreement to insure the payment of a note for
the purchase of the ambulance service by said limited partnership
gives further guarantee that the service will continue to be
operated in an efficient and profitable manner.
NOW, THEREFORE, BE IT RESOLVED that the City Council of
the City of Chula vista does hereby consent to the assignment of
the First Amended Agreement to provide paramedic service to the
City of Chula Vista and specified adjacent areas and the amendment
to the police ambulance agreement from Hartson's Ambulance
Service, Inc. to Med-Trans, a limited partnership, and authorizes
the Mayor to execute said assignment documents.
BE IT FURTHER RESOLVED that the City Council does hereby
approve the Amendment to the Police Ambulance Agreement and the
Amendment to the First Amended Agreement to provide paramedic
service to the City of Chula Vista and specified adjacent areas
with Med-Trans, a California limited partnership, and authorizes
the Mayor to execute said amendments.
