JHK & Associates has previously worked on the project through contractual arrangements with RBF & Associates. JHK also has extensive experience on projects in the City and subregion and was originally selected to provide technical input when this project first commenced in August, 1989. RECOMMENDATION Approve the Agreement with JHK & Associates including the attached scope-of-work and authorize the Mayor to sign the attached Agreement. BOARDS\COMMISSION RECOMMENDATION Not applicable. BACKGROUND AND DISCUSSION Contracts for consulting work on the Otay Ranch Project are processed through the City of Chula Vista. Attached are scopes-of-work for JHK & Associates. This has been agreed to by the consultants, applicant, City of Chula Vista and San Diego County Chief Administrator's Office. The scope-of-work is described as "additional" scope-of-work since JHK has served as a subconsultant to RBF, the prime planning consultant on the project. Items 1-4 have already been completed. These were completed without a contract since it was originally thought that the work would be covered under the RBF scope-of-work. It was then determined that the work was not covered under that contract; that the work was still needed and time-sensitive, and JHK agreed to complete the work on the basis that this work would be folded into the overall 1991 work program. \2-1 Page 2, Item ~ Meeting Date ~ /1 of {!l ( I The additional scope-of-work includes the following: Item 1: This item, denoted as Addendum #1, included work outside of the original contract with RBF for coordination of the Otay Ranch Transportation Subcommittee (Exhibit A-I). This subcommittee is composed of County, City of Chula Vista, CalTrans and City of San Diego staff. JHK serves to coordinate that effort. Item 2: This item, denoted as Addendum #2, includes the transportation modeling of the various alternatives developed as a part of the environmental impact review process (Exhibit A-I). This work has been and will continue to be necessary to test the various alternatives presented to the Interjurisdictional Task Force. Item 3: This item, denoted as Addendum #3, is for work performed for the Phase I Progress Plan and included meetings with the Transportation Subcommittee (Exhibit A-2). The Phase I Progress Plan was accepted by the Interjurisdictional Task Force in February of 1991 as an alternative to be considered in the Environmental Impact Report. Item 4: This item, denoted as Addendum #4, pertains to technical review of the Phase I Progress Plan and model for said plan (Exhibit A-2). Item 5: This item, denoted as Addendum #5, pertains Project Team technical assistance and includes such items as continued coordination of Transportation Subcommittee, assistance in technical analysis of General Plan Amendment/GDP/Community Plan, assistance with Issue Papers and attendance at Citizen Advisory Committees (Exhibit A-3). This portion of the work program effort will focus on the formulation of issue paper and plan options and recommendations to be considered by the Interjurisdictional Task Force. The additional compensation to be paid to JHK & Associates for this work is $52,500.00. Exhibit "A" provides a cumulative analysis of the total contract, including previous amendments. FISCAL IMPACT: There will be no fiscal impact to the City of Chula Vista because the Baldwin Company will be funding the above-stated scope-of-work. FOR TRANSPORTATION PLANNING ON THE OTAY RANCR This Agreement is made this _ day of , 1991, for the purposes of reference only, and effective as of the date last executed between the parties, between the City of Chula Vista ("City") herein, a municipal corporation of the State of California, and JRK & Associates, Inc., a professional California development consulting firm ("Consultant") and Baldwin Vista Associates, L.P. ("Applicant"), and is made with reference to the following facts: RECITALS Whereas, the City of Chula Vista is interested in traffic consultant services to assist in the planning of the Otay Ranch; and, Whereas, JRK & Associates, Inc. has extensive experience with large master-planned communities, the City of Chula Vista and the Otay Ranch; and, Whereas, Consultant warrants and represents that they are experienced and staffed in a manner such that they are and can prepare and deliver the services required of Consultant to City in accordance with the terms and conditions of this Agreement; and, NOW, THEREFORE, BE IT RESOLVED that the City and Consultant do hereby mutually agree as follows: 1. Consultant's Duties a. General DutiesjScope-of-Work Consultant shall provide transportation technical assistance and coordination as described in attached Exhibit "A-I", "A-2" and "A-3". b. Standard of Care Consultant, in performing any Services under this agreement, whether Defined Services or Additional Services, shall be performed in a manner consistent with that level of care and skill ordinarily exercised by members of the profession currently practicing under similar conditions and in similar locations. ~ /2-5 c. Insurance Consultant represents that it and its agents, staff and consultants employed by it are protected by worker's compensation insurance and the Consultant has the coverage under public liability and property damage insurance policies which this Agreement requires to be demonstrated in the form of a certificate of insurance. Consultant will provide, prior to the commencement of the services required under this agreement the following certificates of insurance to the City prior to beginning work: Statutory Worker's Compensation coverage plus $1,000,000 Employers liability coverage. General and Automobile Liability coverage to $1,000,000 combined single limit which names City as an additional insured, and which is primary to any policy which the City may otherwise carry ("primary coverage"), and which treats the employees of the City in the same manner as members of the general public ("cross-liability coverage"). Errors and Omissions insurance to $250,000, unless Errors and Omissions coverage is included in the General Liability policy. All policies shall be issued by a carrier that has a Best's Rating of "A, Class V', or better, or shall meet with the approval of the City's Risk Manager. All policies shall provide that same may not be canceled without at least thirty (30) days written notice to the City. 2. Duties of the City a. Consultation and Cooperation City shall regularly consult the Consultant for the purpose of reviewing the progress of the economic analysis and to provide direction and guidance to accomplish the analysis. b. Compensation The compensation to be paid by City to Consultant for all of the work required herein shall be a fee of $52,500.00 ("Fee") payable in progress payments in an amount that the City Manager, or his designee, shall determine corresponds to the value provided to the City to the date of billing. Consultant agrees to perform all of the services, provide the analysis and deliver the Work Product herein required, and in the manner of the detailed Scope-of-Work set forth on the attached Exhibit "A". - 2 - 11.-' c. Reductions in Scope-of-Work City may from time to time reduce the Scope of Work by the Consultant to be performed under this Agreement. City and Consultant agree to meet in good faith and confer for the purpose of negotiating a corresponding reduction in the Fee associated with said reduction. d. Additional Scope-of-Work In addition to performing the Defined Services herein set forth, City may require Consultant to perform additional consulting services related to the General Duties and Scope-of-Work ("Additional Services"), and upon doing so in writing, Consultant shall perform same on a time and materials basis at the rates set forth on Exhibit "A". All compensation for Additional Services shall be paid monthly as billed. 3. Administration of Contract The City hereby designates the General Manager of the Otay Ranch, or his written designee, as its representative for the review and administration of the work performed by Consultant herein required. 4. Term Consultant shall perform all of the Defined Services herein required of it by not later than December 31, 1991, and shall abide by and comply with any interim time frames and milestone dates that are or may be set forth in Exhibit "A". 5. Financial Interests of Consultant Consultant warrants and represents that neither he, nor his immediate family members, nor his employees or agents ("Consultant Associates") presently have any interest, directly or indirectly, whatsoever in the property which is the subject matter of the Project, or in any property within 10 radial miles from the exterior boundaries of the property which is the subject matter of the Project, or ("Prohibited Interest") except as listed on an attachment. Consultant further warrants and represents that no promise of future employment, remuneration, consideration, gratuity or other reward or gain has been made to Consultant or Consultant Associates. Consultant promises to advise City of any such promise that may be made during the Term of this Agreement, or for 12 months thereafter. Consultant agrees that neither Consultant nor his immediate family members, nor his employees or agents, shall acquire any such Prohibited Interest within the Term of this Agreement, or for 12 months after the expiration of this Agreement. - 3 - /2,7 Consultant may not conduct or solicit any business for any party to this Agreement, or for any third party which may be in conflict with Consultant's responsibilities under this Agreement. 6. Hold Harmless Consultant shall defend, indemnify and hold harmless the City, its elected and appointed officers and employees, from and against all claims for damages, liability, cost and expense (including without limitation attorneys' fees) arising out of the conduct of the Consultant, or any agency or employee, subcontractors, or others in connection with the execution of the work covered by this Agreement, except only for those claims arising from the sole negligence or sole willful conduct of the City, its officers, or employees. Consultant's indemnification shall include any and all costs, expenses, attorneys' fees and liability incurred by the City, it officers agents, or employees in defending against such claims, whether the same proceed to judgment or not. Further, Consultant at its own expense shall, upon written request by the City, defend any such suit or action brought against the City, its officers, agents, or employees. Consultants' indemnification of City shall not be limited by any prior or subsequent declaration by the Consultant. 7. Termination of Agreement for Cause If, through any cause, Consultant shall fail to fulfill in a timely and proper manner his/her obligations under this Agreement, or if Consultant shall violate any of the covenants, agreements or stipulations of this Agreement, City shall have the right to terminate this Agreement by giving written notice to Consultant of such termination and specifying the effective date thereof at least five (5) days before the effective date of such termination. In that event, all finished or unfinished documents, data, studies, surveys, drawings, maps, reports and other materials prepared by Consultant shall, at the option of the City, become the property of the City, and Consultant shall be entitled to receive just and equitable compensation for any work satisfactorily completed on such documents and other materials up to the effective date of Notice of Termination, not to exceed the amounts payable hereunder, and less any damages caused City by Consultant's breach. 8. Errors and Omissions In the event that the Deputy City Manager determines that the Consultants' negligence, errors, or omissions in the performance of work under this Agreement has resulted in expense to City greater than would have resulted if there were no such negligence, errors, omissions in the plans or contract specifications, Consultant shall reimburse City for the additional expenses incurred by the City. Nothing herein is intended to limit City's rights under other provisions of this agreement. " 4 - 12.-f 9. Termination of Agreement for Convenience of City City may terminate this Agreement at any time and for any reason for giving specific written notice to Consultant of such termination and specifying the effective date thereof, at least thirty (30) days before the effective date of such termination. In that event, all finished and unfinished documents and other materials described hereinabove shall, at the option of the City, become City's sole and exclusive property. If the Agreement is terminated by City as provided in this paragraph, Consultant shall be entitled to receive just and equitable compensation for any satisfactory work completed on such documents and other materials to the effective date of such termination. Consultant hereby expressly waives any and all claims for damages or compensation arising under this Agreement except as set forth herein. 10. Assignability The services of Consultant are personal to the City, and Consultant shall not assign any interest in this Agreement, and shall not transfer any interest in the same (whether by assignment or novation), without prior written consent of City which City may unreasonable deny. 11. Ownership, Publication, Reproduction and Use of Material All reports, studies, information, data, statistics, forms, designs, plans, procedures, systems and any other materials or properties produced under this Agreement shall be the sole and exclusive property of City. No such materials or properties produced in whole or in part under this Agreement shall be subject to private use, copyrights or patent rights by Consultant in the United States or in any other country without the express written consent of City. City shall have unrestricted authority to publish, disclose as may be limited by the provisions of the Public Records Act, distribute, and otherwise use, copyright or patent, in whole or in part, any such reports, studies, data, statistics, forms or other materials or properties produced under this Agreement. 12. Independent Contractor City is interested only in the results obtained and Consultant shall perform as an independent contractor with sole control of the manner and means of performing the services required under this Agreement. City maintains the right only to reject or accept Consultant's work products). Consultant and any of the Consultant's agents, employees or representatives are, for all purposes under this Agreement, an independent contractor and shall not be deemed to be an employee of City, and none of them shall be entitled to any benefits to which City employees are entitled including but not limited to, overtime, retirement benefits, workers compensation benefits, injury leave or other leave benefits. - 5 - J2...Q 13. Responsible Charge Consultant hereby designates that Daniel Marum shall be Consultant's representative ("Project Manager") to the project for the duration of the project. No substitution for this position shall be allowed without written approval from the City. 14. Administrative Claims Requirements and Procedures No suit or arbitration shall be brought arising out of this agreement, against the City unless a claim has first been presented in writing and filed with the City of Chula Vista and acted upon by the City of Chula Vista in accordance with the procedures set forth in Chapter 1.34 of the Chula Vista Municipal Code, as same may from time to time be amended, the provisions of which are incorporated by this reference as if fully set forth herein, and such policies and procedures used by the City in the implementation of same. Upon request by City, Consultant shall meet and confer in good faith with City for the purpose of resolving any dispute over the terms of this Agreement. 15. Attorney's Fees Should that dispute result in litigation, it is agreed that the prevailing party shall be entitled to recover all reasonable costs incurred in the defense of the claim, including costs and attorney's fees. 16. Statement of Costs In the event that Consultant prepares a report or document, or participates in the preparation of a report or document as a result of the scope-of-work required of Consultant, Consultant shall include, or cause the inclusion, in said report or document a statement of the numbers and cost in dollar amounts of all contracts and subcontracts relating to the preparation of the report or document. - 6 - , Z-/IJ SIGNATURE PAGE TO AGREEMENT Willi JHK & ASSOCIATES, INC. JRK & Associates (illK) has prepared this progress report to document the current status of our Transportation Review Project on the Otay Ranch submittal as of March 31, 1991. JRK & Associates has been working continuously on this project since September 1989. Over the past 19 months, JRK has organized and directed the activities of the Transportation Subcommittee for the Otay Ranch project. Our role as the coordinator of the subcommittee involved directing a series of technical workshops which have been held approximately every two to four weeks since the beginning of the project. As requested by the Transportation Subcommittee, JRK has prepared various technical reports to aid in the review of the transportation plan for the proposed Otay Ranch and accurately determine the impacts of the proposed plan. The following section documents illK's progress to date. SUMMARY OF PROGRESS TO DATE Scone of Work - Oril:inal Contract illK has completed all work activities associated with the original contract. During the fIrst ten month phase of this project, JRK has responded to all issues that have been raised by the Transportation Subcommittee. In an' attempt to summarize all of these issues, illK has recently prepared a document entitled "Technical Summary of the Transportation Analysis for the Otay Ranch General Plan Amendment." This technical document is currently under review by the Transportation Subcommittee and will be available for distribution ion in February 1991. The following table identifies the four phases for which illK was originally contracted, along with the estimated budget by phase and the percent complete for each phase as of April 30, 1990. 12....12.- 8989 Rio San Diego Drive . As shown on the tabular listing above, JHK has expended 100 percent of the available budget Scone of Work - Continued Coordination of Transnortation Subcommittee (Addendum No. 1) In addition to the $43,000 expended through April 30, 1990, JHK has continued to provide professional traffic engineering services to the Interjurisdictional Task Force through June 30, 1990. A summary of the additional expenses (Addendum No.1) incurred by lliK during May and June of 1990 are provided below. Transnortation Modeline- of Proiect Alternatives (Addendum No.2) ffiK & Associates (ffiK) has prepared a summary describing the additional transportation engineering services provided on the referenced project. This letter contains a scope of work describing the additional tasks performed by JHK during this phase of the project. These new tasks require additional project funding as the original scope of work did not provide for the analysis of project alternatives. An alternative land use and circulation plan (Project Team Alternative) was developed for the Otay Ranch project in an attempt to further mitigate the impacts that were identified from our detailed review of the proposed plan which was submitted in October 1989. This document details the Scope of Work completed by JHK and summarizes all associated costs. The following task descriptions document the services to be provided by JHK. The work performed by JHK in this phase of the project involved the coordination of all transportation modeling activities with the San Diego Association of Governments (SANDAG). All previous transportation modeling for the Otay Ranch project has been performed using the SANDAG subregional travel forecasting model TRANPLAN. It was recommended that the TRANPLAN model continue to be utilized in the testing and evaluation of future land use alternatives for Otay Ranch. JHK worked closely with the SANDAG staff in performing these modeling runs of the project alternatives. Our role on this phase of the project can be summarized as follows: . Network Coding - JHK & Associates provided SANDAG with the required information to accurately code all network modification for the Project Team Alternative. . Land Use Coding - JHK & Associates provided SANDAG with accurate land use information for each Transportation Analysis Zone (T AZ) that is affected by new land use modifications, densities and patterns. . T AZ Modifications - JHK & Associates provided SANDAG with a modified T AZ structure as required by the alternative land use plan developed for the Otay Ranch Project Team Alternative. . Network Sizing - JHK & Associates provided SANDAG with initial network sizing requirements for the alternative evaluated. Based on the model results and the final traffic assignment, ffiK determined ultimate requirements in terms of roadway classification for each link in the network for the Project Team Alternative. . Computer Modeling - As recommended by the Otay Ranch Interjurisdictional Task Force, JHK utilized the services of SANDAG and the regional transportation forecasting model (TRANPLAN) to perform network and land use testing for the Project Team Alternative. IZ-IV- j hk & associates Mr. Tony Letteri April I, 1991 Page 4 The results of this process provided RBF and the Transportation Subcommittee with base information on which accurate evaluation and determination of impacts were performed. A detailed cost estimate has been prepared to document the manhours required to perform these tasks as shown on the following table. The total project budget of $ 12,271.60 was required to provide these services to RBF. It is important to note that as of July 31, 1990, 100 percent of this budget had been expended by JHK in the analysis of the Project Team Alternative. This proposal contains a Scope of Work describing the additional tasks performed by JHK during this phase of the project. These new tasks require additional project funding as the original Scope of Work did not provide for the analysis of project alternatives. It is anticipated that the Progress Plan Alternative will be the focus of this phase of the Otay Ranch project. JHK & Associates will assist the Project Team in the identification of impacts and recommended mitigation measures for this proposed plan. Also, JHK will continue our role as the coordinator of the Transportation Subcommittee in the future to review new alternative land use and circulation plans for the Otay Ranch. This proposal document details the Scope of Work to be completed by JHK and summarizes all associated costs. The following task descriptions document the anticipated services to be provided by JHK. Addendum No.3 is effective through December 31, 1990. And Addendum No.4 is effective through March 31, 1991. It is our intention to complete the tasks in Addendum Nos. 3 & 4 before March 31, 1991. SCOPE OF WORK . DeveloD ProHess Plan/Coordinate TransDortation Subcommittee (Addendum No.3) The following tasks will be performed by JHK & Associates as part of the Otay Ranch Project Team. The focus of this new work is the Progress Plan Alternative which has recently been developed by the Project Team. Task 1 - Develop ProlITess Plan Alternative JHK & Associates has expended approximately 70 hours over a three-month period (September, October, November) in monitoring the development of the Progress Plan Alternative. Attend State Route 125 Meetings with the Otay Mesa Task Force (3) - It is important to recognize that this Addendum No.3 only assigns one of the three State Route 125 meetings to the Gtay Ranch project. Thus, approximately six hours of JRK professional staff time has been removed from the Gtay Ranch project for this function. . Transportation Demand Management Research for the County of San Diego Task 2 - Subcommittee Coorclination Over a five month period from July, August, September, October, and November, JRK continued in the role of coordinating the Transportation Subcommittee activities. Committee meetings were held approximately every two to three weeks in the months of July and August and one meeting was held in September 1990. These meetings dealt with the final evaluation of the original Baldwin submittal and network alternatives. Meetings also dealt with the final evaluation of the Technical Report prepared by JRK for the project team. These Transportation Subcommittee meetings also dealt with the review and preliminary evaluation of the Project Team Alternative and the Phase I Progress Plan. This task also involved the final production of the Transportation Analysis for the Otay Ranch General Plan Amendment. In completing these work efforts, JRK expended 100 professional staff hours. SCOPE OF WORK - Review Collaborative Alternative and Model (Addendum No.4) Task 1 - Review Collaborative Alternative JRK & Associates assisted Urban Systems Analysis with the preparation of the modeling information for testing of the Progress Plan Alternative by SANDAG. Our assistance on this task occurred over a two to three week period. Additionally, JRK in cooperation with Urban Systems Analysis prepared new modeling input factors too be submitted to SANDAG, based on the recommendations developed by the Executive Staff Committee and the Transportation Subcommittee. JRK & Associates also proofed and authorized the modeling work for the testing of the revisions. 12..-IS' jhk & associates Mr. Tony Letteri April 1, 1991 Page Three Task 2 - Approve/Authorize Modeling- As a result of our involvement on Task 1, JHK & Associates approved all final input information provided to SANDAG for the transportation modeling of the Phase I Progress Plan Alternative. JHK performed the fmal proofing of all information to be utilized by SANDAG in their modeling of the Phase I Progress Plan Alternative. This task occurred over a one-week period. Task 3 - Present Collaborative Alternative JHK & Associates presented the Collaborative Alternative to the Transportation Subcommittee in coordination with the Otay Ranch Project Team. Our presentation to the Transportation Subcommittee focused on the coding work that occurred in Tasks 1 and 2. Both the transportation network and the transportation analysis zone structure were described in detail for this presentation to the Transportation Subcommittee. Specific emphasis was placed on the identification of the loading points for each T AZs access to the network. Task 4 - Review SANDAG Products JHK & Associates reviewed the travel forecasting output material generated by SANDAG for the Phase I Progress Plan Alternative. The review process focused on identifying impacts and developing preliminary recommendations. This task occurred over a one-week period. Also, in this task, JHK requested relevant summary information from the transportation model as provided by SANDAG. Task 5 - Attend Project Reiated Meeting:s JHK & Associates attended project related meetings including Executive Staff Meetings (1), Agency Meetings (1), and Project Coordination Meetings (3). Task 6 - Continued Subcommittee Coordinator JHK & Associates continued to coordinate the aCUVIues of the Transportation Subcommittee between January 1, 1991 and March 31, 1991. It is envisioned that meetings will be held on a twice a month basis through August and then on a monthly basis for the duration of the project. All future planning issues will be presented to the Subcommittee for review and input prior to the development of Technical Reports. Task 2 - Transportation Topics of the Proposed Work Plan The following transportation related topics will be addressed by JHK as directed by the Otay Ranch General Manager. All technical analyses and Subcommittee input will be documented for inclusion in Technical Reports by JHK. Subtask 2.1 - General Plan Amendment/Communitv Plan/GDP JHK & Associates will assist the Project Team in the development of the final Circulation Plan for the Otay Ranch GDP. Also, technical assistance will be provided by JHK in the formulation of development phasing requirements/restrictions. Our experience and background in applying the current Threshold Standards in the completion of the Years 1989 and 1990 Traffic Monitoring Programs for the City of Chula Vista will be of valuable assistance to the Project Team. Finally, JHK will provide input to the GDP in creating appropriate Growth Management Policies for the Otay Ranch Development Project. Subtask 2.2 - Citizen/Technical Committee Input JHK & Associates will represent the Transportation Subcommittee at other Citizen/Technical Committee meetings to relay critical findings and provide accurate direction on topics related to or topics that impact the Proposed Circulation Plan. This input will aid the decision making process and provide important information to all participants of the planning process. Topics to be addressed include: . Infrastructure . Land Use . JHK & Associates will also assist in the development of any sections specifically related to the final Circulation Plan for the Otay Ranch. Areas of JHK involvement include the following: . Number of Otay River Valley Crossings Task 4 - Attend Proiect Coordination Meetings The budget estimate for this phase of the Otay Ranch Planning Effort includes staff hours to allow JHK representation at Project Coordination Meetings to be held every two weeks over the nine month project schedule. These cooridination meetings will be held with representatives of the Project Team, City/County staff, and Technical Subcommittees. BUDGET SUMMARY. ADDENDUM NO.5 The following budget estimates are based on direction recieved from the Otay Ranch General Manager and our knowledge of the planning process. As required by the original contract document, JHK will provide written notification to the Otay Ranch General Manager as to the current status of the project and budget on a monthly basis.
