future development and alleviate traffic and circulation conditions in the
area, a proposed agreement has been negotiated between the Agency, Fuller
Ford, and Atomic Investments Inc. The proposed agreement will allow the
Agency to widen portions of Main Street. In exchange, Fuller and Atomic
will have the opportunity to expand their business operations and activities.

BACKGROUND
Increased development activify within the Otay Valley communify has prompted the need to w
portions of Main Street, generally belween Fuller Ford at 520 Auto Park Drive and the appro
Chula Vista Crossings Project at 4501 Main Street. In an effort to focilitate future development
address anticipated traffic and circulation needs for the communify, a proposed agreement
been negotiated belween the Agency, Fuller Ford (Fuller) and Atomic Investments Inc. (Atomic).
The agreement will allow the Agency to facilitote the widening of portions of Main Stree
exchange, Fuller and Atomic will have the opportunify to expand their business operations
activities. The result will lead to improved traffic and circulation conditions, which will better faci
future and ongoing development activify within the Otay Valley communify. The outcome will
provide the opportunify for a qualified ond experienced property owner to pursue developmen
the underutilized Shinohara property.

To facilitate the need to widen portions of Main Street between Fuller Ford (520 Auto Park Drive)
and the approved Chula Vista Crossings Project (4501 Main Street), Fuller and Atomic have
agreed to dedicate to the City an approximately 10-ft right-of-way over the northern portion of
their respective properties. Fuller has ogreed to a lot line odjustment that would tronsfer to
Atomic a 22.5-ft portion of the western side of their property.
In exchonge for the Fuller dedication along Main Street, the Agency has agreed to assign to Fuller
its Option to Purchase the Shinohara property, which is located just south of the Fuller property.
The Option was part of a settlement the Agency acquired from the Shinohara Estate. The
property is landlocked, and the best use of the property would be to combine it with the adjacent
Fuller property. The agreement also references that stoff will process in early Maya summary
vacation of several easements near Fuller's property that will either be replaced or no longer
needed.
The proposed agreement between the Agency, Fuller, and Atomic benefits all parties. Agency
transfer of its Option to Purchase the Shinohara property allows for the dedication of necessary
right-of-ways to widen portions of Main Street. The result will lead to improved area circulation
and traffic conditions for future development projects, such as the Crossings Project, the Auto
Pork Expansion, and other anticipated projects. Fuller and Atomic will benefit from the proposed
agreement, because it will allow them the opportunity to expand their business operations and
activities.
The proposed agreement will also provide the opportunity for a qualified and experienced
property owner to develop the underutilized Shinohara property. Since Fuller is the adjacent
property owner, they are in the best position to develop the landlocked property into a higher ond
better use. As a result, future development of the Shinohara property may result in an increase in
property and sales tax revenues for the City.
The Environmental Review Coordinator hos reviewed the proposed project for compliance with the
California Environmental Quality Act (CEQA) and has determined that the proposed project was
adequately covered in a previously adopted Final Environmental Impact Report (FEIR)-04-03. Thus,
no further environmental review or documentation is necessary.
FISCAL IMPACT
The proposed agreement between the Agency, Fuller, and Atomic facilitates the construction of
the necessary public street improvements that will meet the future needs of the Otay Valley
community. The proposed agreement will olso facilitate business exponsion and development,
which may translate into additional property ond sales tax revenues for the City.

WHEREAS, increased development activity within the Otay Valley community has
prompted the need to widen portions of Main Street, generally between Fuller Ford at 520 Auto
Park Drive and the Chula Vista Crossings Project at 4501 Main Street; and
WHEREAS, to facilitate future development and address anticipated traffic and
circulation needs for the community, an agreement has been negotiated between the Agency,
Fuller Ford, and Atomic Investments Inc.; and
WHEREAS, to facilitate the needed improvements to Main Street, Fuller and Atomic
have agreed to dedicate to the City an approximately 10-ft wide right-of-way over the northern
portion of their respective properties; and
WHEREAS, in exchange for the Fuller dedication, the Agency has agreed to assign to
Fuller its Option to Purchase the Shinohara property, which is located just south of the Fuller
property; and
WHEREAS, in exchange for the Atomic dedication, Fuller has agreed to transfer to
Atomic a 22.5-ft. portion of the western side of their property; and
WHEREAS, the agreement between the Agency, Fuller, and Atomic benefits the
community and the Otay Valley Area; and
WHEREAS, Agency transfer of its Option to Purchase the Shinohara property allows for
the dedication of necessary right-of-ways to widen portions of Main Street, which will improve
circulation and traffic conditions for future and ongoing development activity within the Otay
Valley community; and
WHEREAS, the agreement will also provide the opportunity for Fuller to pursue
development of the underutilized Shinohara property into a higher and better use; and
WHEREAS, the Environmental Review Coordinator has reviewed the proposed project

NOW, THEREFORE, BE IT RESOLVED by the Redevelopment Agency of the City of
Chula Vista that the Redevelopment Agency does hereby approve in the form presented the
agreement between the Redevelopment Agency of the City of Chula Vista, Fuller Ford, and
Atomic Investments Inc. for Dedication of Right-Of-Ways, Lot Line Adjustment, and Assignment
of Option to Purchase the Shinohara Property, a copy of which shall be kept on file in the Office
of the City Clerk.
BE IT FURTHER RESOLVED that the Mayor of the City of Chula Vista is hereby
authorized to execute said agreement for and on behalf of the Redevelopment Agency of the
City of Chula Vista.

AGREEMENT FOR DEDICATION OF RIGHT-GF-WAYS, LOT-LINE
ADJUSTMENT AND ASSIGNMENT OF OPTION TO PURCHASE
This "Agreement For Dedication of Right-of-Ways, Lot-Line Adjustment, and
Assignment of Option to Purchase" (the" Agreement") is made and entered into on this
.lfj day of AfllL. .2005, by, between, and among the Redevelopment Agency oftbe
City of Chula VISta, a political subdivision of the State of California ("Chula Vista"),
DGF Family Limited Partnership, a California limited partnership ("DGF'), and Atomic
Investments, Inc., a California corporation ("Atomic") (collectively, the "Parties").

A. DGF owns property located in the City of Chula Vista identified by the County
Assessor Parcel Number 644-042-03 (the "DGF Property").
B. Atomic owns property located in the City ofCbula Vista identified by the County
Assessor Parcel Number 624-060-45 (the "Atomic Property"). The Atomic
Property is adjacent to and west of the DGF Property.
C. Chula Vista wishes to widen portions of the public street commonly known as
"Main Street" for the benefit of the public and, to achieve that end, desires that
DGF grant to Chula Vista an easement over that portion of the DGF Property
more particularly described in Exhibit A to this Agreement ("DGF ROW"), and
that Atomic grants to Chula Vista an easement over that portion of the Atomic
Property more particular1y described in Exhibit B to this Agreement ("Atomic
ROW').

D. In return for the dedication of the DGF ROW, ChuIa Vista has agreed to assign to
DGF that certain "Option to Purchase Real Property and Purchase Agreement and
Escrow Instructions" effective November 13, 2000, between Chula Vista and Judi
S. Shinohara, Trustee U.T.D. October 21, 1987, Trust No. 2 ("Option
Agreement") whichconcems the property more particularly described in Article
1.1 of the Option Agreement. For purposes of this Agreement, the Option
Agreement includes the extensions and modifications contained in the "Extension
of Option Agreement" dated July 13, 2004.
E. DGF has agreed to assist Chula Vista in obtaining dedication of the Atomic ROW
by agreeing to transfer to Atomic that portion of the western side of the DGF
Property more particularly described in Exlubit C to this Agreement (the "Lot-
Line Adjustment Property") pursuant to the terms and conditions described in this
Agreement.
DGF, Atomic and Chula Vista agree that the grant of easement over the DGF
ROW, grant of easement over the Atomic ROW, transfer of the Lot-Line
Adjustment Property, approval of the grading permit for work re1ated to the Lot-
Line Adjustment, assig,.."ent of the Option Agreement ("Option Assignment"),
vacation of Rights of Way (Paragraph 1 0), and payment by DGF to Atomic, as

described below, individually are conditions precedent fur each of the other
actions to be taken under this Agreement, and that all of these actions must be
completed before any of the transfers of land described in this Agreement can
occur.
NOW, THEREFORE, in consideration of the foregoing recitals, which are
incorporated into this Agreement, and other good and valuable consideration, the receipt
and sufficiency of which are hereby acknowledged, DGF, COOla Vista, and Atomic agree
as follows:
AGREEMENT
A. Dedication of Right-of -Ways.
1. DGF ROW Easement.
DGF shaIJ execute and deliver to Chula Vista and the Escrow Holder all
documents necessary to complete the grant of easement of the Fuller ROW to COOla
Vista (the "DGF ROW Easement"). Such grant of easement shall be effective upon
delivery at the Close of Escrow.
2. Atomic ROW Easement.
Atomic shall execute and deliver to Cbula Vista and the Escrow Holder all
documents necessary to complete the grant of easement of the Atomic ROW to COOla
Vista (the" Atomic ROW Easement"). Such grant of easement shall be effective upon
delivery at the Close of Escrow.
3. Construction ofRirpn ofWa.y Easement.
The City shall ensure that all permits required to perform any work permitted
within. the Atomic ROW Easement and the DGF ROW Easement are obtained at no
expense to grantors, and shall cause any such work to be completed in a good and
workmanlike manner, free and clear of liens, claims, security interests or encumbrances
in favor of any contractor, subcontractors, materialmen, or other persons mlllcing a claim
by reason ofhaving provided labor, materials and equipment relAting to such work.
Prior to tiling the notice of completion for the improvements in the DGF and
Atomic ROW Easements, the City shall remove or cause to be removed all equipment,
supplies, materials and debris and leave Grantors' property in a clean, safe and sanitary
condition.
The City or its designee shall be solely responsible, at its sole cost and expense,
fur maintaining, repairing, and replacing all improvements and landscaping installed by
contractor and transferred to the City within any of the areas described in Exhibit A and
B (the "ROW Easement Areas").

B. Lot-Line AdjUltllleut.
4. Lot-Line Adiustment.
OOF shall execute and deliver to Atomic, ChuJa Vista and the Escrow Holder all
documents required to complete the Lot-Line AdjuRhnP.nt (Grant Deed of Lot Line
Adjustment attached hereto as Exhibit "0"). Chula Vista shall deposit in escrow an
approved plot showing the Lot Line Adjustment in substantially the form shown in
Exhibit C attached hereto, The Lot-Line Adjustment Property shall be transferred to
Atomic at the Close of Escrow. Such transfer shall be subject to the terms and CODditions
of this Agreement. The property shall be transferred free and clear of all liens,
exceptions, covenants, conditions and restrictions except easements and assessments of
record and any other exceptions approved by Atomic.
DGF hereby represents and warrants that to the best ofDGF's knowledge: (a) it
owns fee title to the Lot-Line Adjustment Property and that no other party has any right, .
title, or interest thereto, whether recorded or umecorded, direct or indirect; (b) Fuller is
duly authorized to transfer the Lot-Line Adjustment Property to Atomic upon ChuJa
Vista's approval of the Lot-Line Adjustment; (c) DGF has not incurred any obligation in
coMection with the transfer of the Lot-Line Adjustment Property for any broker's
commission or finder's fee; (d) there are no hazardous materials or substances in or on
the Lot-Line Adjustment Property; and (e) there is no litigation pending in any court. of
applicable jurisdiction that affects or will affect the Lot-Line Adjustment Property.

After the Close of Escrow, DGF shall cOmmence construction, at its cost, a
"keystone" type retaining wall, the extent and location of which are described more
particularly in Exhibit D to this Agreement and in the grading plan to be submitted by
Atomic for the approval of the City ofChula VISta pursuant to Section 6 below ("Grading
Plan") (the "Wall"), DGF shall have the sole right to select a contractor to construct the
Wall. Atomic hereby grants to OOF and its contractors the right to access the Atomic
Property in order to complete construction of the Wall. DGF or its contractor shall
notify Atomic at least 24 hours prior to beginni11g work on the Wall.
6. Gradins Prior to Construction of the Wall.
Atomic shall grade the area where the Wall will be constructed in accordance
with the approved Grading Plan. Prior to the Close of Escrow, Atomic shall provide
OOF with evidence that the City of Chula Vista has approved the Grading Plan which
allows completion of the required grading and construction of the Wall. City approval
will be in the form of a signed grading permit. DGF shall have no responsibility to begin
construction of the Wall until the required area of the Atomic Property bas been graded in
accordance with the approved Grading Plan.

7. MAint"""n"" of the Wall.
Following completion of construction of the Wall, Atomic shall have full
responsibility for landscaping, maintaining and/or repairing the Wall. DGF shall have no
responsibility for landscaping, maintAining and/or repairing the Wall
8. Easement on DGF Property.
Because portions of the fabric mesh that is integra1 to the const:nu.:tion of the Wall
will be installed and will remain on the DGF Property, DGF agrees to grant an easement
to Atomic ("Easement for Wall Support and Maintenance" in the form attached hereto as
Exhibit J) to allow this fabric mesh to remain on the DGF Property and to prevent DGF
from excavating or drilling within the Easement for Wall Support in any manner that
would dam"8e the fabric mesh and to allow Atomic to maint.ain the fabric mesh as
reasonably necessary. OOF shall record such aD. Easement for Wall Support and
Maintenance within five days of completing construction of the Wall.
9. Pavrnent to Atomic.
In addition to paying for the construction of the Wall and granting the Easement
for Wall Support and Maintenance, DGF shall pay Atomic the difference between
$115,000 and the cost to complete the Wall, except that DGF shall pay Atomic at least
$35,000, and no more than $40,000 if the cost of the Wall is $75,000 or less. DGF shall
provide the Escrow Holder with a cashier's check for$35,OOO made payable to Atomic,
which shall be released to Atomic -at the Close of Escrow. If any supplemental payment is
required based on the calculation above, DGF shall make such payment to Atomic by
cashier's check within five business days of the date the Wall is completed.
10. Chula Vista Vacation of Auto Park Way. Parking and Em~ency Access
Areas. and Sewer Pun1p Station.
Chula Vista shall process a Summary Vacation of all rights, title and interest to its
right of way within Auto Park Drive, said area having been dedicated to the Chu1a Vista
per document No. 1995-0177682, recorded on April 27, 1995, and will bring this
Summary Vacation before The City of Chula Vista City Council for consideration on
May 10, 2005, or a soon thereafter as possible. Said vacation is more particularly
described in the Description of Summary of Vacation of ROW area attached hereto as
Exhibit G.
City further agrees to process a $ummary vacation of all rights, title and interest to
the parking area located at the southerly end of Brandywine Avenue and Emergency
Access Areas said area having been dedicated to the Chula Vista per document No. 1995-
0177682, recorded on April 27, 1995, and will bring this Summary Vacation before The
City ofChula Vista City Council for consideration on May 10,2005, or a soon thereafter
as possible. Said vacation is more particularly described in the description of Sumnmry
Vacation of ROWand Parking and Emergency Access Areas attached hereto as
Exhibit G.

Chula V 1Sta further agrees to vacate all rights, title and interest to a portion of its
sewer pump station and ea......eoots on the. DGF property ("Existing Sewer Easement")
described within Exhibit H attached hereto, in exchange for DGF's agreement to grant to
Chula Vista a twenty foot wide easement for sewer pipeline and appurtances to complete
Chula Vista's Auto Park Gravity Sewer Project SW-219 ("New Sewer P-"genteDt"). Said
New Sewer Easement location is more particularly described in the Draft Grant of
Easement attached hereto as Exhibit I.
C. Alsipment or Option.
11. Assignment.
Chula Vista hereby assigns, grants, transfers, conveys and pledges to DGF all of
Chula Vista's present rights and duties and obligations to exercise its option to purchase
the Option Property pursuant to the Option Agreement and Assignment of the Option to
DGF shall be effective at the Close of Escrow. Chula Vista shall ensure that notice of the
Option Assignment is provided as required by the Option Agreement. The Assignment
of Options shall be in the form provided in Exhibit F attached hereto.
12. Conditions Precedent to Assignment of Qption.
Chula Vista shall ensure and warrant to DGF that all property taxes and/or
assessments on the Option Property are paid in full up to the date of the Close of Escrow
and that there are no existing liens on the Option Property as of the Close of Escrow. As
part of the Option Assignment, DGF shall not assume any outstanding tax assessment or
monetary lien obligations on the Option Property.
D. Escrow.
13. Opening of Escrow.
Within three (3) business days after the execution of this Agreement by all
Parties, the Parties shall cause an escrow to be opened for the completion of the
transactions contemplated by this Agreement by delivering a fully executed copy of this
Agreement to Jeff White, Title Officer, Fidelity National Title, who sball be the Escrow
Holder. To the extent any future supplemental escrow instructions conflict with any
provisions of this Agreement, this Agreement shall control unless such supplemental
instructions expressly amend this Agreement.
14. Close of Escrow.

For purposes of this Agreement, the Close of Escrow means the date that the
Escrow Holder (a) bas received all documents DeC."--\l'}' to ~tllte (i) the assignment
of the Option Agreement to DGF, (ii) the payment by DGF to Atomic required by
Paragraph B.8 of this Agreement and (iii)evidence of Summary Vacation of Auto Park
Drive and Parking and Emergency Access Areas; and (b) thereafter bas recorded in the
Official Records of the San Diego County Recorder those d""'""""'tJ evidencing (i) the
dedication of the DGF ROWand the Atomic Easement to ChuIa Vista, and (ii) the

transfer of the Lot-Line Adjustment Property from DGF to Atomic. Escrow Holder shall
receive instructions signed by all parties with more specific required sequence of
recording and release of documents held in Escrow. At the Close of Escrow, Escrow
Holder shall promptly. issue to Atomic the payment from DGF described in Paragraph
B.9.
E. Representations and Warranties.

DGF represents, warrants, and covenants that it bas the legal and requisite power,
right and authority to grant the DGF Easement, execute the documents that will resuh in
the Lot-Line Adjustment and the transfer of the Lot-Line Adjustment Property, to the
extent those documents must be executed by DGF, and otherwise enter into and
consummate the transactions contemplated by this Agreement.
16. Atomic's R~JOtions and WarrantiM
Atomic represents, warrants, and covenants that it has the legal and requisite
power, right and authority to grant the Atomic Easement, execute the documents that will
result in the Lot Line Adjustment and accept the transfer of the Lot-Line Adjustment
Property, to the extent those documents must be executed by Atomic, and otherwise enter
into and consummate the transactions contemplated by this Agreement.
17. Chllla Vista's RI;pr_ations and WarJ'llnties.
Chula Vista represents, warrants, and covenants that (a) it has the exclusive right
and option to purchase and acquire the Option Property, (b) it has the legal right, power
and authority to assign its rights under the Option Agreement, (c) it has not, as of the
close of escrow, transferred, conveyed, f!nr.llmhered, assigned or released any interest in
the Option Property or the Option Agreement; (d) as of the close of escrow, there are no
outstanding tax payments due or monetary lien obligations on the Option Property, and
(e) it bas the legal right, power and authority to otherwise enter into and consummate the
transactions contemplated by this Agreement
F. General Conditions.
18. Time of the Essence.
Time is of the essence with regard to the performance by CIwla Vista, Atomic,
and DGF of their respective obligations under this Agreement.
19. Notices.
Any notices between the Parties pursuant to this Agreement must be in writing
and delivered either personally or by United States mail, registered or return receipt
requested, postage fully prepaid, or by a nationally recognized overnight courier service,
and addressed as follows:

20. Amendment or Modification of A2reement.
This Agreement may be amended or modified only by a written instrument signed
by DGF, Chula Vista and Atomic. Any such written amendment will modify only the
provisions of the Agreement specifically modified, and will be deemed to incorporate by
reference, unchanged, all remaining provisions of the Agreement.
21. Survival ofTenns.
Except as otherwise provided in this Agreement, the terms and representations
and warranties in this Agreement shall survive and remain enforceable after the Close of
Escrow.

22. Suc~.~ and Assi...,,,.
This Agreement is binding upon and will inure to the benefit of COOla Vista,
DGF, and Atomic and their respective successors, assigns, transferees and designees.
23. Inte(pretation.
This Agreement has been reviewed by DGF, COOla Vista, and Atomic and their
respective attorneys, and they have had full opportunity to negotiate the contents of this
Agreement. DGF, Atomic, and ChuIa Vista waive any common law or statutory rule of
construction that ambiguity will be construed "8I'ina the drafter of this Agreement, and
acknowledge that, for purposes of any such rule, DGF, Chula Vista and Atomic
contributed equally to the drafting of this Agreement.
24. Waiver.
The failure ofDGF, Atomic or COOla Vista to insist on the strict performance of
any covenant or duty required by this Agreement, or to pursue any remedy under this
Agreement, shall not constitute a waiver of the breach or remedy.
25. GoveminlzLaw.
Interpretation and pe.fomumce of this Agreement will be governed and controlled
by and construed and interpreted according to the laws of the State of Califomia. Venue
for any action regarding the enforcement of this Agreement shall be in the CoUnty of San
Diego, State of California.
26. Entire A2reement.
This Agreement contains the entire agreement between DGF, Atomic, and Chula
VISta, and supersedes any and all prior written or oral agreements or understandings
between them, concerning the subject matter of this Agreement. There are no
agreements, arrangements or underallndings, oral or written, between DGF, Atomic, and
Chula Vista, or any of them, relating to the subject matter of this Agreement that are not
fully expressed in this Agreement.
27. Furth.... Acts.
pGF, Chula Vista, and Atomic shall perform any further acts and sign and deliver
any other documents that are reasonably necessary to carry out the provisions and intent
of this Agreement.

EXHIBIT F
ASSIGNMENT OF OPTION TO PURCHASE
ASSIGNMENT OF OPTION TO PURCHASE
This "Assignment of Option to Purchase" ("Assignment") is effective as of this
I If day of April, 2005, and is executed by the Redevelopment Agency of the City of
Chula Vista, a political subdivision of the State of California ("Chula Vista" or
"Assignor"), in favor of DGF Family Limited Partnership, or its designation ("Fuller"),
(collectively referred to as "Parties") with reference to the following:
RECITALS
A. Chula Vista and Judi S. Shinohara, Trustee D.T.D. October 21, 1987,
Trust No, 2 ("Shinora''), entered into that certain Option to Purchase Real
Property and Purchase Agreement and Escrow Instructions, effective as of
November 13, 2000 (the "Option Agreement"), pursuant to which,
Shinohara granted to Chula Vista, and Chula Vista acquired from
Shinohara, the exclusive right and option to purchase and acquire the
unimproved real property located in the City of Chula Vista, identified as
the "Remainder Parcel" on Parcel Map No. 17197, attached as Exhibit
"A" to this Assignment, and more particularly described in Exhibit "B" to
this Assignment (the "Option Property").
B. Shinohara and Chula Vista made and entered into the Extension of Option
Agreement, dated July 13, 2004 (the "Extension Agreement"), pursuant to
which, Chula Vista's right and option to purchase the Property, as granted
in the Option Agreement, is extended to July 27,2006.
C. On April I g , 2005, Fuller Ford and Chula Vista entered into the
"Agreement for Dedication of Right of Ways, Lotline Adjustment and
Assignment of Option to Purchase" (the "Agreement"). Pursuant to that
Agreement, Chula Vista agreed to assign its rights and obligations under
the Option Agreement and Extension Agreement to Fuller, upon Fuller's
satisfaction of certain duties and obligations.
D. In consideration for the Assignment, Fuller agreed to dedicate to Chula
Vista a portion of its property, identified as Parcel 3 on Parcel Map No.
17197 (defined in the Agreement as the "Fuller ROW"), and agreed to a
lot line adjustment, affecting the western boundary of the Fuller Property
(defined in the Agreement as the "Lot Line Adjustment").
E. As of the date of this Assignment, Fuller has satisfied its obligations under
the Agreement to effect the conveyance of the Fuller ROWand the Lot
Line Adjustment have been executed.
F. Fuller desires to acquire from Chula Vista, 'and Chula Vista desires to
assign to Fuller, Chula Vista's option to purchase the Option Property, as

granted in the Option Agreement and as extended pursuant to the
Extension Agreement.
ASSIGNMENT
NOW, THEREFORE, in consideration of the foregoing recitals and other good
and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, Chula Vista declares, covenants and agrees as follows:
1. For valuable consideration, Chula Vista hereby assigns, grants, transfers,
conveys and pledges to Fuller all ofChula Vista's present rights, duties and obligations to
purchase the Option Property, pursuant to the Option Agreement and the Extension
Agreement ("Assigned Rights"). This Assignment shall immediately vest in Fuller or its
designee the right to exercise Chula Vista's option to purchase the Option Property.
2. Assignor represents and warrants that it currently has the exclusive right
and option to purchase and acquire the Option Property and that it has the legal right,
power and authority to assign that right and option, and otherwise enter into and
consummate the transactions contemplated by this Assignment.
3. Assignor further represents and warrants that it has not, prior to this
Assignment, transferred, conveyed, encumbered, assigned or released any interest in the
Assigned Rights.
GENERAL PROVISIONS
4. Amendment.
This Assignment may be amended only by a written instrument signed by
Fuller and Chula Vista. Any such written amendment will modify only the provisions of
the Assignment specifically modified, and will be deemed to incorporate by reference,
unchanged, all remaining provisions of the Assignment.
5. Successors and Assigns.
This Assignment is binding upon and will inure to the benefit of Chula
Vista and Fuller, and their respective successors, assigns, transferees and designees.
6, Interoretation.
This Assignment has been reviewed by Fuller and Chula Vista and their
respective attorneys, and they have had full opportunity to negotiate the contents of this
Assignment. Fuller and Chula Vista waive any common law or statutory rule of
construction that ambiguity will be construed against the drafter of this Assignment, and
acknowledge that for purposes of any such rule Fuller and Chula Vista contributed
equally to the drafting of this Assignment.
7. Full Force and Effect.

If any term or provision of this Assignment becomes, or is held by any
court of competent jurisdiction to be illegal, null or void, the remaining terms and
provisions of the Assignment will remain in full force and effect.
8. Governing Law.
Interpretation and performance of this Assignment will be governed and
controlled by and construed and interpreted according to the laws of the State of
California. Venue for any action regarding the enforcement of this Assignment shall be
in the County of San Diego, State of California.
9. Entire Agreement.
This Assignment contains the entire agreement between Fuller Ford and
Chula Vista, and supersedes any and all prior written or oral agreements or
understandings between them, concerning the subject matter of this Assignment. There
are no agreements, arrangements or understandings, oral or written, between Fuller Ford
and Chula Vista relating to the subject matter of this Assignment that are not fully
expressed in this Assignment.
10. Counterparts.
This Assignment may be signed in counterparts, each of which will
constitute an original, but all of which together will be on and the same document.
IN WITNESS WHEREOF, this Assignment of Option to Purchase is made and
entered into on the date first written above.

EASEMENT FOR WALL SUPPORT AND MAINTENANCE
DGF Family Limited Partnership, a California Limited Partnership, ("Grantor")
owns certain real property located in San Diego County, California, as more particularly
described on Exhibit A attached hereto and incorporated herein by this reference. Atomic
Investments, Inc., a California Corporation, ("Grantee") owns certain real property located in
San Diego County, California, as more particularly described on Exhibit B attached hereto and
incorporated herein by this reference, that is adj acent to the property owned by Grantor.
Grantor, for and in consideration of the sum of One Dollar and other valuable
consideration the receipt and adequacy of which are hereby acknowledged, does hereby grant
and convey to Grantee, the right, easement and privilege to allow upon certain portions of
Grantor's property as shown on Exhibit C, attached hereto, the construction, maintenance, repair
and replacement of the fabric mesh ("geo-grid") that is integral to the construction of the
keystone retaining wall located upon Grantor's property along the boundary between Grantor's
and Grantee's properties.. Said wall will be constructed on Grantee's property by Grantor
pursuant to the grading plans identified as approved by the City of Chula Vista.
Such easement shall extend for the length of the wall along the western boundary Grantor's
property, which for the purposes of this easement is identified as the top of the wall, to a width of
seventy percent of the wall height as measured from the base of the wall on Grantee's property.
In no event shall the easement extend eastward more than eight feet from the top of the of the
constructed wall. Grantor reserves the right to locate fence poles for a chain link fence at the top
of the wall, and to excavate as necessary for the installation of overhead lighting, so long as
Grantor coordinates with the geo-grid manufacturer to ensure that the stability of the wall is not
affected by said excavation.
Grantor shall have the right of full and free ingress and egress to and over said
easement, but agrees that it shall not excavate or drill within the easement or grant any other
rights or permit uses that would damage the fabric mesh.
This Easement does not provide a general right of access; however, Grantee shall
have the duty of maintaining the wall constructed pursuant to this Easement, and is hereby
granted access to the Easement Area for such maintenance as is reasonably necessary provided
Grantor is provided 72 hours' notice prior to entry for said maintenance. When such
maintenance is required, once commenced, it shall be completed in a continuous diligent manner
and shall minimize disturbance upon Grantor's property.

This Easement only becomes effective upon approval and execution by Atomic
Investments, Inc., the City of Chula Vista and DGF Family Limited Partnership of the
Agreement for Dedication of Rights of Way, Lot Line Adjustment and Assignment of Option to
Purchases dated April 26, 2005.
This easement and the covenants herein set forth shall inure to the benefit of and
be binding on Grantor and Grantee and their respective heirs, legal representatives, successors
and assigns, and shall be appurtenant to the properties described on Exhibit A and Exhibit B
and shall run with the land.

Segmental Retaining Wall Precautions
The Segmental Retaining Wall (SRW) is constl'\lcted of concrete masonry units and
geogrid fabric (if required) and compacted backflll, The following list is Intended as
precautions and guidelines for the proper care of the SRW. This may not be all inclusive
and does not insure any warranty Implied or given.
To assure iong-term stability, please note the following:
1. The area behind the wall that contains geogrid fabric (reinforced zone) is d,e structural
component of the wall system. Do not, under any circumstances, excavate through, drill
through or damage in any other way this fabric. This area is typicallY 70% of the wall height
or 4-foot minimum. If it's essential to do so, please consult with Geogrid Retaining Wal
Systems, Inc. before hand so we may evaluate the structural impact.
. Irrigation trenches shouid not extend deeper than 16".
. No holes larger than 36' in diameter. Maintain a minimum distance from the face of the wall
of 48' to outside edge of excavation. Distance between trees is four times diameter of hole.
If It is essential to do sa, please contact Geogrid Retaining Wall Systems, Inc. so we may
evaluate the impact.
. For trees planted near or in the geogrid fabric use root barriers as recommended by a
qualified landscape designer.
2. Drain line at the base of the wall (If required and installed) was stubbed out far final
connection by others. To insure proper drainage, please see to it that all connections are
made. to proper drain outlets.
3. If a potential owner wishes to build a swimming pool the following restrictions apply:
. Excavations for the pool should not extend into the geogrid fill zone behind the Keystone wall.
. To Insure the pool iocation does not interfere with the geogrid, a qualified engineer should
review the pool layout plan and the Keystone wall plans for the specific lot.
. The outside edge of the pool shell should be designed as a freestanding wall so not to
surcharge the Keystone geogrid zone,
4. No standing water should accumulate above the wall.
5. Landscape watering and drainage above the wall shouid be designed in consultation with
Geogrid Retaining Wall Systems, Inc. & the Geotechnical engineer and performed in such
away to avoid water from infiltrating into the reinforced zone.
6. The Keystone wall is constructed over a gravel base. To avoid undermining, all water must
be diverted away flom the base of wall. No excavation digging or excavation can be done
within 3 feet horizontally from bottom face of wall.
7. Do not operate heavy equipment, within four feet of lop of wall face. The surcharge from
equipment weight can push the wall aut.
8. Segmental retainin9 walls are flexible (vs. rigid as in CMU walls) structures are subject to
past construction settlement and movement. All structures (i.e. pavements, curbs, trash
enclosures, utility lines etc.) should be designed to handle some ground movement. Please
consult us for further details an this.
9. Do not add additional height to the existing wail with more block units.
10. Do not construct a slape above wall if not part of the original desl9n.
11. Do not construct a CMU wallar fence above wail if not an original part of design.
