Diego's Metropolitan Wastewater Department (MWWD) is responsible for the Metropolitan Sewage System (Metro)
which handles the waste water of the City of San Diego and 15 member agencies including the City of Chula Vista.
MWWD is developing additional sewerage capacity to serve the South County and needs to develop a pump station
in the vicinity of SR-54 and 1-5. MWWD and the City of Chula Vista have worked cooperatively to develop a
Memorandum of Understanding which commits both parties to work towards the mutual goal of siting a pump station
compatible with Metro's needs and Chula Vista's redevelopment efforts. [Community Development Director]

3. REPORT: AUDITED FINANCIAL STATEMENTS FOR FISCAL YEAR ENDED JUNE 30, 1999-
Presented for Council/Agency information and acceptance are the Audited Financial Statements for the fiscal year
ended June 30, 1999, as prepared by the independent audit firm of Calderon, Jaham & Osborn. Both the City's and
the Agency's Annual Financial Reports received unqualified (clean) opinions from the independent audit firm. [Deputy

immediately following the City Council meeting, in the City Council Chambers.
CLOSED SESSION
Unless Agency Counsel, the Executive Director, or the Redevelopment Agency states otherwise at this time, the Agency will
discuss and detiberate on the following item(s) of business which are permined by law to be the subject of a closed session
discussion, and which the Agency is advised should be discussed in closed session to best protect the interests of the City.
The Agency is required by law to return to open session, issue any reports of.fillid action taken in closed session, and the
votes taken. However, due to the typical length of time taken up by closed sessions, the videotaping will be terminated at
this point in order to save costs so that the Agency's return from closed session, reports of.fillid action taken, and
adjournment will not be videotaped. Nevertheless, the report of final action taken will be recorded in the minutes which
will be available in the Office of the Secretary to the Redevelopment Agency and the City Clerk's Office.

The City of San Diego's Metropolitan Wastewater Department (MWWD) is responsible for the Metropolitan Sewage System
(Metro) which handles the waste water of the City of San Diego, and 15 member agencies including the City of Chula Vista.
MWWD is developing additional sewerage capacity to serve the South County and needs to develop a pump station in the
vicinity of the SR-54 and 1-5.
Staff has been working with MWWD staff to site the South Bay pump station. There were a number of sites under
consideration, however MWWD's primary site under consideration, Site #2, was a Redevelopment Agency owned property
located on the Chula Vista Bayfront (see Attachment #1). The property is part of a proposed mixed-use development
proposal. The City Council directed staff to work with MWWD to identify alternative sites outside of the redevelopment area.
MWWD has worked cooperatively with the City of Chula Vista to develop the attached Memorandum of Understanding (MOU)
which commits both parties to work towards the mutual goal of siting a pump station that is compatible with Metro's needs and
Chula Vista's redevelopment efforts (see Attachment #2). The MOU selects Site #1, located in Chula Vista at Sea Vale and
Woodlawn, as the primary site under consideration for the pump station (see Attachment #1). The MOU does allow for Site #2,
and two additional sites located in National City to be considered as alternatives. San Diego City Council approved the
selection of Site #1 in closed session on February 8, 2000. The San Diego City Council will act on the MOU at the February
22, 2000 meeting. The Staff recommends the approval of the MOU with the City of San Diego.
It is recommended that the City Council and the Redevelopment Agency adopt the resolution approving the Memorandum of
Understanding between the City of San Diego and the City of Chula Vista selecting Site # 1 as the primary site under
consideration for the location and construction of a South Bay pump station necessary to the Metropolitan sewerage system.
The Chula Vista Economic Development Commission and Chula Vista Chamber of Commerce voted to support the selection
of Site #1 as the preferred site for the location of the South Bay pump station.

Metro processes the wastewater generated by the City of San Diego and 15 other participating agencies, including the City of
Chula Vista. MWWD is in the process of expanding the Metro system to accommodate future growth. MWWD determined it
would be most efficient to serve the South County by constructing a wastewater treatment plant in the South Bay, adjacent to
the South Bay Water Reclamation Plant located just north of the intemational border. In order to convey wastewater to the
new facility, a pump station and force main are required in the vicinity of Interstate 5 and State Route 54.
MWWD staff had selected a number of locations to analyze for siting the pump station. The primary site being considered
was Site # 2, an Agency-owned property located at the intersection of 1-5 and E Street. This property is part of the proposed
Crystal Bay project and is planned for visitor-commercial development. City Council directed staff to work with MWWD staff to
locate alternative sites outside of the Bayfront area.
City staff supported the selection of Site #1, located in Chula Vista at Sea Vale and Woodlawn. The construction costs
associated with Site #1 were approximately $5.5 million more than Site #2. The Metro Commission, an advisory body to the
City of San Diego City Council, directed MWWD and Chula Vista to work together to close the gap. Through a series of
meetings, the gap between the sites was reduced to $1.3 million. The Metro Commission, on January 28, 2000, voted
unanimously to support Site #1 as the primary site for the pump station, and recommended that the San Diego City Council
execute the MOU with Chula Vista selecting Site#1 as the primary site. San Diego City Council approved the selection of Site
#1 in closed session on February 8, 2000. San Diego will act on the MOU at their February 22, 2000 meeting.
The MOU commits both cities to cooperate to locate the pump station at Site #1. The City of Chula Vista is committing to do
the following in order to assist San Diego:
. Allow open trenching along certain portions of the pipeline alignment;
. Provide to MWWD, at no cost, the necessary easements within the Chula Vista right-of-way for the pump station
and pipeline alignment;
. Arrange for the delivery of wetland mitigation credits from 3"' parties if mitigation is required;
. Provide an education and outreach program throughout the development of the pump station and pipeline;
. Waive all permit processing and impact fees;
. Facilitate processing and acquisition of all required pemnits;
. Allow MWWD's responsibility for repavement to be limited to trench width; and
. Continue to provide staff assistance to MWWD.
Staff supports the approval of the MOU with the City of San Diego.
Following the execution of the MOU, the City of San Diego will process the Environmental Impact Report for Site #1. The EIR
is expected to be complete by September of this year. If all goes well the City of San Diego will purchase the property. The
timing of the construction of the facility depends on whether San Diego receives a waiver that would postpone the need for the
project. If the waiver is granted the construction would be in 7-10 years, if the waiver is not received construction could begin
as early as next year.
The fiscal impacts will include in-kind contribution of staff time estimated at $150,000; and in-kind contribution of paving (to be
coordinated with the City's regular maintenance program) valued at approximately $300,000.

NOW, THEREFORE, BE IT RESOLVED, that the City Council of the City of Chula Vista and the
Redevelopment Agency hereby:
1. Find and determine that entering into the MOU is in the public interest and welfare of the City and
Agency because the MOU will facilitate the appropriate siting and development of an important
regional sewerage facility without unduly burdening prospective redevelopment within the Bayfront
Redevelopment: and
2. Approve the Memorandum of Understanding between the City of San Diego and the City of Chula
Vista in the form presented with such minor modifications as may be approved or required by the
City/Agency Attorney.

METROPOLITAN SEWERAGE SYSTEM
RECITALS
A The City of San Diego [San Diego] is the owner and operator ofthe Metropolitan
Sewerage System [MSS], with responsibilities to plan, design, construct, operate,
and maintain the sewerage system to comply with all applicable laws;
B. San Diego has agreed to accept and treat sewage from other agencies [Participating
Agencies] pursuant to a Regional Wastewater Disposal Agreement, dated May 18,
1998, on file in the Office of the San Diego City Clerk as Document No. 00-18517;
C. San Diego requires a site to construct a sewage pump station [South Bay Pump
Station] in the vicinity of the intersection of the Sweetwater River and Interstate 5
to provide additional hydraulic capacity to the MSS;
D. The City ofChula Vista [Chula Vista] is a Participating Agency under the agreement
referenced in Recital B;
E. Chula Vista is pursuing an ongoing redevelopment through a master plan of its
bayfi-ont. Such redevelopment includes a potential site under consideration for the
South Bay Pump Station; and
F. San Diego and Chula Vista desire to cooperate in efforts to study and acquire a
suitable site to construct and operate the South Bay Pump Station that is compatible
with the economic needs and hydraulic capacity of the MSS as well as the economic
viability ofthe planned redevelopment

NOW, THEREFORE, the City of San Diego and the City ofChula Vista hereby agree
as follows:
1. The City of San Diego has identified four potential sites for the South Bay Pump Station
noted as Site Nos. 1,2,9, and 10, all as referenced in the attached Map Exhibit A
which is incorporated herein by this reference.
2. Site Nos. 1 and 2 are located within the City ofChula Vista.

3. The City of San Diego agrees to recommend Site No.1 as the preferred site and to
commence preparation of all necessary environmental documents with Site No.1
so designated.
4. The City of San Diego agrees not to recommend acquisition of Site No.2 contingent
upon satisfactory performance of the commitments in Paragraph 5; provided, however,
City of San Diego reserves the right to analyze Site No.2 as an "alternative" in its
Environmental Impact Report for the project.
5. To facilitate the location ofthe South Bay Pump Station at Site No. I, the City of
Chula Vista agrees to:
a. Allow an open trench (instead of tunneling) for the certain portions of the
pipeline alignment reflected on the attached Exhibit B incorporated herein by
this reference.
b. Allow an alternative pipeline alignment, which will significantly reduce the
length and costs of the pipeline, as reflected on the attached Exhibit B.
c. Provide at no cost the required easements within the existing Chula Vista
right-of-way for the pump station and entire pipeline alignment within the
City ofChula Vista, including but not limited to: (i) a 30-foot wide access
easement from Woodlawn Avenue/Sea Vale Drive into Site No. I, (ii) a 70-
foot wide temporary construction easement and a 30-foot wide permanent
easement along the entire pipeline alignment through the City of Chula Vista;
and (iii) a 30-foot wide permanent easement and a 70-foot wide construction
easement through Site No.2, such easements to be coordinated with Chula
Vista so as not to interfere with Site No.2 development. All easements shall
be finalized within twelve months of the City of San Diego's certification of
the environmental document. Any easements required with respect to private
property shall be acquired by San Diego at no cost to Chula Vista.
d. Arrange for the delivery from third parties wetland mitigation credits to
mitigate any environmental impacts associated with Site No. I.
e. Chula Vista shall provide an education and outreach program on the pump
station and pipeline within Chula Vista to garner public and political support
for the proposed project. Such program shall include workshops and hearings
on the Environmental Impact Report, and response to public inquiries and
complaints during construction. San Diego shall provide Chula Vista with all
necessary information to implement the program. The public outreach
program shall contain the following elements, at a minimum: (i) quarterly
newsletter - draft, develop, publish, and distribute a quarterly newsletter to
keep key audiences informed about siting and construction issues; (ii) hot
line - set up and maintain a hot line for affected and other residents; and
(iii) public meetings - hold one public meeting during the environmental
document preparation, and hold three to five meetings during the construction

period, to inform residents and answer any concerns on the project, including
the use of heavy equipment, noise issues, use of chemicals, and other
problems having to do with construction of the pump station on Site No.1.
f Waive all permit processing and impact fee costs which would otherwise be
required by the City ofChula Vista for the project to the extent permitted by
law, including but not limited to the following: Building Permit fees; Grading
Permit fees; Conditional Use Permit fees; Initial Study Application fees;
Tentative Map fees; Final Map fees; Sewer hook-up fees; and Design
Review fees.
g. Facilitate processing and acquisition of any and all necessary local permits,
including but not limited to all permits and exactions listed above.
h. Facilitate processing and acquisition of all required variances, including but
not limited to the following: Set-back variances for access road and structure;
Fire Code variance, Set-back and turning radius variances, and a Landscape
vanance.
1. Allow the City of San Diego Metropolitan Wastewater Department [MWWD]
to relocate or replace Chula Vista utilities, including surface improvements,
along the selected pipeline alignment.
J. Support the condemnation of Site No. I, if required, and provide staff support,
at no cost, to facilitate MWWD's acquisition of Site No.1.
k. Provide staff support, at no cost, to facilitate dedication of the Spring Valley
Sanitation District parcel
I Assist MWWD in identifying other viable sites in Chula Vista should Site No.1
not be viable, to begin immediately after completion of the environmental
document.
m. Provide staff support, at no cost, to review draft environmental documents
and associated correspondence in a timely manner.

6. Both the City of San Diego and the City of Chula Vista agree that time is ofthe essence
in completing the acquisition ofa suitable site for the South Bay Pump Station. Chula
Vista agrees to exercise best efforts to perform the tasks described above in a timely
manner consistent with the development timeline of the project.
7. In the event that the City ofChula Vista fails to satisfy any of its obtigations hereunder,
the City of San Diego, after first giving the City of Chula Vista due notice and a
reasonable opportunity to cure such failure, shall have the right to perform such
unsatisfied obligation itself, and to obtain reimbursement ITom the City ofChula Vista
for the reasonable cost of such performance.
, 8. Notwithstanding the above, the City of San Diego reserves the right to initiate acquisition
of Site No.2 upon the breach of any requirement in Section 5; in such event, the City of
Chula Vista reserves the right to challenge same.
9. San Diego acknowledges and agrees that, notwithstanding the terms and conditions of
this Memorandum of Understanding [MOU], Chula Vista reserves its discretion to
approve or disapprove all future actions contemplated hereby which require by law the
exercise of discretion and which Chula Vista cannot lawfully commit to by contract
[collectively, "Discretionary Actions"). Such reservation of discretion shall apply to all
contemplated legislative and quasi-legislative actions including, without limitation,
approval ofland use entitlements and variances, CEQA compliance, code enforcement,
building permits, and the making of findings and determinations required by law. In the
event that Chula Vista takes or fails to take any Discretionary Action with respect to the
subject matter of this MOU, any such action or inaction shall not constitute a breach of
Chula Vista's obligations under this MOO,
10. In the event suit is brought upon this Memorandum of Understanding to enforce its
terms, the prevailing party shall be entitled to the cost of said suit and a reasonable sum
as attorney's fees from the losing party.
11. This Memorandum of Understanding represents the entire understanding ofthe City of
Chula Vista and the City of San Diego as to those matters contained herein. No prior
oral or written understanding shall be of any force or effect with respect to those matters
covered hereunder. This Memorandum of Understanding may not be modified or altered
except in writing signed by both parties.
IN WITNESS WHEREOF, this Memorandum of Understanding is executed by the City
of Chula Vista, acting by and through its City Manager, pursuant to its City Council authorizing
such execution, and by the City of San Diego, acting by and through its City Manager, pursuant
to its City Council authorizing such execution.

Presented for Council/Agency information and acceptance are the
Audited Financial Statements for the fiscal year ended June 30,
1999, as prepared by the independent audit firm of Calderon, Jaham
& Osborn. Both the City's and the Agency's Annual Financial
Reports received unqualified (clean) opinions from the independent
audit firm.
RECOMMENDATION: That Council and the Agency accept the fiscal
year 1998-99 Financial Statements.
BOARDS/COMMISSIONS RECOMMENDATION: Not Applicable.
DISCUSSION:
Pursuant to the City Charter Section 1017, an annual audit is
performed of the City's financial records by an independent
accounting firm. The firm of Calderon, Jaham & Osborn has
examined the general purpose financial statements of the City of
Chula Vista and the Redevelopment Agency, and issued their opinion
that those staternents "present fairly, in all material respects,
the financial position of the City as of June 30, 1999, and the
results of its operations and cash flows for the year then

and Federal Grant compliance, termed a "Single Audit Report."
The audit did not result in any material adjustments to previously
reported year-end figures for the General Fund. Available Fund
Balance was verified to be $9.7 million as of June 30, 1999, an
increase of approximately $3.0 million over the balance as of the
end of the previous fiscal year.
In order to form a basis for their opinion, Calderon, Jaham &
Osborn evaluated the internal control procedures of the City and
found no weaknesses worthy of corrective recommendations to

Council. This is the fourth consecutive year that the seriousness
of the recommendations for improvements in internal controls was
judged by the auditors to be at a level insufficient to require a
report directly to the Council.
It is expected that most readers of the financial statements will
find the transrnittal letter a useful summary that is rnore easily
understood than the individual financial statements themselves.
However, this years report reflects improvements literally from
cover to cover. In addition to the updated cover, the primary new
features are found in the Supplemental Data Section and include
Fund Description dividers for each Fund Type and several multi-
year statistical schedules towards the back of the report.

FISCAL IMPACT: There is no fiscal impact to the City or Agency
from this action. The contract for audit services totaled $39,525
for the year reported.
