RESOLUTION NO. 1111
RESOLUTION OF THE REDEVELOPMENT AGENCY OF THE
CITY OF CHULA VISTA APPROPRIATING FUNDS AND
APPROVING AGREEMENT TO NEGOTIATE FOR RIGHT OF
REFUSAL WITH CITY OF CHULA VISTA FOR THE
CORPORATION YARD PROPERTY
The Redevelopment Agency of the City of Chula Vista does
hereby resolve as follows:
WHEREAS, the City owns a 6.43 acre parcel located at 707
which is currently utilized as the City Corporation
F street
yard; and
WHEREAS, the
purchasing the property

WHEREAS, prior to

WHEREAS, the Agency and City propose to enter into an
agreement whereby the Agency will obtain a 15 year right for
negotiating for the purchase of the property and first right of
refusal should the City wish to sell the property to a third

WHEREAS, the City will be required to remove the paint
pit and will be paid $316,000 for the first right of refusal.
NOW, THEREFORE, BE IT RESOLVED that the Redevelopment
Agency of the City of Chula Vista does hereby approve the
agreement between the City of Chula Vista and the Redevelopment
Agency of the City of Chula Vista to negotiate for right of
refusal for the Corporation Yard property, a copy of which is
attached hereto as Exhibit nAn.
BE IT FURTHER RESOLVED that the Chairman of the
Redevelopment Agency is hereby authorized to execute an agreement
with the City of Chula Vista.
BE IT FURTHER RESOLVED that the sum of
hereby appropriated from the Bayfront Redevelopment
as a loan to the Town Centre II project.

Agreement to Negotiate and
for Right of Refusal
Re: corporation Yard Property
This Agreement made this August 21, 1990 is between the City
of Chula Vista, a chartered municipal corporation ("City") and the
Redevelopment Agency of the City of Chula Vista ("RDA"), a
political subdivision of the state of California, and is made with
reference to the following facts: .
Whereas, City is the fee owner of a parcel of property within
the City of Chula commonly known as 707 F street consisting of
approximately 6 acres, and is legally described as attached on
Exhibit A ("Subject Property"); and,
Whereas, the Subj ect Property is used by the City as its
primary Corporation Yard ("Corporation Yard Use"); and,
Whereas, the Subject Property contains an area of raw land
which has been the receptacle of discarded and unused paint ("Paint
Pit"); and,
Whereas the RDA is desirous of acquiring the opportunity to
negotiate for the purchase and redevelopment of the Subject
Property at some time in the future; and,
Whereas, the parties realize that the Subj ect Property can not
be redeveloped until the Paint pit is environmentally cleansed;
and,
Whereas, the City is in the process of contracting for the
required environmental work to be completed;
Now, therefore, the parties hereto do hereby agree as follows:
1. City grants to RDA the right that, prior to offering the
Subject Property for sale, lease or other disposition to any third
person or to the public in general, in the next 15 years, it will
meet and confer for a period of 120 days ("Negotiating Period")
with the RDA, and negotiate exclusively with the RDA, for the sale
and disposition of the Subject Property and the price, terms and
conditions for the sale ("Negotiated Terms") .
2. In the event that the parties are unable to reach an
agreement as to the price and terms and conditions of sale during
or at the immediate conclusion of the Negotiating PeriOd, the city
hereby promises the Agency that if, during the next 5 years after
the conclusion of the Negotiation Period, it reaches terms and
conditions for the sale, lease or other disposition of the Subject

Property to a third party, it will first tender ("Right of First
Refusal") the Subject Property to the Agency at the same price, and
on the same terms and conditions ("Refusal Terms").
3. RDA promises to pay, upon execution hereof, the sum of
$500,000 ("Right of Refusal Price"), in cash, 1/3 of which will be
credi ted to any obligation of the RDA for the payment of the
purchase price as may be established in the Negotiated Conditions
or in the Refusal Terms, if any shall exist.-

4. City promises to use the proceeds of Right of Refusal
Price to environmentally clean the Paint Pit, and to monitor the
area of the Paint Pit, to the standards and in the manner required
by state or federal law.

Subject Property, Legal Description of Corporation
Yard, in the City of Chula commonly known as 707 F
street consisting of approximately 6 acres.
All of the Southeast Quarter of the Northweqt Quarter of
Quarter Section 102 of Subdivision of RANCHO DE LA NACION,
in the City of Chula Vista, County of San Diego, State of
California, according to Map thereof No. 505, filed in the
office of the County Recorder of said San Diego County,
March 13, 1888.
EXCEPTING THEREFROM, the Easterly 30 feet, the Southerly 40
feet and the Westerly 140 feet.
ALSO EXCEPTING THEREFROM, that portion conveyed to San Diego
and Arizona Railway Company, by deed dated May 8, 1920, and
recorded in Book 811, page 414 of Deeds, records of said San
Diego County, described as follows:
Beginning at a point on the Northerly line of "F" Street,
distant 100 feet Easterly from the Easterly line of Bay
Boulevard which point of commencement is on Easterly line
of Grantee's main line right of way; thence Easterly along
Northerly line of "F" Street, 279.09 feet; thence North-
westerly along a curve to the right, having a radius of
439.276 feet, through a central angle of 51025' to a point
on said Easterly right of way line distant 260.51 feet
Northerly from said Northerly line of "F" Street; thence
Southerly along said Easterly right of way line, 260.51 feet
to POINT OF BEGINNING.
