HomeMy WebLinkAboutReso 1985-12004 Revised 4/18/85 RESOLUTION NO 12004 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA VISTA APPROVING NINTH AMENDMENT TO AN AGREEMENT BETWEEN THE CITY OF CHULA VISTA AND THE SAN DIEGO UNIFIED PORT DISTRICT FOR GROUNDS AND COMFORT STATION MAINTENANCE AT THE "J" STREET MARINA IN SAN DIEGO UNIFIED PORT DISTRICT PROPERTY The City Council of the City of Chula Vista does hereby resolve as follows: WHEREAS, the City has Unified Port District to provide "J" Street Marina pursuant to between the parties in 1977, and agreed with the San Diego maintenance services at the an agreement entered into and the WHEREAS, amendment of parties, and said agreement provides for the extension the agreement through the mutual consent of WHEREAS, the parties have made eight amendments to the 1977 agreement, and WHEREAS, the Port District has requested that the agreement be amended for a ninth time to include the maintenance of the area known as Bayside Park and the landscape medians of Tidelands Avenue between Sandpiper Way and West IIJII Street. NOW, THEREFORE, BE IT RESOLVED by the ci ty Counci 1 of the City of Chula VIsta that that certain Ninth Amendment to an Agreement between the City of Chula Vista and the San Diego Unified Port District for grounds and comfort station maintenance at the "J" Street Marina on San Diego Unified Port District property, dated the 23rd day of April 1985, a copy of which is attached hereto and incorporated herein by reference as if set forth in full, be, and the same is hereby approved. BE IT FURTHER RESOLVED that the amended when salaries are established personnel for fiscal year 1986. Agreement will be for maintenance BE IT FURTHER RESOLVED that the Mayor of the City of Chula Vista be, and he is hereby authorized and directed to execute said Ninth Amendment for and on behalf of the City of Chula Vista. To' 0~ ,_,; ; c.," __.." ; t ~ >.uh THIS AMENDED AGREEMENT, made and entered into this 23rd day of April 1985, by and between THE CITY OF CHULA VISTA, a municipal corporation, hereinafter called "CITY", and THE SAN DIEGO UNIFIED PORT DISTRICT, a political subdivision of the State of California, hereinafter called "DISTRICT"; WIT N E SSE T H WHEREAS, the San Diego Unified Port District and the Ci ty of Chula Vista executed an agreement for maintenance of Port District property at the "J" Street Marina on September 28, 1977, and WHEREAS, amendmen t 0 f the parties, and said agreement provided for the extension agreement when mutually consented to by and the WHEREAS, both parties mutually agree to extend said agreement and to expand the maintenance area, and IVHEREAS, the expansion of the maintenance area will include an allowance for the additional maintenance costs. NOW, THEREFORE, IT IS MUTUALLY UNDERSTOOD AND AGREED by and between the parties as follows: 1. MAINTENANCE TO BE PROVIDED See attached Exhibits A-l Bayside Park and the landscaped between Sandpiper Way and West "J" 1, 1985. and A-2. The maintenance of medians of Tidelands Avenue Street shall commence on June 2. AREAS TO BE MAINTAINED. See attached Exhibits B-1 and B-2. 3. EXCEPTIONS TO DUTIES. It is understood and agreed that the cost for maintenance as set forth in Paragraph 1 of this agreement does not cover materials, or labor, or repairs of the structures, building or landscaping as a result of major vandalism or destruction from any cause whatsoever. Such repairs or R-12004 replacements shall be considered to be over and above ordinary maintenance and will be performed by City forces only after approval by the District and actual costs for material and labor involved in such repairs will be billed to the District. Major vandalism shall be defined as anyone-time cost (including material and labor) amounting to more than $500.00. 4. CONSIDERATION In consideration of the addi tional area to be added June 1, 1985, the District shall pay to the City on June 1, 1985 $5,391. Said sum is in addition to the amount agreed upon by the parties for the maintenance of the "J" Street Marina for fiscal year 1985. In consideration for the City's maintenance of the area defined in attached Exhibits B-1 and B-2 for fiscal year 1986, the District shall pay to the City $132,129. Payment to be made quarterly on July 1 and October 1, 1985 and January 1 and April 1, 1986. 5. TERM AND TERMINATION The term of this agreement shall be from June 1, 1985 to and including June 30, 1986, unless ei ther party shall have given the other party written notice sixty (60) days prior to date of cancellation; provided, however, said term shall be extended from year to year, based on mutual agreement of both parties as to the annual costs of maintenance which may be adjusted annually, prior to July 1 of each fiscal year, to reflect changing cost factors thereof.
