NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Chula Vi sta that a certai n agreement between THE CITY OF CHULA VISTA, a municipal corporation, and Metro Food Project, Inc., dated the 15th day of November, 19B4, a copy of whi ch is attached hereto and incorporated herei n, the same as though fully set forth herein be, and the same is hereby approved. BE IT FURTHER RESOLVED by the City Council of the City of Chula Vista that the foll owi ng transfer of funds be made from Fund 632, program year 1983-84 and transferred to 632-632D-BG154 Metro Food Project, Inc. 632-6320-BG 139 Economic Feasi bil i ty Study TO 632-6320-BG 154 Metro Food Project, Inc. IATED (seal) City Clerk :C-660 AGREEMENT SETTING OUT TERMS AND OBLIGATIONS OF METRO FOOD PROJECT, INC. IN REGARD TO THE EXPENDITURE OF CITY FUNDS APPROPRIATED THIS AGREEMENT, made and entered into thi s 15th day of November, 1984, by and between the CITY OF CHULA VISTA, a municipal corporation, hereinafter referred to as "CITY," and METRO FOOD PROJECT, INC., a nonprofit charitable organization, hereinafter referred to as "GRANTEE"; WIT N E SSE T H : WHEREAS, the City Council of the City of Chula Vista has determined that the function of the Grantee serves a vali d publ ic purpose and primarily benefits low and moderate income persons, and WHEREAS, the Ci ty Council of the Ci ty of Chul a Vi sta desi res to encourage the benefici a1 aims of the Grantee through appropri ati on of Block Grant funds, and WHEREAS, the Ci ty Council has estab1 i shed a pol icy for consi derat ion of requests for funding by private organizations and individuals, and WHEREAS, such pol icy stipu1 ates that no expenditure may be made out of any appropriation awarded said charitable organizations unless an agreement has been reached between the parties setting out the terms and obligations for the expenditure of such funds. NOW, THEREFORE, IT IS MUTUALLY AGREED by and between the parties hereto as follows: 1. The Grantee, which is an established food bank, agrees to provide surplus United States Department of Agriculture (USDA) food and surplus commodities from commercial organizations to persons of low and moderate income in the South Bay area. 2. The Grantee agrees to expend City appropriated funds for payment of utility bills at its distribution center for the months of September, October, November and December 1984, for an amount not to exceed $2,000. 3. The Grantee agrees to submit one report after the four util ity bills are paid. The report shall contain the following information: 1) Number of clients served 2) Percentage of Chu1a Vista residents served 3) Ethnic background of clients 4) Sex of clients 5) Income level of clients 4. That the Council of the City of Chu1a Vista, at its discretion, may require the Grantee to provide or allow the City to undertake a complete financial audit of its records. 12-/43~ 5. The Grantee agrees to abide by the requirements of OMB Circular A-102, and specifically Attachment "0", Items 7 and 14. 6. That the term of this agreement shall be for a period of two and one-half (2-1/2) months from 11-15-84 through 1-31-85, unless further modified to i nc 1 ude other permitted expenditures of funds that are appropri ated by the Ci ty Counci 1. 7. The contract may be termi nated or suspended by the Ci ty after 30 days notice to the Grantee due to defaul t by the Grantee or the Grantee's inability to perform, regardless of whether such inability is due to circumstances within or beyond the Grantee's control. Settlement of any disputes shall be based on the laws of the State of California. 8. Any program income derived from Block Grant funds must be used for payment of the Grantee's utility bills. 9. The Grantee shall comply with Executive Order 11246, entitled "Equal Employment Opportunity," as amended by Executive Order 11375 and as supplemented in Department of Labor regulations 41 CFR Part 60. IN WITNESS WHEREOF, the parties hereto have caused this agreement to be executed the day and year first hereinabove set forth.
