RESOLUTION NO. 11800
RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA
VISTA CONSENTING TO AUTHORIZE THE MAYOR TO SIGN THE
CONSENT FORM TRANSFERRING ALL STOCK OF CHULA VISTA
SANITARY SERVICE, INC. TO GSX CORPORATION
The City Council of the City of Chula Vista does hereby
resolve as follows:
WHEREAS, Chula Vista Sanitary Service, Inc. proposes to
transfer all of its outstanding stock to GSX Corporation, a
Delaware corporation, and
WHEREAS, the operations of Chula vista Sanitary Service
and the servicing of its contracts with the City will be
unaffected by this transaction, andd
WHEREAS, Section 8.24.110 of the Chula Vista Municipal
Code requires the express consent of the City prior to the
assignment of any rights under the franchise with the City.
NOW, THEREFORE, BE IT RESOLVED that the City Council of
the City of Chula Vista does hereby consent to the sale of all of
the stock of Chula vista Sanitary Service, Inc. to GSX Corpora-
tion.
BE IT FURTHER RESOLVED that the Mayor of the City of
Chula Vista be, and he is hereby authorized and directed to sign
the consent form attached hereto as Exhibit "A" for and on behalf
of the City of Chula Vista.
