RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA
VISTA APPROVING AGREEMENT BETWEEN THE CITY OF CHULA
VISTA AND VTN SAN DIEGO FOR CONSULTANT SERVICES TO
CONDUCT GRADING EVALUATION AND ALTERNATIVE GRADING
CONCEPTS PREPARATION FOR EL RANCHO DEL REY, AUTHORIZING
THE MAYOR TO EXECUTE SAID AGREEMENT, AND APPROPRIATING
$5,000 THEREFOR
The City Council of the City of Chula Vista does hereby
resolve as follows:
WHEREAS, a Specific Plan Amendrænt has been filed by the
Gersten Companies for 1,582 acres of El Rancho del Rey, and
WHEREAS, the Plan contemplates
increase from an adopted 3,779 dwelling
units, or a 41 percent change, and
a significant density
units to 5,338 dwelling
WHEREAS, to assist staff in evaluating the land use
plans, consultant services are being requested with VTN to conduct
grading evaluation and alternative grading concepts preparation,
and
WHEREAS, the cost for said consultant services is
$10,000, which will be shared equally by the City and the Gersten
Companies.
NOW, THEREFORE, BE IT RESOLVED that the City Council of
the City of Chula Vista does hereby approve that certain agreement
between the CITY OF CHULA VISTA and VTN SAN DIEGO for consultant
services to conduct grading evaluation for El Rancho Del Rey,
dated the 10th day of December , 1984, a copy of which is
attached hereto and incorporated herein by reference as if set
forth in full.

Computer charges, printing, reproduction, copying, duplicating, and travel
costs are charged at local prevailing rates.
A 10 percent fee for administration, coordination, and handling will be
added to subcontracted services.
Fees for other specialized technical services such as environmental impact
statements, structural, sanitary, traffic, mechanical and electrical engineer-
ing, and special equipment such as electronic surveying equipment or the
office computer, will be furnished on request.
We will invoice on a monthly basis for services performed and payment for
all services is due upon receipt of the invoices. All payments not made
within 45 days from date of invoice shall accrue a finance charge at the rate
of 1-1/2% per month which is equivalent to 18% per annum or the maximum
allowable by law, whichever is less.
Unless mutually satisfactory arrangements are made for delay of payments in
excess of 45 days from date of invoice, VTN has the option of discontinuing
all work until payment is made.

Re: 1600+ Acres Located East of Interstate 805 Fronting "H" Street North
and South and Being the Area of the City Approved Specific Plan Known
as El Rancho Del Rey.
Gentlemen:
Pursuant to your request, VTN San Diego is pleased to submit this proposal to
provide office planning and services in p~eparation of two grading studies on
the above referenced property. Our proposal has been divided into four parts
as follows:
I. PROJECT UNDERSTANDING AND BASIS FOR PROPOSAL:
A. The City proposes to contract a private consulting firm for
professional services in the area of planning, grading studies,
earthwork calculations and alternate grading concepts based upon
the subject property.
B. It is understood that the approved City Specific Plan is out of
balance from a grading standpoint which is in an export situation
and that a study is required to bring it into an earthwork balance
of a cut and fill.
C. An alternate approach is needed to determine if the project can
utilize cluste~ type grading concepts to· maximize open space areas.
D. It is understood that there are certain sensitive areas that shall be
left undistu~bed, such as Rice Canyon, including tributary canyons
(except for highe~ elevations), and the south facing slopes north of
"H" Street.
II. BASIC SCOPE OF WORK
VTN p~oposes to p~ovide the following office planning and se~vices:

A. Calculate ea~thwo~k quantities based upon the g~ading concept of
the City app~oved plan to ve~ify expo~t quantity.

B. Revise plan to create an onsite balance of grading without
placing fill into Rice Canyon.
C. Calculate usable pad areas and provide an exhibit drawing based
upon the revised grading.
2. Alternate Plan
A. Study an alternate concept of development allowing a collector
road crossing at the east and west end of Rice Canyon for
connections to "H" Street and utilizing a cluster type approach
without placing fill into Rice Canyon.
B. Calculate earthwork volumes and make necessary adjustments to
balance grading quantity on site with the possibility of making
the areas north and south of "H" Street balance independently.
C. Calculate usable pad areas and provide an exhibit drawing.
3. Meetings: Attend meetings and consult with the City and other con-
sultants and agencies for coordination of the project.
The City will provide or make available to VTN existing drawings,
exhibits, reports, topo maps, soil reports, etc., as necessary, to
accomplish all of the above.
III. SPECIFIC EXCLUSIONS FROM THE BASIC SCOPE OF WORK:
1. Zoning and density studies.
2. Specific planning studies.
3. Prepê~ation of additional feasibility studies.
4. Con5ultants will base his studies upon information provided or made
available by the City and is not responsible for any liability that
may arise out of the inaccuracy of such information.
IV. FEES FOR BASIC SCOPE OF WORK:

VTN proposes to provide the labor detailed under Items 1 and 2 of the
"Basic Scope of Work" for the lump sum fee of Seven Thousand Eight
Hundred Dollars ($7,800.00).
VTN shall invoice the client monthly on a percentage basis so long as
that amount bears an equitable relationship to the relative amount of
work completed.
Contractor a9rees to split the cost between the Gersten Companies and
the City of Chu1a Vista pursuant to City Council Resolution No. 11890.

The fee for Item 3 of the "Basic Scope of Work" - Meetings - shall be
on a basis of time and expenses in accordance with the attached Schedule
of Fees. There shall be no stated maximum fee for labor under Item 3;
however, for initial budgeting purposes it is assumed to be about Twelve
Hundred Dollars ($1,200.00).
Expenses for prints, reproductions, and other like direct fees shall be
billed in addition to the above fee.
Fees for the extra services performed by VTN in addition to the tasks
specifically defined under "Basic Scope of Work" shall be negotiated on
the basis of the attached Schedule of Fees (or updated Schedule of Fees
as provided under the Standard Terms and Conditions of this agreement),
prior to VTN performing such extra work. The client will agree to such
extra work and additional fees in writing. The monthly billings for the
extra work shall be separate from the regular billing.
If this proposal meets with your approval, please sign the attached Standard
Form of Agreement and return one copy to the undersigned.
It is our understanding that this assignment must be completed to the City's
satisfaction in a time frame to allow for scheduling on a Planning Commission
meeting to be held in the first week of February 1984.
We would like to express our appreciation for considering VTN in this project
and the opportunity to be of service to the City of Chula Vista. We under-
stand that time is of the essence. Therefore, we are ready to commit time and
personnel to this project in order to avoid delays in your planning schedule.
