HomeMy WebLinkAboutReso 1986-12331 RESOLUTION NO. 12331 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA VISTA APPROVING AGREEMENT BETWEEN THE CITY OF CHULA VISTA AND RANDI BUDLONG-CAMPBELL, PUBLIC RELATIONS ASSISTANT, FOR PROFESSIONAL SERVICES ~ITHIN THE PUBLIC INFORMATION DIVISION AND AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT The City Council of the City of Chula Vista does hereby resolve as follows: NOW, THEREFORE, BE IT RESOLVED by the City Council if the City of Chula Vista that that certain agreement between THE CITY OF CHULA VISTA, a municipal corporation, and RANDI BUDLONG-CAMPBELL, Public Relations Assistant, for professional services within the Public Information Division dated the 14th ~ay of January , 1986, a copy of which is attached ~ and i'ncorporated herein, the same as though fully set forth herein be, and the same is hereby approved. BE IT FURTHER RESOLVED that the Mayor of the City of Chula Vista be, and he is hereby authorized and directed to execute said agreement for and on behalf of the City of Chula Vista. FULASZ, CMC, CITY CLERK of the City of Chula Vista, California, DO HEREBY CERTIFY that the above and foregoing is a full, true and correct copy of RESOLUTION NO. 12331 ,and that the same has not been amended or repealed. ;)ATED (seal) City Clerk ;C-660 CONTRACT FOR PUBLIC RELATIONS CONSULTANT SERVICES THIS CONTRACT for public relations-related professional services is entered into and is effective as of this 14th day of Ja-quaW , 1986, by and between the City of Chula--~i~a, a municipal corporation, hereinafter called "City" and Randi Budlong-Campbell hereinafter called "Public Relations Consultant". NOW, THEREFORE, IT IS MUTUALLY AGREED by and between the parties hereto as follows: 1. SCOPE OF PROJECT In the performance of the duties and responsibilities set forth in this agreement, Public Relations Consultant shall act strictly in a professional capacity as an independent contractor for all purposes and in all situations and shall not be considered an employee of the City of Chula Vista. The Public Relations Consultant acknowledges that he/she is not an employee of the City of Chula Vista, and said City is not obligated nor charged with the responsibility of withholding income taxes from any payments due the Public Relations Consultant nor is the City obligated to pay social security taxes, nor F.I.C.A. taxes upon or for the Public Relations Consultant. The reports, correspondence, and public relations productions prepared by the Public Relations Consultant shall be subject to the review and approval of the Public Information Coordinator and all such documents and productions shall become the property of the City of Chula Vista. 2. OTHER EMPLOYMENT The Public Relations Consultant may represent, perform services for, and be employed by such additional clients, persons, or companies to the extent that such employment does not represent a conflict of interest nor interfere with the satisfactow performance of the work described herein. 3. PERIOD OF SERVICE The Public Relations Consultant shall perform and complete professional services as specified during the contractual period, which shall commence on Januazl~ 15 , 1986, and terminate on June 30, 1986. 4. NATURE OF SERVICES TO BE RENDERED The following is a description of potential tasks provided for the purpose of depicting the nature of work to be performed under this contract. a. Assist the Public Information Coordinator in matters relating to production of the City Newsletter and Guide to City Services including research, writing, photography, and production of camera- ready art. 8. LIABILITY With regard to the services to be performed by the Public Relations Consultant pursuant to the terms of this agreement, the Public Relations Consultant shall not be liable to the City of Chula Vista {City), or to anyone who may claim any right due to his/her relationship with the City, for any acts or omissions in the performance of said services on the part of the Public Relations Consultant unless due to his/her willful misconduct. The City shall hold the Public Relations Consultant free and harmless from any obligations, costs, claims, judgments, attorneys' fees, and attachments arising from or growing out of the services rendered to the City pursuant to the terms of this agreement or in any way connected with the rendering of said services, except when the same shall arise due to the willful misconduct of the Public Relations Consultant and the Public Relations Consultant is adjudged to be guilty of willful misconduct by a court of competent jurisdiction. 9. TERMINATION The City shall have the right to suspend or abandon the work contemplated in whole or in part at any time, and the City and the Public Relations Consultant shall have the right to terminate this agreement for reasonable cause at any time upon 30 days written notice without any liability to the Public Relations Consultant except the Public Relations Consultant shall be paid all salary due up to the time of suspension, abandonment or termination of the project. Upon completion of each assigned task, any documents or public relations productions prepared under this agreement by the Public Relations Consultant shall be forthwith transmitted to the City and they shall be the sole property of the City. 10. SUCCESSORS AND ASSIGNS It is understood and agreed that this agreement shall be binding upon the City and its successors and upon the Public Relations Consultant. Neither this agreement nor any part thereof, nor any monies due or to become due thereunder, may be assigned by the Public Relations Consultant without the consent and approval of the City. ll. Research and writing of press releases on various City programs and activities. c. Maintaining a written historical record of the process and implementation of the recent annexation to the City. d. Provide general assistance to the Public Information Coordinator in carrying out tasks assigned to the Public Information Division including research, writing, photography, filing, errands, coordinating slide show presentations, assisting with the City's video program productions, and other similar tasks. 5. TIME SCHEDULE FOR COMPLETION OF TASKS It is the intent of this agreement that the Public Relations Consultant shall perform assigned tasks on a full-time basis. The Public Relations Consultant and the Public Information Coordinator shall establish a mutually acceptable schedule for the performance of work. Deadlines established for specific tasks assigned shall reflect such schedule. The schedule ma~ be revised for the accomplishment of pressing or emergency matters. 6. CITY RESPONSIBILITIES A. The Public Relations Consultant shall coordinate his/her activities with the Public Information Coordinator. Such coordination shall include regular consultation for the purpose of monitoring and assessing progress, and to formulate indicated program changes so as to more effectively achieve the program objectives as may be agreed upon from time to time. B. The City shall provide the following to the Public Relations Consultant at City's own expense: 1. Clerical services. 2. Graphic production facilities and equipment. 3. Office supplies and other materials as needed. 4. City vehicle or mileage reimbursement at $.30 per mile. 7. COMPENSATION A. In consideration of the satisfactory performance of the Public Relations Consultant, the City of Chula Vista agrees to reimburse the Public Relations Consultant the amount of $10.50 per hour to a maximum of 950 hours and $9,975. B. Consultant shall provide City with an invoice which details the professional services performed. Said invoice shall be submitted to the City every 14 days. -2-
