HomeMy WebLinkAboutReso 1986-12324 RESOLUTION NO. 12324 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA VISTA APPROVING AGREEMENT BETWEEN THE CITY OF CHULA VISTA AND THE GIRLS AND BOYS CLUBS OF CHULA VISTA AND AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT The City Council of the City of Chula Vista does hereby resolve as follows: NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Chula Vista that certain agreement between THE CITY OF CHULA VISTA, a municipal corporation, and GIRLS AND BOYS CLUBS OF CHULA VISTA, in regard to the expenditure of City funds appropriated, dated the 7th day of January 1986, a copy of which is attached hereto and incorporated herein, the same as though fully set forth herein be, and the same is hereby approved. BE IT FURTHER RESOLVED that the Mayor of the City of Chula Vista be, and he is hereby authorized and directed to execute said agreement for and on behalf of the City of Chula Vista. (seol) City Clerk CC-660 AGREEMENT SETTING OUT TERMS AND OBLIGATIONS OF GIRLS & BOYS CLUBS OF CHULA VISTA IN REGARD TO THE EXPENDITURE OF CITY FUNDS APPROPRIATED THIS AGREEMENT, made and entered into this 7th day of January 1986, by and between the CITY OF CHULA VISTA, a municipal corporation, hereinafter referred to as "City" and GIRLS/BOYS CLUBS OF CHULA VISTA, which provide a variety of programs for youths, hereinafter referred to as "Grantee". w I TN ES SETH WHEREAS, the City is currently involved in a Community Development Block Grant program, a principle goal of which is to benefit low and moderate income persons; and WHEREAS, the Grantee provides daily programs to girls and boys, which include sports, art, drama, career development, and drug/alcohol awareness; and WHEREAS, the Grantee desires to have an athletic field and two wings of its new building designed and constructed; and WHEREAS, the City is desirous of having construction completed on the Grantee's facility; and, WHEREAS, no expenditure may be made out of any appropriation awarded such a Grantee unless an agreement has been reached between the parties setting out the terms and obligations for the expenditure of such funds. NOW, THEREFORE, in. consideration of the mutual obligations of the parties as herein expressed, the parties hereto agree as follows: 1. The term of this agreement shall be for a period of one (1) year, from January 7, 1986, through January 7, 1987, unless teminated or renewed. 2. The City agrees to fund the cost of the architectural services of Araiza-Herschman Architects hereinafter referred to as "Architect," for the design of the two wings of the club building and a multi-purpose athletic field for an amount not to exceed $30,000. 3. The Grantee agrees to expend City-appropriated funds to meet bona fide obligations incurred for architectural services of Architect, as outlined in the letter attached hereto as Attachment A, incorporated herein, as though fully set forth, for an amount not to exceed $30,000. 4. The City shall have the right to make periodic inspections during the construction phase of the Grantee's facility for the purpose of moni tori ng compl i ance with this Agreement. 5. The City agrees to pay $26,950 for architectural services plus reimbursable expenses. The total fees shall not exceed $30,000. Payment of the City-appropriated funds shall be made to the Grantee upon receipt of valid invoices for architectural work performed and confirmation satisfactory to the City Manager that architectural work has been performed and/or reimbursable expenses incurred. The payment schedule and reimbursable expenses are outlined in Attachment A, attached hereto, incorporated herein as though fully set forth. 6. The Grantee shall maintain all financial records for three years following the year in which it was active. 7. Performance of this agreement may not, by subagreement, be assigned to any other entity without prior written consent of the City. 8. The City Council of the City at its discretion may require the Grantee to provide or allow the City to undertake a complete financial and program audit of its records. Those records shall contain, at a minimum, the following information for each client served: residency, gender and ethnicity. 9. The Director of Con, unity Development, or his/her designated representative, shall represent the City in all matters pertaining to the services rendered pursuant to the agreement and shall administer this agreement on behalf of the City. 10. The Directors of Girls & Boys Clubs of Chula Vista or their designated representative(s), shall represent the Grantee in all matters pertaining to the services rendered pursuant to the agreement and shall administer this agreement on behalf of the Grantee. ll. The Grantee shall comply with Executive Order 11246, entitled "Equal Employment Opportunity," as amended by Executive Order 11375 and as supplemented in Department of Labor regulations 41 CFR Part 60. 12. The Grantee agrees to abide by the requirements of OMB Circular A-lO2, and specifically Attachment "0", Items 7 and 14. 13. The contract may be terminated or suspended by the City after 60 days notice to the Grantee due to default by the Grantee or the Grantee's inability to perform, regardless of whether such inability is due to circumstances within or beyond the grantee's control. Settlement of any disputes shall be based on the laws of the State of California. 14. The parties reserve the right to pursue any remedy provided under California law for remedy in instances where contractors violate or breach contract terms. 15. Any program income derived from Block Grant funds must be used for the architectural services funded under this contract. -2- 16. The City, its agents, officers and employees, shall not be held liable for any claims, liabilities, penalties, fines or for damage to any goods, properties or effects of any person whatsoever, nor for personal injuries to or deaths of any of them, whether caused by or resulting from any acts or omission of the Grantee, the architect or their agents, employees or representatives. The Grantee further agrees to indemnify and save free and harmless the City and its authorized agents, officers, and employees against any of the foregoing liabilities and any cost and expenses incurred by the City on account of any claim therefor. These drawings will include complete Architectural, Structural, Mechanical, Plumbing & Electrical plans. (Please note that our drawings will not include design or specifications for landscaping or interior decorating.) o It is our understanding that the drawings are to be prepared for a base bid of the shell construction only and one additive alternate which will include all partitions, plumbing, electrical, etc. o We will provide a minimum of 5 periodic inspections of the project during construction as required by the City of Chula Vista Building Inspection Department. REIMBURSABLE EXPENSES 1. Fees required by the City of Chula Vista for permits. 2. Blueprinting costs as requested by the client or the City of Chula Vista. 3. Any renderings, models or interior decorating services as requested by the client or the City of Chula Vista. 4. Cost estimates or other consultant fees as required by the client or the City of Chula Vista. Boys & Girls Club December 23, 1985 Page 3 Once we start the drawings we estimate completion in ap- proximately two months. Fees shall be due as follows: 50% of total fees shall be due upon submittal of drawings to the City of Chula Vista Building Department. 49% of total fees shall be due due upon obtaining all required permits and completion of bidding. 1% of total fees shall be due upon issuance of the "Certificate of Occupancy" by the City of Chula Vista Building Department. These fees are estimates based on the program as we understand the total Scope. Our intent is to work as quickly and effi- ciently as possible to accommodate your needs. However, we can- not guarantee these numbers, and as we familiarize ourselves with the project we will be able to verify and/or rectify our estimates. We hope that the above meets with your approval and we will do everything we can to ensure a successful project.
