RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA
VISTA APPROVING AGREEMENT BETWEEN THE CITY OF CHULA
VISTA AND JIMMY'S FAMILY OF FINE IIESTAURANTS, INC.
FOR THE SURRENDER OF A LEASE OF THE RESTAURANT AND BAR
PREMISES AT THE CHULA VISTA MUNICIPAL GOLF COURSE AND
FOR THE PURCHASE OF FIXTURES
AND AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT
The City Council of the City of Chula Vista does hereby
resolve as follows:
NOW, THEREFORE, BE IT RESOLVED by the City Council of the
City of Chula Vista that that 'Certain agreement between THE CITY
OF CHULA VISTA, a municipal corporation, and JIMMY'S FAMILY OF FINE
RESTAURANTS, INC. for the surrender of a lease of the restaurant and
bar premises at the Chula Vista Municipal Golf Course and for the
purchase of fixtures
dated the 27th day of April , 1985, a copy of which is
attached hereto and i~corporated herein, the same as though fully
set forth herein be, and the same is hereby approved.
BE IT FURTHER RESOLVED that the Mayor of the City of
Chula Vista be, and he is hereby authorized and directed to
execute said agreement for and on behalf of the City of Chula
Vista.

RESOLUTION OF THE BOARD OF DIRECTORS OF
JIM~{Y'S FAMILY OF FINE RESTAURANTS, INC.
WHEREAS, Jimmy's Family of Fine Restaurants, Inc. has
previously entered into a lease agreement with the City of Chula
Vista dated December 27, 1981 for the operation of a restaurant,
and
WHEREAS, the corporation has fallen behind on its rent
payments under the lease and is subject to termination, and
WHEREAS, the corporation owns fixtures in the restaurant
which the City is willing to purchase for ~250,000.
NOW, THEREFORE, BE IT RESOLVED that the Board of
Directors does hereby authorize the President to enter into a
voluntary surrender of its restaurant lease with the City of
Chula Vista for the restaurant at the Chula Vista Municipal Golf
Course.
BE IT FURTHER RESOLVED that the Board does hereby
authorize the President to sell to the City the~ixtures in the

INC. AND THE CITY OF CHULA VISTA FOR THE SURRENDER
OF A LEASE OF THE RESTAURANT AND BAR PREMISES AT THE
CHULA VISTA MUNICIPAL GOLF COURSE AND FOR THE PURCHASE
OF FIXTURES
THIS AGREEMENT, made and entered into this 27th day
of April , 1985, by and between THE CITY OF CHULA
VISTA, a municipal corporation, hereinafter called "City" and
JIMMY'S FAMILY OF FINE RESTAURANTS, INC. , a California
corporation, hereinafter called "Jimmy's";
WI TNE S SETH :
WHEREAS, the City and Jimmy's have previously entered
into a lease agreement for the operation of a restaurant dated
December 27, 1981, and
WHEREAS, Jimmy's has fallen behind in the rent payments
required by the lease, and
WHEREAS, Jimmy's now wishes to voluntarily surrender the
lease to the City, and
WHEREAS, the City is agreeable to the surrender of the
lease, and
WHEREAS, Jimmy's desires to sell and the City desires to
purchase the fixtures, as shown in Exhibit "A" which is attached
hereto and incorporated herein by reference as if set forth in
full, in the restaurant for the price of ~250,000.
NOW, THEREFORE, IT IS MUTUALLY UNDERSTOOD AND AGREED by
and between the parties hereto as follows:
1. Jimmy's agrees to voluntarily surrender the lease
for the restaurant on the Chula Vista Municipal Golf Course to
the City at the close of business on April 30, 1985.
2. Jimmy's agrees to sell and provide full and clear
title to the fixtures to the City of Chula Vista and City agrees
to buy said fixtures for the sum of ~250,000.
3. City agrees to accept surrender of the lease at the
close of business on April 30, 1985.

4. City agrees to pay ~250,000 to Jimmy's Family of
Fine Restaurants, Inc. upon delivery of full and clear title to
the fixtures to the satisfaction of the City Attorney.

AGREEMENT FOR SALE OF COLLATERAL
Great American First Savings Bank, a California chartered savings bank
("Seller"), in consideration of the sum of Two Hundred Fifty Thousand and
No/100 Dollars ($250,000.00), in lawful money of the United States, receipt of
which is hereby acknowledged, hereby sells, sets over and assigns to the City
of Chula Vista, ,
("Buyer"), all of its rights and interests in and to that certain equipment
described more fully on Exhibit A, attached hereto and incorporated herein,
(the "Collateral") which equipment was part of the collateral under a Security
Agreement dated September 30, 1983, executed by Jimv/'s On The Green, as
debtor, in favor of Seller.
Seller represents:
A. that this sale of the Collateral to Buyer is being made in compliance
with California Commercial Code ~ 9504;
B. that Seller, pursuant to California Commercial Code § 9504 has the
power to sell the Collateral to Buyer; and
C. that Seller has delivered all notices required by 26 USC 7425(b) and
(c) and California Commercial Code ~ 9504.
Buyer acknowledges receipt of the Collateral and further acknowledges that
the Collateral is being purchased by the Buyer "as is" and the Seller does not
warrant that the Collateral is of merchantable quality or that it can be used
for any particular purpose.
