RESOLUTION NO. 12642 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA VISTA APPROVING AGREEMENT BETWEEN THE CITY OF CHULA VISTA AND PRC ENGINEERING, INC. FOR GENERAL PLAN UPDATE SERVICES AND AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT The City Council of the City of Chula Vista does hereby resolve as follows: NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Chula Vista that that certain agreement between THE CITY OF CHULA VISTA, a municipal corporation, and PRC ENGINEERING, INC. for General Plan update services dated the 5th day of August , 1986, a copy of which is attached hereto and incorporated herein, the same as though fully set forth herein be, and the same is hereby approved. FULASZ, CMC, CITY CLERK of the City of Chula Vista, California, DO HEREBY CERTIFY that the above and foregoing is o full, true and correct copy of RESOLUTION NO. 12642 ,and that the same has not been amended or repealed DATED ~'"- ~ City Clerk Cll'{ OF CHULA vISrA CC-660 CI]Y OF CHULA VISTA PLANNING DEPARTMENT CONTRACT FOR PLANNING SERVICES WHEREAS, the City of Chula Vista is in need of professional planning services to prepare an update of the Chula Vista General Plan; and WHEREAS~ the City of Chula Vista has issued an invitation to planning firms throughout the State of California to submit their Statement of Qualifi- cations for review; and WHEREAS~ the City evaluated the qualifications of eleven firms and interviewed four of these firms for possible selection; and WHEREAS~ the City enlisted the assistance of representatives from other public agencies to assist in the interview process; and WHEREAS, PRC Engineering was selected as the most qualified firm for the proposed proiect due to the firm's successful completion of similar projects for other public clients. NOW, THEREFORE, BE IT RESOLVED that the City of Chula Vista and PRC Engineering, a consulting firm, do hereby mutually agree as follows: I. PARTIES The parties to this agreement are the City of Chula Vista, a municipal corporation (hereinafter referred to as "CITY"); and PRC Engineering, a consulting firm (hereinafter referred to as "CONSULTANT"). II. INTENT OF THE PARTIES It is the intent of the CITY and CONSULTANT that CONSULTANT carry out the attached Work Program and Proiect Schedule (ATTACHMENT "A"). It is further the intent of the CITY that CONSULTANT coordinate his work with Mr. Bud Gray, General Plan Project Coordinator and other firms and individuals contributing engineering, transportation or other professional services to the General Plan project. 276 FOURTH AVENUE/CHULA VISTA, CALIFORNIA 92010/(619) 69~ 5101 / 'z ~/:~'c'~ III. OBLIGATIONS OF THE CONSULTANT CITY, pursuant to this agreement, hereby contracts with PRC Engineering (CONSULTANT) to act in its behalf directly and indirectly and in con- junction with CITY staff in carrying out the attached Work Program and Project Schedule (ATTACHMENT "A"). IV. OBLIGATIONS OF THE CITY CITY shall regularly consult with CONSULTANT for the purpose of reviewing the progress of the General Plan project and to provide direction and guidance to achieve the objectives of the project. The GITY shall permit access to its office facilities~ flies and records by GONSULTANT throughout the term of the contract. V, ADMINISTRATION OF CONTRACT The CITY hereby designates the Director of Planning as the CITY'S representative in the review and administration of the work performed by CONSULTANT~ pursuant to the attached Work Program and Project Schedule (ATTACHMENT "A"). V. PRO3ECT SCHEDULE AND COMPLETION DATES The CITY hereby authorizes the Director of Planning to administer the Work Program and Project Schedule as contained in ATTACHMENT "A". VII. TERM This agreement shall become effective upon execution as authorized by the Mayor of the C[TY~ or his designee~ and shall terminate~ if not terminated pursuant to other provisions contained herein, or otherwise extended by all parties~ on December 317 1987, VIII. COMPENSATION The compensation to be paid by CITY to CONSULTANT shall be on a fixed program elements completed. Work program elements shall be completed by CONSULTANT to the satisfaction of the Director of Planning and in accordance with the Work Program and Proiect Schedule, (ATTACHMENT "A'). CITY agrees to pay the total sum invoiced and approved by the Director of Planning each month during the duration of this agreement. IX. INTEREST OF CONSULTANT CONSULTANT presently has not, nor will have during the term of this contract~ any business relationship with any persons or firms doing business within the Chula Vista sphere of influence area that would constitute a conflict of interest. X. HOLD HARMLESS CONSULTANT agrees to defend, indemnify and hold harmless the CITY from and against all liability, cost and expense (including without limi- tation attorneys' fees) arising from loss of or damage to any property whatsoever or injury to or death of any person whomsoever caused or alleged to be caused or occasioned by the act or omission of CONSULTANT or any agent or employee of CONSULTANT arising out of or in connection with this agreement or the work to be performed by CONSULTANT hereunder, except to the extent such liability, cost or expense is caused by the sole negligence of the CITY. XI. TERMINATION OF AGREEMENT FOR CAUSE If, through any cause within CONSULTANT'S control, CONSULTANT shall fail to fulfill in a timely and proper manner his obligations under this agreement~ or if CONSULTANT shall violate any of the covenants, agree- merits, or stipulations of this agreement, CITY shall have the right to terminate this agreement by giving written notice to CONSULTANT of such termination and specifying the effective date thereof at least five (5) days before the effective date of such termination. In that event, all finished or unfinished documents, data, studies, surveys, drawings, maps~ reports, and other materials prepared by CONSULTANT shall, at the option of the CITY, become the property of the CITY~ and CONSULTANT shall be entitled to receive just and equitable compensation for any work satis- factorily completed on such documents and other materials up to the CITY OF CHULA VISTA effective date of notice of termination, not to exceed the amounts payable under Paragraph VIII hereinabove. XII. TERMINATION OF AGREEMENT FOR CONVENIENCE OF CITY CITY may terminate this agreement at any time and for any reason by giving specific written notice to CONSULTANT of such termination and specifying the effective date thereof, at least thirty (30) days before the effective date of such termination. In that event, all finished and ] unfinished documents and other materials described in Paragraph VIII hereinabove shall, at the option of CITY, become CITY'S sole and exclusive · property. If the agreement is terminated by CITY as provided in this paragraph, CONSULTANT shall be entitled to receive just and equitable compensation for any satisfactory work completed on such documents and other materials to the effective date of such termination. CONSULTANT hereby expressly waives any and all claims for damages or compensation arising under this agreement except as set forth in Paragraph VIII herein- above in the event of such termination. XIII. ASSIGNABILITY CONSULTANT shall not assign any interest in this agreement, and shall not transfer any interest in the same (whether by assignment or novation), without prior written consent of CITY. XIV. OWNERSHIP, PUBLICATION, REPRODUCTION AND USE OF MATERIAl, All reports, studies, information, data, statistics, forms, designs, plans, procedures, systems, and any other materials or properties produced under this agreement shall be the sole and exclusive property of CITY. No such materials or properties produced in whole or in part under this agreement shall be subject to private use, copy rights~ or patent rights by CONSUL- TANT in the United States or in any other country without the express written consent of CITY. CITY shall have unrestricted authority to publish, disclose (as may be limited by the provisions of the Public Records Act), distribute, and otherwise use, copyright or patent, in whole or in part, any such reports, studies, data, statistics, forms or other materials or properties produced under this agreement. CITY OF CHULA VISTA " XV. INDEPENDENT CONTRACTOR CITY is interested only in the results obtained and CONSULTANT shall perform as an independent contractor with sole control of the manner and means of performing the services required under this agreement. CITY maintains the right only to reject or accept CONSULTANT'S work product(s). CONSULTANT and any of CONSULTANT'S agents, employees, or representatives are, for all purposes under this agreement, an independent contractor, and shall not be deemed to be an employee ot CITY, and none of them shall be entitled to any benefits to which CITY employees are entitled, including but not limited to ~ overtime, retirement benefits~ worker's compensation benefits, injury leave~ or other leave benefits. XVI. CHANGES CITY may from time to time require changes in the scope of the services by CONSULTANT to be performed under this agreement. Such changes, including any change in the amount of CONSULTANT'S compensation which are mutually agreed upon by CITY and CONSULTANT shall be effective as amendments to this agreement only when in writing. COX, Mayor City of Chula Vista CONSULTANT '~ ~:V~. ~EenR~rYvSilcMe%Nresident/ Regional Manager PRC Engineering CITY OF CHULA VISTA CI~' OF CHULA VISI'A PLANNING DEPARTMENT ATTACHMENT A CHULA VISTA GENERAL PLAN WORK PROGRAM AND PRO~JECT SCHEDULE Consultant will prepare a revised General Plan for the City of Chula Vista in accordance with the work program described below and the project schedule which accompanies this contract. Eight major work elements are included in the work program. These include the following: Research and Analysis of General Plan Policies and Programs Conduct Baseline Studies Conduct Economic/Fiscal Impact Analysis Prepare Generalized City-Wide Community Design Element Prepare Central Chula Vista Land Use Plan Prepare Eastern Territories Land Use and Open Space Plans Prepare Master EIR General Plan Reformatting and Report Preparation The work program for each of the eight major work elements is described below. Research and Analysis of General Plan Policies and Programs The primary focus of this work element is to analyze the existing General Plan and City policies and programs which guide development within the City, to identify problem areas, and to prepare an overall strategy and policy statement regarding future growth and development within the City. This policy statement will provide a critical framework to guide later stages of the work effort. It is anticipated that City staff, the Planning Commlssion and City Council will participate actlvely in this work element. During thls work element, Consultant will also prepare a detailed outline summarizing proposals for the content and format of the revised General Plan for City staff review and comment. A comprehensive City-wide "site-visit" will also be undertaken during this work element by the Consultant in conjunction with City staff. Specific tasks to be performed during this work element include the following: 276 FOURTH AVENUE/CHULA VISTA, CALIFORNIA 92010/(619) 691-5101 ATTACHMENT A o Review existing goals, obiectives, policies, growth management stra- tegies o Conduct comprehensive City-wide "site visit" with City staff to observe the physical development of the various communities within the planning area o Obtain and review SANDAG survey data (SANDAG data should be available by Week 6 of the work effort) o Interview key staff members (and others as recommended by staff) to identify key problem areas o Prepare and submit briefing paper summarizing problems~ inconsisten- cies~ recommending solutions - Briefing paper will identify basic goals, policies, objectives which City should retain and will present proposed text and graphic format for revised general plan) o Staff review o Planning Commission review o City Council review o Prepare preliminary program statement identifying goals, policies, obiectives and defining City's overall growth and development strategy Conduct Baseline Studies The primary tasks during this work element include obtaining and preparing base maps, establishing study area boundaries and collecting baseline studies for both physical factors and infrastructure/service factors affecting the General Plan process. The primary product of this stage will be a baseline studies report which will be a support document for the revised General Plan. Specific tasks to be performed during this work element include the following: o Obtain and prepare base maps (Standardize base map format- for General Plan (1" = I~000% Eastern Territories (1" = #00') and Central Chula Vista (1" = q00'); prepare regional base map (1" = 2~000'). o Define geographic boundaries of specific study areas o Collect physical factors/infrastructure data on a City-wide and precise plan area basis; utilize maps previously prepared which summarize physical factors/infrastructure including the following. CITY OF CHULA VISTA ATTACHMENT A Generalized slope analysis for Eastern Territories Existing zoning Existing generalized land use Environmental resources/constraints Circulation Water service Sewer service Drainage Solid/hazardous waste Parks/open space - Schools - Police protection - Fire protection o Coordinate with baseline studies being prepared by others for Mont- gomery and Sweetwater areas o Prepare and submit baseline studies report Conduct Economic/Fiscal Analyses The economic and fiscal impact analyses will involve a three-step approach. During Step 1, existing available market and demographic data available for the City of Chula Vista and the surrounding area will be compiled and reviewed. Information will be obtained from 5ANDAG, the Chamber of Commerce, from market studies conducted by other developers within the City, and from other sources. No new market or demographic studies will be conducted as part of this task. The existing information will be utilized to evaluate demographic and land use trends within the study area including household characteristics, neighborhood characteristics, and economic growth and real estate development patterns and characteristics. Based on this evaluation, general assumptions regarding absorption and marketability of various land uses and product types will be determined for use in the economic analysis. A technical report will be prepared outlining the findings of this task and describing the assumptions to be utilized in the economic analysis. This technical report is expected to serve as an internal document, for City use, in support of the economic data included in the revised General Plan. -3- CITY OF CHULA VISTA ATTACHMENT A Step 2 of this work element will involve evaluation and development of public finance strategies for the City. The analysis will identify potential sources of funds for required or recommended public service and capital improvement pro- grams including fees~ charges, taxes and assessments. The costs of funding sources and revenue projections will also be determined for both interim and ultimate funding of capital improvements. The public financing strategies and assumptions developed during this step will be inputs to the economic/fiscal impact model. Step 3 will involve development and implementation of economic/fiscal impact analysis models. The models will be developed in a spreadsheet format and will evaluate City costs/revenues for all land use alternatives developed for the Eastern Territories and Central Chula Vista areas. Specific models will be developed for each of these areas along with a City-wide base case model. Modifications to the models will also be developed for the Eastern Territories to evaluate a generalized development pro-forma in addition to fiscal impacts. No information from existing property owners in the Eastern Territories area will be necessary to complete this analysis. A summary report will be prepared describing the models and presenting the results of the alternatives testing. Specific tasks to be performed during this work element include the following: o Utilizing existing available information, evaluate development oppor- tunities and constraints Analyze City-wide demographic and land use trends Examine existing development patterns and potential for econo- mic growth City-wide and within Eastern Territories and Central Chula Vista areas Prepare technical report summarizing findings and presenting general assumptions to be utilized in the economic model o Develop public linancing strategies Obtain existing City operations information (costs of service) from the Director of Finance CITY OF CHULA VISTA ATTACHMENTA Identify potential sources of funds for required or recommended public service and capital improvement programs in conjunction with the Director of Finance and the City Manager. Develop revenue projections in conjunction with the Director of Finance and the City Manager Prepare technical memorandum summarizing findings Develop and run economic/fiscal impact models Create three spreadsheet models to conduct conceptual fiscal impact analyses for City-wide base case, Eastern Territories, and Central Chula Vista areas Modify spreadsheet models to estimate developer costs for East- ern Territories Test alternative plans for Eastern Territories, and Central Chula Vista using models Prepare technical memoranda describing models and summarizing findings Prepare Generalized City-Wide Community Design Element This work element involves preparation of a City-wide community design element. The Community Design Element will identify maior urban design features within the City such as gateways, landmarks, and major sub-areas within the City. Analysis of the overall character of each of the sub-areas will be conducted and design recommendations on a macro scale will be prepared. Specific tasks to be performed during this work element include the following: o Review existing design documents and relevant plan elements~ policies and ordinances o Interview key staff members to identify major areas of concern o Conduct comprehensive City-wide "site visit" o Prepare conceptual City-wide community design element (identifying major areas and their character, landmarks, corridors, inter-community buffers) CiTY OF ~OLA VISTA ATTACHMENT A o Prepare implementation recommendations for City-wide design element (including recommended ]eve[ of detail, format, specificity, general approach) o Staff review and comment o Revisions based on staff comments Prepare Central Chula Vista Land Use Plan The focus of the Central Chula Vista Plan will be to review and evaluate existing redevelopment efforts, consolidate existing plans for the Central Chula Vista area, and to recommend strategies for urban design, preservation, rehabilitation and beautification of the Central Chula Vista area. The appropriateness of existing land use and zoning designations in the Central Chula Vista area will be evaluated and changes will be recommended~ if deemed necessary. Specific tasks to be performed during this work element include the following: o Review existing redevelopment strategies and efforts o Analyze existing conditions and market potential o Evaluate impact of existing redevelopment strategies o Examine circulation/infrastructure requirements based on input from consultants o Develop optimum land use alternative(s) o Test alternative(s) based on economic/fiscal impact model o Staff and City Council review and selection of recommended alternative o Public input as recommended by City staff o Develop strategies for preservation and rehabilitation o Develop urban design/urban beautification strategies o Prepare Central Chula Vista Plan Prepare Eastern Territories Land Use and Open Space Plans Preparation of the Eastern Territories Plan will involve preparation and testing of three alternative land use plans using the economic/fiscal impact model. A plan will be recommended based on the results of testing and evaluation. All alternative plans and testing results will be submitted to City staff and City Council CITY OF {)I~I::ILA VISTA ATTACHMENT A for review and comment prior to selecting and refining a final plan. Input from the transportation and public facilities consultants will be essential during this work effort. Specific tasks to be performed during this work element include the following. o Assemble and synthesize baseline information o Prepare composite opportunities and constraints analysis o Prepare three alternative "blob" plans o Obtain circulation and infrastructure costs and requirements for each "blob" plan (from consultants) o Test each alternative plan based on economic/fiscal impact model o Staff review and selection of recommended alternative o Public input as recommended by City staff o Prepare Eastern Territories plan (including land use plan~ circulation plan, open space plan~ implementation recommendations) Prepare Master EIR The Master EIR will encompass all of the proposed General Plan changes and will evaluate the environmental effects of the proposed General Plan both as compared to the environmental effects of the existing General Plan and as compared to the environmental effects of existing development in the area. Specific tasks to be performed during this work element include the following: o Prepare and distribute Notice of Preparation (by City) o Prepare and submit Draft EIR o City staff review o Public review of Draft EIR O Response to Comments o Prepare Final EIR General Plan Reformatting and Report Preparation This work element will be the culmination of the entire work program. The planning efforts for the Eastern Territories and Central Chula Vista areas will be assembled and an entirely revised and reformatted General Plan map and text will be produced. Specific tasks to be performed during this work element include the following: CITY OF CHULA VISTA ATTACHMENT A o Revise and reformat all state mandated and optional general plan elements, community design element and library master plan to ensure consistency with revised land use, circulation, public facilities elements o Obtain Final Montgomery Plan (City Staff) o Obtain Final Sweetwater Plan (City Staff) o Obtain revised circulation element (Consultant) o Obtain revised public facilities element (Consultant) o Prepare revised General Plan map o Prepared revised General Plan text o Prepare mock-up of revised General Plan text with standardized graphic and narrative format o Staff and City Council review and comment o Revisions based on staff review o Prepare camera-ready final General Plan Public' Participation Anticipated public participation activities include establishment of a Technical Committee by the City of Chula Vista to monitor and review the work effort and conduct of a community opinion survey by SANDAG. Questions for the SANDAG survey will be developed by City of Chula Vista staff. Survey results will be reviewed by PRC and will provide important input for the development of goals and objectives for the General Plan. The City of Chula Vista also expects to hold a variety of public workshops and hearings on the General Plan process. PRC's involvement in the public participation effort will include attendance at a variety of public meetings and hearings and review and analysis of the SANDAG survey results. PRC's scope of work includes a maximum of 100 hours of staff time in public participation efforts. Specific Exclusions The following items are specifically excluded from the scope of services described above: 1. Volume reproduction of the revised General Plan or interim reports (such as general plan policy statement, baseline studies report, economic analysis CITY OF CHULA VISTA ATTACHMENT A summary, draft design element, draft Eastern Territories and Central Chula Vista Plans) produced as part of the work effort. Reproduction of 10-15 copies of each of the interim reports and the draft General Plan for City review and comment is included in the scope of work. The costs for reproduction of additional copies, if requested by the City, would be billed on i~ (15%) basis. One of the final revised General a cost-plus camera-ready Plan will be provided. Reproduction of the final revised General Plan, if requested by the City, would be billed on a cost-plus (15%) basis. 2. Volume reproduction of the final revised General Plan Map. One reproducible mylar of the final revised General Plan Map will be provided. Reproduction of the General Plan Map, if requested by the City, would be billed on a cost- plus (15%) basis. Preparation of art-work necessary to produce a colored General Plan Map, if requested by the City, would be billed on a time and materials basis. 3. Volume reproduction of the draft (for public review distribution) and final Master EIR~s. Reproduction of these documents, if requested by the City, would be billed on a cost-plus basis. ~. Public participation efforts in excess of 100 hours of meeting time. The scope of work includes participation by PRC personnel in a maximum of 100 hours of meetings and hearing with community groups, the Planning Commission and the City Council. Attendance at meetings by PRC staff members in excess of 100 hours would be billed on a time and material basis.
