RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA
VISTA APPROVING AGREEMENT BET~EEN THE CITY OF CHULA
VISTA AND JHK ASSOCIATES FOR DEVELOPMENT OF THE
CIRCULATION ELEMENT FOR THE GENERAL PLAN, AUTHORIZING
THE MAYOR TO EXECUTE SAID AGREEMENT AND APPROPRIATING
FUNDS THEREFOR
The City Council of the City of Chula Vista does hereby
resolve as follows:
NO%~, THEREFORE, BE IT RESOLVED by the City Council of
the City of chula Vista that that certain agreement between THE
CITY OF CHULA VISTA, a municipal corporation, and JHK ASSOCIATES
for development of the Circulation Element for the General Plan
dated the 18 day of November , 1986 , a copy of which is
attached hereto and incorporated herein, the same as though fully
set forth herein be, and the same is hereby approved.
BE IT FURTHER RESOLVED that the Mayor of the City of
C~]ula Vista be, and he is hereby authorized and directed to
execute said agreement for and on behalf of the City of Chula
Vista.
BE IT FURTHER RESOLVED that the sum of $67,600 is hereby
appropriated from the reserve of the following respective funds
to the following accounts in those funds: $57,600 from Gas Tax
250-2501-GT223; $7,500 from Traffic signal Fees 600-6000-TS34;
and $2,500 from Redevelopment Funds 995-9950-BF52.

AGREEMENT FOR ENGINEERING SERVICES
BETWEEN THE CITY OF CHULA VISTA
AND JHK & ASSOCIATES CONSULTING ENGINEERING SERVICES
FOR A CIRCULATION ELEMENT
WHEREAS, the City of Chula Vista is in need of professional engineering
services to prepare a Circulation Element; and
WHEREAS, the City of Chula Vista has issued an invitation to
engineering finns throughout the State of California to submit their Statement
of Qualifications for review; and
WHEREAS, the City evaluated the qualifications of seven firms and
interviewed five of these firms for possible selection; and
WHEREAS, the City enlisted the assistance of representatives from other
public agencies to assist in the interview process; and
WHEREAS, JHK & Associates was selected as the most qualified firm for
the proposed project due to the firm's successful completion of similar
projects for other public clients.
NOW, THEREFORE, BE IT RESOLVED that the City of Chula Vista and JHK &
Associates, a consul ting firm, do hereby mutually agree as follows:
I. PARTIES
The parties to this agreement are the City of Chula Vista, a municipal
corporation (hereinafter referred to as "CITY"); and JHK & Associates,
a consulting firm {hereinafter referred to as "CONSULTANT").
II. INTENT OF THE PARTIES
It is the intent of the CITY and CONSULTANT that CONSULTANT carry out
the attached Proposed Scope of Work and Project Schedule {ATTACHMENT
"A"). It is further the intent of the CITY that CONSULTANT coordinate
his work with Mr. Bud Gray, General Project Coordinator, and other
firms and individuals contributing planning or other professional
services to the General Plan process.
III. OBLIGATIONS OF THE CONSULTANT
CITY, pursuant to this agreement, hereby contracts with JHK &
Associates (CONSULTANT) to act in its behalf directly and indirectly
and in conjunction with CITY staff in carrying out the attached Work
Program and Project Schedule {ATTACHMENT "A"). CONSULTANT will perform
in accordance with the standard customarily provided by a experienced
and competent professional engineering organization rendering the same
or similar services.
IV. OBLIGATIONS OF THE CITY
CITY shall regularly consult the CONSULTANT for the purpose of
reviewing the progress of the Circulation Element project and to
provide direction and guidance to achieve the objectives of the
project. The CITY shall permit access to its office facilities, files
and records by CONSULTANT throughout the term of the contract.
V. ADMINISTRATION OF CONTRACT
The CITY hereby designates the Director of Public Works as the CITY's
representative in the review and administration of the work performed
by CONSULTANT, pursuant to the attached Work Program and Project
Schedule (ATTACHMENT "A").
VI. PROJECT SCHEDULE AND COMPLETION DATES
The CITY hereby authorizes the Director of Public Works to administer
the Work Program and Project Schedule as contained in ATTACHMENT "A".
VII. TERM
This agreement shall become effective upon execution as authorized by
the Mayor of the CITY, or his designee, and shall terminate, if not
terminated pursuant to other provisions contained ~)~rein, or otherwise
extended by all parties, on December 31, 1987.~
VIII. COMPENSATION
The compensation to be paid by CITY to CONSULTANT shall be on a fixed
price basis in the amount of SEVENTY-FIVE THOUSAND SIX HUNDRED AND
SEVENTY DOLLARS ($75,670.00) in accordance with ATTACHMENT "B",
Schedule of Fees, which shall be used by the CITY in determining the
amount of work completed by CONSULTANT and, therefore, the percentage
of compensation to be paid by CITY to CONSULTANT each month for work
program elements completed. Work program elements shall be completed
by CONSULTANT in accordance with the Work Program and Project Schedule,
(ATTACHMENT "A"). CITY agrees to pay the total sum invoiced and
approved by the Director of Public Works each month during the duration
of this agreement.
IX. INTEREST OF CONSULTANT
CONSULTANT presently has not, nor will have during the term of this
contract, any business relationship with any person for firms doing
business within the Chula Vista sphere of influence area, as identified
in the City's December 1984 report, that would constitute a conflict of
interest.

X. HOLD HARMLESS
CONSULTANT agrees to defend, indemnify and hold harmless the CITY from
and against all liability, cost and expense lincluding without
limitation attorneys' fees) arising from loss of or damage to any
property whatsoever or injury to or death of any person whomsoever
caused or alleged to be caused or occasioned by the negligent act or
omission of CONSULTANT or any agent or employee of CONSULTANT arising
out of or in connection with this agreement or the work to be performed
by CONSULTANT hereunder, except to the extent such liability, cost or
expense is caused by the negligence of the CITY. CONSULTANT's
liability hereunder will be limited to the proceeds recovered from
CONSULTANT's insurance. Errors and omission insurance coverage for the
duration of the project shall include a $1,000,000 limit per claim and

XI. TERMINATION OF AGREEMENT FOR CAUSE
If, through any cause within CONSULTANT's control, CONSULTANT shall
fail to fulfill in a timely and proper manner his obligations under
this agreement, or if CONSULTANT shall violate any of the covenants,
agreements, or stipulations of this agreement, CITY shall have the
right to terminate this agreement by giving written notice to
CONSULTANT of such termination and specifying the effective date
thereof at least five (5) days before the effective date of such
termination. In that event, all finished or unfinished documents,
data, studies, surveys, drawings, maps, reports, and other materials
prepared by CONSULTANT shall, at the option of the CITY, become the
property of the CITY, and CONSULTANT shall be entitled to receive just
and equitable compensation for any work satisfactorily completed on
such documents and other materials up to the effective date of notice
of termination, not to exceed the amounts payable under Paragraph VIII
hereinabove.
XII. TERMINATION OF AGREEMENT FOR CONVENIENCE OF CITY
CONSULTANT may terminate this agreement at any time and for any reason
for giving specific written notice to CONSULTANT of such termination
and specifying the effective date thereof, at least thirty (30) days
before the effective date of such termination. In that event, all
finished and unfinished documents and other materials described in
Paragraph VIII hereinabove shall, at the option of the CITY, become
CITY's sole and exclusive property. If the agreement is terminated by
CITY as provided in this paragraph, CONSULTANT shall be entitled to
receive just and equitable compensation for any satisfactory work
completed on such documents and other materials to the effective date
of such termination. CONSULTANT hereby expressly waives any and all
claims for damages or compensation arising under this agreement except
as set forth in Paragraph VIII hereinabove in the event of such
termination.

XIII. ASSIGNABILITY
CONSULTANT shall not assign any interest in this agreement, and shall
not transfer any interest in the same (whether by assignment or
novation), without prior written consent of CITY. It is understood
that the firm of Federhart & Associates will be performing a portion of
the project as a subcontractor to JHK & Associates.
XIV. OWNERSHIP, PUBLICATION, REPRODUCTION AND USE OF MATERIAL
All reports, studies, information, data, statistics, forms, designs,
plans, procedures, systems, and any other materials or properties
produced under this agreement shall be the sole and exclusive property
of CONSULTANT. No such materials or properties produced in whole or in
part under this agreement shall be subject to private use, copy rights,
or patent rights by CONSULTANT in the United States or in any other
country without the express written consent of CITY. CITY shall have
unrestricted authority to publish, disclose (as may be limited by the
provisions of the Public Art), distribute, and otherwise use, copyright
or patent, in whole or in part, any such reports, studies, data,
statistics, forms or other materials or properties produced under this
agreement.
XV. INDEPENDENT CONTRACTOR
CITY is interested only in the results obtained and CONSULTANT shall
perform as an independent contractor with sole control of the manner
and means of performing the services required under this agreement.
CITY maintains the right only to reject or accept CONSULTANT's work
product(s). CONSULTANT and any of the CONSULTANT's agents, employees,
or representatives are, for all purposed under this agreement, an
independent contractor, and shall not be deemed to be an employee of
CITY, and none of them shall be entitled to any benefits to which CITY
employees are entitled, including but not limited to, overtime,
retirement benefits, worker's compensation benefits, injury leave, or
other leave benefits.
XVI. CHANGES
CITY may from time to time require changes in the scope of the services
by CONSULTANT to be performed under this agreement. Such changes,
including any change in the amount of CONSULTANT's compensation which
are mutually agreed upon by CITY and CONSULTANT shall be effective as
amendments to this agreement only when in writing.

XVII. RESPONSIBLE CHARGE
CONSULTANT shall assign a project manager(s) to the project for the
duration of the project. No substitution for this position shall be
allowed without written approval from the CITY's Director of Public
Works. The project manager for JHK & Associates shall be David Perkins
and the project manager for Federhart & Associates shall be Jim
Federhart.
IN WITNESS WHEREOF, CITY and CONSULTANT have executed this contract for

Re: Circulation Element for Chula Vista (Proposal 98#9)
Dear Mr. Lippitt:
We have prepared a revised scope of work, cost estimate, and schedule for the
referenced project based on direction received from Chuck Glass, George Kremple,
and Bud Gray, during our meeting of October 20, 1986. The level of effort in this
proposal is approximately 25 percent less than the estimate shown in our proposed
scope of work dated October 10, 1986. This reduction is due to scope modification
that allows us to be more responsive to the City's budgetary guidelines. The
following points summarize the major scope differences, by task, between our
current proposal and the earlier submittal.
o Task I - The documentation of existing transportation facilities, services,
and volumes will be limited to summarized information and data supplied
by the City or contained in existing documents. Data collection and data
reduction are not included in this task.
o Task 2 - An upper limit of 150 hours for meetings has been set for this
task. Meetings will be attended by one member of the JHK Team and on
a limited basis, two members when dictated by the subject of the
meeting. Meetings and associated costs in excess of 150 person-hours will
be charged on a time and materials basis.
o Task 3 Studies reviewed under this task will be limited to
traffic/transportation studies.
o Task g - The study area will be defined by City staff. Review of SANDAG
Otay Mesa runs will be limited to the network, network loadings, and trip
generation rates for land use categories. Land use and socioeconomic
data summaries will be summarized and supplied by City staff.
o Task 5 - One network will be defined by the JHK Team for each of three
land use scenarios in association with the General Plan Consultant.
Network maps and information on lanes and functional class will be
supplied to the City, who will be responsible for network and land use data
coding, input, and supervision of SANDAG activities.

o Task 6 - Model outputs from SANDAG will be summarized and analyzed
by the 3HK Team. Results will be presented to the General Plan
Consultant. Following the selection of a land use scenario (by the General
Plan Consultant) the 3HK Team will make network refinements for a final
model run. The City will be responsible for coordination with SANDAG
for network/socioeconomic/land use changes in the model.
o Task 7 - No change in scope.
o Task 8 - Text will be provided to the General Plan Consultant for use in
developing final manuscript for the General Plan document. The text will
also be submitted to the City and serve as a final report for work
performed by the 3HK Team.
o Task 9 - Activities under this task will be incorporated into Task 1. Task
9 has been eliminated.
The time schedule has been revised to conform to a 9-month study period. The
revised time schedule, staffing plan, and cost estimate are attached.
Please review this proposal and advise us if further refinements are needed.
We look forward to receiving your comments and working toward a mutually
agreeable scope for the study.

STUDY OB3ECTI~flF~S
o To document existing transportation facilities and services using
information provided by the City of Ghula Vista.
o To review and analyze future transportation facilities plans~ develop a
transportation network for each of three land use scenarios developed by
the General Plan Consultant~ and develop a transportation facilities plan
that satisfies projected traffic demands resulting for a selected land use
scenario.
o To coordinate with other consultants, agencies, and city representatives
that are involved with the various elements of the General Plan.
o To prepare text describing the circulation element for use by the General
Plan consultant in preparing the General Plan.
WORK TASKS
Task I Document Existing Conditions
:JHK Project Team members will meet with City staff to identify existing
information and data pertaining to current transportation conditions for the
following facilities and services.
o Physical and cross sectional roadway characteristics for interstate,
primary, and major road classes and their intersections.
o Volumes on interstate, primary~ and major road classes.
o Location of signalized intersections.
o On-street parking availability.
o Pedestrian and bicycle facilities.
o Transit routes and facilities.
Summarized information and data received from the City will be the sole basis
for describing existing conditions. No data collection is anticipated for this task.
Existing conditions will be shown on maps~ as data summaries~ or in narrative

descriptions. Information on existing conditions will be incorporated into the
circulation element text and will serve as a reference during subsequent study
activities. Note that study cost estimates assume no field data collection or
reduction of raw data. Also, this task will not identify current problems and current
transportation system needs. Rather, it will concentrate on defining current
transportation system supply, available current traffic volumes, and facilities.
Task 2 Multidiscipline Team Participation
Members of the 3HK Project Team will attend meetings with consultants,
agencies, and individuals as needed to communicate and coordinate activities
associated with the circulation element and the general plan. Cost estimates
assume a maximum of one such meeting per month to be attended by the JHK
Project Director or other Project Team members, depending on the subject of the
meeting. Meeting time and associated costs for attending meetings in excess of 150
person-hours will be charged at current time-and-material 'rates.
Task 3 Review Previous Studies
The 3HK Project Team will meet with City staff to identify previous
transportation studies to be reviewed. It is anticipated that at least the following
transportation related studies will be reviewed.
o Previous general plan and circulation element documents.
o Otay Mesa Task Force report
o Documents describing city and county transportation plans for the areas
west of I-5 and east of Route 805.
o SANDAG regional transportation plans.
o Other transportation and traffic studies identified by the City.
Task t~ Define Study Area/Review SANDAG Model
The 3HK Project Team will review and summarize the results of the
transportation planning model runs performed by SANDAG as part of the study
performed by the Otay Mesa Task Force. Highway links associated with the
SANDAG network will be identified and described according to the number of lanes,

average daily traffic, and volume-to-capacity ratio. Trip generation rates used in
the SANDAG model will be reviewed. The descriptions of socioeconomic and land
use data on which the model runs were performed will be provided by the City. The
results of the SANDAG model runs will provide the 3HK Project Team with a
reference point from which alternative transportation networks will be developed
and evaluated for a circulation element for the 20-year land use scenarios. The
limits of the study area to be used in subsequent analysis will be defined by city
staff.
Task 5 Develop and Test Circulation Element Alternatives
The 3HK Project Team will jointly develop one circulation element for each of
three land use scenarios with the General Plan consultant and city staff. The
resulting network will be provided to city staff in the form of an annotated network
map showing road class, number of lanes, and general alignment. The General Plan
consultant will define the land use scenarios. The land use scenario will be input
into the SANDAG transportation model under the supervision of city staff and will
serve as the basis for testing the adequacy of the circulation element defined for
each land use scenario. All modifications to the SANDAG model will be performed
through Sourcepoint services, available at SANDAG. All modifications to the
SANDAG model will be supervised by city staff and verified to ensure that desired
land use and transportation elements are incorporated into the model.
It is assumed that charges for Sourcepoint services will be the responsibility of
the City. Sourcepoint costs have not been included in the cost estimate for this
study.
Task 6 Traffic Study/Impact Analysis
This task involves the analysis and evaluation of the three model runs produced
by the SANDAG model in Task 5. To accomplish this, the 3HK Project Team will
propose performance standards that will serve as a basis for evaluating each
alternative. Performance standards will be defined in terms of "level of service" by
roadway classification. A primary source of performance standards will be the 198#
AASHTO guidelines (the Green Book). Performance standards will be approved by
the City of Chula Vista.
Using the approved performance standards, SANDAG model output for each
land use scenario will be summarized and compared to the established performance
standards. An assessment will be made as to the ability of each network to provide
acceptable levels of performance for the corresponding land use scenario. Rough
cost estimates for each circulation plan will be developed by the 3HK Project Team.
Results will be presented to the City and to the General Plan consultant for use on
evaluating land use alternatives. Special attention will be given to the trip
generating characteristics of the developing areas east of Route g05, Following the
selection of a land use scenario, the 3HK Project Team will recommend appropriate
network revisions for use in a final SANDAG run, Modifications to the SANDAG
socioeconomic and land use data base will be the responsibility of the City. Final
circulation element recommendations and impacts will be developed from this run.
Although roadway capacity will be provided primarily through the introduction
of new roadways or the widening of existing roadways~ other complementary
strategies and[or facilities will be incorporated into the recommended network.
These strategies may include but not be limited to:
o Bicycle and pedestrian facilities
o Transit facilities
o Traffic control
o Others
Incorporation of these strategies will result from a working session between
the 3HK Project Team and City staff. Generalized impacts from these strategies
will be provided by 3HK and their impacts will not be subject to quantitative
analysis. The resulting recommended circulation element will be presented to the
City for approval.
Task 7 Preliminary Highway Engineering
The previous two tasks will produce a recommended circulation plan for
transportation facilities needed to meet traffic demands for the selected land use
scenario. This task will consist of fine tuning the circulation plan to ensure
implementation feasibility and to provide guidelines for the implementation of the
plan. To accomplish this~ the 3HK Project Team will identify feasible roadway
alignments for future roadways, east of Route 805. Limited field reconnaissance
and review of aerial photographs will be performed to identify possible feasible
alignments.
In addition, the JHK Project Team will develop roadway design criteria that
will serve as guidelines for planning and implementation of future highway facilities.
This will involve the development of recommended criteria for roadway cross
sections, right-of-way requirements, typical intersection geometry, roadway
alignments, and special roadway facilities such as pedestrian~ bicycle~ and transit
facilities. The primary sources of information for geometric criteria will be
AASHTO, CALTR^NS~ San Diego County, and the City. Special attention will be
given to a comparison of San Diego County with Chula Vista roadway design
criteria. It may also be necessary to develop special design criteria for areas where
normal design criteria are difficult to apply (e.g., the foothills area east of Route
SOS).
All feasible approximate alignments and design criteria will be presented to
the City of Chula Vista. City comments will be incorporated into the final
recommendations.
Task 8 Circulation Element Text
In this task, the 3HK Project Team will prepare written documentation on
study procedures and recommendations. Close coordination with the General Plan
consultant will be maintained during this task to ensure that the circulation element
text can be incorporated into the General Plan document. It is assumed that the
General Plan consultant will be responsible for preparing the final manuscript of the
General Plan document using the documentation prepared in this task. The text
prepared by the JHK Team will also be submitted to the City as a final report for
work performed in this study.
PROJECT SCHEDULE AND LEVEL OF EFFORT
The duration of this study is 9 months. Exhibit 1 shows the schedule for
project completion and the duration of the individual tasks throughout the 12-month
period. Note that Task 5 and 6 scheduling is dependent on receiving input from the
General Plan consultant, the timely submittal of data/information to SANDAG by
the City, and the timely performance of model runs by SANE)AG. Staffing and cost
estimates are based on the assumption that authorization to proceed with the study
will be received by November 15, 1986.
A total of 1~5#5 staff hours is proposed for this study. This total is comprised
of 1~55 staff hours for ~]HK and 90 staff hours for Federhart & Associates.
Exhibit 2 shows the distribution of staff hours by task for each team member.
PRO2EGT COST
The estimated cost to complete the project is $75,670. Exhibit 3 shows a
detailed cost estimate.
