RESOLUTION NO.
RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA
VISTA APPROVING AGREEMENT BETWEEN THE CITY OF CHULA
VISTA AND ENGINEERING SCIENCE, INC. FOR PUBLIC
FACILITIES STUDIES IN CONJUNCTION WITH THE GENERAL PLAN
AMENDMENT, AUTHORIZING THE MAYOR TO EXECUTE SAID
AGREEMENT AND APPROPRIATING FUNDS THEREFOR
The City Council of the City of Chula Vista does hereby
resolve as follows:
NO%~, THEREFORE, BE IT RESOLVED by the City Council of
the City of Chula Vista that that certain agreement between THE
CITY OF CHULA VISTA, a municipal corporation, and ENGINEERING
SCIENCE, INC. for PuDlic Facilities studies in conjunction with
the General Plan Amendment, dated the 18 d.~V of November
, 198 6, a copy of which is attached hereto and incorporated
herein, the same as though fully set forth herein be, and the
same is hereby approved·
BE IT FURTHER RESOLVED that the Mayor of the City of
chula Vista be, and he is hereby authorized and directed to
execute said agreement for and on behalf of the City of Chula
Vista.
BE IT FURTHER RESOLVED that the sum of ~5,400 is hereby
appropriated from the reserve of the Residential Contruction Tax
Fund RC-46 to the Residential Construction Tax Fund RC-46.

AGREEMENT FOR ENGINEERING SERVICES
BETWEEN THE CITY OF CHULA VISTA
AND ENGINEERING-SCIENCE, INC.
CONSULTING ENGINEERING SERVICES
FOR A PUBLIC WORKS FACILITY PLAN
WHEREAS, the City of Chula Vista is in need of professional
engineering services to prepare a Public Works Facility Plan; and
WHEREAS, the City of Chula Vista has issued an invitation to
engineering firms throughout the State of California to submit their
Statement of Qualifications for review; and
WHEREAS, the City evaluated the qualifications of ten firms and
interviewed five of these firms for possible selection; and
WHEREAS, the City enlisted the assistance of representatives from
other public agencies to assist in the interview process; and
WHEREAS, Engineering-Science, Inc. was selected as the most
qualified firm for the proposed project due to the firm's successful
completion of similar projects for other public clients.
NOW, THEREFORE, BE IT RESOLVED that the City of Chula Vista and
Engineering-Science, Inc., a consulting firm, do hereby mutually agree as
follows:
I. PA/~IES
The parties to this agreement are the City of Chula Vista, a municipal
corporation (hereinafter referred to as "CITY"); and
Engineering-Science, Inc., a consulting firm (hereinafter referred to
as "CONSULTANT").
II. INTENT OF THE PARTIES
It is the intent of the CITY and CONSULTANT that CONSULTANT carry out
the attached Work Program and Project Schedule (ATTACEMENT "A"). It
is further the intent of the CITY that CONSULTANT coordinate his work
with Mr. Bud Gray General Project Coordinator and other firms and
individuals contributing planning, transporation or other professional
services to the Public Works Facility Plan Project
IIio OBLIGATIONS OF THE CONSULTANT
CITY, pursuant to this agreement, hereby contracts with ~gineering-
Science (CONSULTANT) to act in its behalf directly and indirectly and
in conjunction with CITY staff in carrying out the attached Work
Program and Project Schedule (ATTACHMENT 'A'). Consultant will
perform in accordance with the standard customarily provided by an
experienced and competent professional engineering organization
rendering the same or similar services.
IV. OBLIGATIONS OF THE CITY
CITY shall regularly consult with CONSULTANT for the purpose of
reviewing the progress of the Public Works Facility Plan project and
to provide direction and guidance to achieve the objectives of the
project. The CITY shall permit access to its office facilities, files
and records by CONSULTANT throughout the term of the contract.
V. ADMINISTRATION OF CONTRACT
The CITY hereby designates the Director of Public Works as the CITY's
representative in the review and administration of the work performed
by CONSULTANT, pursuant to the attached Work Program and Project
Schedule (ATTACHMENT 'A').
VI. PROJECT SCHEDULE ~ND COMPLETION DATES
The CITY hereby authorizes the Director of Public Works to administer
the Work Program and Project Schedule as contained in ATTACHMENT 'A'.
VII. TERM
This agreement shall become effective upon execution as authorized by
the Mayor of the CITY, or his designee, and shall terminate, if not
terminated pursuant to other provisions contained herein, or otherwise
extended by all parties, on November 18~ 1986
VIII. COMPENSATION
The compensation to be paid by CITY to CONSULTANT for Phase I shall be
on a fixed price basis in the amount of ONE HUNDRED FORTY-NINE
THOUSAND FOUR HUNDRED DOLLARS ($149,400.00) in accordance with
ATTACHMENT 'B', Schedule of Fees, which shall be used by the CITY in
determining the amount of work completed by CONSULTANT and, therefore,
the percentage of compensation to be paid by CITY to CONSULTANT each
month for work program elements completed. Work program elements
shall be completed by CONSULTANT in accordance with the Work Program
and Project Schedule, (ATTACHMENT "A"). CITY agrees to pay the total
sum invoiced and approved by the Director of Public Works each month
during the duration of this agremeent.
IX. INTEREST OF CONSULTANT
CONSULTANT presently has not, nor will have during the term of this
contract, any business relationship with any persons for firms doing
business within the C~ula Vista sphere of influence area, as
identified in the City's December 1984 report, that would constitute a
conflict of interest.
X. HOLD HARMLESS
CONSULTANT agrees to defend, indemnify and hold harmless the CITY from
and against all liability, cost and expense (including without
limitation attorneys' fees) arising from loss of or damage to any
property whatsoever or injury to or death of any person whomsoever
caused or alleged to be caused or occasioned by the negligent act or
omission of CONSULTANT or any agent or employee of CONSULTANT arising
out of or in connection with this agreement or the work to be
performed by CONSULTANT hereunder, except to the extent such
liability, cost or expense is caused by the negligence of the CITY.
Consultant's liability hereunder will be limited to the proceeds
recovered from Consultant's insurance. Errors and omission insurance
coverage for the duration of the project shall include a $1,000,000
limit per claim and a $2,000,000 annual aggregate maximum.
XI. TERMINATION OF AGREF~ENT FOR CAUSE
If, through any cause within CONSULTANT's control, CONSULTANT shall
fail to fulfill in a timely and proper manner his obligations under
this agreement, or if CONSULTANT shall violate any of the covenants,
agreements, or stipulations of this agreement, CITY shall have the
right to terminate this agreement by giving written notice to
CONSULTANT of such termination and specifying the effective date
thereof at least five (5) days before the effective date of such
termination. In that event, all finished or unfinished documents,
data, studies, surveys, drawings, maps, reports, and other materials
prepared by CONSULTANT shall, at the option of the CITY, become the
property of the CITY, and CONSULTANT shall be entitled to receive just
and equitable compensation for any work satisfactorily completed on
such documents and other materials up to the effective date of notice
of termination, not to exceed the amounts payable under Paragraph VIII
hereinabove.
XII. TERMINATION OF AGREEMENT FOR CONVENIENCE OF CITY
CITY may terminate this agreement at any time and for any reason by
giving specific written notice to CONSULTANT of such termination and
specifying the effective date thereof, at least thirty (30) days
before the effective date of such termination. In that event, all
finished and unfinished documents and other materials described in
Paragraph VIII hereinabove shall, at the option of the CITY, become
CITY's sole and exclusive property. If the agreement is terminated by
CITY as provided in this paragraph, CONSULTANT shall be entitled to
receive just and equitable compensation for any satisfactory work
completed on such documents and other materials to the effective date
of such termination. CONSULTANT hereby expressly waives any and all
claims for damages or compensation arising under this agreement except
as set forth in Paragraph VIII hereinabove in the event of such
termination.
XIII. ASSIGNABILITY
CONSULTANT shall not assign any interest in this agreement, and shall
not transfer any interest in the same (whether by assignment or
novation), without prior written consent of CITY. It is understood
that the firm of Leadshill-Herkenhoff, Inc. will be performing the
Drainage and Flood Control portion of the project as a subcontractor
to Engineering-Science, Inc..
XIV. OWNERSHIP, PUBLICATION, P~EPRODUCTION AND USE OF MATERIAL
All reports, studies, information, data, statistics, forms, designs,
plans, procedures, systems, and any other materials or properties
produced under this agreement shall be the sole and exclusive property
of CITY. No such materials or properties produced in whole or in part
under this agreement shall be subject to private use, copy rights, or
patent rights by CONSULTANT in the United States or in any other
country without the express written consent of CITY. CITY shall have
unrestricted authority to publish, disclose (as may be limited by the
provisions of the Public Act), distribute, and otherwise use,
copyright or patent, in whole or in part, any such reports, studies,
data, statistics, forms or other materials or properties produced
under this agreement.
XV. INDEPENDENT CONTRACTOR
CITY is interested only in the results obtained and CONSULTANT shall
perform as an independent contractor with sole control of the manner
and means of performing the services required under this agreement.
CITY maintains the right only to reject or accept CONSULTANT's work
product(s). CONSULTANT and any of CONSULTANT's agents, employees, or
representatives are, for all purposed under this agreement, an
independent contractor, and shall not be deemed to be an employee of
CITY, and none of them shall be entitled to any benefits to which CITY
employees are entitled, including but not limited to, overtime,
retirement benefits, worker's compensation benefits, injury leave, or
other leave benefits.
XVI. CHANGES
CITY may from time to time require changes in the scope of the
services by CONSULTANT to be performed under this agreement. Such
changes, including any change in the amount of CONSULTANT's
compensation which are mutually agreed upon by CITY and CONSULTANT
shall be effective as amendments to this agreement only when in
writing.
XVII. RESPONSIBLE CHARGE
Consultant shall assign a project manager(s) to the project for the
duration of the project. No substitution for this position shall be
allowed without written approval from the CITY's Director of Public
Works. The project manager for Engineering-Science, Inc. shall be
Jeffrey A. Olson and Charles R. Spinks shall be the project manager
for Leadshill-Herkenhoff, Inc..
IN WITNESS WHEREOF, CITY and CONSULTANT have executed this Contract
for Planning Services (agreement) this I8 day of November , 1986.

ATTACHMENT A
CHULA VISTA pUBLIC WORKS FACILITY PLAN
WORK PROGRAM AND PROJECT SCHEDULE
Consultant will prepare a Public Works Facility Plan for the City of
Chula Vista in accordance with the work program described below and the
project schedule which accompanies this contract. This project will be
divided in two phases. The Phase I effort will include engineering
studies, calculations, and estimates as set forth in this attachment to
support three general land use concepts being developed by a separate
consultant. Upon selection of the preferred land use concept by the City,
the Phase II portion of the work will begin. The Phase II effort will
include detailed engineering studies, calculations, and estimates required
to provide the City with a comprehensive Public Works Facility Plan. Each
phase contains five (5) major work elements as shown below:

PREPARATION OF PUBLIC WORKS FACILITY PLAN
· ~ne work program for each of the ten (10) major work elements is
described below.
PHASE I - GENERAL PLAN AM~DMENT SYSTEMS PLANNING
COORDINATION WITH CITY AND OTHER CONSULTANTS
Preparation of the Public Works Facilities Plan will be developed
concurrently with the preparation of an updated General Plan and
Circulation Element. The latter two would be prepared under a separate
contract, however, all of the three elements are interactive and, as such,
will require close coordination. Items from the Facilities Plan that
would impact the early phases of the General Plan and Circulation Element,
such as preliminary facilities development, would take priority and would
be developed in Phase I. The major tasks involved in this work element
are as follows:
Set up meeting with City staff and selected consultants for
General Plan and Circulation Element to obtain relevant previous
studies, historical data, and review preliminary project schedule
Identify key timing considerations with respect to the other
consultants for use in preparation of the detailed project
schedule
o Develop detailed project schedule integrating requirements and
timing of other consultants' work plan
° Review detailed project schedule with City staff and other
consultants, make revisions as required, and forward copies to all
parties for their use
WATER FACILITIES PLANNING
This work element will review the ability of the jurisdictional water
agencies to provide adequate and reliable service to the study area under
the various land use concepts. The existing facilities of the Sweetwater
Authority, Otay Municipal Water District, and San Diego County Water
Authority (SDCWA) will be reviewed for adequacy based on the developed
demands and system improvements will be identified where appropriate. ES
will work with the various agencies in the system development stages and
will prepare cost estimates as required. It will be assumed that water
will be available to SDCWA to meet the future demands for any of the land
use concepts. The following presents the specific tasks to be performed
during this portion of the study.
Review existing Sweetwater, Otay MWD, and San Diego County Water
Authority Master Plans and long range planning
o Discuss probable future service area boundaries for each agency as
compared to existing
o Discuss reliability of agencies' source supply, storage capacities
and water rights

Review effects of sustained growth or drought on long range water
planning
Inventory existing facilities/capacities for planning area
Review historic water consumption data
Establish design/planning criteria per land use category
Review reclamation opportunities
Develop future flows for three (3) preliminary general plan
concepts
Perform hydraulic analyses as necessary
Identify major system deficiencies and required improvements to
service planning area
Prepare preliminary cost estimates for required major facility
improvements
Prepare maps (1"=1000') showing system configurations and facility
sizing (City to provide Base Maps)
~ Review results with General Plan consultant, water agencies, and
City staff
~ Summarize results of study in suitable format for inclusion in the
General Plan consultant's final document
WAST~4ATER FACILITIES PLANNING
This work element will involve quantifying the capacity of the
existing City and Chula Vista and City of San Diego (Metro) sewage
collection and disposal facilities, developing flows representative of the
individual land use concepts, and identifying the additional facilities
required to provide service for each of the General Plan concepts. The
specific tasks to be accomplished are more particularly described as
follows:
Review existing ~gineering-Science report on waste
collection/disposal
o Discuss City of San Diego capacity allocation and proposed future
system improvements
" Inventory existing wastewater facilities and capacities
~ Assist City staff in development of flow monitoring program. City
staff to do actual field measurements

Review current wastewater generation factors/peak factors -
compare to field measurements
o Develop future flows for three (3) Preliminary General Plan
Concepts
Review reclamation opportunities
Analyze ability of existing facilities to meet future needs of
planning area
Review system deficiencies
Identify required major systems' improvements to serve each land
use concept
Prepare preliminary cost estimates for required major facilities
Prepare maps (1"=1000') showing system configurations and facility
sizing (City to provide Base Maps)
o Summarize results of study in suitable format for inclusion in the
General Plan consultant's final document
DRAINAGE AND FLOOD CONTROL PLANNING
The primary tasks during this work element include obtaining existing
drainage data, identifying major drainage areas, inventory of existing
facilities and developing major facilities required to serve each of the
proposed three (3) General Plan concepts. Specific tasks to be performed
during this work element include the following:
Collect information; review and assess status of existing drainage
studies and master plans for study area
~ Conduct field investigation and inventory of major drainage
facilities in developed areas; confirm hydraulic capacity and
assess structural status of facilities; identify problems and
constraints; use existing studies and City information where
possible
° Review existing hydrologic, hydraulic, and design guidelines and
criteria; recommend new City criteria as required for hydrology,
sediment control and grading, detention basins, hydraulic design,
and other drainage applications; coordinate with City's production
of new drainage manual; and identify City responsibilities
relative to other agencies

Prepare HEC-1 hydrology of major drainage basins for existing and
future land use for 100-year flow (future conditions based on
preliminary land use plan); compare results to existing drainage
studies by other agencies and firms; and conduct sample check of
20 percent of small basins hydrology as prepared by City and
identify City program deficiencies
Based on deficiencies identified above, recommend general plan
improvements to existing system and addition of new facilities;
include preliminary hydraulic design, preliminary design concepts,
and preliminary cost estimates; discuss alternatives, including on
site detention and retention basins, channel detention, and
groundwater recharge basins. Work scope budget for this task is
limited to a total of ten (10) new facilities consisting of
drainage structures and channel reach designs.
o Prepare up to ten (10) maps (1"=1000') showing: drainage basins
in study area; existing major drainage facilities and deficiences
identified previously; status of current planned improvements;
recommended improvements and additions; calculated 100-year flows
for major drainage basins (Base Maps provided by City)
o Prepare summary describing results of the Phase I studies
SOLID AND HAZARDOUS WASTE CONTROL PLANNING
This work element will involve the analysis of the solid waste
opportunities and constraints pertaining to the planning area including a
discussion on collection and disposal obligations of the City and
long-range planning. The potential solid and hazardous waste impacts per
land use concept will be reviewed and compared to the ability of the
existing disposal sites to accomodate them. The specific tasks to be
performed are as follows:
Review status of existing solid waste master planning and long
range goals by:
City of Chula Vista
Collection agencies serving area
County/State agencies with disposal facilities
Review solid waste collection/disposal rights and obligations for
planning area (short and long term)
0 Inventory existing facilities (collection and disposal)
Review solid waste generation factors and establish reasonable
baseline data
" Develop potential solid/hazardous waste demands for preliminary
General Plan concept

Review capacity of County/State disposal sites, based on
discussions with the control agency, to meet the planning area's
solid and hazardous waste demands
Review with the contracted collection agencies the adequacy of
existing facilities to meet the planning area's demand
Discuss economically feasible alternative disposal methods if
required
Review solid/hazardous waste vehicle routing with circulation
element consultant
Discuss results with General Plan consultant and City staff
Summarize results and prepare mapping
PHASE II - PUBLIC WORKS FACILITY PLAN
The work to be performed during this phase of the project will
include detailed engineering studies and further refinement of the Phase I
work for the chosen General Plan concept such that a comprehensive Public
Works Facility Plan can be developed. The final document will contain
sufficient detail (not included in Phase I) for the City's engineering
staff to use for the orderly and cost-effective development of future
facilities. It is understood that the specific work elements to be
performed during this phase are contingent on the results of the previous
phase which culminates in the adoption of the General Plan Amendment. As
such, the work effort for Phase II, presented herein, will be verified
and/or modified at the end of Phase I.
WATER MASTER PLANNING
It is anticipated that the specific water master planning will be
performed by the separate water agencies at a later date. The effort
included in this work element is, therefore, limited to finalizing the
previous calculations and identifying any water resource conservation
efforts the City could pursue. The work effort includes the following:
Finalize system configurations and hydraulics for selected land
use concept
Review existing City water conservation efforts and make
recommendations where applicable
o Discuss results with water agencies and City staff
o Finalize reco~u~endations and mapping

WASTEWATER MASTER PLANNING
This work element will involve the refinement and further detailing
of the Phase I work such that detailed major facility sizing and cost
estimates can be incorporated into the Facility Plan. Tasks to be
accomplished are presented below:
Based on results of Phase I flow monitoring, review the potential
of infiltration and inflow to the existing system in kno~ problem
areas (limited to 24 hours engineering effort).
Refine and finalize collection system hydraulics and facility
sizing
Review City of San Diego's Metro system capability and long-range
planning
Refine cost estimates from Phase I and develop new estimates for
detailed system layout as required
Evaluate phasing requirements of major facilities
Refine mapping to include Phase II facilties
Discuss results with City of San Diego and City of C~ula Vista
staff
o Finalize recommendations
o Provide copy of computer program to City; provide two (2) days
training to City staff and assistance in using program
DRAINAGE AND FLOOD CONTROL MASTER PLANNING
The master planning effort for this phase of the work will involve
the finalization of the recommended facilities based on the selected land
use concept. During this phase, the hydraulic program used for the
analysis will be turned over to the City and the staff will be trained in
its use. The following tasks will be included:
Update recommended improvements and new facilities based on City
review of Phase I study; if required, update design concepts and
cost estimates for inclusion in Facilities Plan; identify
interagenc¥ requirements with annexation of new area by City
o Update hydrology model to reflect final land use plan for
developing area; complete hydrology analysis of small basins
" Present staged program for development of key projects; prepare
project economics

Update maps prepared in Phase I to reflect changes in recommended
improvements and additions
Meet with City staff to review results of study
Finalize recommendations
Provide copy of computer program and H~C-1 model to City; provide
2 days' training to City staff and assistance in using program
SOLID AND HAZARDOUS WASTE CONTROL MASTER PLANNING
It is anticipated that the Phase I work for this portion of the
project will be of sufficient detail to satisfy the requirements of the
Public Works Facility Plan. The remaining tasks to be accomplished during
this phase will include:
Refine any recommendations made in Phase I if appropriate
Review City's current practice and facilities relating to disposal
of hazardous wastes generated within the planning area
Obtain legal opinion and City's potential liability with respect
to hazardous waste transportation within their jurisdiction
° Meet with City staff to discuss results
~ Finalize Phase II work and mapping
PREPARATION OF PUBLIC WORKS FACILITY PLAN
This work element would involve the preparation of the final document
to be used by the City staff and would include text on the methodology and
Base Line data used for all analyses, summary of the recommended
facilities and associated costs, and appropriate mapping. It is intended
that the Public Works Facility Plan be what is considered an "executive
summary" and would only include information that the City staff would be
referencing on a regular basis. The back-up data, including any pertinent
calculations, computer printouts, and reference data, would be compiled as
a separate document with only a limited amount of verbage as required.
Specific tasks to be performed during this work element include the
following:
Prepare lead chapter presenting a brief introduction, background
information, and report objectives
Prepare summary chapter on water facilities planning
Prepare summary chapter on wastewater master planning
Prepare summary chapter for drainage and flood control

Prepare summary chapter for solid and hazardous waste control
planning
Submit Draft report to City for review and comment
Revise per internal review and City comments
Submit Final report for staff and City Council approval
Make presentation to City Council if required
Deliver original copies of text and maps for reproduction by City
SPECIFIC EXCLUSIONS
The following items are specifically excluded from the scope of
services described previously. Reproduction of ten (10) copies of the
interim reports and draft Public Works Facility Plan is included in the
work plan. Volume reproduction of the final Facilities Plan, if requested
by the City, would be an added cost billed on a cost plus fifteen (15)
percent basis.

° Meetings with other consultants, City staff, and City Council in
