UI�rIVERSITY RECRUITD4ENT PROCESS_ A\'D
AUTHORIZII�'G THE MA1'OR TO EXECUTE SAID
AGREEMENT
VJHEREAS. the Cin� recenth� completed acquisition of propem� for the Uni��ersity
Inno��ation District (UID); and
VdFIEREAS, the formation of the Chula Vista Universim Partnership (CVUP). a non-profit
entity facilitating the development ofthe U[D, has become timeh: and
WHEREAS, it �ias determined b}� the De��elopment Senice Director that the Cin� does not
ha��e the"in house' staffor resources N�th the technical e�penise to perform the work; and
WHEREAS. U3 Advisors has acquired in-depth I:noN�ledge of the UID site and surrounding
proposed development through past ���ork on Villa�e 9 and the h4aster Development Aereement;
and
R'HEREAS, U3 Ad�isors comprehensive familiarity ��ith the UID and the surroundine
proposed de��elopments as well as University recruitment and fundine mal:es them uniquel}�
qualified to serve as the Consultant for this project: and
�i'HEREAS. U3 Ad�isors ���as selected to perform this ���ork based upon the fact the�� are
recoenized esperts in a highl}� specialized and technical field; and
«'HEREAS, pursuant to Chula \jista n9unicipal Code (CVMC) Section 2.56.070 and the
above facts. U3 Ad�isors is uniquel}� qualified to sen�e as the Consultant for this project and staff is
recommending the Cim Council ���ai��e the formal biddine process and hire U3 Advisors as a sole
source: and �
WHEREAS. the consultant �varrants and represents that the}� are experienced and staffed in
a manner such that the� aze and can prepare and deliver the sen ices required of Consultant to Cin�
N�ithin the timeframes herein provided all in accordance ���ith the terms and conditions of the subject
aereement.

NOW, THERERFORE, BE IT RESOLVED that the City Council of the Cin� of Chula
Vista does hereby find that the Cip-'s competitive bidding requirements as applied to the subject
agreement would be impractical for the reasons stated herein, and hereby waives the competitive
bidding process.
BE IT FURTHER RESOLVED tl�at tl�e City Council of the City of Chula Vista does
hereb}� approve a Two-Party Aereement between the City of Chula Vista and U3 Advisors for
consulting services related to the establishment of the Chula Vista UniversiTy Partnership and
assistance in the University recruitment process.
BE IT FURTHER RESOLVED that the Mayor of the City of City of Chula Vista is
hereby authorized and directed to eaecute said Agreement on behalf of the City of Chula Vista.
