THE CITY OF CHULA ,VISTA.. The City Council of the City of Chula Vista does hereby resolve as follows: That said proposal, Serial No. 102$ of the Magee-Hale Park-O-Meter. Company for the installation of parking meters in the City of Chula Vista, be ,and the same- is hereby accepted. The Mayor of the City of Chula Vista be and he is hereby authorized and directed to execute in behalf of the City of Chula Vista an acceptance of said proposal. A copy of said acceptance and of said proposal are attached hereto and made a part hereof as though fully set forth herein. ADOPTED, SIGNED AND APPROVED this 11th day of March, 1947. Attest: MAGEE-HALE PARK-O-METER COMPANY d By 1 2_6.2_ .--t._.C._T Secretary Vice-Pre '' nt *THE IMPROVED PARK-O-METER IS "UNIVERSAL", AND MAY BY A SINGLE ADJUSTMENT BE SET FOR SINGLE COIN OPERATION,OR FOR MORE THAN 24 TIME OR COIN COMBINATIONS OF PENNY AND NICKEL UP TO A 2-HOUR TIME LIMIT. 1 (61* i (��;3 • DELIVERY AND/OR INSTALLATION: Upon acceptance of this proposal or signing of a separate contract, the Company shall within 60 days begin delivery and/or installation of the meters at locations designated by the City; provided, however, that if the Company is unable, after exercise of due diligence, to do so within such time, on account of weather conditions, labor trouble, inability to secure necessary material or skilled labor essential to the manufacture of the meters by reason of prevailing economic conditions resulting from current recon- version efforts, or government restrictions, then such time shall be extended by the period of such un- avoidable delay. PAYMENT: - - The City shall, in liquidation of purchase price, remit monthly during the trial period 75%. of the receipts from all meters installed. After acceptance of installation the City may thereafter make remittances at. the rate of 50% of revenue. No other funds of the City shall be liable for payment of meters. CASH DISCOUNT IN 60 DAYS: For payment in full within 60 days after completion of installation, City may take cash discount of 21/2% • of purchase price. CASH DISCOUNT AFTER 60 DAYS: City may at any time after 60 days from completion of installation elect to discount undue and unpaid balance at the rate of 5% per annum. ("Per annum" means interest is calculated on each monthly payment for the number of months it would normally run.) TRIAL PERIOD: The City may cancel purchase contract by resolution of its City Council by notice in writing to the Magee- Hale Park-O-Meter Company, 627 Commerce Exchange Building, Oklahoma City 2, Oklahoma, after 6 months of operation of all meters purchased, whereupon the Company will remove the meters at its own . expense within 30 days from receipt of said notice, and repair any damage to streets or sidewalks occasioned by their installation and removal. Any period of time during the above minimum operation period in which the meters are not in operation due to litigation or failure of the City to operate the meters shall be deducted in determining the 6 months' minimum operation period. In the event of removal of meters at the expiration of the trial period, or for any other reason, all • moneys then due the Company shall be remitted to the Company by the City, and the Company shall have the right to do any acts necessary to take possession of said meters, and shall not be held account- able to the City for any moneys paid to, or due the Company out of meter receipts. (2] + n • TITLE TO METERS: The Company agrees that title to the meters shall be vested in the City upon shipment, and that the Company shall not reacquire title thereto except by exercise by the Company or the City of the optional cancellation provisions of this proposal and/or acceptance, or as provided in any separate purchase con- tract, or by reason of the failure of the City to perform its warranties and obligations; that upon com- plete payment of the entire purchase price the Company shall deliver to the City such written evidence as may be required to show full payment therefor. OPERATION AND MAINTENANCE: The Company Engineer supervising the installation shall train and instruct City employees in the opera- tion of the metered system and servicing of the equipment. GUARANTEES: - - • The Company warrants the meters against defective workmanship and material for a period of 12 months after the date of installation, and agrees that it will replace any meter or parts that may prove to be defective within the said 12 months' period. BONDS: If the Company is awarded the contract it will furnish a suitable performance bond, and if the Company provides for installation by an independent contractor it will require of such independent contractor a contractor's bond covering public liability, property damage, and workmen's compensation. PATENTS: • • The new Park-O-Meter operates on an improved principle unique to that of any other parking meter, and is fully covered by pending patent applications. The Magee-Hale Park-O-Meter Company will protect the City against any and all patent infringement claims or suits. ACCEPTANCE: • This proposal is limited to acceptance within 60 days. In the event of proper acceptance by the City, as hereinafter provided, the Company will regard and treat this proposal and said acceptance as a firm contract between the Company and the City as of the date of acceptance, and hereby agrees that it will regard all the terms of this proposal as firm warranties on its part, and will proceed with the performance thereof, subject to the terms, warranties and conditions of said acceptance. • A COPY OF THIS PROPOSAL IS RECORDED IN THE COMPANY OFFICE AT OKLAHOMA CITY BY THE SERIAL NUMBER SHOWN ON THE FIRST PAGE AND ON THE ACCEPTANCE SHEET ATTACHED. .
