HomeMy WebLinkAboutReso 1990-15528 RESOLUTION NO. 15528 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA VISTA RESCINDING RESOLUTION NO. 15458 AND RESOLUTION NO. 15522 AND APPROVING AGREEMENTS BETWEEN CITY OF CHULA VISTA AND COUNTY OF SAN DIEGO PROVIDING FOR THE ACQUISITION OF THE LEASEHOLD INTEREST IN PROPERTY LOCATED AT 263 FIG AVENUE, AND APPROVING AMENDED LEASE AGREEMENT BETWEEN THE CITY AND COUNTY FOR OFFICE SPACE FOR THE FIRST DISTRICT SUPERVISOR The City Council of the City of Chul a Vista does hereby resolve as follows: WHEREAS, on January 16, 1990, the City Council approved Resolution No. 15458, which approved an agreement that provided for the City's acquisition of the remaining leasehold interest in the property at 263 Fig Avenue for the amount of $400,000, and WHEREAS, on February 20, 1990, the City Council approved Resolution No. 15522 which amended a lease agreement between the City and the County for office space for the First District Supervisor, which provided for an additional 325 square feet of office space to the First District Supervisor through June 30, 1990 with no additional rent for the additional space, and WHEREAS, since the February 20, 1990 action by the City Council in approving the amended lease agreement for First District Supervisor office space, additional negotiations have been conducted with County staff and City staff is now recommending rescinding the previous two resolutions and adopting a new resolution that will reduce the price of the leasehold interest purchased from $400,000 to $385,000 and, further, that in consideration for this reduction in cost, the lease agreement for First District Supervisor's office space be modified to provide an increase of 325 square feet in space at no cost to the County through June 30, 1994. NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Chula Vista does hereby rescind Resolution No. 15458 and Resolution No. 15522. BE IT FURTHER RESOLVED that the City Council does hereby approve agreements between the City of Chul a Vista and the County of San Diego providing for the acquisition of the leasehold interest in property located at 263 Fig Avenue and for office space for the First District Supervisor. Resolution No. 15528 Page 2 BE IT FURTHER RESOLVED that the Mayor of the City of Chula Vista be, and he is hereby authorized and directed to execute said agreements for and on behalf of the City of Chula Vista. Resolution No. 15528 Page 4 Resolution No. 15528 Page 5 FIRST AMENDMENT TO LEASE AGREEMENT BOARD OF SUPERVISORS (FIRST DISTRICT FIELD OFFICe) THIS FIRST AMENDMENT TO LEASE AGREEMENT, made and entered into ~his27th~ day of February , 1990, by and between the CITY OF CHULA VISTA, hereinafter referred to as "Lessor", and the COUNTY OF SAN DIEGO, a political subdivision of the State of California, hereinafter referred to as "County", whereby t~e parties hereto agree as follows: WITNESSETH: WHEREAS, Lessor and County entered into a Lease Agreement on June 1, 1982 known as County of San Diego Contract No. 18648-R, for that certain real property known as approximat.ely 250 square feet Of office space in the building at 430 Davids'on Street, Chula Vista, California; and WHEREAS, the parties hereto are desirous of amending said Lease Agreement in order to increase the number of square feet for t'he First District Supervisor's field office; NOW, THEREFORE, it is mutually agreed as follows: 1. Clause 2 of said Lease Agreement, entitled Descriptio'n is hereby amended to read as follows: "Lessor hereby leased to County that real property, consisting of approximately 575 square feet of office space in the building at 430 Davidson Street, Chula Vista, location of said 575 square feet within the building to be mutually decided upon by County's Lease Administrator and Lessor. Said real property (hereinafter referred to as "Demised Premises") is leased on the terms and conditions hereinafter set forth." 2. This First Amendment to Lease Agreement shall be effective and binding on all parties hereto commencing March 1, 1990 and terminating June 30, 1994 as to the additional 325 square feet. 3. CITY OF CHULA VISTA COUNT~ OF SAN DIEGO Mayor of the City of Chula Clerk of the Board of Vista Supervisors Attest ~ City Clerk Approved as to form Assistant City Attorney 6882a -2- Resolution No. 15528 AGREEMENT TO ACQUIRE LEASEHOLD INTEREST Health Services - South Bay Contract No. 18647-R On June 1, 1982, the City of Chula vista and the County of San Diego entered into a leas. e agreement, for 3,000 square feet of medical and office space, at 263 Fig Avenue, Chula Vista, California. Clause No. 13 , of the lease agreement, provides for damage or. destruction of the premises. Under this clause, the City of ~hula Vista is required to repair or reconstruct the damaged premises. On July 13, 1989, a fire occurred destroying a portion of the improvement s on the site at 263 Fig Avenue. The City of Chula Vista does not wish to reconstruct the damages premises. The term of the existing lease, as provided for in Paragraph No. 3 of the lease agreement, is for 50 years. The remaining term is approximately 43 years. The value of the favorable,leasehold interest has been placed at ~385,000. The City of Chula Vista will pay the County of San Diego the sum of ~385,0000 to acquire the County's leasehold interest in this property. The County of San Diego will convey its leasehold interest to the City of Chula Vista by quitclaim deed, Exhibit Within 30 days, after the execution of this agreement by ~he County of San Diego and the City of Chula Vista, the City ~hall deliver a check in the amount of ~385,000 to the Real ~roperty Management Division, County of San Diego, Building 2, Room 110, 5555 Overland Avenue, San Diego, California, 92123. Upon receipt of the check, the County shall deliver to the City the quitclaim deed in legal recordable form. The leasehold interest, owned by the County, shall terminate between the parties upon the date of acceptance of the quitclaim deed by the City.
