This Arnendment ("Amendment \io. 2"), effective as of Januan� 1: 201�, amends that certain
"Asreement to Jointiv Deliver the ZO10-2012 Cin• of Chula \%ista Enerav Efficiencv and
Conservation Partnership Proaram" (the �:Agreemenr), effective as of Januar�� 1, 2010, b� and
among San Dieeo Gas K Electric Compan} ("SDGBE") and the Cin� of Chula Vista (`Cin'").
Each of SDG&E and Cirv mav be referred to herein individualh� as a `'Partd' and collectiveh as
the ��Parties. Any capitalized terms not defined herein shall have the meanines prescribed to
them in the AQreement.
��'HEREAS. the Aereement sets forth the terms and conditions under �rhich the Cirv of
Chula Vista Energ�� Efficienc}� and Conservation Partnership Program (the "Prooram") �could be
implemented for the vears 2010 throu�h 2012; and
�VHEREAS; the Parties pre�ioush amended the Aereement to extend implementation of
the Proeram for the vears 20li throuah 201� (the `20li-2014 Proeram ') (`Amendment\io. 1°);
and
«'HEREAS. the Parties no��� desire to further amend the Aereement in order to estend
implzmentation of the 2013-201=4 Proaram throueh }°ear 201� (the "2013-ZOl� Pro�ram').
NO�V"; THEREFORE; for valuable consideration, the receipt and sufficiency of which is
herebv acl:no���ledsed. in accordance �vith Section 23 of the Aereement, the Panies herzbv
amend the rlareement as follo�vs:
1. The follo�i�ine languaae shall replace the last sentence of Section 1.=�: "The total
Authorized Budeet for the 2013-201� Proeram shall be 5�.690.7>j. as set forth in the
`20li-201=4 Local Govemment Partnership Final Scope of\\'ork;" attached as Eshibit E
to this Agreement; and the `201� Local Govemment Partnership Final Scope of�V"ork, `
attached as Exhibit F to this AQreement.
2. The follow-in� langua�e shall be added at the end of Section 1.7: "The Parties' Scope of
���ork ro be completed durin� the 201> proaram }ear is attached to this Agreement as
Eshibit F, and is incorporated bv this reference."
3. The followine laneuaee shall replace the second sentence. follo�ti�ine the heading_ in
Section 9.1: "The total Authorized Budget for performance of the Authorized Work for
the 201.i-201� Proeram is 5=4.690.7»."
4. In Sections 10 and 11; replace `2015' �vith "2016."
�. In Section 2�F.L replace "�Iarch 31; 2015' with `'March 31, 2016." Replace the last
sentence of the section ��ith the follo�vins languaQe: "\�on�-ithstandins the foregoin�_ all
costs for the 2010-2012 Proeram must be incurred bv December 31; ?O1? and all costs
for the 2013-201� Pro�ram must be incurred b� December 31; 201�."
6. Etcept as specifically moditied by this Amendment, all oF the terms, conditions and
pro��isions of the A�reement and Amendment No. 1 shall be unmoditied and shall remain
in full force and effect.
7. Capacih� of Parties. Each sienatory and party to this Amendment warrants and
represents to the other partv that it has le�al authority and capacity and direction from its
principal to enter into this tlmendment; and that all necessary resolutions or other actions
have been taken so as to enable it to enter into this Amendment.

This Amendment (`.�mendmenr'), effective as of January 1; 2013: amends that cer[ain
"Aareement to Jointh� Deliver the 2010-2012 Cin• of Chula V"ista Energv Efficienc�� and

6. The follo�vina lan�uage shall be added as Section 1�.9 oY the Agreement:
��City shall require any Contractor and/or any subcontractor of Contractor performins
the Authorized �Vork to obtain and maintain in eood standing throuehout the
performance of the Authorized Work, to the extent necessary, all licenses and permits
required by Applicable La�vs to engage in the activities required of them in
connection with this Agreement."
7. The followina lan�ua�e shall be added as Section 17.8 of the Agreement:
"To the estent SDG&E discloses anv Confidential Customer Information obtained bv
SDG&E through the use of advanced metering infrastructure that includes usase
information and could be used to reasonably identify an SDG&E customer, Citv shall
access, collect; store, use and disclose such information under policies; practices and
notification requirements no less protective than those under �vhich SDGR E
operates."
S. The followins lan�uage shall be added as Section �41 of the Agreement:
"41. EQUAL OPPORT[TivITY. SDG&E is an equal employment opportunity
employer and is a federal contractor. Consequently, City agrees, to the extent
applicable; to comply with Executive Order 11246, the Vietnam Era Veterans
Readjustment Assistance Act of 197a and Section 503 of the Vocational
Rehabilitation Act of 1973 and also agrees that these la���s are incorporated herein by
this reference. City also agrees to comply w�ith the provisions of Esecutive Order
13496 relatine to the notice of employee riahts under federal labor laws."
I 9. Extend the Asreement espiration date by replacin�`December 31; 2012 ' with
"December 31, 2014" in Section 24.1. Also, add the Yollo�ving language at the end of
Section 24.1: `Nonvithstanding the foreQoing; all costs for the 2010-2012 Program must
be incuned by December 31, 2012 and all costs for the 20li-2014 must be incurred by
December 31, 2014."
Except as speciticatly modified by this Amendment, all of the terms, conditions and provisions
of the A�reement shall be unmodified and shall remain in full force and eFfect.

DESCRIPTION
The SDGd E/Chula Vista Energy Efficiency Partnership �vill expand the City's efforts to reduce
municipal energy use throu�h facility retrofits and upgrades. Chula Vista owns, leases, and/or
operates over 90 buildines and structures totaling approzimately 1.�4 million square feet.
Annually; the City's facilities consume an estimated 16.5 million kWh and 900,000 therms. In
addition, the pro�ram will help train municipal facility managers on better energ}� management
practices and �vill complement Chula Vista's on�oing investments in renewable enersy
eeneration.
GOALS, OBJECTIVES, & DELIVERABLES
1. Develop integrated euerw management strategies for ma,jor City buildinas and
facilities
a. Objective — Based on the results of recent integrated demand-side management audits;
develop an Enerd� vlanagement Action Plan for City facilities identifying near-term
(1-2 years) and lone-term (3-� yeazs) project priorities.
i. Deliverable — Create an Enerey Management Action Plan to suide future retrofit
and maintenance opportunities. �

The Citys Community Ener�y Conservation & Uperade Outreach component will support the
following CA Lona-Term Enerey Efficiency Strategic Plan goals:

DESCRIPTION
The Community Energy Upgrade R Conservation Outreach program is designed to complement
San Die�o Gas & Electric's residential and commercial energy efticiency programs by providing
trained City staff to en�a�e and educate Chula Vista businesses, reside�ts, and contractors about
energy-savin� opportunities. City staff are able to pla}� a unique role in delivering enerey
efficiency pro�rams to their community, both because their more prosimate relationship with
citizens, and because thev are able to ]everage other municipal services/processes to masimize
outreach zffectiveness.
GOALS, OBJECTNES, & DELIVERABLES
1. Increase the business community's awareness about energy-saving opportunities and
participation in available energy efficiency programs offered by SDG&E/CPUC.
a. Obiective — Trained staff will perform free on-site energy evaluations for Chula Vista
businesses through the Citys successful Free Resource & Energy Business Evaluation
(FREBE) proaram. City staff will provide participants with an integrated energy audi[;
an overvie�v of applicable SDGcQ:E direct install, incentive, and financing programs; and
assistance completing incentive and/or On-Bill Financing applications.
i. Deliverable — Develop energy evaluation reports for local businesses to generate
immediate referrals for SDG&E programs, especially no-cost direct install
programs.
ii. Deliverable — Survey participating businesses to identify and better understand
ener�y up�rade opportunities and challenges within the local business community.
b. Obiective — As part of the business evaluations, City staff will speciFically facilitate low-
cost energ�� efficienc�� solutions and educate participants on new enerQy-savins
technoloQies.
i. Deliverablz — Distribute "smart" po�ver strips or similar low cost enerey-savins
devices (limit one per business durin� two year cycle) to help demonstrate the
benefits of simple eneray up�rades to businesses.
c. Obiective — Local businesses that are voluntarily incorporating ener�y efficiency and
other sustainable practices inro their operations will be reco�nized through the Chula
Vista CLEAN Business program. The program, �vhich is co-sponsored by the Chula
Vista Chamber of Commerce and the Third Avemie Village Association; provides
additional technical, marketing, and networking opportunities Yor these "early adopter"
businesses (co-fi�ndec�.

�ti•ork to retain and espand clean tech-oriented businesses in Chula Vista. Further; staff
�+•ill �vork �vith current Chula Vista businesses to identify opporrunities for ne�v ��ereen '
products and service development (co-f:�ndec�.
i. Deliverable — Complete a "Green Business Recruitment Stud��' to inform business
recruitment efforts cin�vide and to �uide the ptannina and desien of the Citv's new
Eco-IndustrialBusiness Park and ne�v liniversin� Pazk & Research Center.
ii. Deliverable — Initiate recruitment uutiatives for clean tech-oriented businesses
and/or de��elopment projects, ���hich also �enerate referrals for SDGRE`s enere��
efficienc}� core proerams.
iii. Deliverable — Promote business-to-business transactions bet«�een current clean
tech-oriented businesses (and local supph� enterprises supponina these businesses)
throuQh informal and formal nemorks. «�hich also eenerate referrals for SDGRE`s

commuuit�•-wide campaigns to educate them on ne�v energv efficienc�� technologies and
available incentive and financina proerams.
i. Deli�•erable — Participate in communin• events on a �veeklv basis to pro�ide an
onaoine communication channel ��ith communirv members.
ii. Deliverable — Organize communitv-�vide campaiQns; such as the Cool Califomia
Challenee; to promote each citizen`s important role in helping Chula Vista reach its
eneroy and environmental goals.
b. Obiective— Through the Energv Lounge pro�ram; the Chula Vista Librar�'s facilities and
services will be levera�ed to educate and enroll "hard to reach" residents (such as
older and low-income communite members) in special energy assistance programs to
help lo��er their utiliry bills.
i. Deli�•erable — Expansion of the City`s in�entory of energv-related books, e-books;
and tools, �vhich are a�ailable for public circulation.
ii. Deliverable — Develop monthl� enere� messa�ins (utilizine the Enerev Lounae
diQital signage and community board) to promote ener�v-savinQ tips and resources.
iii. Deliverable — Host quarterl}' aduit and/or youth energv pro�rams that include auest
speakers; tool tips, store times. and screenin� of energy-themed movies at each
major library location.
c. Obiective — Throush the Recreation Empo�ver Hour proQram; the Chula 4ista
Recreation`s facilities and serviczs �vill be leceraeed to educate children and teens on
enera�-saving behavior and concepts. �

enerey-savinQ behavior at home, such as the �-Minute Shower Challenge.
ii. Deliverable � Deplovment of the City's Rec & Roll vehicle at special events
throuahout the year to provide mobile energy-saving programming (as described
above).
iii. Deliverable — Conduct pre- and post-program leaming assessments for children
participating in the Recreation Empo�ver Hour, as well as conduct surve�s of their
parents to assess behavioral impacts at home.
d. Obiective — Trained staYf will perform free on-site energy evaluations for Chula Vista
residents through the Citv's successful Home Upgrade, Carbon Downgrade program.
City staff �vill help to identify home energy perfornlance issues, suggest possible
solutions, and provide assistance with completing incentive and financing applications.
i. Deliverable — Develop energ}� evaluation reports for residents to Qenerate
immediate referrals for SDG&:E core programs.
ii. Deliverable — Survey participating residents to iclentify and better understand
enerey uperade opportunities and challenges within the local communiry.
e. Objective—The City �vill help to develop the local whole-home energy retrofit market bc
buildin� local capacity within banking sectors in the community.
i. Deliverable — Engaoe local financial institutions about opportunities to provide loan
products for enerey efficiency, rene�vable energy; and other "sreen building`
up�rades.
f. Obiective — In collaboration with the City's Housing Division, the City will provide
direct outreach and assistance to low and moderate-income homeowners to facilitate
whole-home energy retrofits through its "Green Homes for All" initiative (co-fc�ndec�.
i. Deliverable — Iviodify e::isting municipal affordnble housing assistance pro�rams
(funded by state and federal sources) to better promote energy efficiency upgrades
in conjunction with typical health and safety improvements.
ii. Deliverable — Leverage the City's current lo�v-interest revolvin� loan fund to taraet
income-qualified homeowners enabling participation in Energy Upgrade Califomia.
3. Espand eaergy-efficiency opportunities in neighboring communities through
collaboration and peer-to-peer support as paM of the South Bay Energy Action
Collaborative (SoBEAC).
a. Objective — Chula Vista will assist South Bay jurisdictions in managing enerb
consumption and costs at their municipal facilities by sharing lessons leamed and
providing technical support (dependent on partneringjurisdictions' selected priorities).
i. Deliverable — Review esisting eneray benchmark data and submit eli�ible facilities
for ENERGY STAR certification.
ii. Deliverable — Provide trainin� opportunities for Facility staYf on enerev
management techniques and resources.
iii. Detiverable — Develop specifications, sacnple coLmcil agenda reports & resolutions,
and incentive applications for identified energy upgrsde projects.
b. Obiective — Chula Vista �vill assist South Bay jurisdictions in further integrating
energy efficiency into building and development processes (dependent on partnerina
jurisdictions' selected priorities).

inclusion into communin� plannine documents such as Generai Plan and Housing
Element sections.
c. Objective — Chula Vista ��ill help South Ba�� jurisdictions educate their local
community members on e�erb' efficienc}- opportunities (dependent on partnering
jurisdictions' selected priorities).

goal of infusing sustainable practices into every level of the planning and building process. Staff
will promote these principles to customers engaged in the municipal permit and construction
approval process throu�h the Citys website; on the phone, and in person at the Public Services
Buildin�. Under the SCP, the Development Services Department will also investigate and
update their esisting programs; �uidelines, and regulations to reflect the advances that have been
made in both the �reen buildin� and energy conservation aspects of community and project-level
site planning and to coordinate these activities with new ener�y-related programs.

ener�y efficiency. These aeencies are now formalizing this "nerivork" throu�h creation of the
San Dieeo Regional Enerey Partnership (SDREP). The SDREP will be led b7 a ��Local

Diego, County of San Diego, Port of San Die�o; and San Diego Association of Govemments

unique role in deliverins ener�y efficiency programs to their community; both because

Building upon the current program, the Chula Vista Sustainable Communities Program -
(SCP) will fuRher City staffs expereise in ener�y conservation and oreen building
principles; with the �oal of infusing sustainable practices into every level of the planning
and building process. Staff will promote these principles to customers enga�ed in the
municipal permit and construction approval process through the City's website, on the
phone; and in person at the Public Services Building._ Under the SCP, the Development
Services Department �vill also investigate and update their existing programs; �uidelines,
and reeulations to reflect the advances that have been made in both the green buildinQ
and enerey conservation aspects of community and project-level site plannine and to
coordinate these activities with new energy-related programs.
