DATED: • Cfty Clerk • AGREEMENT OF EMPLOYMENT THIS AGREEMENT made and entered into this 24th day of June , 1958, by and between the CITY OF CHULA VISTA, a municipal corporation duly organized and existing in the State of California (hereinafter sometimes • called "City") and O'MELVENY & MYERS, attorneys (herein- . after sometimes called "Special Counsel") W I T N E S S E T H: WHEREAS, the City desires to consider and formulate a program for the development of its harbor; • and WHEREAS, O'Melveny & Myers are attorneys duly licensed to practice law in the State of California; and WHEREAS, the employment of said Special Counsel has been authorized: (1) to advise with the City Officials, conduct research and render such opinions as may be requested, and (2) to draft such legislation as may be necessary in connection with said harbor :... development. NOW, THEREFORE, the parties hereto mutually agree as follows: • FIRST: Special Counsel agrees, if requested, to advise with the City Officials, conduct research, render opinions and draft such legislation as may be necessary in connection with said harbor development. SECOND: The City, in consideration of the services rendered and to be rendered as aforesaid by Special Counsel, agrees to compensate Special Counsel as follows: (1) an amount to be computed in accordance with time spent at the follow- ing rates: Partners 50 per hour Senior Associates 35 per hour Junior Associates 25 per hour • doing primarily research work (2) an additional amount as re- imbursement upon statements rendered from time to time for out-of-pocket expenses, if any, incurred in the above matters. Such out-of-pocket expenses include telephone, telegraph, messenger charges, travel charges, and the like. The above payments are to be made within twenty (20) days after presentation and filing of claim therefor by Special Counsel in the manner required by law. For the information of the City, Special Counsel shall send a monthly letter to the City showing accumulated time charges and expenses. 2. THIRD: This contract shall be binding upon and inure to the benefit of said firm of O'Melveny & Myers as presently constituted or as changed hereafter by the death or retirement therefrom of any present partners, or by the admission of new partners, or by the death or retirement of any thereof or any or all of such happenings.
