DATED: Cify Clerk 1 AGRELMENT 2 Under the terms of this agreement dated the 13th day of May, 1958 the 3 CITY OF CHULA VISTA, CALIFORNIA hereinafter called the "City" and GORDON and • 4 BRYSIS N. WHITNALL of Los Angeles, California hereinafter called the "Consultants", 5 mutually agree and contract as follows: • 6 PART 1 .. • . . ' 7 8 That Consultants shall perform the following services in behalf of the 9 City: 10 (a) Render a general advisory service to the Chula Vista Plan- 11 ning Commission in connection with its normal planning and adminis- 12 'trative responsibility. 13 (b) Render a general advisory service to the Chula Vista City 14 Council, the City Manager and the heads of departments insofar as 15 their duties and responsibilities relate.to the Cityts planning pro- 16 gram and in such other matters in which Consultants are professionally 17 7 and technically qualified to serve. 18 (c) To specifically assist the Cityts own planning staff in 19 l identifying work agenda, outlining procedures and developing techni- 20 ques, guiding the progress of departmental work, analyzing the results 2i of studies and devising plans, policies and programs for forman con- . 22 I sideration. 23 (d) To assist in drafting formal reports, resolutions and ordin- 24 ance amendments related to the Cityts planning program. 25 (e) To initiate consideration of elements of the Master Plan and 26 ' Precise Plans as they are defined by State Law or the City Charter. 27 (f) To devise and recommend, as opportunity and need arises, 28 forms, records and procedures to be utilized in advancing the Cityts 29 planning program and the conduct of the planning office. • 30 (g) To meet with the Planning Commission once each month on the 31 occasion of a regular Commission meeting. 32 (h) When requested by the Planning Commission or the City Council, Cosi - o < • GORDON WHITNALL & ASSOCIATES Consultants-Planning and Government • 431544 LEIMERT BLVD. • LOS ANGELES 8,CALIFORNIA' • 1 to conduct, or participate in, formal public hearings required by law • 2 to be held in connection with the formal consideration of the Master • 3 Plan, Precise Plans or Zoning Ordinance or amendments thereto. Such 4 . participation by Consultants shall be contingent upon mutual determina- 5 tion in advance as to dates. 6 (i) The term "days" as used in this agreement shall be considered 7 as including the hours from 10:00 orclock AM _to! 10:00 otclock PM and 8 the City, through the Planning Commission, shall schedule the subject " . . 9 matter to be dealt with provided that to the extent Consultantts time 10 is not thus allocated, such unallocated time shall be devoted to such 11 matters as the Consultants deem to be timely. 12 (j) The,Consultants shall devote such additional time as the City, 13 as represented by the Planning Commission, the City Council or the 14 City Manager may direct, provided such additional time and compensa- 15 tion therefor shall be mutually agreed upon by all parties concerned 16 in advance of any additional work requested beyond that set forth in • 17 this agreement. Any additional time devoted to the purpose of this • 18 agreement on the initiative of Consultants shall involve no such addi- 19 tional compensation. 20 (k) The services herein stipulated shall be primarily rendered 21 by Gordon Whitnall but shall additionally include direct service by 22 ::' : . Whitnall. 23 ti PART 11 I 24 25 The City, in consideration of the foregoing services and commitments on the • 26 1 part of Consultants, and reserving unto itself the right to terminate this agree- • • 27 ment upon giving the Consultants thirty (30) days written notice of termination, • 28 with compensation to be pro-rated to t{ne date of termination shall, 29 (a) Compensate Consultants in the amount of Three Thousand, Two 30 Hundred Fifty ($3,250.00) Dollars payable Two Hundred Fifty ($250.00) 31 1 Dollars at the end of each month for the period of thirteen (13) months 32 beginning on the 1st day of June, 1958 and concluding on the 30th day of June 1959. —2— GORDON WHITNALL & ASSOCIATES Consultants-Planning and Government 43153/4 LEIMERT BLVD. • LOS ANGELES 8,CALIFORNIA' • it • 1 (b) Compensate Consultants for additional time devoted to the • 2 purposes of this agreement when served at the direction of the City 3 as stipulated in item (j), PART I of this agreement. 4 (c) Provide necessary prints of official maps; make available • 5 to Consultants such records of the City as pertain to and are needed • 6 in furthering the purposes of this agreement, and make available to 7 Consultants the assistance and counsel of various department heads 8 and officials of the City whose official duties reasonably relate to 9 the planning program. 10 (d) Pay the cost for printing of maps and reports where required 11 and pay the costs of required public notices or other legally required • 12 publications but excepting copies of proposed ordinances as provided in 13 item (a) of PART III of this agreement and excepting also original • 14 . . . copies of reports prepared by Consultants. . 15 (e) Furnish its own staff and necessary facilities and equipment 16 for field, drafting or other work performed in Chula Vista when author- 17 ized by the City to be done in connection with carrying out the purposes `• 18 of this agreement. • 19 (f) Designate Consultants as official representatives of the 20 City in connection with any field work pefformed under the terms of 21 this agreement. • 22 PART III 23 • 24 (a) Consultants make themselves available to perform special ser- vices at the direction of the City, including such matters as preparing a 25 • • . 26 6 I complete new Zoning Ordinance and map; prepare a complete subdivision 27 ordinance and accompanying street cross-section designs; preplanning in 28 designated degrees of detail any undeveloped areas of the City; prepare 29 plans and procedures for redevelopment projects; prepare Precise Plans 30 for stipulated projects; make off-street parking pkns; make job analysis • 31 and prepare salary standardization; codify ordinances and other matters 32 related to the CityXs planning program or other matters within the —3— • • GORDON WHITNALL & ASSOCIATES Consultants-Planning and Government • 431534 LEIMERT BLVD. • LOS ANGELES 8,CALIFORNIA • 1 experience and professional competency of Consultants. 2 (b) Such undertakings shall, in each case, or in combination , be 3 made the subject of separate agreement preferential in character by 4 reason of the relationship resultibg from services rendered under this 5 agreement. • 6 (c) Such special assignments, unless specifically provided to 7 the contrary, shall require Consultants to provide their own personnel; 8 perform all the work involved, pay all costs of printing reports and original drafts of ordinances made the object of such assignments, and 10 , shall also participate in stipulated degree in all proceedings formally 11 required by law. . 12 1 13 IN WITNESS WHEREOF, we have hereunto set our hands and seals the day, 14 month and year hereinabove first written. 15 CITY OF CHULA VISTA, a municipal 16 . corporation,. 17 • Its Mayor 18 19 ATTEST: 20 City Clerk 21 22 GORDON WHITNALL 23 By 24 Gordon ti,hitnall 25 26 • 27 28 29 • 30 31 32 —4— GORDON WHITNALL & ASSOCIATES Consultants-Planning and Government • 43153A LEIMERT BLVD. • LOS ANGELES 8,CALIFORNIA'
