AGREEMENT
THIS AGREEMENT, made and entered into this 15th day of
December ,19 54 by and between the CITY OF CHULA VISTA, County of
San Diego, State of California, (hereinafter sometimes referred to
as "CITY"), and ENGINEERING-SCIENCE, INC., 150 East Foothill Blvd.,
Arcadia, California
(hereinafter sometimes referred to as "ENGINEER") :
W I T N E S S E T H:
WHEREAS, the City of Chula Vista has adopted the Master Sewer
' Plan contained within the "Report on the Collection, Treatment and
•
Disposal of Sewage and Industrial Wastes, City of Chula Vista,
California, dated 15 April 1959" and'
•
WHEREAS, the City now contemplates proceeding with certain pro-
-
ject items within said Master Plan, including (1) Negotiations
with the City of San Diego in relation to inclusion of Chula Vista
in a joint sewage collection and disposal arrangement, (2) Con-
struction of modifications and/or additions to the existing Chula
Vista sewage treatment facilities to provide adequate capacity dur-
ing the period until the City jains the area-wide program, (3) Con-
struction of trunk sewers and interim sewage treatment facilities
in the Otay Valley and (4) Construction of trunk sewers and interim
sewage treatment facilities within Sweetwater Valley, and;
WHEREAS, it is desirable that said City of Chula Vista employ
Engineering-Science, Inc. as an independent contractor to at as
consulting and design engineers for the furnishing of the required

engineering services.
IT IS MUTUALLY AGREED by and between the City of Chula Vista and
Engineering-Science, Inc. as follows:
SECTION I:
The City of Chula Vista hereby employs Engineering-Science, Inc.

to furnish the services hereinafter mentioned at and for the
compensation herein stipulated, and Engineering-Science, Inc.
hereby accepts such employment and terms herein stated.

SECTION II: CONSULTATION ON SAN DIEGO METROPOLITAN SEWER PLAN
(a) Engineer shall provide expert consultation as required
• and as requested by the City of Chula Vista on the engineering
economics of the propositions presented by the City of San Diego
. .. for inclusion of the City of Chula Vista within the area-wide
sewerage plan. Engineer shall represent the City of Chula Vista
during discussions with the City of San Diego and shall prepare
such data as may be required to properly evaluate alternate plans.
(b) The City of Chula Vista agrees to pay Engineer monthly
for services as requested by the City of Chula Vista under Sec-
tion II (a) above in accordance with the following per diem and
• expense schedule: (1) Professional consulting services, $15.00
per hour, (2) Supervision, design and conference time, $10.00 per
•
• hour, (3) Other office or field services, $8.00 per hour, (4),
Automobile mileage chargeable to the work, $0.10 per mile, -(5)
. : Out-of-pocket expenses such as long distance telephone, printing
costs, subsistence expenses, etc., at cost, all of which shall be
submitted to the City in an itemized account.
SECTION III PRESENT SEWAGE TREATMENT FACILITIES
(a) Engineer shall provide expert sanitary engineering advice

' Vista for modifications and/or additions to the present sewage
• treatment' facilities. Engineer shall, (1) provide advice on the
most economical means of providing plant capacity on a step pro-

• gram to permit the maximum use of City forces for construction,
• • • (2) provide detailed specifications for equipment purchases, (3)
provide consulting services for the solution of industrial waste

problems, and (4) provide other services as required. •
(b) The City of Chula Vista agrees to pay Engineer monthly •
for services as requested by the City of Chula •Vista under Sec-
•
tion III (a) above in accordance .with the following per diem
and expense schedule: (1) Professional consulting services,
$15.00 per hour, (2) Supervision, design and conference time,
$10.00 per hour, (3) Other office or field services, $8.00 per

SECTION IV: SWEETWATER AND OTAY VALLEY SEWAGE TREATMENT

(a) Engineer shall provide all necessary and proper engineer-
ing work required for the study and preparation of engineering
reports on the feasibility and most economical method of provid-
ing interim sewage treatment for proposed developments in the
Sweetwater and Otay Valleys including (1) Consideration of the
use of stabilization ponds or other economical treatment processes,
(2) Consideration of connection to the existing City of Chula
Vista sewerage facilities and (3) Consideration of connection
•
with the sewerage facilities .of the Palm•City Sanitation District
for the Otay Valley Study.
(b) The City of Chula Vista agrees to pay the Engineer for
the work described in Section IV(a) above the lump sum of two
•
•
thousand dollars ($2,000.00) payable upon completion and submittal
of the reports.
SECTION V: SEWER DESIGN
(a) Following the submittal of the engineering reports described
in Section IV (a) above and following arrangements for financing the
proposed sewerage works including trunk sewers and treatment
facilities, the City desires to further employ the Engineer to

designated by the City Administrative Officer, This work may
include the following:
(1) The preparation of detailed plans and specifications
•
for particular projects together with cost estimates, obtaining
•
of the necessary approvals from governmental, agencies having
•
jurisdiction relative to the collection, treatment and disposal
• of sanitary wastes, providing assistance in securing and analyz-
ing bids and in letting contracts, checking shop and working draw-
ings furnished by contractors, providing consultation and advice
during construction., reviewing estimates for payment to contractors,
providing final inspection and testing of the work and preparing
final reports upon completion.
(2) The furnishing of field survey parties for property and
boundary surveys, field surveys for sanitary sewerage design, field
staking and for other purposes. The furnishing of the services of
a qualified Resident Engineer and required inspectors who will
represent the Engineer during the period of construction and whose
duties shall be to see that all of the work is done in accordance
with the plans and specifications therefore, that all materials,
supplies and equipment furnished are in accordance therewith, and
to perform or have performed all required tests of materials.
(3) The furnishing of reproductions of drawings or of detailed
plans and specifications required for the use of CITY, for the use
of bidders in preparing bids for the proposed work, for use by the
Contractor and Engineer during construction and for other required
purposes,
(b) The City of Chula Vista agrees to pay the Engineer for the

services stipulated in Section V(a)(1) above a total fee to• be
negotiated by mutual agreement between the City Administrative
Officer and the Engineer. This. total fee shall be determined as
percentages of the construction costs of the project components
using as a guide Curves A and B shown on Page 18 of Manual of

Engineering Practice No. 38 of the American Society of Civil
Engineers, "Private Practice of Civil Engineering". Payments
shall be made in three increments, as follows: (1) Forty per-
- oent (40%) of the total fee shall be due and payable upon ,com-
pletion of one-half of the design work, (2) An additional forty
percent (40%) shall be due and payable upon completion of the
final construction plans and specifications and acceptance by
the City, and (3) The final twenty percent (20%) shall be due
•
and payable upon completion of the construction work and accept-
once by City. From this final twenty percent (20%) Engineer agrees
to deduct all or a portion of the total sum of two thousand dollars
($2,000.00) as provided for the preliminary reports under Sec-
tion IV(b). The amount deductible shall be in that proportion
that the project cost of work actually undertaken for final design
. bears to the total cost of the projects for which planning has
been done.
(c) The City of Chula Vista agrees to pay the Engineer for
the services stipulated in Section V(a)(2) above a fee to be
negotiated using as a guide the section shown on Pages 20 and 21
of the Manual of Engineering Practice No. 38 of the American Society
of Civil Engineers (Private Practice of Civil Engineering" entitled
"Items to be Paid in Addition to Percentage Fee".
(d) The City of Chula Vista agrees to reimburse the Engineer
for the actual cost of all reproductions of drawings or of detailed
plans and specifications furnished for the work as described in
Section V(a)(3.4
SECTION VI:
THIS AGREEMENT becomes effective immediately this date.
IN WITNESS WHEREOF, this Agreement has been executed on behalf
