AGREEMENT THIS AGREEMENT, made and entered into this 15thday of Dec., 1959 by and between the City of Chula Vista, State of California, hereinafter referred " . - . to as the "City'? and Lawrence, Fogg, Florer and Smith, 4769 Spring Street, La Mesa, California, a California corporation, the officers of which are re- gistered Civil Engineers in the State of California, hereinafter referred to as the "Engineer"; MITNESSETH WHERFS, the City desires to develop a dredged fill of approximately 75 acres conforming to the Chula Vista Master Plan for industrial development, and TriIHEREAS, it is the purpose of this agreement to provide for the services to be rendered by the Engineer to the City to perform certain engineering services pertinent to the development of this area; NOW, THEREFORE, in consideration of the premises and mutual benefits which will accrue to the parties hereto in carrying out the terms of this agreement, it is mutually understood and agreed as follows: I. The Engineer agrees to furnish and perform the various professional services, pertinent to the above named development, specifically outlined as follows: L� . Plans, Specifications, Estimates (1)" Prepare engineering plans, specifications, and cost estimates and to assist with obtaining bids for placing a dredged fill con- forming to the grades and elevations shown on the Master Plans for Industrial Development prepared by Lawrence, Fogg, Florer & Smith July 7, 1958 and within the following limits: Bounded on bhe -1- ((QS ,0(1 West by a line approximately parallel with and 300 feet Easterly Of the proposed bulkhead line; on the North by the area drainage channel 200 feet Northerly of "G+t Street; and on the South by the area drainage channel opposite Rohr Aircraft. (a) Engineering plans will be drawn to a scale of 1+t=200t and will show all necessary details to accomplish the job and to enable a contractor to submit proper bids. This will include existing topographic features, existing and finished grades, soundings, areas to be filled, areas to be dredged, and other pertinent data. - .. (b) Specifications shall include all required contract documents, general conditions, special conditions, bid forms and bonds. Forty copies of plans and specifications will be furnished. (c) Estimates of quantities and costs. (d) Assist the City in obtaining bids and be available for interpertation and questions during bidding period. B. Consultation During Construction Furnish general" engineering-supervision and consultation during construction. This includes checking of shop drawings, methods of construction, progress payments, interpretations, and general advice during construction. It does not include full time or detailed inspection which is to be furnished by the City. C. Provide soundings in the area to be dredged. Marine advisers will make 13 lines of soundings at1200 foot centers in the area to be filled. These soundings to be made by fathometer and reduced to cross sections. D. Provide six additional test borings to enable a more. accurate, -2- determination of the amount of settlement to be expected under the new fill. Marine advisers will provide floating equipment, Jets, and personnel. Benton Engineering will take soil samples and provide laboratory analysis and reports. • E. Surveys for design. This includes cross sectioning the re- centIy placed- fill setting control points and base lines for the fathometer soundings. It does not include establishing the mean high tide line. F. Surveys for construction. Provide rough grades, finish grades, and alignments required during the construction period. G. Any other professional engineering services falling within the general scope of this project which'may be specifically ordered by the City and which has not been included in Items A through F. II. The City agrees to pay the Engineer as compensation for the previously named professional services, fees based on the following: Item A - Plans, Specifications and Estimates the sum of $3,410.00 B - Consultation during construction - A monthly fee of $500. Per month starting with the award of contract and ceasing with the completion and acceptance of the work. C - Marine soundings and consultation during design - the . sum of $1,260.00. D - Test borings and soil investigation - the sum of $2,210.00. E - Surveys for design - the sum of $1,100.00 F - Surveys for construction at per diem rates in accordance with Schedule "A's (Estimated at $2,200.00). G - Other work ordered by the City shall be paid for in accordance with schedule «AM or as may be negotiated prior to comet e- ment o the work. -3- SCHEDULE A Field Work a. Marine consultant 14.00 per hour Engineering j. Principals 14.00 per hour k. Principal assistants 11.00 per hour 1. Computing 9.00 per hour m. Drafting 8.00 per hour n. Litigation (1 day minimum) 150.00 per day o. Preparation for court or other legal proceedings 20.00 per hour p. Blueprints, supplies, materials, equipment Cost plus 25% Progress payment shall be submitted and paid monthly based upon the prorated share of the various items of work completed. III. Progress of the Work The engineer krill- proceed with the work in a professional and expeditious manner at the direction of the City. The work in its entirety, exclusive of any extras, shall be completed within three months. This agreement pertaining to completion of said work within 3 months is contingent upon strikes, boycotts, accidents, inclement weather or other acts of God which the engineer could not have reason- ably foreseen or provided for or against. IV. Access The City shall assist the Engineer in obtaining access to any private property where such access is essential to the prosecution of this project. V. Insurance The Engineer agrees to maintain in full force during the life of this contract the following insurance: A. Workments compensation insurance covering the Engineer=s full liability under the Workman's Compensation Laws of California. B. Comprehensive public liability insurance in the amount of One Hundred Thousand Dollars ($100,000.) for any occurrence re- sulting in bodily injury to or the death of any one person, and in the amount of Three Hundred Thousand Dollars ($300,000.) for an occurrence resulting in bodily injury to or death of more than one person. C. Automobile property damage liability in the amount of Five Thousand Dollars ($5,000.) _. D. Property damage liability for other than automobile in the amount of Five Thousand Dollars ($5,000.) each accident, Twenty-five Thousand Dollars ($25,000.) aggregate. VI. Termination The" City may terminate this contract at any time upon written notice to the Engineer. Upon such termination the Engineer shall be paid in full for those phases of the contract which have been completed. .. -5- In the event portions of the work have not been completed, the Engin- eer shall be paid the reasonable value of such work performed prorated upon the percent of the work completed or as may be determined by ap- plying the per diem rates of Schedule A, whichever is the greater, but not to exceed the contract amount for the completed work. VII. The Engineer and the City each binds himself, his partners, suc- cesors;" executors, administrators and assigns, to the other party of this agreement and to the partners, successors, executors, administra- tors and assigns of such other party in respect of all covenants of this agreement. Except as above, neither party shall assign, sublet or transfer his interest in this agreement without the written con- sent of the other party thereto.
