Second Party agrees that in connection with . the oonatruction oP the improvements, herein provided, that all bills for labor and materials ahall be paid as same become due and that City shall be held harmless therefor, and further, that City shall have the right to poat notloes oP non-responaibility on the real property described in'thie Agreement. 10. Citq shall pay as and for rental fluring the entire term of said Sublease as followa: Nine Hundred Bighty-two and 17�100 Dollars ($982.17) per month, payable on the tenth day oP the aecond calendar month �of said term, ae and Por rental for occupancy during the Pirst calendar month of said term, and on the tenth day of each and every calendar month thereafter during the full term of this Sublease. -5- 11. In the event oP damage or destructlon of the demised premiaes by fire' or other _,r _:.. : cauae, Second Party agrees that the premises ahall be promptly s` and Pully repalred cr restored ae the case may be by Seconfl Party ' at Second Party�a expense, and Second Party agreea to apply all Snsurance proceeds thereto. Any proceeds of said insurance, if any, Sn eacesa of funda neceseary to repair or restore said premisea as in this Agreement provided, ehall be credited to City�e account as prepaid rent. The building on the demised premises shall be rebuilt or reconatructed in such a manner • that the demised premises ahall be in character and appearance equal to the premises damaged or destroyed' and the Prontage and � ' area thereof shall be the same as Smmediately prior to such damage or destruction. It Sa agreed that in the event of 6 sueh damage or destruction, this Lease shall continue in Pull force and efPect, but if such damage or destruction shall be oP auch eatent that the tenant cannot occupy same as a publie - librery, then the rent and other payments, if any, mhlch the tenant ie obligatefl to make hereunder shall abate until the premises have beea Pu�ly and completely restored by Second Party and poesesalon thereof shall have been redelivered to the City. IP the City can oecupy and use a portion oP the demised premisea as a publlc library, then the rent which the tenant is obligated to make hereunder shall equitably abate in proportion to the rental value oP the space rahich the City is unable to occupy until- the demised premises shall have been fUlly and completely restored by Seeond Party. 13. City shall pay all taxea and aseesamenta levied , or assesaed againat the demised premisea, or any interest therein, including but not limited to all general and epecial levies, speclPlc lien apecial assesamente, and any tax or aseessments, if any, on the leasehold Snterest ef Second Party. 14. .In the event oP default by City in the payment of rent or the performance oP any; of the terms and conditions in the S�blease contalned, Second Party shall have all the remedies provided by lam. 15. City shall have the rlght to aesign or sublet the premises described in this Agreement only upon the following conditions: (1) City shall at all times remain and continue to, be primarily liable for the rents and perPormance of all covenants and agreements on its part to be paid or performed hereunder. . The time during which Second Partiee are delayed during the construction oP eaid building by thelr inability to seeure needefl labor or materials or by the acts or neglect of the �Clty or Sta employeea or agents, or by acts oP God which Seconfl Party could not have reasonably Yoreseen and _ _ provided Por, including but not limited to stormy and lnclement weather whlch delays construction, or by strikes, labor diaputes, lock-outs, or like trouble among meohanlce or laborers �hlch " delay the conatruction, shall be' added to the time for com- pletion as provided Sn Paragraph Bive hereof Hithout payment _ oP the per diem penalty thereln provided, but in that event CSty ahall not be llable for arry damages on account of a�y such delay. If the City be not in dePault in the payment oP the renta provided herein, then during the last eleven (11) monttia of eaid term, namely, Prom the beginning oP the firat month of the txenty-PiPth year to the eleventh month oP the txenty-fifth year, lnclueive, City ahall have the option but ehall not be obligated to purchase all improvements placed on the demised premises at its then appraiaed value, which value shall be determined by a board of three appraisera, one aeleeted by City, one selected by Second Party, and the two so selected to choose a third, and the decieion of the maJority of the appraiaers shall establish the appraised value of said improve- ments for the purposes oP this Agreement. In determining appraised value, the appraiser shall take into consideratlon - the cost of removing and relocating said improvements in the -9- event the eption to purchase Ss not eaercised, provided, horener, that in no event shall the appraiaed value be less than the aum oP Bleven ?housand 3even Hundred Eighty-sia and 0$�100 Dollars ('�11,78b.04), and proyided Purther, ho�ever, that in no event ahall the appraised value exceed the accrued depreciated value oP said improaements predica�ed on a cost oP One Hundred Sizty-elght Thousand Dollars ($168,000.00) and depreelated on a life expectaneq of thirty (30) qears. In the � � event said option to purchase is not eaercised within the time . speciPied, then at tfie end oP said term Second Party ehall have the right at Second Party's' option at any tiae within fovr (Aj months from the end oP said term to remove said improvements from the demised premises described in the Agreement. The coats oP appraisal ehall be borne equally bet�een the partiea hereto except that in the event the City does not exercise its option to purchaee the Smprovements located on said real property, then the .Clty sriall bear the entire coat � of said appraieal. 20. ArLy holding over under the Lease or the 3ublease after the end of the respective terms thereaf, with or_without � the eaprese or implied consent oP the respective Lessors; shall � he a tenancq from month to month only and not a renewal of either the F.ease or the Sublease: or an extension for.any Purther term, and !n such case rent shall be payable in the amount anfl ' at the time apeclfied in the Lease and Sublease, and such month to month tenancy shall be subJect ,to every other term, covenant and agreement containefl in this Agreement. - . 21. Ft is, therefore, under- stood and agreed that Second Party ahall have One Hvndred Trrenty (120) daya from the date hereoP to secure Pinancing s2tisPactcry to.Second Party for a substantial portion of the cost thereoP.
