herein, City and Second Party, have agreed and by these presents

(25) 9eare, which term shall commence on the lst day of the

either the approval thereof or the objectiona thereto, properly
itemlzed. IIpon approval thereof by City in writing, or as .

immediately undertake the construction oP said public library
building upon the real property deearibed in Paragraph One and
to diligently prosecute same to completion mithin one hundred

therewith xith the plane and outline speciPicationa in
' IDctiibit "A" and the rorking drawings. C1ty ahall note. its
acceptance or iteaize its ob�eetions in rrlting, provided, .
hoaever, that failure on the part oP the City to ob'ect thereto
wlthin said five (5) day period shall conatitute acceptanee
thereof. IP the improvementa are useable for the purpose
Sntended, then Por the purpcse of commeacing the term of the
Lease and Sublease, the City ahall accept said improvements
for occupancy but roithout waiver oP any written Stemized
ob�ections, Sf any, which the City may have, iY made within the
time apecified in thie Paragraph.
9. Second Party agrees that in connection with .
the oonatruction oP the improvements, herein provided, that
all bills for labor and materials ahall be paid as same become
due and that City shall be held harmless therefor, and further,
that City shall have the right to poat notloes oP non-responaibility
on the real property described in'thie Agreement.
10. Citq shall pay as and for rental fluring the
entire term of said Sublease as followa: Nine Hundred Bighty-two
and 17�100 Dollars ($982.17) per month, payable on the tenth day
oP the aecond calendar month �of said term, ae and Por rental for
occupancy during the Pirst calendar month of said term, and on the
tenth day of each and every calendar month thereafter during the
full term of this Sublease.

11. During the entire term of the Lease and Sublease,
City agrees at ite oxn eapense to keep the demised premises in
good condition and repair eacept for structural defects Sn the
- library building due to Paulty construction. 2he coat of main-
tenance 'of the demised premises, inclufling but not limlted to
all utilitles, �anitor eervlce, light fiatures and bulbs, grounds,
laxn, Ploxers, shrubbery, matering system, and parking area, shall
be and remain the obligation of the City during the entire term
of the Sublease and Second Party shall have no obligation Sn
respect to- malntenance or repair eacept for structural'dePects.

damage or destructlon of the demised premiaes by fire' or other

Snsurance proceeds thereto. Any proceeds of said insurance,

premisea as in this Agreement provided, ehall be credited to
City�e account as prepaid rent. The building on the demised
premises shall be rebuilt or reconatructed in such a manner •
that the demised premises ahall be in character and appearance
equal to the premises damaged or destroyed' and the Prontage and
� ' area thereof shall be the same as Smmediately prior to such
damage or destruction. It Sa agreed that in the event of

sueh damage or destruction, this Lease shall continue in Pull
force and efPect, but if such damage or destruction shall be
oP auch eatent that the tenant cannot occupy same as a publie
- librery, then the rent and other payments, if any, mhlch the
tenant ie obligatefl to make hereunder shall abate until the
premises have beea Pu�ly and completely restored by Second
Party and poesesalon thereof shall have been redelivered to the
City. IP the City can oecupy and use a portion oP the demised
premisea as a publlc library, then the rent which the tenant is
obligated to make hereunder shall equitably abate in proportion
to the rental value oP the space rahich the City is unable to occupy
until- the demised premises shall have been fUlly and completely
restored by Seeond Party.
13. City shall pay all taxea and aseesamenta levied
, or assesaed againat the demised premisea, or any interest therein,
including but not limited to all general and epecial levies,
speclPlc lien apecial assesamente, and any tax or aseessments,
if any, on the leasehold Snterest ef Second Party.
14. .In the event oP default by City in the payment
of rent or the performance oP any; of the terms and conditions
in the S�blease contalned, Second Party shall have all the
remedies provided by lam.
15. City shall have the rlght to aesign or sublet
the premises described in this Agreement only upon the following
conditions:
(1) City shall at all times remain and continue
to, be primarily liable for the rents and perPormance of all
covenants and agreements on its part to be paid or performed
hereunder. .
(2) Any such aseignee ahall in writirig
expresel8 aesume and agree to pay the rent and to perform each

. and every covenant and egreement in thls Agreement required by
Gity to be paid or to be'performed.
16. It is further understood and agreed that SP
Second Partiea are prevented from cempleting ttie conetruction
of aaid building aithln the time provided by Paragraph Five or
any further time to rhich the parties may have agreed by reason
of raar or the declaration of a atate of national emergency, or
the imposition of restrictions upon the procurement of permits,
labor or materials essential to the completion oP said building �
imposed either �by. the Federal or State Government, or by reason
;:-. , of any other cauee beyond the control of the parties hereto,
- then and in that event the fulfillment of the terms oP. thia
Agreement ehall be deferred until such Lime as it Se possible
for the partiea hereto to complete said builfling xithout said
cauees or interferences.
17. The time during which Second Partiee are delayed
during the construction oP eaid building by thelr inability
to seeure needefl labor or materials or by the acts or neglect
of the �Clty or Sta employeea or agents, or by acts oP God
which Seconfl Party could not have reasonably Yoreseen and _
_ provided Por, including but not limited to stormy and lnclement
weather whlch delays construction, or by strikes, labor diaputes,
lock-outs, or like trouble among meohanlce or laborers �hlch
" delay the conatruction, shall be' added to the time for com-
pletion as provided Sn Paragraph Bive hereof Hithout payment
_ oP the per diem penalty thereln provided, but in that event
CSty ahall not be llable for arry damages on account of a�y
such delay. Provided Purther, that any ezteneion of time for
the aompletion of the construction provided for in Paragraph Five
hereof shall be oonsidered by Lhe City onlq rhen a requeat for
an eztension of time is submitted in writing by Second Party,

18. Notiees deaired or required to be given here-

option of the party giving the same be given by enelosing Lhe
eame in a sealed envelope addreseed to the party for �hom
intended and bq depo'siting such envelope registered mail, nith
poatage prepaid, in the IInited States Post Office or arLF sub-
station thereof, and any such notice and the ennelope contain-
... iag the same ahall be adflreased to the City at 276 Guava
Avenue, Chule Yista, California, or auch other place as ma9
hereafter be designated in writing by the City, and the noticea
and envelopes containing the same to the Seeond Partq shall
- be addreased to Hobart-Topper, Foot of "(}" Street, Chula Vista,
California. or such other place as may hereaPter be designated.

19. If the City be not in dePault in the payment oP
the renta provided herein, then during the last eleven (11)
monttia of eaid term, namely, Prom the beginning oP the firat
month of the txenty-PiPth year to the eleventh month oP the
txenty-fifth year, lnclueive, City ahall have the option but
ehall not be obligated to purchase all improvements placed on
the demised premises at its then appraiaed value, which value
shall be determined by a board of three appraisera, one aeleeted
by City, one selected by Second Party, and the two so selected
to choose a third, and the decieion of the maJority of the
appraiaers shall establish the appraised value of said improve-
ments for the purposes oP this Agreement. In determining
appraised value, the appraiser shall take into consideratlon
- the cost of removing and relocating said improvements in the

event the eption to purchase Ss not eaercised, provided,
horener, that in no event shall the appraiaed value be less
than the aum oP Bleven ?housand 3even Hundred Eighty-sia and
0$�100 Dollars ('�11,78b.04), and proyided Purther, ho�ever,
that in no event ahall the appraised value exceed the accrued
depreciated value oP said improaements predica�ed on a cost
oP One Hundred Sizty-elght Thousand Dollars ($168,000.00) and
depreelated on a life expectaneq of thirty (30) qears. In the
� � event said option to purchase is not eaercised within the time .
speciPied, then at tfie end oP said term Second Party ehall
have the right at Second Party's' option at any tiae within
fovr (Aj months from the end oP said term to remove said
improvements from the demised premises described in the Agreement.
The coats oP appraisal ehall be borne equally bet�een the
partiea hereto except that in the event the City does not
exercise its option to purchaee the Smprovements located on
said real property, then the .Clty sriall bear the entire coat
� of said appraieal.
20. ArLy holding over under the Lease or the 3ublease
after the end of the respective terms thereaf, with or_without
� the eaprese or implied consent oP the respective Lessors; shall
� he a tenancq from month to month only and not a renewal of
either the F.ease or the Sublease: or an extension for.any Purther

- . 21. In the event any disputes arise between the
parties to thie Agreement regarding'worklt� drar�ings, the con-
struction or the acceptance by the City oP the lmprovements,
then it is agreed that sald diapute or disputes ulth respect to

At any time after such a diepute has arlsen the partq resorting

in ariting of his election to resort to arbitration and the name
and addreas ef the arDitrator appointed to represent him;

to the party instituting arbitration proceedinge the name and

An appointment made by a Judge oP the Superior Court ehall
be non-apyealable. Within txo (2) days after the appointment
oP Yhe third arbitrator, the board oP arbitration shall
coneene and hear evidence, both oral and documentaryr; presented
• by both parties and shali itamediately thereafter render their
deciaion.which ahall be Pinal and conclusive on all parties.

24. Ezcept as provided in this Agreeaent, this
Agreement shall inure to the benefit oP and ahall be. bindittg
upon the succesaore and assigns oP the City and the personal
repreaentatives, heirs, devisees, legatees and asaigns of
the Second Party.

betxeen the date oP execution of this Agreement and the date
provided Por the comc�encement of the term of the Lease and

- the Sublease are hereby modiPied so that the term cf said
Leaee and Sublease shall begin on t6e date so deterrnined and
terminate twenty-five (25) 9eara thernaPter and twenty-four
(24) yeara, eleven (11) months thereafter, respectively, and
subJect to any atatutory limitationa on the authority of City
to obligate Sta revenue in any one year, the parties agree
that the rental provided in the Lease and Sublease shall begin
on the date so establiahed.
26. It is contemplated by the parties that ;S>cond
Party will finance a substantial portion of the cost of the
improvementa deacribed in Exhibit "A" by .a loan from an Snsurance
, company or Pinancial institutlon .and that tnis Agreement and
the plana, outline apeciflcations, and rorking drarings muat
be aubmitted by Second Party to said lex�ing institution Por
approval prior to securing such loan. Ft is, therefore, under-
stood and agreed that Second Party ahall have One Hvndred Trrenty
(120) daya from the date hereoP to secure Pinancing s2tisPactcry
to.Second Party for a substantial portion of the cost thereoP.
If not secured wlthin said Qne Hundred �enty (120) days, then

notice to the other. Said One Hundred Twenty (120) days period
may be extended by mutual agreement. ,
